HOLLINGSHEAD I, JOHN A. HOLLINGSHEAD, a United States Citizen, hereby revoke my prior Wills and Codicils and declare this to be my Will. I. Debts and Funeral Expenses. I direct that all my unsecured debts and funeral expenses be paid and satisfied from my estate as soon as conveniently may be done after my decease. II. Personal Possessions. I give all of my personal effects and jewelry, household effects and furniture, automobiles and accessories, and articles of a similar nature, together with policies of insurance thereon against loss of any kind, in accordance with a written statement or list signed by me and left with my Executor, Will, or among my personal papers and effects. IV. Executor's Powers. In addition to and not in limitation of the powers vested in fiduciaries by law, my Executor shall have the following powers: A. To retain any investments and properties held by me at my death without liability for loss by reason of such retention and without regard for principles of diversification; to make investments and reinvestments of principal and accumulated income without limitation to what are known as legal investments; and, to invest in mutual funds without reducing fees or commissions otherwise payable hereunder to any Executor. B. To make distributions in cash or in kind, or partly in each, to allocate specific assets among beneficiaries and trusts in such manner as my Executor shall determine and to the extent that any assets are distributed in kind, they shall be valued at their respective values at the time of distribution. C. To choose a date for valuing property in my estate, to use expenses and losses as deductions for federal income tax or estate tax purposes or partly for each, to make elections to use,the generation-skipping exemption for transfers during my lifetime or on death, and among beneficiaries and trusts and to make other tax elections as shall be deemed advisable without adjustments between income and principal, among beneficiaries or otherwise. D. To sever any trust into two or more trusts on a fractional basis to be funded based on the fair market value of the trust assets on the date of funding, the terms of each of the new trusts to provide for the same succession of interests and beneficiaries as are provided in the original trust and not to change the terms, conditions and dispositive plan of any trust nor to take any such action which would cause a trust which otherwise is eligible for the federal estate tax marital or charitable deduction to not so qualify and, if done for generation-skipping tax purposes, to be accomplished in such manner that the trusts shall be treated as separate trusts for such purposes. E. To retain the services of an investment advisor or transfer assets held hereunder into a custodial, management, or similar account of such an advisor; and, if such advisor is a bank or trust company otherwise qualified to act as a fiduciary, then the Trustee may delegate full power of management, investment, and reinvestment thereto and be relieved of liability except for actions taken in bad faith; and to compensate for such services out of the assets held hereunder. V. Survival. If my death and the death of my wife occur simultaneously it shall be presumed for all purposes hereunder that my wife survived me. VI. Protective Provision. VII. Taxes. All estate, inheritance, and other death taxes (including interest and penalties thereon) assessed or payable at or by reason of my death, shall be paid as provided in the Trust hereinabove mentioned and except as provided therein, without reimbursement therefor from the property or any of the beneficiaries or recipients of property included in my estate for tax purposes. I hereby authorize my Executor to do all things which are necessary and proper to qualify all or any part of any Marital Gift under the aforesaid Trust for the federal estate tax marital deduction and to make any and all filings which are required thereunder. VIII. Executor. I appoint my wife, BARBARA M. HOLLINGSHEAD, Executor of this my Will. Should my wife fail to qualify or, having qualified, cease to act as Executor, then I appoint my daughter, ELIZABETH A. LANCIONE, to serve as Executor. In the event that both of these persons fail to qualify as Executor or, having qualified, cease to act as Executor, then I appoint my granddaughter, JANA M. LANCIONE, to serve as Executor. No IExecutor qualified hereunder shall be required to give bond or security for the faithful performance of duties in any jurisdiction whatsoever.
