LAST WILL AND TESTAMENT
I, CHRISTINA A. McCORMICK, of the Borough of Carlisle, Cumberland County,
Pennsylvania, being of sound and disposing mind and memory, do hereby make, publish and
declare this to be my Last Will and Testament, hereby revoking any and all former Wills or
Codicils by me made.
1.
I direct that all my legally enforceable debts, funeral expenses, testamentary expenses and
all inheritance taxes (whether such taxes may be payable by my estate or by any recipient of any
property) shall be paid from my residuary estate as soon as practicable after my decease and as
part of the administration of my estate. My personal representative shall have no duty or
obligation to obtain reimbursement for any such tax so paid, even though on proceeds of
insurance or other property not passing under this Will.
2.
If my spouse shall survive me by thirty (30) days, I give and devise any interest I may
own in my residence at 1207 Sherwood Drive, Carlisle, Pennsylvania, and furnishings therein
to my spouse, JOHN 1. McCORMICK II. I further devise my condominium in Fort Myers
Beach, Florida and the furnishings therein to my said spouse, JOHN 1. McCORMICK II. I also
give to my said spouse the National Home Life Assurance Company, (now Providian), Annuity
Policy No. 510M105599 and the boat in my name located at Fort Myers Beach, Florida.

I make the following specific beque~ts:
a. The sum of Fifty Thousand Dollars ($50,000.00) to HOLY TRINITY
ORTHODOX CATHEDRAL, Camp Hill, Pennsylvania, in loving memory of my
parents, John 1. and Pota 1. and siblings, Peter 1., George 1., James 1. and Stella Alexis
and Alice Alexis Leddy.
b. The sum of Twenty-five Thousand Dollars ($25,000.00) to the

memory of the John P. and Pota 1. Alexis family, to be used for researching the history
of the Greek families in Carlisle, Pennsylvania.
c. The sum of Fifty Thousand Dollars ($50,000.00) to ST. JOHN'S
EPISCOPAL CHURCH, Carlisle, Pennsylvania, to be used for stained glass windows in
the Church Hall, in my memory.
d. The sum of One Thousand Dollars ($1,000.00) to each of the CARLISLE
GARDEN CLUB and the CARLISLE CIVIC CLUB, both in Carlisle, Pennsylvania.
4.
I give the sum of Fifty Thousand Dollars ($50,000.00) unto FINANCIAL TRUST
SERVICES COMPANY, Carlisle, Pennsylvania, to be held in trust, for the following purposes:
a. I direct that my Trustee shall hold, invest and reinvest the same, collect the
income arising therefrom, and after paying all expenses incident to the management of
the trust, to use and apply as much of the income and principal as may be necessary in
the sole discretion of my Trustee, in equal shares, for the education of my grand-nephews
and the grandsons of my brother, James, NICHOLAS ALEXIS and CHRISTIAN
ALEXIS.
b. I direct that each beneficiary shall have the right of withdrawal of his equal
share of the principal and any accumulated income of said trust as each attains the age
of twenty-five (25) years.
c. To the extent that the same is permitted by law, none of the beneficiaries
hereunder shall have any power to dispose of or to charge by way of anticipation any
interest given to such beneficiary; and all sums payable to such beneficiaries hereunder
shall be free and clear of the debts, contracts, alienations and anticipations of the
beneficiaries, and all liabilities for levies and attachments and proceedings of whatsoever
kind, at law or in equity.

I make the following specific bequests:
a. The sum ofTen Thousand Dollars ($10,000.00) to CAROLINE ALEXIS.
b. The sum of Twenty-five Thousand Dollars ($25,000.00) to each of JOHN
P. ALEXIS, STELLA A. WAGNER, GEORGIANN ALEXIS HEIDBREDER,
DEAN ALEXIS, and JOANNE ALEXIS.
c. The sum of Twenty-Five Hundred ($2,500.00) to BESSIE GRIMES.
d. The sum of Twenty-Five Hundred ($2,500.00) to FLORENCE
KA TSETOS.
e. The sum of Twenty-Five Hundred ($2,500.00) to F AYE STOUFFER.
7.
I give, devise and bequeath all the rest, residue and remainder of my estate unto my
spouse, JOHN 1. McCORMICK II, absolutely, with the understanding that upon his demise the
residue of my estate will revert to heirs as defined in Item 6, b., above.
8.
I nominate, constitute and appoint my spouse, JOHN 1. McCORMICK II, as Executor
of my estate. In the event he shall be unable or unwilling to serve in such capacity, then I
appoint my niece, STELLA A. WAGNER, to act in such capacity.
9.
I direct that neither my personal representl;ltive nor my Trustee shall be required to file
a bond to secure the faithful performance of their duties in any jurisdiction.

I authorize and empower my personal representative and Trustee, in their sole and
absolute discretion, to purchase or otherwise acquire and retain any investments of which I die
seized or any real or personal property of any nature; to sell, lease, pledge, mortgage, transfer,
exchange, dispose of or grant options in regard to any or all property of any kind forming a part
of my estate for such terms and such prices as they may deem advisable; to borrow money for

any purposes connected with the protection and preservation of my estate; to mortgage or pledge
any real or personal property forming a part of my estate or to join in or secure the partition of
same; to compromise any claims or demands of my estate against others or of others against my
estate; to make distribution in kind and to cause any share to be composed of cash, property or
undivided fractional shares in property different in kind from any other share; to employ agents,
attorneys and proxies and to delegate to them such power as my personal representative and
Trustee consider desirable and to pay reasonable compensation for such services as may be
rendered by such agents, attorneys and proxies; and to execute and deliver such instruments as
may be necessary to carry out any of these powers. In addition, I direct that my personal
representative shall have the power to conduct an inventory of any safe deposit box necessary
to the administration of my estate.
A majority of all income beneficiaries of the trust or trusts created under this Will may
from time to time remove any corporate trustee then acting for reasonable cause and substitute
another corporate trustee; provided, however, that such successor corporate trustee shall not be
a related or subordinate to anyone or more of the beneficiaries hereunder within the meaning
ofIntemal Revenue Code 9672( c) or successor provisions. When the removed corporate trustee
has received written notice of its removal and has been notified in writing by its successor
corporate trustee of the latter's acceptance, the removed corporate trustee shall surrender all
books, records, and assets in its possession comprising any portion of the trust or relating to the
trust. In no event shall the removed corporate trustee charge a "termination fee" based on a
, .
percentage of trust assets as a result of such removal but shall be entitled only to charge such fee
as fairly represents the cost of any accounting ,required by the beneficiaries or successor
corporate trustee as part of such removal and substitution. The removed corporate trustee shall
not be relieved of liability until its successor has qualified and the removed trustee's accounting,
if applicable, has been settled or the beneficiaries and successor corporate trustee have otherwise
accepted an account stated in lieu of a formal accounting. As used in this paragraph, the term
"reasonable cause" includes, but is not limited to: (1) poor investment performance, (2) the

removal of all current income beneficiaries from the state in which the corporate trustee is
licensed to conduct business as a corporate trustee, (3) inattention to the reasonable needs of the
beneficiaries, (4) lack of communication between trustee and beneficiaries, (5) inaccurate or
unclear transaction statements or statements of account, (6) conflicts between the corporate
trustee and the beneficiaries, (7) merger, acquisition or deteriorating financial condition of the
corporate trustee, or (8) high turnover of account officers assigned to any trust under this Will.

SEC 2. CHANGES
.01 Section 4.02(6Xd) is amended to reflect an increase

SEC. 3. SCOPE
This procedure pertains to all cases, regardless of type of
laX, in which the prior audit me! conference action, if any,
did not extend beyond the jurisdiction of the office of the
District Director. It docs not apply to cases previously
closed after considention by Appeals Offices or District
Counsels.
SEC. 4. DEFINITIONS
.01 Closed Case:
(I ) A case agreed at the district level is considered closed
when the taxpayer is notified in writing, after district
conference, if any, of adjustments to tax liability or
acceptance of the wcpa)'Cf's return without change.
(2) An unagreed income, estate, or gift laX case is
considered closed when the period for filing a petition with
the United States Tax Court specified in the statutory
notice of deficiency issued by the District Director expires
and no petition was filed.
(3) An unagreed excise or employment tax case is
considered closed when the period for filing a protest
and requesting consideration by the Appeals Office
specified in the preliminary Ietta' expires and
no protest or request fOT Appeals consideration is
filed.
.02 Examinations. Inspections, and Rcopenings:
(1) A contact with 1 taxpayer to COlTCCl
mathematical or clerical errors is not an examination,
inspection, or reopening.
(2) A contact with a taxpayer to verify or adjust a
disc:repmcy between the taxpaya's tax retum and an
informatiOll retum is not an examinatiOll. inspection,
or reopening. For this purpose, an informaticn teIUm
includes a return and an amended return filed by a
partnersbip. fiduciary, or small business corporation.
(3) A contact to verify a discrepancy disclosed by
III information retum matching program may include
inspection of the taxpayer's boolcs of account, II) lbe
extent necessary to resolve the disc:rcpaDcy, without
beinI c:aasick:mi an examination, inspection, or
reopeningwitbin the maning of Sec:ti0ll 76OS(b). A
contact to verify aD item of income shown on an

meaning of Section 76OS(b). To the extent that the
ccntact is to detamine lbe need for . Tax Sbdtcr
Registration number, the information sought would
be limited to obtaining the name and address of the
promoter.
(5) The adjus1mc:nt of an unallowable item, or an
adjustment resulting from other typeS of service
center correc:tiOll programs, is not considered to be an
examination. Therefore. a subsequent examination
does not constitute a reopening of 1 case closed after
examinaDon.
(6) Reconsideration of a case is not considered 1
n:opening and, therefore. requires DO approval or
issuance of a form Jeaer (DOIJSISC) for:
(I) cases involving Section 1311;
(b) cases inwlving the year of deduction of. net
operating loss c:anyback or similar type of
canyback under other provisions of the
Code;
(c) cases in which there have been involuntary
conversions and !be taxpayer bas not
recomputed hislber laX liability when helshe
did not replace property within the time
provided by Section 1033; or
(d) cases involving an overpayment in excess of
SI,OOO,OOO, subject to review by the Joint
Convniace on Taxation under Sec. 6405.
(7) A contact with a CEP taxpayer requesting the
written statements provided for in Rev. Prot. ~9,
or notifying a taxpayer that it no longer qualifies for
the Coordinated Examination Program, is not
considered an examination. Therefore, any
subsequent examination does not constitute a
reopening.
(8) In the case of a CEP taxpayer, the Service may
inspect the taXpayer's books of account with respect
to tax periods not currently under examination in
order to verify the aa:uncy of adjustmenU to an item or
items fOT those periods (a) in which the taxpayer made
an -accelented issuC! resolution- request, or (b) in
accordance with an "accelerated issue resolution"
agreement between the Service and the taxpayer. See
Rev. Proc. 94-67. An inspection made pursuaJlt to this
pangraph relating. to any tax period wiD not be
considered an inspection or an examination aDd Will not
preclude a subsequent inspection or examination of that
laX period UDder Sec. 7605(b) provided lbe taxpayer so

SEC 5. POUCY
.01 The Internal Revenue Service will not reopen any
case closed after c:xaminaDoa by a district office or
service center to make an adjustment unfavorable to the
taxpayer unless:
(1) there is evidence of fraud, malfeas:ance, coJlusion,
concealment, or misrepresentation of a material fact;
(2) the prior closing inwJved 1 cJc:arly defined
substantial enol' based on an established Service position
existing at the time of lbe previous examination; or
(3) other circ:umstanceS exist dIat indicate failure to
reopen would be . serious administrative emission.
.02 All ROpcIIings mISt be approved by the OIief,
Examination Divisian (District Director in Streamlined
Districts). or Chief, Ccm1Iliance Division, for cases
under bislher jurisdiction. If an additional inspection of
the taxpayer's books of account is necessary, the notice
to the taxpayer required by Sec. 760S(b) must be signed
by the OIief, Examination Division (District Director in
Streamlined Districts). or Chief, Compliance Division,
for cases under hisIher jurisdiction.
SEC. 6. EFFECT ON OTHER

I, CHRISTINA A. McCORMICK, of the Borough of Carlisle, Cumberland County,
Pennsylvania, being of sOWld and disposing mind and memory, do hereby make, publish and
declare this to be my Last Will and Testament, hereby revoking any and all former Wills or
Codicils by me made.
1.
I direct that all my legally enforceable debts, ftmeral expenses, testamentary expenses and
all inheritance taxes (whether such taxes may be payable by my estate or by any recipient of any
property) shall be paid from my residuary estate as soon as practicable after my decease and as
part of the administration of my estate. My personal representative shall have no duty or
obligation to obtain reimbursement for any such tax so paid, even though on proceeds of
insurance or other property not passing under this Will.
2.
If my spouse shall survive me by thirty (30) days, I give and devise any interest I may
own. in my residence at 1207 Sherwood Drive, Carlisle, Pennsylvania, and furnishings therein
to my spouse, JOHN J. McCORMICK II. I further devise my condominium in Fort Myers
Beach, Florida and the furnishings therein to my said spouse, JOHN 1. McCORMICK n. I also
give to my said spouse the National Home Life Assurance Company, (now Providian), Annuity
Policy No. 510MI05599 and the boat in my name located at Fort Myers Beach, Florida.
3.
I make the following specific bequests:
a. The sum of Fifty Thousand Dollars ($50,000.00) to HOL Y TRINITY
ORTHODOX CATHEDRAL, Camp Hill, Pennsylvania, in loving memory of my
parents, John 1. and Pota J. and siblings, Peter 1., George 1., James J. and Stella Alexis
and Alice Alexis Leddy.
b. The sum of Twenty-five Thousand Dollars ($25,000.00) to the

I give the sum of Fifty Thousand Dollars ($50,000.00) ooto FINANCIAL TRUST
SERVICES COMPANY, Carlisle, Pennsylvania, to be held in trust, for the following purposes:
a. I direct that my Trustee shall hold, invest and reinvest the same, collect the
income arising therefrom, and after paying all expenses incident to the management of
the trust, to use and apply as much of the income and principal as may be necessary in
the sole discretion of my Trustee, in equal shares, for the education of my grand-nephews
and the grandsons of my brother, James, NICHOLAS ALEXIS and CHRISTIAN
ALEXIS.
b. I direct that each beneficiary shall have the right of withdrawal ofms equal
share of the principal and any accumulated income of said trust as each attains the age
of twenty- five (25) years.
c. To the extent that the same is permitted by law, none of the beneficiaries
hereunder shall have any power to dispose of or to charge by way of anticipation any
interest given to such beneficiary; and all sums payable to such beneficiaries hereunder
shall be free and clear of the debts, contracts, alienations and anticipations of the
beneficiaries, and all liabilities for levies and attachments and proceedings of whatsoever
kind, at law or in equity.

spouse, JOHN J. McCORMICK II, absolutely, with the mderstanding that upon his demise the
residue of my estate will revert to heirs as defmed in Item 6, b., above.
8.
I nominate, constitute and appoint my spouse, JOHN J. McCORMICK n, as Executor
of my estate. In the event he shall be unable or unwilling to serve in such capacity, then I
appoint my niece, STELLA A. WAGNER, to act in such capacity.
9.
I direct that neither my personal representative nor my Trustee shall be required to file
a bond to secure the faithful performance of their duties in any jurisdiction.
10.
I authorize and empower my personal representative and Trustee, in their sole and
absolute discretion, to purchase or otherwise acquire and retain any investments of which I die
seized or any real or personal property of any nature; to sell, lease, pledge, mortgage, transfer,
exchange, dispose of or grant options in regard to any or all property of any kind forming a part
of my estate for such terms and such prices as they may deem advisable; to borrow money for

any purposes connected with the protection and Preservation of my estate; to mortgage or pledge
any real or personal property forming a part of my estate or to join in or secure the partition of
same; to compromise any claims or demands of my estate against others or of others against my
estate; to make distribution in kind and to cause any share to be composed of cash, property or
undivided fractional shares in property different in kind from any other share; to employ agents,
attorneys and proxies and to delegate to them such power as my PerSonal representative and
Trustee consider desirable and to pay reasonable compensation for such services as may be
rendered by such agents, attorneys and proxies; and to execute and deliver such instruments as
may be necessary to carry out any of these powers. In addition, I direct that my personal
representative shall have the power to conduct an inventory of any safe deposit box necessary
to the administration of my estate.
A majority of all income beneficiaries of the trust or trusts created under this Will may
from time to time remove any corporate trustee then acting for reasonable cause and substitute
another corporate trustee; provided, however, that such successor corporate trustee shall not be
a related or subordinate to anyone or more of the beneficiaries hereunder within the meaning
of Internal Revenue Code ~672( c ) or successor provisions. When the removed corporate trustee
has received written notice of its removal and has been notified in writing by its successor
corporate trustee of the latter's acceptance, the removed corporate trustee shall surrender all
books, records, and assets in its possession comprising any portion of the trust or relating to the
trust. In no event shall the removed corporate trustee charge a "termination fee" based on a
percentage of trust assets as a result of such removal but shall be entitled only to charge such fee
as fairly represents the cost of any accounting required by the beneficiaries or successor
corporate trustee as part of such removal and substitution. The removed corporate trustee shall
not be relieved of liability until its successor has qualified and the removed trustee's accounting,
if applicable, has been settled or the beneficiaries and successor corporate trustee have otherwise
accepted an account stated in lieu of a formal accounting. As used in this paragraph, the term
"reasonable cause" includes, but is not limited to: (1) poor investment performance, (2) the

removal of all current income beneficiaries from the state in which the corporate trustee is
licensed to conduct business as a corporate trustee, (3) inattention to the reasonable needs of the
beneficiaries, (4) lack of communication between trustee and beneficiaries, (5) inaccurate or
unclear transaction statements or statements of accOlmt, (6) conflicts between the corporate
trustee and the beneficiaries, (7) merger, acquisition or deteriorating financial condition of the
corporate trustee, or (8) high turnover of account officers assigned to any trust under this Will.

The petition of JOHN J. McCORMICK II, respectfully states that:
1. Christine A. McCormick, ("Decedent") died March 6, 2001, leaving a Will dated
April 9, 1999, probated in the office of the Register of Wills of Cumberland County, Pennsylvania,
on March 20, 2001, a copy of which is attached as Exhibit "A", whereby she appointed John J.
McCormick II Executor.
2. John J. McCormick II as Executor filed his First and Final Account and Schedule of
Proposed Distribution which was confirmed on August 27,2002, in which the residue of the estate
is distributed to John J. McCormick II, Trustee, per Item 7 of said Will.
3. Item 7 of said Will states: "I give, devise and bequeath all the rest, residue and
remainder of my estate unto my spouse, John J. McCormick II, absolutely, with the understanding
that upon his demise the residue of my estate will revert to heirs as defined in Item 6, b, above."
Item 6, b, lists the heirs as John P. Alexis, Stella A. Wagner, Georgiann Alexis Heidbreder, Dean
Alexis and Joanne Alexis (nephews and nieces of Decedent).
4. The trust continues and it is the desire of Petitioner that his appointment as Trustee
be confirmed.
5. It is further the desire of Petitioner that a co-trustee be appointed who will be able to
continue to act in the event of Petitioner's unavailability, incapacity or death.
6. It is further the desire of Petitioner that the Will be interpreted to provide that the
Trust shall be held for the benefit of Petitioner, decedent's spouse, during his lifetime with
distribution to him of all income from the remainder fund under Item 7 of said Will with ultimate
distribution of the principal of the trust on his death to the heirs listed in Item 6, b, of said Will.

of my estate for such terms and such prices as they may deem advisable; to borrow money for

same; to compromise any claims or demands of my estate against others or of others against my

undivided fractional shares in property different in kind from any other share; to employ agents,
attorneys and proxies and to delegate to them such power as my personal representative and
Trustee consider desirable and to pay reasonable compensation for such services as may be
rendered by such agents, attorneys and proxies; and to execute and deliver such instruments as
may be necessary to carry out any of these powers. In addition, I direct that my personal
representative shall have the power to conduct an inventory of any safe deposit box necessary
to the administration of my estate.
A majority of all income beneficiaries of the trust or trusts created under this Will may
from time to time remove any corporate trustee then acting for reasonable cause and substitute
another corporate trustee; provided, however, that such successor corporate trustee shall not be
a related or subordinate to anyone or more of the beneficiaries hereunder within the meaning
of Internal Revenue Code 9672( c ) or successor provisions. When the removed corporate trustee
has received written notice of its removal and has been notified in writing by its successor
corporate trustee of the latter's acceptance, the removed corporate trustee shall surrender all
books, records, and assets in its possession comprising any portion of the trust or relating to the
trust. In no event shall the removed corp,orate ~stee charge a "termination fee" based on a
percentage of trust assets as a result of such removal but shall be entitled only to charge such fee
as fairly represents the cost of any accounting required by the beneficiaries or successor
corporate trustee as part of such removal and substitution. The removed corporate trustee shall
not be relieved of liability until its successor has qualified and the removed trustee's accounting,
if applicable, has been settled or the beneficiaries and successor corporate trustee have otherwise
accepted an account stated in lieu of a formal accounting. As used in this paragraph, the term
"reasonable cause" includes, but is not limited to: (1) poor investment performance, (2) the

removal of all current income beneficiaries from the state in which the corporate trustee is
licensed to conduct business as a corporate trustee, (3) inattention to the reasonable needs of the
beneficiaries, (4) lack of communication between trustee and beneficiaries, (5) inaccurate or
unclear transaction statements or statements of account, (6) conflicts between the corporate
trustee and the beneficiaries, (7) merger, acquisition or deteriorating financial condition of the
corporate trustee, or (8) high turnover of account officers assigned to any trust under this Will.

r, CHRISTINA A. McCORMICK, of the Borough of Carlisle, Cumberland County,
Pennsylvania, being of sound and disposing mind and memory, do hereby make, publish and
declare this to be my Last Will and Testament, hereby revoking any and alI former Wills or
Codicils by me made.
I.
r direct that all my legally enforceable debts, funeral expenses, testamentary expenses and
all inheritance taxes (whether such taxes may be payable by my estate or by any recipient of any
property) shall be paid from my residuary estate as soon as practicable after my decease and as
part of the administration of my estate. My personal representative shall have no duty or
obligation to obtain reimbursement for any such tax so paid, even though on proceeds of
insurance or other property not passing under this Will.
2.
Ifmy spouse shall survive me by thirty (30) days, I give and devise any interest I may
own in my residence at 1207 Sherwood Drive, Carlisle, Pennsylvania, and furnishings therein
to my spouse, JOHN J. McCORMICK II. I further devise my condominium in Fort Myers
Beach, Florida and the furnishings therein to my said spouse, JOHN J. McCORMICK II. I also
give to my said spouse the National Home Life Assurance Company, (now Providian), Annuity
Policy No. 510MI05599 and the boat in my name located at Fort Myers Beach, Florida.
3.
I make the following specific bequests:
a. The sum of Fifty Thousand Dollars ($50,000.00) to HOLY TRINITY
ORTHODOX CATHEDRAL, Camp Hill, Pennsylvania, in loving memory of my
parents, John J. and Pota 1. and siblings, Peter 1., George J., James J. and Stella Alexis
and Alice Alexis Leddy.
b. The sum of Twenty-five Thousand Dollars ($25,000.00) to the

memory of the John P. and Pota J. Alexis family, to be used for researching the history

EPISCOPAL CHURCH, Carlisle, Pennsylvania, to be used for stained glass windows in
the Church Hall, in my memory.
d. The sum of One Thousand Dollars ($1,000.00) to each of the CARLISLE
GARDEN CLUB and the CARLISLE CIVIC CLUB, both in Carlisle, Pennsylvania.

I give the sum of Fifty Thousand Dollars ($50,000.00) unto FINANCIAL TRUST
SERVICES COMPANY, Carlisle, Pennsylvania, to be held in trust, for the following pwposes:
a. I direct that my Trustee shall hold, invest and reinvest the same, collect the
income arising therefrom, and after paying all expenses incident to the management of
the trust, to use and apply as much of the income and principal as may be necessary in
the sole discretion of my Trustee, in equal shares, for the education of my grand-nephews
and the grandsons of my brother, James, NICHOLAS ALEXIS and CHRISTIAN
ALEXIS.
b. I direct that each beneficiary shall have the right of withdrawal of his equal
share of the principal and any accumulated income of said trust as each attains the age
of twenty-five (25) years.
c. To the extent that the same is pennitted by law, none of the beneficiaries
hereunder shall have any power to dispose of or to charge by way of anticipation any
interest given to such beneficiary; and all sums payable to such beneficiaries hereunder
shall be free and clear of the debts, contracts, alienations and anticipations of the
beneficiaries, and all liabilities for levies and attachments and proceedings of whatsoever
kind, at law or in equity.

I make the following specific bequests:

I give, devise and bequeath all the rest, residue and remainder of my estate unto my
spouse, JOHN J. McCORMICK II, absolutely, with the understanding that upon his demise the
residue of my estate will revert to heirs as defined in Item 6, b., above.
8.
I nominate, constitute and appoint my spouse, JOHN J. McCORMICK II, as Executor
of my estate. In the event he shall be unable or unwilling to serve in such capacity, then I
appoint my niece, STELLA A. WAGNER, to act in such capacity.
9.
I direct that neither my personal rel?resent~tive nor my Trustee shall be required to file
a bond to secure the faithful performance of their duties in any jurisdiction.

I authorize and empower my personal representative and Trustee, in their sole and
absolute discretion, to purchase or otherwise acquire and retain any investments of which I die
seized or any real or personal property of any nature; to sell, lease, pledge, mortgage, transfer,
exchange, dispose of or grant options in regard to any or all property of any kind forming a part
of1l1Y estate for such terms and such prices as they may deem advisable; to borrow money for

any pwposes connected with the protection and preservation of my estate; to mortgage or pledge
any real or personal property forming a part of my estate or to join in or secure the partition of
same; to compromise any claims or demands of my estate against others or of others against my
estate; to make distribution in kind and to cause any share to be composed of cash, property or
undivided fractional shares in property different in kind from any other share; to employ agents,
attorneys and proxies and to delegate to them such power as my personal representative and
Trustee consider desirable and to pay reasonable compensation for such services as may be
rendered by such agents, attorneys and proxies; and to execute and deliver such instruments as
may be necessary to carry out any of these powers. In addition, I direct that my personal
representative shall have the power to conduct an inventory of any safe deposit bOlt necessary
to the administration of my estate.
A majority of all income beneficiaries ofthe trust or trusts created under this Will may
from time to time remove any corporate trustee then acting for reasonable cause and substitute
another corporate trustee; provided, however, that such successor corporate trustee shall not be
a related or subordinate to anyone or more of the beneficiaries hereunder within the meaning
of Internal Revenue Code 9672( c) or successor provisions. When the removed corporate trustee
has received written notice of its removal and has been notified in writing by its successor
corporate trustee of the latter's acceptance, the removed corporate trustee shall surrender all
books, records, and assets in its possession comprising any portion of the trust or relating to the
trust. In no event shall the removed corporate trustee charge a "termination fee" based on a
. .
percentage of trust assets as a result of such removal but shall be entitled only to charge such fee
as fairly represents the cost of any accounting .required by the beneficiaries or successor
corporate trustee as part of such removal aiId substitution. The removed corporate trustee shall
not be relieved of liability until its successor has qualified and the removed trustee's accounting,
if applicable, has been settled or the beneficiaries and successor corporate trustee have otherwise
accepted an account stated in lieu of a formal accounting. As used in this paragraph, the tenn
"reasonable cause" includes, but is not limited to: (I) poor investment performance, (2) the

removal of all current income beneficiaries from the state in which the corporate trustee is
licensed to conduct business as a corporate trustee, (3) inattention to the reasonable needs of the
beneficiaries, (4) lack of communication between trustee and beneficiaries, (5) inaccurate or
unclear transaction statements or statements of account, (6) conflicts between the corporate
trustee and the beneficiaries, (7) merger, acquisition or deteriorating financial condition of the
corporate trustee, or (8) high tumover of account officers assigned to any trust under this Will.
