( TO MARC A. HYMAN THIS FIRST ASSIGNMENT AGREEMENT is made and entered into between LISA BUTCHER (hereinafter"Seller"), and purchaser, MARC A. HYMAN, (hereinafter"MAH") a Maryland resident located at 17719 Chipping Court, Olney, Maryland 20832-1624. 1.Assignment. Seller hereby irrevocably assigns, sells and transfers$7,000.00 of Seller's beneficial interest in the ESTATE OF NANNETTE BUTCHER, Decedent (hereinafter"Estate")to MAH in exchange for an immediate cash payment of$5,000.00.The statement of the assigned amount, cash payment and total cost to Seller was provided to Seller prior to signing this agreement. 2. Payment.Seller authorizes and instructs the personal representatives of the Estate and their attorneys to pay and deliver$7,000.00 to MAH prior to making any distribution from this Estate to Seller. Y 3. Early Payoff Rebate Period. • If$7,000.00 is received by MAH on or before August 31, 2015, MAH shall rebate to seller the amount of$500.00, resulting in new net assigned amount of$6,500.00. All outstanding assignments between Seller and MAH, if any,must be paid in full before any rebate shall be payable by MAH to Seller. 4. Beneficial Interest Assigned. Seller's beneficial interest in the Estate shall include any and all rights: a)as a beneficiary, devisee, heir, legatee or otherwise of the Estate; b)to commissions and fees as personal representative of the Estate; c)to distributions from ancillary proceeding(s);d)to distributions from any IRA, retirement plan, employee benefit plan or other non-probate asset of the decedent;and e)to Seller's individual interest in the decedent's homestead or other properly and contemporaneously-appraised property, if applicable. 5. Waiver of Right to Disclaim. In consideration of MAH's agreement to purchase a portion of Seller's beneficial interest in the Estate,Seller hereby agrees not to disclaim any portion of his/her inheritance. 6. Sale of Real Property. Seller authorizes MAH to direct the personal representative of the Estate to sell the Estate's property to avoid the distribution in-kind of undivided interests. 7. Prohibited Conduct. Seller agrees not to take any action that may in any manner defeat, eliminate, reduce, delay or prevent MAH's receipt of the assigned amount of$7,000.00. 8. Bankruptcy. Seller does not now or in the immediate future contemplate filing for bankruptcy. Seller has not consulted any lawyer or other professional within the last ninety (90) days regarding the possibility of filing for bankruptcy. If Seller files for bankruptcy after entering into this agreement,Seller acknowledges that MAH shall be entitled to enforce all its rights as a creditor secured by a lien on all of Seller distributions from the Estate. 9. Recourse. Other than recourse for any expense or damage arising out of the material breach of this agreement or fraud by Seller, MAH shall have no recourse against Seller if the distribution from the Estate is less than $7,000.00. 10.Successor Riahts.This instrument binds Seller and his/her heirs, executors, administrators, successors and other assignees of Seller. 11. Maryland Law.This agreement is made and shall be interpreted under the laws of the State of Maryland. It may be amended only by an agreement in writing that is dated and signed by Seller and MAH. 12. Consult legal Counsel. Seller acknowledges that MAH advised her to consult with legal co nsel concerning this transaction prior to signing this agreement. MS.
