1, Charles W. Wadsworth,h.aving my legal residence at Enola, Cumberland -T7
County, Commonwealth of Pennsylvania do hereby declare this to be my Last Will and
Testament,revoking all other Wills, Trusts and Codicils heretofore made by me.
FIRST: I direct the expenses of my last illness and funeral be paid from my
estate as soon as practicable after my death.
SECOND: I direct my hereinafter named Executor to pay out of my Estate all
State Inheritance Taxes and Federal Estate Taxes, if any, which may be assessed by
reason of my death on property passing under this my last Will and Testament, or on
property passing to any person or persons by reason of joint ownership thereof, such as
certificates of deposit, savings bonds, etc. to the intent and effect that no person shall be
required to personally pay any Pennsylvania inheritance tax or federal tax thereon.
THIRD: I give,devise, and bequeath all of my boats,trailers, motor
vehicles, the contents of my garages, my sheds and any of my tools and maintenance
items to my son, David Wadsworth. I give, devise, and bequeath all of the rest,residue,
and remainder of my property both personal and real of whatever nature and wheresoever
situate to my wife, Patricia M. Wadsworth. If my wife, Patricia M. Wadsworth, fails to
survive me,then I give, devise and bequeath all the rest, residue and remainder to my
son, David Wadsworth. I have intentionally omitted and intend to disinherit my son
Charles M. Wadsworth.
FOURTH: I hereby nominate and appoint Patricia M. Wadsworth, my wife, of
Enola, Cumberland County,Pennsylvania, as Executrix of this,my Last Will and
Testament and Trustee of any trust created herein. If for any reason she fails to qualify or
ceases to act as such during the administration of my estate, I then nominate my son,
David Wadsworth, as Executor of this, my Last Will and Testament and Trustee of any
trust created herein. If either of these two cease to serve as Executrix/or and/or Trustee
or fail to serve or refuse to serve as Executrix/or and/or Trustee,then I authorize any of
the beneficiaries named herein to petition to the Court to appoint, as trustee or Executor a
member in good standing of the Bar Association of either Cumberland or Dauphin
County or any other such legal professional as may be appropriate or prudeiit.
FIFTH: I give my said Executrix and/or Trustee, absolute discretion and
the fullest authority in all matters including, but not limited to the following powers:
(a) To retain any or all of the assets of my estate without regard to.any
principal of diversification, risk or productivity.
(b) To invest in all forms of property without restriction to investments
authorized for any type of fiduciary.
(c) To compromise any claim or controversy.
(d) To loan money to or to purchase property from my probate estate.
(e) To borrow money from any person, including any Executrix, and
to mortgage or pledge any real or personal property.
(f) To sell at public or private sale, to exchange or to lease for any
period of time, any real or personal property, and to give options
for sales, exchange or leases, all for such prices and upon such
terms and conditions as they deem proper.
(g) To allocate receipts and expenses to principal or income or partly
to each as they deem proper.
(h) To repair, alter or improve any real or personal property.
(i) To purchase investments at premiums and to charge premiums to
income or principal or partly to each.
(j) To subscribe for or to exercise options for stocks, bonds or other
investments; to join in any plan or lease, mortgage, merger,
consolidation, reorganization, foreclosure or voting trust and to
deposit securities thereunder; and to generally exercise all the
rights of security holders or employees of any corporation.
(k) To register securities in the name of a nominee or in such manner
that title shall pass by delivery.
(1) To exercise all power, authority and discretion by this instrument
after termination of any trust created herein until the same is fully
distributed.
(m) To commingle the assets of any trust estate created by the Will in
any one or more common funds for greater convenience and
flexibility.
(n) To employ attorneys, accountants, engineers and other such
persons, professional and otherwise, as may be necessary for the
proper administration of this estate and to pay their compensation
from such funds. This power includes the power to employ such
persons for the purpose of defending or supporting this will and to
pay such persons from this estate.
(o) To pay off the balance of any mortgage.
LASTLY: I direct that my Executrix and/or the Trustee and/or her successor
shall not be required to give bond or other security in any jurisdiction where in
proceedings may be held in connection with my estate. Nor shall any guardian of
property or persons be required to give bond for the faithful performance of their duties
in any jurisdiction. My Executrix or Executor, or other representative of my estate, shall

be entitled to be paid a reasonable fee for the services they provide in the settlement and
administration of my estate.
