The undersigned, JOSEPH A. TURRI, JR. and THE LUZERNE FOLTNDATION,
Trustees of the Charitable Remainder Unitrust Under the Will of Joseph A. Turri for the Benefit of
Joseph A. Turri, Jr. (hereinafter referred to as the "Trustees") created under ITEMs 3(b) and 6 of the
Last Will and Testament of Joseph A. Turri dated December 21, 2012 and Codicil dated November 4,
2014 (hereinafter together the "Will"), do hereby acknowledge receipt from BARBARA L. SOWERS,
EYecun-i�: of said Will (hereinafter referred to as the "Executrix"), of principal cash in the sum of Five
Hundred Thousand Dollars ($500,000.00), and statutory interest thereon at the rate of Five Percent
(5%) from the date of Decedent's death, on account of full satisfaction of the bequest contained in
ITEM 6 of said Will.
IN CONSIDERATION of said distribLltion, the undersigned Trustees do hereby
release, reinise, qllit claini and forever discharge the Executrix, her agents, heirs, personal
represer.tatives, succPssors and assigns, of and from all actions, suits, payinents, accounts, reckonings,
claims and demands whatsoever for or by reason of the bequest under ITEM 3(b) of the Will.
AND the undersigned as Tnistees on behalf of the Trust but not individually, do hereby
agree to indeinnify and save harnlless the said Executrix,'to the extent of said distribLrtion, against any
and all loss, dainaQe, costs, verdicts,judgments, awards and e�penses �vhich s�id Executri� may sllffer,
incur, be put to, pay or lay out by reason of having made distribution of said bequest to the

undersigned, and the undersigned agree to refund to the Executrix upon receipt of such a request from
the Executrix, any portion of the above distribution to which the undersigned is not properly entitled or
which shall at any time be necessary to discharge any debt, expense or liability of the Estate, including
but not limited to any estate, inheritance, transfer or income tax.
It is the intention of the undersigned to be legally bound by this instrument.
The undersigned agree that this Agreement may be e�ecuted in several counterparts,
each of which shall be �n original and all of which shall constitute but one and the same instrument.
IN WITNESS WHEREOF, the undersigned have caused this instrument to be executed
