lifetime executed the MATILDA M. LUTHER LIVING TRUST, dated October 2, 1996.
3. MATILDA M. LUTHER alk/a MATILDA MINNICH LUTHER, during her
lifetime executed a First Amendment to the MATILDA M. LUTHER LIVING TRUST, dated
November 25, 1997.
4. MATILDA M. LUTHER a/k/a MATILDA MINNICH LUTHER, during her
lifetime executed a Second Amendment and Restatement to the MATILDA M. LUTHER
LIVING TRUST, dated December 6, 1999.
5. MATILDA M. LUTHER a/k/a MATILDA MINNICH LUTHER, during her
lifetime executed a Third Amendment to the MATILDA M. LUTHER LIVING TRUST, dated
March 31, 2000.
6. MATILDA M. LUTHER a/k/a MATILDA MINNICH LUTHER, during her
lifetime executed a Fourth Amendment to the MATILDA M. LUTHER LIVING TRUST, dated
December 18, 2001.
7. MATILDA M. LUTHER a/k/a MATILDA MINNICH LUTHER, during her
lifetime executed a Fifth Amendment and Second Restatement to the MATILDA M. LUTHER
LIVING TRUST, dated July 15, 2002.
8. MATILDA M. LUTHER a/k/a MATILDA MINNICH LUTHER, during her
lifetime executed a Sixth Amendment to the MATILDA M. LUTHER LIVING TRUST, dated
August 30, 2004.
9. MATILDA M. LUTHER a1k/a MATILDA MINNICH LUTHER, during her
lifetime executed a Seventh Amendment and Third Restatement to the MATILDA M. LUTHER
LIVING TRUST, dated July 26, 2005.
10. MATILDA M. LUTHER a/k/a MATILDA MINNICH LUTHER, during her
lifetime executed an Eighth Amendment to the MATILDA M. LUTHER LIVING TRUST, dated
December 27, 2005.
11. MATILDA M. LUTHER died on November 14, 2011.
12. On November 14, 2011, PATRICK E. BELL and LOIS ANN NORRIS became
the Successor Trustees of the MATILDA M. LUTHER LIVING TRUST.
13. On January 13, 2012, LOIS ANN NORRIS and SUSAN E. LEDERER became
the Co-Executrices of the Estate of MATILDA M. LUTHER a/k/a MATILDA MINNICH
LUTHER by Grant of Letters issued by the Cumberland County Register of Wills.
14. Pursuant to Article One, Section 1 A1 of the Last Will and Testament of
MATILDA M. LUTHER:
All of my probate estate, excluding any property over which I might have
a power of appointment, and after payment of expenses and taxes which
are paid pursuant to this will, I give to the Trustee of the Matilda M.
Luther Living Trust dated October 2, 1996 and any amendment thereto
executed prior to this will, to be added to the property of that trust and
direct that the Trustee administer the property as provided in the trust
agreement and any amendments prior to my death.
15. Pursuant to Article Six, Section 6.03 of the Third Restatement to the MATILDA
M. LUTHER LIVING TRUST:
Upon my death, my Trustee shall distribute $10,000 to BERTHA
SWEGER.
16. On or about March 26, 2012, BERTHA SWEGER signed a Release, Refunding,
& Indemnification Agreement acknowledging that she would be receiving a specific distribution
of Ten Thousand ($10,000) Dollars.
17. On or about March 31, 2012, BERTHA SWEGER received Ten Thousand
($10,000) Dollars in full satisfaction of her specific distribution from the TRUST ESTATE OF
MATILDA M. LUTHER a/k/a MATILDA MINNICH LUTHER.
18. Pursuant to Article Six, Section 6.04 of the Third Restatement to the MATILDA
M. LUTHER LIVING TRUST:
Upon my death, my Trustee shall distribute $10,000 to HELEN WOLFE
MAY.
19. On or about March 28, 2012, HELEN WOLFE MAY signed a Release,
Refunding, & Indemnification Agreement acknowledging that she would be receiving a specific
distribution of Ten Thousand ($10,000) Dollars.
20. On or about Apri12, 2012, HELEN WOLFE MAY received Ten Thousand
($10,000) Dollars in full satisfaction of her specific distribution from the TRUST ESTATE OF
MATILDA M. LUTHER a/k/a MATILDA MINNICH LUTHER.
21. Pursuant to Article Six, Section 6.05 of the Third Restatement to the MATILDA
M. LUTHER LIVING TRUST:
Upon my death, my Trustee shall distribute $10,000 to CHARLES
WOLFE.
22. On or about March 26, 2012, CHARLES WOLFE signed a Release, Refunding,
& Indemnification Agreement acknowledging that he would be receiving a specific distribution
of Ten Thousand ($10,000) Dollars.
23. On or about March 29, 2012, CHARLES WOLFE received Ten Thousand
($10,000) Dollars in full satisfaction of his specific distribution from the TRUST ESTATE OF
MATILDA M. LUTHER a/k/a MATILDA MINNICH LUTHER.
24. Pursuant to Article Six, Section 6.06 of the Third Restatement to the MATILDA
M. LUTHER LIVING TRUST:
Upon my death, my Trustee shall distribute $10,000 to HAROLD
WOLFE.
25. On or about March 27, 2012, HAROLD WOLFE signed a Release, Refunding, &
Indemnification Agreement acknowledging that he would be receiving a specific distribution of
Ten Thousand ($10,000) Dollars.
26. On or about March 31, 2012, HAROLD WOLFE received Ten Thousand
($10,000) Dollars in full satisfaction of his specific distribution from the TRUST ESTATE OF
MATILDA M. LUTHER a/k/a MATILDA MINNICH LUTHER.
27. Pursuant to Article Six, Section 6.07 of the Third Restatement to the MATILDA
M. LUTHER LIVING TRUST:
Upon my death, my Trustee shall distribute $40,000 to PATRICK BELL
AND SUSAN BELL or the survivor of them.
28. On or about Apri125, 2012, PATRICK BELL AND SUSAN BELL signed a
Release, Refunding, & Indemnification Agreement acknowledging that they would be receiving
a specific distribution of Forty Thousand ($40,000) Dollars.
29. On or about May 4, 2012, PATRICK BELL AND SUSAN BELL received Forty
Thousand($40,000) Dollars in full satisfaction of their specific distribution from the TRUST
ESTATE OF MATILDA M. LUTHER a/k/a MATILDA MINNICH LUTHER.
30. Pursuant to Article Six, Section 6.08 of the Third Restatement to the MATILDA
M. LUTHER LIVING TRUST:
Upon my death, my Trustee shall distribute $40,000 to SUSAN
LEDERER.
31. On or about March 28, 2012, SUSAN LEDERER signed a Release, Refunding, &
Indemnification Agreement acknowledging that she would be receiving a specific distribution of
Forty Thousand($40,000) Dollars.
32. On or about March 31, 2012, SUSAN LEDERER received Forty Thousand
($40,000) Dollars in full satisfaction of her specific distribution from the TRUST ESTATE OF
MATILDA M. LUTHER a/k/a MATILDA MINNICH LUTHER.
33. Pursuant to Article Six, Section 6.09 of the Third Restatement to the MATILDA
M. LUTHER LIVING TRUST:
Upon my death, my Trustee shall distribute $15,000 to MATTHEW
LOWRY.
34. On or about April 18, 2012, MATTHEW LOWRY signed a Release, Refunding,
& Indemnification Agreement acknowledging that he would be receiving a specific distribution
of Fifteen Thousand ($15,000) Dollars.
35. On or about May 4, 2012, MATTHEW LOWRY received Fifteen Thousand
($15,000) Dollars in full satisfaction of his specific distribution from the TRUST ESTATE OF
MATILDA M. LUTHER a/k/a MATILDA MINNICH LUTHER.
36. Pursuant to Article Six, Section 6.11 of the Third Restatement to the MATILDA
M. L,UTHER LIVING TRUST:

Upon my death, my Trustee shall distribute $80,000 to VIRGINIA
LUTHER.
37. On or about April 6, 2012, VIRGINIA LUTHER signed a Release, Refunding, &
Indemnification Agreement acknowledging that she would be receiving a specific distribution of
Eighty Thousand($80,000) Dollars.
38. On or about April 18, 2012, VIRGINIA LUTHER received Eighty Thousand
($80,000) Dollars in full satisfaction of her specific distribution from the TRUST ESTATE OF
MATILDA M. LUTHER a/k/a MATILDA MINNICH LUTHER.
39. Pursuant to Article Six, Section 6.12 of the Third Restatement to the MATILDA
M. LUTHER LIVING TRUST:
Upon my death, my Trustee shall distribute $80,000 to RONALD
LUTHER.
40. On or about Apri16, 2012, RONALD LUTHER signed a Release, Refunding, &
Indemnification Agreement acknowledging that he would be receiving a specific distribution of
Eighty Thousand ($80,000) Dollars.
41. On or about April 18, 2012, RONALD LUTHER received Eighty Thousand
($80,000) Dollars in full satisfaction of his specific distribution from the TRUST ESTATE OF
MATILDA M. LUTHER a/k/a MATILDA MINNICH LUTHER.
42. Pursuant to Article Six, Section 6.13 of the Third Restatement to the MATILDA
M. LUTHER LIVING TRUST:
Upon my death, my Trustee shall distribute $80,000 to PAUL LUTHER.
43. On or about March 30, 2012, PAUL LUTHER signed a Release, Refunding, &
Indemnification Agreement acknowledging that he would be receiving a specific distribution of
Eighty Thousand($80,000)Dollars.
44. On or about Apri18, 2012, PAUL LUTHER received Eighty Thousand ($80,000)
Dollars in full satisfaction of his specific distribution from the TRUST ESTATE OF MATILDA
M. LUTHER a/k/a MATILDA MINNICH LUTHER.
45. Article Seven, Section 7.01 of the Seventh Amendment and Third Restatement to
the MATILDA M. LUTHER LIVING TRUST, provides as follows:
Article Seven
Distribution of My Trust Property
All of the remaining trust property shall be administered as provided in this
Article.
Section 7.01 Distribution of Remaining Trust Property
The remaining trust property not previously distributed under this agreement shall
be divided into the following shares, for each of the following beneficiaries:

Ann Minnich, William Minnich, Jacob Minnich, and Martin Minnich 1/3
Beatrice Minnich, Lois Ann Norris a/k/a Lois M. Nonis, and Jack Norris 1/3
Gerald Minnich, Susan Minnich Enck, and John Minnich 1/3
46. Article Seven, Section 7.02 of the Seventh Amendment and Third Restatement to
the MATILDA M. LUTHER LIVING TRUST,provides as follows:
Article Seven
Distribution of My Trust Property
Section 7.02 Distribution of the Share for Ann Minnich,William Minnich,
Jacob Minnich and Martin Minnich
The share set aside for Ann Minnich, William Minnich, Jacob Minnich and
Martin Minnich shall be further divided into equal shares and distributed to Ann
Minnich, William Minnich, Jacob Minnich and Martin Minnich, free of trust.
If Ann Minnich, William Minnich, Jacob Minnich or Martin Minnich fail to
survive me, his or her share shall be distributed to his or her then living
descendants, per stirpes. If Ann Minnich, William Minnich, Jacob Minnich or
Martin Minnich have no then living descendants, the Trustee shall distribute the
deceased beneficiary's share pro rata to the other beneficiaries named in this
Section 7.02.
47. Article Seven, Section 7.03 of the Seventh Amendment and Third Restatement to
the MATILDA M. LUTHER LIVING TRUST, provides as follows:
Article Seven
Distribution of My Trust Property
Section 7.03 Distribution of the Share for Beatrice Minnich, Lois Ann
Norris a/Wa Lois M. Norris and Jack Norris
The share set aside for Beatrice Minnich, Lois Ann Norris a/k/a Lois M. Norris
and Jack Norris shall be further divided into equal shares and distributed to
Beatrice Minnich, Lois Ann Norris a/k/a Lois M. Norris and Jack Norris, free of
trust.
If Beatrice Minnich, Lois Ann Norris a/k/a Lois M.Norris or Jack Norris fail to
survive me, his or her share shall be distributed to his or her then living
descendants,per stirpes. If Beatrice Minnich, Lois Ann Norris a/k/a Lois M.
Norris or Jack Norris have no then living descendants, the Trustee shall distribute
the deceased beneficiary's share pro rata to the other beneficiaries named in this
Section 7.03.
48. Article Seven, Section 7.04 of the Seventh Amendment and Third Restatement to
the MATILDA M. LUTHER LIVING TRUST, provides as follows:

Section 7.04 Distribution of the Share for Gerald Minnich, Susan Minnich
Enck,John Minnich
The share set aside for Gerald Minnich, Susan Minnich Enck, John Minnich shall
be further divided into equal shares and distributed to Gerald Minnich, Susan
Minnich Enck, John Minnich, free of trust.
If Gerald Minnich fails to survive me, his share shall be distributed, in equal
shares,to his surviving spouse and Jennifer Minnich. If Susan Minnich Enck fails
to survive me, her share is to be distributed, in equal shares,to Gerald Minnich
and John Minnich. If John Minnich fails to survive me, his share shall be
distributed, in equal shares, to Gerald Minnich and Susan Minnich Enck.
49. JOHN MINNICH died on June 29, 2008; therefore, his share shall be divided in
equal shares between GERALD MINNICH and SUSAN MINNICH ENCK.
50. In October, 2012, ANN MINNICH received $300,000.00 in cash and securities as
a partial settlement of her share under the MATILDA M. LUTHER LIVING TRUST.
51. In October, 2012, WILLIAM MINNICH received $300,000.00 in cash and
securities as a partial settlement of his share under the MATILDA M. LUTHER LIVING
TRUST.
52. In October, 2012, JACOB MINNICH received $300,000.00 in cash and securities
as a partial settlement of his share under the MATILDA M. LUTHER LIVING TRUST.
53. In October, 2012, MARTIN MINNICH received $300,000.00 in cash and
securities as a partial settlement of his share under the MATILDA M. LUTHER LIVING
TRUST.
54. In October, 2012, BEATRICE MINNICH received $400,000.00 in cash and
securities as a partial settlement of her share under the MATILDA M. LUTHER LIVING
TRUST.
55. In October, 2012, LOIS ANN NORRIS a/k/a LOIS M. NORRIS received
$400,000.00 in cash and securities as a partial settlement of her share under the MATILDA M.
LUTHER LIVING TRUST.
56. In October, 2012, JACK NORRIS received $400,000.00 in cash and securities as
a partial settlement of his share under the MATILDA M. LUTHER LIVING TRUST.
57. In October, 2012, GERALD MINNICH received $600,000.00 in cash and
securities as a partial settlement of his share under the MATILDA M. LUTHER LIVING
TRUST.
58. In October, 2012, SUSAN MINNICH ENCK received $600,000.00 in cash and
securities as a partial settlement of her share under the MATILDA M. LUTHER LIVING
TRUST.
59. The Beneficiaries desire that the Successar Trustees/Co-Executrices settle the
Trust Estate informally in order to avoid the expense and delay involved with the formal
adjudication of a First and Final Account by the Orphans' Court Division of the Court of
Common Pleas of Cumberland County, Pennsylvania(the "Court").
60. The Beneficiaries desire to forever settle and compromise any and all claims and
rights which they may possess, now or hereafter, in the Trust. The Beneficiaries acknowledge
that the figures contained in Exhibits A, B and C are approximate, and the Beneficiaries are
willing to make distributions based on the information contained in said Exhibits. The
Beneficiaries further confirm their acceptance of the Informal Account (the "Account"), attached
hereto as Exhibits A, B and C, and incorporated herein by this reference, and the Distribution
Summary (the "Summary"), attached hereto as Exhibit D and incorporated herein by this
reference. The Beneficiaries desire that the distributions, as set forth on Exhibit D, be in full
satisfaction of their rights in the Trust.
61. The Beneficiaries wish to release the Successor Trustees/Co-Executrices and to
indemnify them against any and all claims that may be asserted against the Trust or the
Successor Trustees/Co-Executrices after the date hereof.
62. The Successor Trustees/Co-Executrices are willing to settle the Trust informally
in consideration of the indemnifications hereinafter provided by the Beneficiaries.
NOW THEREFORE, in consideration of the foregoing and intending to be legally bound,the
Beneficiaries, for themselves,their successors, and assigns:
1. Represent and warrant that they have read and understand this Agreement and
confirm that the facts set forth above are true and correct,to the best of their
knowledge, information, and belief.
2. Declare that they have sufficient information to make an informed waiver of their
right to a formal accounting with the Court, and do hereby waive the filing and
auditing of the same.
3. Acknowledge that the distributive share or amount set forth on these Schedules
shall be in full satisfaction of their respective entitlement under the Trust.
4. Release, remise, quitclaim, and forever discharge the Successor Trustees/Co-
Executrices,their heirs, personal representatives, successors, and assigns, from
and against all claims that the�, as legatees of the Trust, and in connection with
the Trust, had, now have or may in the future have in connection with the Trust.
5. Agree to refund, on demand, all ar any part of any aforesaid distribution, which
has been determined by the Successor Trustees/Co-Executrices, or by the Court,
or by any Court of competent jurisdiction, to have been improperly made.
6. Should any proper liabilities of the Trust, whether for taxes or otherwise, arise or
come to the attention of the Successor Trustees/Co-Executrices or any of the other
parties thereafter, the Beneficiaries agree to be liable therefore.
7. Agree to indemnify and hold harmless the Successor Trustees/Co-Executrices,
their heirs, personal representatives, successors, and assigns, from and against any
and all claims, loss, liability, or damage (whether or not related to the negligence
of the Successor Trustees/Co-Executrices)that may hereafter be asserted against
the Trust or against the Successor Trustees/Co-Executrices.
8. Agree to execute such other or additional documents as may be necessary to
effectuate the agreements set forth herein.
9. Acknowledge that this Agreement shall be governed by and construed in
accordance with the laws of the Commonwealth of Pennsylvania.
10. Consent to the Court exercising personal jurisdiction over them in any suit or
action arising out of the enforcement of this Agreement.
IN WITNESS WHEREOF, ANN MINNICH, WILLIAM MINNICH, JACOB
MINNICH, MARTIN MINNICH, BEATRICE MINNICH, LOIS ANN NORRIS a/k/a LOIS M.
NORRIS, JACK NORRIS, GERALD MINNICH, and SUSAN MINNICH ENCK, have placed
their hands and seals on the attached Consents to the Trust Settlement Agreement.
CONSENT TO TRUST SETTLEMENT AGREEMENT
I, ANN MINNICH,hereby acknowledge receipt of my respective interest in the trust of
the Decedent as reflected in Exhibits A, B, C, and D. In my individual and fiduciary capacities, I
hereby consent to and join in the Trust Settlement Agreement relating to the MATILDA M.
LUTHER LIVING TRUST. A copy of the Trust Settlement Agreement, including exhibits, has
been provided to me.

PA, Parcel ID No. 38-08-0569-016. Currently there is an Agreement of Sale for the real estate
with a purchase price of$750,000.00. Estimating the costs associated with the sale to be
approximately $152,000.00, the net proceeds from the sale would be approximately $598,000.00.
Therefore,the estimated value of the 1/28 interest of the Estate of Matilda Luther is $21,357.00.
A final settlement date has not yet been confirmed.
