Herendeen died October 1, 1995; and ~ ~-~ w ~. ,~ fJ-,.. .-.-1 ~;_ ~'_ ~~ -' w :.. :~~ .. .., N W WHEREAS, under the Last Will and Testament of James H. Herendeen, dated May 27, 1994, the said James H. Herendeen provided for a testamentary trust under which his wife, Eleanor F. Herendeen, the Life Tenant, was to receive all net income during her lifetime, with the provision the Trustee may pay so much of the principal, as the Trustee shall deem needful or desirable, from time to time, for her reasonable health, support and maintenance, taking into account her standard of living at the time of death of James H. Herendeen and income available to wife from all sources known to Trustee. On death of wife, the following distribution of the remainder of the Trust is provided: 2/5 of remainder in trust to NANCY HERENDEEN (widow of James H. Herendeen Jr., son of James H. Herendeen); 2/5 of remainder in trust to CHARI H. KRENIS (daughter of James H. Herendeen); 1/5 of remainder in trust to SOLANGE REOCH (granddaughter of James H. Herendeen). These parties, NANCY HERENDEEN, CHARI H. KRENIS and SOLANGE REOCH, are collectively the Remaindermen. WHEREAS, the Trustee of the Trust, as originally named in the Last Will and Testament of James H. Herendeen, was Dauphin Deposit Bank and Trust Company, with the successor organization thereto being Manufacturers and Traders Trust Company (the Trustee); and WHEREAS, the Trustee on October 25, 2007 filed with the Clerk of the Orphans' Court of Cumberland County a First and Partial Account setting forth all of the activity of the Trust from its inception from November 10, 1995 to August 22, 2007 and a Petition for Adjudication; and WHEREAS, counsel representing the Life Tenant and the Remaindermen, respectively have filed objections and new matters to the First and Partial Accounting of Trustee on behalf of their respective clients and subsequent to the filing of objections have made Requests for Production of Documents and for Answers to Interrogatories; and c7h/ WHEREAS, an auditor, namely Joseph D. Buckley, Esquire was appointed on December 4, 2007 by Judge Kevin A. Hess of Cumberland County Orphans' Court to take testimony, make findings of fact and make a recommendation to the Court in the matter of the First and Partial Account; and WHEREAS, on August 10, 2008, the Life Tenant died and subsequently the Co-Personal Representatives of the Estate of the Life Tenant, namely DONALD F. LOUSER and BARBARA E. FARRELL, were appointed the representatives of that party; and WHEREAS, the Auditor held a hearing on May 6 and May 7, 2009; and WHEREAS, prior to the conclusion of the hearing, the parties notified the Auditor that they had reached an agreement to settle all claims between and among them all; and WHEREAS, a Stipulated Agreement of Parties dated May 7, 2009 was executed by the respective counsel of all parties; and WHEREAS, the Stipulated Agreement was approved by Judge Kevin A. Hess as part of his Order dated May 13, 2009, as a reasonable resolution to this matter; and WHEREAS, all terms of the Stipulated Agreement of Parties are incorporated into this Order; and "9. The parties agree that the Trustee, Manufacturers and Traders Trust Company, shall not be required to file any supplemental or final accounting, and that they all shall sign mutual releases releasing any and all parties to this agreement for any actions that they have taken in the administration of the trust or any actions whatsoever and further agree to sign any and all other documentation necessary to complete the same." WHEREAS, one of those terms as set forth in Paragraph 9 of the said Stipulated Agreement of Parties is as follows: "NOW THEREFORE KNOW ALL MEN BY THESE PRESENTS, that the undersigned DONALD F. LOUSER and BARBARA E. FARRELL, Co-Executors of the Estate of Eleanor F. Herendeen, life tenants, as recipients of unreimbursed expenses due the life tenant and the undersigned NANCY HERENDEEN, CHARI H. KRFNTS and SOLANGE REOCH, remaindermen distributees under the Trust Under Will of JAMES H. HERENDEEN, late of East Pennsboro Township, Cumberland County, Pennsylvania, by instrument dated May 27, 1994, as the case may be, do hereby acknowledge that they have received of and from MANUFACTURERS AND TRADERS TRUST COMPANY, successor institution to DAUPHIN DEPOSIT BANK AND TRUST COMPANY, Trustee of the above-referenced Trust, the amounts and percentages as set forth on the attached Schedule "A". 2 These distributions are in full satisfaction and payment of such sum or sums of money, legacies and distributions as are given and bequeathed to the undersigned DONALD F. LOUSER and BARBARA E. FARRELL, Co-Executors of the Estate of Eleanor F. Herendeen, life tenant, as the recipients of unreimbursed expenses and to the remaindermen, NANCY HERENDEEN, CHARI H. KRENIS and SOLANGE REOCH as remaindermen, as the case may be. AND THEREFORE, the undersigned do by these presents, remise, release, quitclaim and forever discharge the said MANUFACTURERS AND TRADERS TRUST COMPANY, its successors and assigns of and from the said legacies distributions and above-referenced payments of unreimbursed expenses and of and from all actions, suits, payments and accounts, reckonings, claims and demands whatsoever, for or by reason thereof, or from any other accounts, matters, cause or thing whatsoever regarding the Trust Under Will of James H. Herendeen. AND the undersigned remainderman distrbbutees, in consideration of said payments and transfers, do hereby agree upon written request of MANUFACTURERS AND TRADERS TRUST COMPANY, to refund to the said Trust, prorata whatever assets, in kind or in cash, that maybe necessary in the future to discharge any liabilities of the said JAMES H. HERENDEEN TRUST UNDER WILL. AND FURTHERMORE, the undersigned DONALD F. LOUSER and BARBARA E. FARRELL, Co-Executors of the Estate of Eleanor F. Herendeen as life tenant and NANCY HERENDEEN, CHARI H. KRENIS and SOLANGE REOCH as remaindermen distributees do by these presents, remise, release, quitclaim and forever discharge each other and each other's executors, successors and assigns from all further actions, suits, payments and accounts, reckonings, claims and demands whatsoever, for or by reason thereof, or from any other accounts, matters, cause or thing whatsoever regarding the Trust Under Will of James H. Herendeen. AND FURTHERMORE, the Trustee, MANUFACTURERS AND TRADERS TRUST COMPANY, does by these presents, remise, release, quitclaim and forever discharge both DONALD F. LOUSER and BARBARA E. FARRELL, Co-Executors of the Estate of Eleanor H. Herendeen, as life tenant, and NANCY HERENDEEN, CHARI H. KRENIS and SOLANGE REOCH, as remaindermen from any cost or expense incurred in the course of the proceedings in this matter, not previously assessed, collected and for which it has not accounted." This Receipt Mutual Release and Refunding Bond maybe executed in any number of counterparts with the same effect as if all parties hereto had signed the same Receipt, Mutual Release and Refunding Bond.
