CONSENT
I ,PHILIP A . ARNOLD, ESQUIRE , Trustee Ad Litem for all
persons now unascertained having a contingent interest in the
Trust created by Emmett SheTley, Deceased, dated August 19, 1977,
having reviewed the Petition ofWm. A. Kramer, 2nd, Esquire,
Attorney for George E. Hoffer, Esquire, Trustee under the .afore-
said Trust Agreement, to permit the said George E,Hoffer, Esquire,
to resign as Trustee without the necessity of filing an accounting
and to appoint the Farmers. Trust Company as Successor Trustee
thereof, do hereby consent to the Release of George E. Hoffer,
Esquire, as Trustee aforesaid, and to the appointment of the
Farmers Trust Company as Successor Trustee under the aforesaid
Trust Agreement.
