LAST WILL AND TESTAMENT
I, AUDREY I, PARKS, of the Borough of Mechanicsburg, County
of Cumberland and Commonwealth of Pennsylvania, being of sound
and disposing mind, memory and understanding, do make, publish
and declare this as and for my Last Will and Testament, hereby
revoking and making void all former wills and codicils by me
at any time heretofore made.
FIRST.
I order and direct that all my just debts and funer I
expenses be paid by my Executor or Executrix, as the case may be,
hereinafter named, as soon as conveniently may be done after my
decease.
SECOND.
I give, devise and bequeath all the rest, residue
and remainder of my Estate, real, personal and mixed, whatsoever
and wheresoever situated, unto my husband, EDWARD H. PARKS,
absolutely and in fee simple, if he survives me by as many as
sixty (60) days.
THIRD.
If my husband, EDWARD H. PARKS, does not surVlve
me by as many as sixty (60) days, then and in that event, I
give, devise and bequeath all the rest, residue and remainder
of my Estate, real, personal and mixed, whatsoever and wheresoev r
situated, in equal shares unto my six children, namely, CAROLYN
A. SEELEY, PAULA J. DETWEILER, BETTY J. PARKS, ROGER G. PARKS,
RICKY L. PARKS and KEITH E. PARKS, share and share alike,
absolutely and in fee simple.
If any of my said children should predecease me and leave
issue to survive me, I order and direct that the residuary
share of each such deceased child shall be distributed unto
his or her issue per stirpes by representation and not per
capita, subject, however, to the protective provisions as more

fully set forth in Item Fourth hereinbelow.
FOURTH.
I order and direct that the distributive share or
interest of any beneficiary above who has not attained the age
of twenty-one (21) years shall be delivered and paid over unto
COMMONWEALTH NATIONAL BANK of Harrisburg, Pennsylvania, as my
Testamentary Trustee, IN TRUST, NEVERTHELESS, to hold, manage,
invest and reinvest for the use and benefit of such beneficiary
until he or she attains the age of twenty-one (21) years, said
Trustee to have discretionary power and authority to use, expend
and apply from time to time such amounts of both income and
principal as said Trustee shall deem necessary and proper for
the beneficiary's support, maintenance and education (including
college or other post-high school training), and upon the
beneficiary's attainment of age twenty-one (21) years, I order
and direct that the trust be terminated and the then remaining
balance thereof, if any, shall be delivered unto the beneficiary,
absolutely.
LASTLY.
I nominate, constitute and appoint my husband,
EDWARD H. PARKS, to be the Executor of this, my Last Will and
Testament, but if for any reason he should fail to qualify as
such Executor or cease so to serve, then and in that event, I
nominate, constitute and appoint my son, namely, ROGER G. PARKS,
to be the Executor hereof.
If both of the foregoing persons
should fail to qualify as my personal representative hereunder
or cease so to serve, then and in that ultimate event, I
nominate, constitute and appoint my daughter, namely, CAROLYN
A. SEELEY, to be the Executrix of this, my Last Will and
Testament.
I order and direct that no bond or other security shall
be required of my Executor or Executrix, as the case may be,

revoking and making void all former wills and codicils by me
at any time heretofore made.
FIRST. I order and direct that all my just debts and funeral
expenses be paid by my Executor or Executrix, as the case may be,

situated, in equal shares unto my six children, namely, CAROLYN
A. SEELEY, PAULA J. DETWEILER, BETTY J. PARKS, ROGER G. PARKS,
RICKY L. PARKS and KEITH E. PARKS, share and share alike,
absolutely and in fee simple.
If any of my said children should predecease me and leave
issue to survive me, I order and direct that the residuary
share of each such deceased child shall be distributed unto
his or her issue per stirpes by representation and not per

COMMONWEALTH NATIONAL BANK of Harrisburg, Pennsylvania, as my
Testamentary Trustee, IN TRUST, NEVERTHELESS, to hold, manage,
invest and reinvest for the use and benefit of such beneficiary
until he or she attains the age of twenty-one (21) years, said
Trustee to have discretionary power and authority to use, expend
and apply from time to time such amounts of both income and
principal as said Trustee shall deem necessary and proper for
the beneficiary's support, maintenance and education (including
college or other post-high school training), and upon the
beneficiary's attainment of age twenty-one (21) years, I order
and direct that the trust be terminated and the then remaining
balance thereof, if any, shall be delivered unto the beneficiary,
absolutely.
LASTLY. I nominate, constitute and appoint my husband,
EDWARD H. PARKS, to be the Executor of this, my Last Will and
Testament, but if for any reason he should fail to qualify as
such Executor or cease so to serve, then and in that event, I
nominate, constitute and appoint my son, namely, ROGER G. PARKS,
to be the Executor hereof.
If both of the foregoing persons
should fail to qualify as my personal representative hereunder

April 30, 2001, having first made her Last Will and Testament in
writing probated before the Register of Wills of said Cumberland
County on May 8, 2001, and Letters Testamentary were issued on
the same date to Edward H. Parks, the Executor named in the Last
Will and Testament of said Decedent;

WHEREAS, said Executor has entered upon and completed his
administration of said Decedent's Estate as set forth in his
First and Final Account attached hereto, and intends to
distribute the net balance of the assets of said Estate to the
person named in the Statement of Proposed Distribution also
attached hereto, both of said documents being incorporated herein
