STATEr1ENT OF THE NATURE AND REASONS FOR THE PROPOSED AWARD
The said Grace E. Becker, a widow, died April 11, 1978, leaving a
last Will and Testament dated June 12, 1973.
The specific bequest made to the First United Methodist Church has
been paid in full and the specific bequests made to the grandchildren
are set forth in the above Schedule of Distribution.
The residue of said Estate is distributed in accordance with the
said last Will and Testament and the children have elected to divide
the bank stock in kind as above set forth.
All of the grandchildren are of age or will be of age on or before
the day of confirmation of the First and Final Account except for the
three Coover children to whom distribution is made to their natural
parents as guardians in accordance with Item 6 of said Will.
No claims against the Estate have been presented to the Accountants
except those indicated in the Account as filed.

CONSENT AND JOINDER
We, Gilbert M. Becker, Genevieve B. Schrader, Janet B. Sudak
and Sandra K. Coover, being the only children of Grace E. Becker
and the residuary legatees under said last Will and Testament, do
hereby consent to and join in the above set forth Proposed Schedule
of Distribution, and do hereby elect to take the shares of stock
set under our respective names in kind.
