GOLDSTEIN, of 768 West South Street, Carlisle, Pennsylvania, being of sound and disposing mind, memory, and understanding, do hereby make, publish, and declare this to be my Last Will and Testament, hereby revoking all Wills and Codicils at any time heretofore by me made. FIRST; I direct that my debts and the expenses of my last illness and funeral bills be paid by my Executrices as soon after my decease as may be convenient. Should either of my nieces, SYLVIA DALLAS or PATRICIA BOLDOSSER, predecease me, this bequest and devise shall lapse, and I give and bequeath the same to the survivor of them, absolutely. FOURTH: All the rest, residue and remainder of my estate, real and personal and wheresoever situate, I give, devise, and bequeath to my nieces, SYLVIA DALLAS and PATRICIA BOLDOSSER, in equal shares, absolutely. In the event that either of my nieces, SYLVIA DALLAS or PATRICIA BOLDOSSER, predecease me, the bequest a:nd devise to such deceased niece shall pass to her issue, per stirpes; but if there be no such issue, then to the survivor of my said nieces, or if she is deceased, to her issue, per stirpes. FIFTH: I direct that all legacies and all shares and interests in my estate, whether principal or income, while in the hands of my Executrices, shall not be subject to attachment, execution or sequestration for any debt, contract, obligation or liability of any legatee or beneficiary, and shall not be subject to pledge, assignment or conveyance. SIXTH: I direct that all estate, inheritance and succession taxes shall be paid out of the principal of my residuary estate, so that all life insurance proceeds, legacies, devises and other gifts of principal and income made by this, my Will, or by any ~ ~. ~r Codicil hereto, shall be free and clear thereof. In the absolute discretion of my Executrices, they may pay such taxes immediately or may postpone the time of payment of taxes on future or remainder interest until possession thereof accrues to the beneficiaries. SEVENTH: I direct that my Executrices and their successors, in addition to and not in limitation of any authority given to them by Law, shall have the following powers: A. For the payment of debts or for any purpose of administration or distribution, to sell, mortgage, lease, alter, improve, partition, and exchange all or any of my real estate, and to sell the same at public or private sale for such prices and upon such terms as to cash and credit as they may deem best, or upon the reservation of ground rents, and the said ground rents in turn to extinguish and assign, and to grant and convey good and sufficient title, without liability on the part of the purchasers to see to the application of the purchase or consideration monies. This power shall not be construed to work a conversion of the real estate unless and until the power is actually exercised. ~' ~j. B. To retain all stocks, bonds, and investments owned by me, and to invest and reinvest in other stocks, bonds and investments, without being confined to what are known as "legal investments", and to sell and transfer the same, whether in person or by attorney, without liability on the part of the purchasers to see to the application of the purchase or consideration monies. To borrow such sums of money as may be required for the purposes of the estate and to secure the loan by a pledge of all or any part of the estate property or mortgage, and to execute an accompanying bond authorizing the confession of judgment, and plain or collateral notes, or other evidences of indebtedness. Persons or corporations advancing money to the Executrices need not inquire into the necessity, expediency or propriety of such a loan, nor see to the application of the money advanced. EIGHTH: I appoint the parents or surviving parent guardians or guardian of any property which passes to a minor, and with respect to which I am authorized to appoint guardians and have not otherwise specifically done so. The annuity amount shall be paid in equal, quarterly installments from income, and to the extent that in- come is not sufficient, from principal. Any income of the trust for a taxable year in excess of the annuity amount shall be added to principal. In determining the annuity amount, the TRUSTEES shall pro-rate the same, on a daily basis for a short taxable year and for the taxable year of their respective deaths. No additional contributions shall be made to the trust after.the initial contribution. B. Upon the death of the survivor of the GRANTORS, the TRUSTEES shall distribute the then principal and income of the trust, other than any amount due to the GRANTORS to the DICKINSON SCHOOL OF LAW, Carlisle, Pennsylvania. An appropriate acknowledgement of this gift shall be made. If the charitable recipient is not an organization described in Sections 170(b)(1)(A), 2055(a) and 2522 (a) of -the Code at the time when any principal or income of the trust. is to be distributed to it, the TRUSTEES shall distribute such principal or income to one or moxe organizations then described in Sections 170 (b) (1)(A), 2055 (a) and 2522 (a) of the Code, as the TRUSTEES, in their sole discretion, shall select. DEFINITIONS .01 Closed Cue: i I) A cast agreed at. the district Icvel is considered closed when the taxpayer is notified in writing, after district conference, if any, of adjustmcnu to tax liability or acceptance of the taxpayer's return without change. (2) An unagreed income, state, or gift tax case is considtred closed when the period for filing a petition with the United -States Tax Court specified in the statutory nctice of deficiency issued by the District Director expires and no petition was filed. (3) An unagreed excise or employment tax case is considered c:osed when the period for flmg a protest and requiting consideration by the Appeals Office specified in the preliminary letter expiry and no protest or request for Appeals consideration is filed. .02 Examinations, Inspections, and Reoprnings: (1) A contact with a taxpayer to correct mathematical or clerical errors is not an examination, irtspectian, or reopening. (2) A contact with a taxpayer to verify or adjust a discrepancy between the taxpayer's tax return and an infotrrtation return is not an examination, inspection, or reoprning. For this purpose, an information return includes a return and an amrndcd return filed by a partnership, fiduciary, or small business corporation. (3) A contact to verify a discrepanry disclosed by an information return thatching progrun may include inspection of the taxpayers books of account, to the extrnt nxessary to resolve the discrepancy, without being considered an examination, inspection, or reopening within the rneazting of Section 7605(b). A contact to verify an item of income shown on an information return to a tax return is not a verification of a discrepancy where such item of income is not required to be shown as a specific line iicm on a tax rennst. For example, insurance companies malting paymertts to a doctor of 5600 or more during a calendar year must fitrrtish a Form1099-MISC to the doctor. The doctor is only required to include that income'with other gross racipts on Schedule C, Form 1040. If the doctor reported gross receipts of a larger amount than the total amount of income shown on Form1099-MLSC, there would not be a disc~cpanry between the information returns and the income tax return. (4) A contact with an investor to verify the accuracy of, or the nsd for, a Tax Shelter Registration number is not an examination within the meaning of Section 7605(b). To the extrnt that the contact is to dcterrrrine the nerd for a Tax Shelter Registration number, the information sought would be limited to obtaining the name and address of the promoter. (S) The adjustntrnt of an unallowable item, or an adjusttnerrt resulting from other types of service center correction prog~artrs, is not consideed to be an examination. Therefore, a subsequent examination doer not consttuu a reopening of a case closed aflcr exarrtinadon. {6) Reconsideration of a case is not considered a reopening and, therefore, requires no approval or issuance of a form letter (DO/IS/SC) for. (a) cases involving Sxtion 1311; (b) casts involving the year of deduction of a net operating loss earry'oaek or similar type of carryback urda other provisions of the Code; (c) cases in which there have born involuntary conveisions and the taxpayer has not rxomputed his/her tax liability whrn helshe did not replace property within the time provided by Section 1033; or (d) cases involving an overpaymrnt in excess of 51,000,000, subject to review by the Joint Comrrritts on Taxation under Sec. 6405. (7) A contact with a CEP taxpayer requiting the written statcrrrents provided for in Rcv. Prot. 94-69, or norifying a taxpayer that it no longs qualifies for the Coordinated Examination Program, is not considered an examination. Therefore, any subsequrnt examination does not constitute a reopening. (8) in the case of a CEP taxpayer, the Service may inspect the taxpayers books of account with rapcct to tax periods nut currrntly undo examination in order to verify the accuracy of adjusttnrnts to an item or itcrns for those periods (a) in which the taxpayer made an "aceelrnted issuer resolution" request, or (b) in accordance with an "accelerated issr.e resolution" agreement between the Service and the taxpayer.
