LAST WILL AND TESTAMENT

EDNA C. GOLDSTEIN
BE IT REMEMBERED, that I, EDNA C. GOLDSTEIN, of 768 West
South Street, Carlisle, Pennsylvania, being of sound and
disposing mind, memory, and understanding, do hereby make,
publish, and declare this to be my Last Will and Testament,
hereby revoking all Wills and Codicils at any time heretofore by
me made.
FIRST; I direct that my debts and the expenses of my last
illness and funeral bills be paid by my Executrices as soon after
my decease as may be convenient.

absolutely. Should either of my nieces, SYLVIA DALLAS or
PATRICIA BOLDOSSER, predecease me, this bequest and devise shall
lapse, and I give and bequeath the same to the survivor of them,
absolutely.
FOURTH: All the rest, residue and remainder of my estate,
real and personal and wheresoever situate, I give, devise, and
bequeath to my nieces, SYLVIA DALLAS and PATRICIA BOLDOSSER, in
equal shares, absolutely. In the event that either of my nieces,
SYLVIA DALLAS or PATRICIA BOLDOSSER, predecease me, the bequest
a:nd devise to such deceased niece shall pass to her issue, per
stirpes; but if there be no such issue, then to the survivor of
my said nieces, or if she is deceased, to her issue, per stirpes.
FIFTH: I direct that all legacies and all shares and
interests in my estate, whether principal or income, while in the
hands of my Executrices, shall not be subject to attachment,
execution or sequestration for any debt, contract, obligation or
liability of any legatee or beneficiary, and shall not be subject
to pledge, assignment or conveyance.
SIXTH: I direct that all estate, inheritance and succession
taxes shall be paid out of the principal of my residuary estate,
so that all life insurance proceeds, legacies, devises and other
gifts of principal and income made by this, my Will, or by any

Codicil hereto, shall be free and clear thereof. In the
absolute discretion of my Executrices, they may pay such taxes
immediately or may postpone the time of payment of taxes on
future or remainder interest until possession thereof accrues to
the beneficiaries.
SEVENTH: I direct that my Executrices and their successors,
in addition to and not in limitation of any authority given to
them by Law, shall have the following powers:
A. For the payment of debts or for any purpose of
administration or distribution, to sell, mortgage,
lease, alter, improve, partition, and exchange
all or any of my real estate, and to sell the
same at public or private sale for such prices
and upon such terms as to cash and credit as
they may deem best, or upon the reservation of
ground rents, and the said ground rents in turn
to extinguish and assign, and to grant and
convey good and sufficient title, without
liability on the part of the purchasers to
see to the application of the purchase or
consideration monies. This power shall not be
construed to work a conversion of the real
estate unless and until the power is actually
exercised.

B. To retain all stocks, bonds, and investments
owned by me, and to invest and reinvest in
other stocks, bonds and investments, without
being confined to what are known as "legal
investments", and to sell and transfer the
same, whether in person or by attorney,
without liability on the part of the
purchasers to see to the application of the
purchase or consideration monies.
C. To borrow such sums of money as may be required
for the purposes of the estate and to secure
the loan by a pledge of all or any part of the
estate property or mortgage, and to execute
an accompanying bond authorizing the
confession of judgment, and plain or
collateral notes, or other evidences of
indebtedness. Persons or corporations advancing
money to the Executrices need not inquire into
the necessity, expediency or propriety of
such a loan, nor see to the application of the
money advanced.
EIGHTH: I appoint the parents or surviving parent guardians
or guardian of any property which passes to a minor, and with
respect to which I am authorized to appoint guardians and have
not otherwise specifically done so. Such guardians or guardian

LAST WILL AND TESTAMENT
OF
EDNA C. GOLDSTEIN
BE IT REMEMBERED, that I, EDNA C. GOLDSTEIN, of 768 West
South Street, Carlisle, Pennsylvania, being of sound and
disposing mind, memory, and understanding, do hereby make,
publish, and declare this to be my Last Will and Testament,
hereby revoking all Wills and Codicils at any time heretofore by
me made.
FIRST: I direct that my debts and the expenses of my last
illness and funeral bills be paid by my Executrices as soon after
my decease as may be convenient.

PATRICIA BOLDOSSER, predecease me, this bequest and devise shall
lapse, and I give and bequeath the same to the survivor of them,
absolutely.
FOURTH: All the rest, residue and remainder of my estate,
real and personal and wheresoever situate, I give, devise, and
bequeath to my nieces, SYLVIA DALLAS and PATRICIA BOLDOSSER, in
equal shares, absolutely. In the event that either of my nieces,
SYLVIA DALLAS or PATRICIA BOLDOSSER, predecease me, the bequest
and devise to such deceased niece shall pass to her issue, per
stirpes; but if there be no such issue, then to the survivor of
my said nieces, or if she is deceased, to her issue, per stirpes.
FIFTH: I direct that all legacies and all shares and
interests in my estate, whether principal or income, while in the
hands of my Executrices, shall not be subject to attachment,
execution or sequestration for any debt, contract, obligation or
liability of any legatee or beneficiary, and shall not be subject
to pledge, assignment or conveyance.
SIXTH: I direct that all estate, inheritance and succession
taxes shall be paid out of the principal of my residuary estate,
so that all life insurance proceeds, legacies, devises and other
gifts of principal and income made by this, my Will, or by any

Codicil hereto, shall be free and clear thereof. In the
absolute discretion of my Executrices, they may pay such taxes
immediately or may postpone the time of payment of taxes on
future or remainder interest until possession thereof accrues to
the beneficiaries.
SEVENTH: I direct that my Executrices and their successors,
in addition to and not in limitation of any authority given to
them by Law, shall have the following powers:
A. For the payment of debts or for any purpose of
administration or distribution, to sell, mortgage,
lease, alter, improve, partition, and exchange
all or any of my real estate, and to sell the
same at public or private sale for such prices
and upon such terms as to cash and credit as
they may deem best, or upon the reservation of
ground rents, and the said ground rents in turn
to extinguish and assign, and to grant and
convey good and sufficient title, without
liability on the part of the purchasers to
see to the application of the purchase or
consideration monies. This power shall not be
construed to work a conversion of the real
estate unless and until the power is actually
exercised.

B. To retain all stocks, bonds, and investments
owned by me, and to invest and reinvest in
other stocks, bonds and investments, without
being confined to what are known as "legal
investments", and to sell and transfer the
same, whether in person or by attorney,
without liability on the part of the
purchasers to see to the application of the
purchase or consideration monies.
C. To borrow such sums of money as may be required
for the purposes of the estate and to secure
the loan by a pledge of all or any part of the
estate property or mortgage, and to execute
an accompanying bond authorizing the
confession of judgment, and plain or
collateral notes, or other evidences of
indebtedness. Persons or corporations advancing
money to the Executrices need not inquire into.
the necessity, expediency or propriety of
such a loan, nor see to the application of the'
money advanced.
EIGHTH: I appoint the parents or surviving parent guardians
or guardian of any property which passes to a minor, and with
respect to which I am authorized to appoint guardians and have
not otherwise specifically done so. Such guardians or guardian

shall have the power to use principal as well as income from time
to time, for the minor's support and welfare. In addition, the
said guardians or guardian shall have the same powers granted my
Executrices under this Will. I direct that the guardians or
guardian shall not be required to enter security in any
jurisdiction in which they or he or she may act.
NINTH: I appoint my nieces, SYLVIA DALLAS and PATRICIA
BOLDOSSER, Co-Executrices of this, my Will. In the event either
of my nieces is unable to serve then the other shall be sole
executrix.

1. The appraiser will not be responsible for matters of a legal nature that affect either the property being appraised or the title to it. The
appraiser assumes that the title is good and marketable and, therefore, will not render any opinions about the title. The property is appraised
on the basis of it being under responsible ownership.
2. The appraiser has provided a sketch in the appraisal report to show approximate dimensions of the improvements and the sketch is
included only to assist the reads of the repot in visualizing the property and understanding the appraiser's determination of its size.
3. The appraiser has examined the available flood maps that are provided by the Federal Emergency Management Agency (or other data
sources) and has noted in the appraisal report whether the subject site is located in an identified Special Flood Hazard Area. Because the

wastes, toxic substances, etc.) observed during the inspection of the subject property or that he or she became aware of during the normal
research involved in performing the appraisal. Unless otherwise stated in the appraisal report, the appraiser has no knowledge of any hidden
or unapparent conditions of the property or adverse environmental conditions (Including the presence of hazardous wastes, toxic
substances, etc.) that would make the property more or less valuable, and has assumed that there are no such conditions and makes no
guarantees or warranties, express or implied, regarding the condition of the property. The appraiser will not be responsible for any such
conditions that do exist or for any engineering or testing that might be required to discover whether such conditions exist. Because the
appraiser is not an expert in the field of environmental hazards, the appraisal report must not be considered as an environmental assessment
of the property.
7. The appraiser obtained the information, estimates, and opinions that were expressed in the appraisal report from sources that he or she

C. Lot width at street line: forty-five (45) feet minimum,

THIS INDENTURE OF TRUST to be known as the "HYMAN and
EDNA GOLDSTEIN CHARITABLE ANiQUITY TRUST". made this 5th day
of November 198D, between HYDIAN GOLDSTEIN, of Carlisle,
Pennsylvania, and EDNA GOLDSTEIN'' of Carlisle, Pennsylvania,
of the first part, hereinafter referred to as the "GRANTORS",
and HYMAN GOLDS=EI_N, of the aforesaid City and State, and
EDNA GOLDSTEZN~,of the aforesaid City and State, of the second
part, hereinafter referred to as the "TRUSTEES".
W I ^1 N E S S E T H
I. That the GRANTORS hereby transfer to the TRUSTEES all
monies, investments, securities and property (the receipt whereof
is hereby acknowledged) described in a certain Schedule hereto
attached, marked Schedule "A", and to be deemed a part of this
Indenture, which said monies, investments, securities, real
estate and property of every kind and nature of the Trust hereby
created, and such as may hereafter be added by the GRANTORS,
in trust nevertheless, for the uses and purgoses and with the
powers hereinafter set forth.
II. The TRUSTEES shall hold, invest and reinvest the principal
of the trust estate, coiiect the income therefrom, pay all taxes
and other charges that may be made properly against the trust
estate, and distribute the principal and income thereof as follows:
A_ The TRUSTEES shall pay in equal shares, to the
GRANTORS, or to the survivor of them, in each taxable year of the
trust during their lives, an annuity amount equal to ten (].0%)
per cent of the initial net fair market value of the assets
constituting the trust. In determining such value, assets shall
be valued at their values as finally determined for Federal tax
purposes. If the initial net fair market value of the assets
constituting the trust, is incorrectly determined by the fiduciary,

then within a reasonable period after such final .determination,
the TRUSTEES shall. pay to the GRANTORS in the case of an
under-valuation, or shall receive from the GRANTORS in the
case of an over-valuation, an amount equal to the difference
between the annuity amount properly payable and the annuity
amount actually paid. The annuity amount shall be paid in equal,
quarterly installments from income, and to the extent that in-
come is not sufficient, from principal. Any income of the trust
for a taxable year in excess of the annuity amount shall be added
to principal. In determining the annuity amount, the TRUSTEES
shall pro-rate the same, on a daily basis for a short taxable
year and for the taxable year of their respective deaths.
No additional contributions shall be made
to the trust after.the initial contribution.
B. Upon the death of the survivor of the
GRANTORS, the TRUSTEES shall distribute the then principal and
income of the trust, other than any amount due to the GRANTORS
to the DICKINSON SCHOOL OF LAW, Carlisle, Pennsylvania.
An appropriate acknowledgement of this gift shall be made.
If the charitable recipient is not an organization described in
Sections 170(b)(1)(A), 2055(a) and 2522 (a) of -the Code at the time
when any principal or income of the trust. is to be distributed
to it, the TRUSTEES shall distribute such principal or income
to one or moxe organizations then described in Sections 170 (b)
(1)(A), 2055 (a) and 2522 (a) of the Code, as the TRUSTEES, in
their sole discretion, shall select.
I_II_.. In the event that any beneficiary of any trust
estate, by reason of illness, age, incapacity or any other cause
shall, in the TRUSTEES' opinion, be unable properly to receive
and disburse the income and principal to which he or she may
be entitled, the TRUSTEES, in their sole discretion, shall pay
and apply the income and principal due such beneficiary to his
or her comfortable maintenance and support, without the intervention
of any guardian, and without being required to apply to any Court
for leave to make such payments.
$V, All shares and interests in the trust estate,
whether principal or income, shall be held by the TRUSTEES at
all times, free and clear from the control, alienation, pledge,
anticipation, assignment and without being subject to the debts,
contracts and engagements of the GRANTORS, now existing or here-
after incurred or of the beneficiary or beneficiaries, or any
of them.

V. This .Trust shall be irrevocable and not subject to
any amendment or alteration.
VI. The GRANTORS reserve the right to designate, dur-
ing their lifetimes,.a substitute TRUSTEE or TRUSTEES, in
the event of a vacancy in the office of TRUSTEE due to the
death, resignation or inability to serve of a TRUSTEE prior
to the termination of the trust estate created hereunder.
VII During the continuance of this trust and at the
end thereof, for the purpose of making final distribution, the
TRUSTEES and their successors and assigns shall have and possess
the following powers, without liability for depreciation in
value or loss:
A. To sell and convey all or any part of any real
estate which may at anytime become part of the subject matter
of this trust, at public or private sale, at such time or
times, for such price or prices and upon such terms as to cash
and credit as they may deem proper, free and clear of all
trusts and limitations and without liability on the part of the
purchaser or purchasers to see to the application of the pur-
chase money and to satisfy of record any mortgage belonging
to the trust estate.
B. To retain, to hold unregistered, to sell, to
invest in, to resell and to reinvest all or any part of the
trust estate which may come into their hands in such a manner
and in-such securities or other property, personal or real,
and upon suer, terms and for such length of .time as the TRUS'T'EES
shall deem for the best interests of the trust estate; it
being intended hereby to give the TRUSTEES full and complete
authority to hold, possess, manage, control, sell, convey,
encumber, lease for any term, even if in excess of the term
authorized by the Statute and extending beyond the term of the
trust, invest and reinvest the whole and every part of the trust
estate, without being confined to what are knocan as "legal in-
vestments for fiduciaries" under the Laws of the Commonwealth
of Pennsylvania, then in force, and without the exception that
no portion of the fund shall be invested in mortgage participatinc
certificates, bonds secured principally by real estate or what
are commonly known as real estate bonds or pool mortgages.

C. To purchase or-sell any and all investments
at a premium or discount, and to exercise any option to sub-
scribe for stocks, bonds or other investments, and to grant
options and proxies and to enter into voting trust agreements
affecting any estate investments.
D. Any other provisions of this instrument not-
withstanding, the TRUSTEES shall distribute the trust income
for each taxable year at such time and in such manner as not
to become subject to the tax or undistributed income imposed
by Section 4942 of the Internal Revenue Code of 1954, or
corresponding provisions of any subsequent Federal Tax Laws.
E. Except for the payment of the annuity amount
to the GRANTORS, the TRUSTEES are prohibited from engaging
in any act of self-dealing as defined in Section 4941 (d) of
the Internal Revenue Code, which would subject the trust to
tax under Section 4943 of the Code, from making any investments
which would subject the trust to tax under Section 4944 of
the Code, and from making any taxable expenditures, as de-
fined in Section 4945 (d) of the Code.
F. To borrow such sums of money as may be re-
quired for the purpose of the trust estate and to secure
the loan by a pledge of all or any part of the trust property,
or mortgage, and to execute an accompanying bond authorizing
the confession of judgment and plain or collateral notes, or
other evidences of indebtedness. Persons or corporations
advancing money to the TRUSTEES need not inqu5.re into the
necessity, expediency or propriety of such a loan, nor see
to the application of the money advanced.
VIII_ The TRUSTEES shall have a first lien upon the
trust estate for any tax, charge, claim or payment, which__they,
as TRUSTEES, may be required to liquidate and discharge.
IX. In the event of a vacancy in the office of TRUSTEE
clue to the death, resignation or inability of either of the
GRANTORS to serve in such capacity, EDWARD N. POLISHER,ESQUIRE
shall fill such vacancy.
X. All accountings made by the TRUSTEES hereunder
shall be made in the Commonwealth of Pennsylvania, in any
Court of competent jurisdiction in that State, chosen by
the TRUSTEES, and all the questions pertaining to the validity,
construction and administration of the trust hereby created.

SECTION 1. PURPOSE
The purpose of this revrnue procedure is to amplify,
updatt, and restau the conditions set forth its Rev. Prot.
85-13, 1985-1 C.B. 514, under which a case closed after
examination in the office of a District Director of Internal
Rcvrnuc may be reopened to make an adjustmrnt
unfavorable to the taxpayer. This revenue procedure also
contains a list (not all inclusive) that desrn'bes (1) certain
contacts by the Service with a taxpayer that do not
constiwu an examination, inspxtian, or reopening of an
examination, and (2) certain typo of cases in which
reconsideration is twt considered a reopening of the case.
SEC. 2. CIIANGES
.Ol Section 4.02(6xd) is arrrended to reflect an increase
under Sation 6405 of the Internal Revenue Code in the
threshold arnotmt of ovcryaymrnt subject to Joint
Comrrtitts review from 5200,000 to 51,000,000.
.02 A new section 4.02(7) is added to clarify that certain
contacts with Coordinated Examination Program ("CEP")
taxpayers arc not considered exarrtirations or inspections
of books of account for purposes of Section 7605(b).

SEC. 3. SCOPE
This procedure pcrrairu to all cases, regardless of type of
tvt, in which the prior audit and conference action, if any,
did not extrnd beyond the jurisdiction of the office of the
District Director. It doer not apply to cases previously
closed afar consideration by Appeals Officer or District
Counsels.
Sk:C. 4. DEFINITIONS
.01 Closed Cue:
i I) A cast agreed at. the district Icvel is considered closed
when the taxpayer is notified in writing, after district
conference, if any, of adjustmcnu to tax liability or
acceptance of the taxpayer's return without change.
(2) An unagreed income, state, or gift tax case is
considtred closed when the period for filing a petition with
the United -States Tax Court specified in the statutory
nctice of deficiency issued by the District Director expires
and no petition was filed.
(3) An unagreed excise or employment tax case is
considered c:osed when the period for flmg a protest
and requiting consideration by the Appeals Office
specified in the preliminary letter expiry and
no protest or request for Appeals consideration is
filed.
.02 Examinations, Inspections, and Reoprnings:
(1) A contact with a taxpayer to correct
mathematical or clerical errors is not an examination,
irtspectian, or reopening.
(2) A contact with a taxpayer to verify or adjust a
discrepancy between the taxpayer's tax return and an
infotrrtation return is not an examination, inspection,
or reoprning. For this purpose, an information return
includes a return and an amrndcd return filed by a
partnership, fiduciary, or small business corporation.
(3) A contact to verify a discrepanry disclosed by
an information return thatching progrun may include
inspection of the taxpayers books of account, to the
extrnt nxessary to resolve the discrepancy, without
being considered an examination, inspection, or
reopening within the rneazting of Section 7605(b). A
contact to verify an item of income shown on an
information return to a tax return is not a verification
of a discrepancy where such item of income is not
required to be shown as a specific line iicm on a tax
rennst. For example, insurance companies malting
paymertts to a doctor of 5600 or more during a
calendar year must fitrrtish a Form1099-MISC to the
doctor. The doctor is only required to include that
income'with other gross racipts on Schedule C,
Form 1040. If the doctor reported gross receipts of a
larger amount than the total amount of income shown
on Form1099-MLSC, there would not be a
disc~cpanry between the information returns and the
income tax return.
(4) A contact with an investor to verify the
accuracy of, or the nsd for, a Tax Shelter
Registration number is not an examination within the
meaning of Section 7605(b). To the extrnt that the
contact is to dcterrrrine the nerd for a Tax Shelter
Registration number, the information sought would
be limited to obtaining the name and address of the
promoter.
(S) The adjustntrnt of an unallowable item, or an
adjusttnerrt resulting from other types of service
center correction prog~artrs, is not consideed to be an
examination. Therefore, a subsequent examination
doer not consttuu a reopening of a case closed aflcr
exarrtinadon.
{6) Reconsideration of a case is not considered a
reopening and, therefore, requires no approval or
issuance of a form letter (DO/IS/SC) for.
(a) cases involving Sxtion 1311;
(b) casts involving the year of deduction of a net
operating loss earry'oaek or similar type of
carryback urda other provisions of the
Code;
(c) cases in which there have born involuntary
conveisions and the taxpayer has not
rxomputed his/her tax liability whrn helshe
did not replace property within the time
provided by Section 1033; or
(d) cases involving an overpaymrnt in excess of
51,000,000, subject to review by the Joint
Comrrritts on Taxation under Sec. 6405.
(7) A contact with a CEP taxpayer requiting the
written statcrrrents provided for in Rcv. Prot. 94-69,
or norifying a taxpayer that it no longs qualifies for
the Coordinated Examination Program, is not
considered an examination. Therefore, any
subsequrnt examination does not constitute a
reopening.
(8) in the case of a CEP taxpayer, the Service may
inspect the taxpayers books of account with rapcct
to tax periods nut currrntly undo examination in
order to verify the accuracy of adjusttnrnts to an item or
itcrns for those periods (a) in which the taxpayer made
an "aceelrnted issuer resolution" request, or (b) in
accordance with an "accelerated issr.e resolution"
agreement between the Service and the taxpayer. See
Acv. Prot. 94~i7. An inspection made pursuant to this
Paragraph relating. to any tax period will not be
considered m inspection or an examination and will not
preclude a subsequertt inspection or examination of that
tax period under Sec. 7605(b) provided the taxpayer so
agrees in writing prior to the inspection made pursuant to
this paragraph.
(9) A contact by the Service with a ta~tpaver
pursuant to an APA prcfiling conference, or the
evaluation and processing of an APA request, annual
report, or renewal request under Rev. Prot. 91-22, 1991-
1 C.B. 526, is not an examination, inspection, or
reop~rting.
(10) An adjustment to a taxpayds incottx tax
retttm arising fiom a discrepancy disclosed dt:rirtg

an exempt organiation may include inspection of the
taxpayers income tax records to the extent necessary to
verify the accurary of the discrepancy without being
considered an exarrtutatian, inspection, or reopenirg
within the ttteaning of Sec. 7605.
(11) A contact with a taxpayer to evaluau the
axpayer's data praessing and accamting systems in
order to detcrminc whether the taxpayer may limit iu
retrntion of machine-srnsible records, for purposes of
Rcv. Prot. 91-59, 1991-2 C.B. 841, is not an
examination, inspection, or reoprning.
SEC. 5. POLICY
.Ol The ktumal Revenue Service will not reoprn any
case closed after examinution by a district office or
service center to make an adjustrrrertt unfavorable to the
taxpayer unless:
(1) there is evidrnce of Saud, malfeasance, collusion,
concealmrnt, or misrepresentation of a material fact;
(2) the prior closing involved a clearly donned
substantial error based on an established Service position
cxistirg at the tirtte of the orcvious cxaminaton; a
(3) other circumctaz:ces exist that indicau failure to
reoprn would be a serious adrrrnisirative omision.
.02 All rcoprnings must be approved by the Chief,
Examination Division (District Director bt Streamlined
Distrito), or Chief, Compliance Division, for cases
undo his/her jurisdiction. If an additional itrspee5on of
the taxpayer's books of account is necessary, the notice
to the taxpayer required by Sa. 7605(b) must be signed
by the Chief, Examinadtn Division (UistriM Director in
Strramlined Districuj, or Chief, Compliance Ihvision,
for cases undo his/her jurisdiction.

WHEREAS, Edna C. Goldstein (the "Decedent") died June 29, 2001, leaving a Will
dated March 19, 1996 (the "Will"), which was duly probated in Cumberland County, Pennsylvania, on
July 10, 2001; and
WHEREAS, Decedent's nieces, SYLVIA DALLAS and PATRICIA BOLDOSSER,
were appointed as Co-Executrices of the Estate ("Executrices") on the same date; and
WHEREAS, Item THIRD of the Will bequeaths Decedent's personal effects and
household articles to SYLVIA DALLAS and PATRICIA BOLDOSSER, in equal shares; and
WHEREAS, Item FOURTH of the Will bequeaths the rest, residue and remainder of
Decedent's Estate to SYLVIA DALLAS and PATRICIA BOLDOSSER, in equal shares; and
WHEREAS, SYLVIA DALLAS and PATRICIA BOLDOSSER (the "Beneficiaries")
are the only parties in interest; and
WHEREAS, death tax returns have been filed, taxes have been paid on all assets in the
Estate, approval letters have been received from the Pennsylvania Department of Revenue and the
Internal Revenue Service, and administration of the Estate is nearly complete; and
WHEREAS, the Beneficiaries desire that distribution of the Estate be made without the
expense, delay and formality of a court accounting; and

WHEREAS, the Executrices are willing to consent to making such distribution upon
receipt of a proper approval of account, receipt, release and indemnification, which it is the purpose of
this Agreement to provide.
NOW THEREFORE, the undersigned Beneficiaries, for themselves, their heirs,
administrators, and assigns:
1. State that that have examined the First and Final Account and the Statement of
Proposed Distribution attached hereto as Exhibit "A" (the "Account") and approve the transactions and
distributions set forth or proposed therein (and the administration of the Estate generally) as though
they were contained in a formal accounting which had been confirmed absolutely by the Court having
jurisdiction over the Estate.
2. Waive the filing and auditing of the Account by any Court and agree that any
Court having jurisdiction over the Estate may confirm the Account and Proposed Distribution.
3. Acknowledge receipt from the Executrices of the assets shown as being
distributed to them in the Account or distributable to them in the Statement of Proposed Distribution in
absolute payment and full satisfaction of the bequests to them.
4. Do hereby absolutely and irrevocably release, remise, quitclaim and forever
discharge the said Executrices, their heirs and personal representatives, of and from all actions, suits,
payments, accounts, reckonings, claims and demands whatsoever for or by reason of their actions as
Executrices, as set forth in the Account.
5. Do hereby release all real estate of the Decedent and of the Executrices from all
liens, claims, actions, suits, payments, accounts and demands whatsoever for or by reason of their
actions as Executrices, as stated in the Account.

6. Do hereby absolutely and irrevocably release the Executrices from filing any
Account, Petition for Distribution or other document with the Court of Common Pleas of Cumberland
Caunty, Pennsylvania, or in any other jurisdiction in connection with the Estate of the said Decedent.
7. Do hereby agree to indemnify the Executrices and hold them harmless, to the
extent of the Estate assets received by the undersigned, from and against any and all claims, loss,
liability or damage (including legal fees and costs) which they may suffer or to which they may be
subjected by reason of the administration of the Estate or the distribution of the assets of the Estate
without having formal approval of the Court of Common Pleas, Orphans' Court Division, of
Cumberland County, Pennsylvania, or any other jurisdiction.
8. Do hereby agree that this Agreement may be signed and acknowledged by the
parties hereto in counterparts and a complete set of executed counterparts, containing the signatures of
