ITEM SECOND: I direct that all transfer. estate, inheritence and other death taxes (with interest and penalties thereon, if any) imposed or payable by reason of my death shall be paid out of the residue of my estate without apportionment or right of reimbursement from any beneficiary or recipient. I hereby authorize my Executor to pay any such taxes at such time or times as my Executor may deem advisable. ITEM THIRD: (A) I bequeath to my husband, DAY K. GRIMES, JR.. all my tangible personal property, including automcbiles, household furnishings, personal effects and other tangible personal property of like nature, together with any existing insurance policies and proceeds of insurance on such property, provided that he survives me by thirty (30) days. PENNSYLVANIA 17013 MECHANICSSURG, PENNSYLVANIA 17055 (B) If my said husband does not survive me by thirty (30) days, I give and bequeath such tangible personal property and insurance thereon to such persons as may be set forth in a separate memorandum which I may place with my Will or deposit with my attorney and in the absence of such disposition or memorandum, I direct that the said tangible personal property be divided between my children, DEBORAH ANN HEISHMAN, RICHARD D. GRIMES and KATHLEEN ANN YEAKLEY, if then-living, to be divided among them as they shall agree. In case of disagreement among the aforesaid children, the Executor is authorized to make the said division, having due regard for the personal preferences of the aforesaid children, but making such division in as nearly equal shares as my Executor shall deem practical. ITEM FOURI'H: (A) I devise and bequeath all the rest, residue and remainder of my estate of whatever kind and wherever situate to my husband, DAY K. GRIMES, JR, if he survives me by thirty (30) days. (B) In the event my husband shall not survive me by thirty (30) days, I devise and bequeath the said residuary estate as follows: ( 1) One-third of the residuary estate to my daughter, DEBORAH ANN HEISHMAN, or her natural issue, in equal shares; (2) One-third of the residuary estate to my son, RICHARD D. GRIMES, or his natural issue, in equal shares; and (3) One-third of the residuary estate to my daughter, KATHLEEN ANN YEAKLEY, or her natural issue, in equal shares. (C) In the event any beneficiary or devisee under Item Fourth (B) is indebted to me at the time of my death, the Executor shall reduce the share of each such indebted beneficiary by an amount equal to the outstanding balance of each such indebtedness, in full payment of all such outstanding indebtedness. PENNSV,-VANIA 17055 CARLISLE, PENNSYLVANIA 17013 ITEM FIFTH: At the sole option and discretion of my Executor, any devise or distribution under this Will which is payable to any beneficiary who may be under twenty-one (21) years of age or, in the judgrrent of my Executor, mentally disabled, may be held in a separate trust, the Trustee of which will be my Executor or the parent(s) of such beneficiary, within the sole discretion of my Executor, until such beneficiary reaches twenty-one years of age or during such period of mental disability. In the case of a beneficiary under age twenty-one (21), the Trustee may distribute up to the entire remaining balance of principal and aCCUITnllated income, on the regeust of the said beneficiary, at or after attaining twenty-one (21) years of age. During the term of any trust created pursuant to this Item, the Trustee is authorized to expend and apply so much of the net income and principal of each trust as the Trustee shall consider advisable for the support and education (including college education, undergraduate and graduate) of each such beneficiary until he or she attains twenty-one (21) years of age. ITEM SIXTH: I direct that all distributions to beneficiaries hereunder, shall be free of debts, contracts, alienations, and anticipations of any beneficiary, and the same shall not be liable or subject to any levy, attachment, execution, or sequestration while in the possession of my fiduciaries. ITEM SEVENTH: I constitute and appoint my husband, DAY K. GRIMES, JR. and my daughter, DEBORAH ANN HEISHMAN, or the survivor of them, to be the Executrix of this Last Will and Testament (herein "Executor"). In the event DAY K. GRIMES, JR. and DEBORAH ANN HEISHMAN fail to survive me or fail to qualify or cease to act as my Executor for any reason, I constitute and appoint RICHARD D. GRIMES to be the Executor.
