JONES 7048 Wertzville Road Mechanicsburg, PA 17050 Defendant COMPLAINT IN EQUITY AND REQUEST FOR PRELIMINARY/FINAL INJUNCTION AND NOW, comes the Plaintiffs, William R. Raber and Denice M. Raber, husband and wife, by and through their attorneys, Johnson, Duffie, Stewart & Weidner, and file this Complaint and in support thereof avers as follows: 1, Plaintiffs, William R. Raber and Denice M, Raber, husband and wife, are adult individuals residing at 101 Silver Springs Road, Mechanicsburg, Cumberland County, Pennsylvania 17050. Plaintiffs are hereinafter referred to individually and collectively as "Raber". 2, Defendant, Edward M. Jones, is an adult individual residing at 7048 Wertzville Road, Mechanicsburg, Cumberland County, Pennsylvania 17050. Defendant is hereinafter referred to as "Jones". 3, At all times mentioned herein, Jones was and still is the record and legal owner of the premises municipally known and numbered as 101 Silver Springs Road, Mechanicsburg, Cumberland County, Pennsylvania 17050 (hereinafter the "Premises"), :1 4, The Premises includes a one (1) story detached dwelling and the real estate upon which the same is located. 5, Raber and Jones entered into a Lease Agreement With Option to Purchase Real Estate dated Ocober 1, 2002, wherein Jones agreed to lease the premises to Raber for the sum of Eight Hundred Filly ($850,00) Dollars per month as well as afford Raber the option to purchase the real estate at anytime during the term of the lease or extensions thereof. The initial lease term was October 1, 2002, through September 31, 2004, with indefinite additional automatic extensions of twelve (12) months. A true and correct copy of said Lease Agreement With Option to Purchase Real Estate is attached hereto and incorporated herein as Exhibit "A". 6. Raber has notified Jones at various times during the initial term of the lease and during the twelve (12) month extension that they intend to exercise the option to purchase the Premises, 7. Raber made application to two lenders to secure financing on the purchase of the Premises. 8, Ultimately, Raber has decided to utilize Home Team Mortgage as a broker and New Century Mortgage Corp. as a lender, and settlement was scheduled on March 23, 2005. A true and correct copy of the HUD-1 Settlement Statement is attached hereto and incorporated herein as Exhibit "B", 9. Pursuant to the terms of the Lease Agreement With Option to Purchase Real Estate, Raber is responsible for rent payment through the date of closing. At closing, the parties agreed to forgo the $5.000,00 down payment as provided in the Lease Agreement With Option to Purchase Real Estate in exchange for back rent (December 04 through March 05). To date, Raber owes rent from December 04 which has not been paid due to Jones' default. Raber acknowledges this obligation and will resume rent payments beginning immediately until this action is resolved. 10. Jones appeared at the settlement but refused to execute the HUD-1 or the closing documents in breach of the terms of the Lease Agreement With Option to Purchase Real Estate attached hereto as Exhibit "A". It is admitted only that Raber and Jones had an agreement whereby Jones agreed to lease the subject property to Raber for the sum of Eight Hundred Fifty Dollars ($850.00) per month, commencing September 1,2002. This agreement was memorialized by the writing attached hereto as Exhibit" I". It is specifically denied that Exhibit "A" to the Plaintiffs Complaint represents the agreement of the parties. While it is admitted that Jones agreed to sell the subject property to Raber, Exhibit "A" does not reflect the true terms of the agreement. Rather, Exhibit "A" is a document that Raber fraudulently induced Jones into signing in order to satisfY requirements of Raber's mortgage lender. By way of further answer, to the extent that said Exhibit "A" is a binding and enforceable agreement, Raber breached the same by failing to make the required payments thereunder. 6. Denied as stated. It is admitted that Raber and Jones discussed at various times the sale of the subject property. It is denied that Raber held an "option" to purchase said real estate as per the terms of Exhibit "A" of the Plaintiff's Complaint. On the contrary, Exhibit "A" of the Plaintiff's Complaint is not a writing which represents and embodies the agreement and understanding of the parties. 7. Admitted in part and denied in part. It is admitted that Raber made at least one application to a lender to secure financing to purchase the property based upon the oral agreement of the parties to convey the subject property. After reasonable investigation, Jones is unaware of the number of applications to lenders in which Raber purportedly made to secure financing; therefore, the same is denied, 8. Admitted in part. By way of further answer, settlement was scheduled based upon the agreement of the parties whereby Raber would pay One Hundred Ten Thousand Dollars ($110,000.00) for the subject property, with a credit of Five Thousand Dollars ($5,000.00) for previous paid rent and other considerations. 9. Denied as stated. Exhibit "A" to the Plaintiff's Complaint does not embody the agreement of the parties. Accordingly, any reference to the same is hereby denied. It is admitted that Raber owes rent from December 2004 to March 2005. By way of further answer, Raber now owes rent for April 2005 to the date of filing of this Complaint with the exception of one month credit for a payment made in June 2005. 10. Denied as stated. It is admitted that Jones appeared at the settlement but refused to execute the HUD-1 or the closing documents. It is denied that Jones was in breach of contract. On the contrary, the terms of the Lease Agreement with Option to Purchase Real Estate attached to the Plaintiff's Complaint as Exhibit "A" do not embody the true and correct 2 agreement of the parties, Jones rightfully refused to execute the HUD-l or other closing documents as the HUD-l did not represent the net of One Hundred Five Thousand Dollars ($105,000.00) that Jones was to receive for the subject property as per the agreement of the parties. By way of further answer, to the extent Exhibit "A" to the Plaintiffs Complaint is a binding agreement, Raber is in breach of the same. 11. Denied. The Lease Agreement With Option to Purchase Real Estate attached as Exhibit "A" of the Plaintiffs Complaint does not represent the true and correct agreement of the parties. Accordingly, any reference to the same is hereby denied. By way of further answer, Raber has failed to make the installment payments under Exhibit "A" ofthe Plaintiff s Complaint. 12. Denied. The averment in paragraph 12 is a conclusion oflaw to which no answer is required. To the extent an answer is required, Jones is ready and willing to comply with the terms and parties of the agreement which terms are not reflected in the Lease Agreement With Option to Purchase Real Estate. I 3. Denied. At the time of closing, the HUD-1 did not reflect the agreed purchase price of the property in the amount ofa net of One Hundred Five Thousand Dollars ($105,000.00). Accordingly, Jones properly refused to execute any conveyance documents that did not correctly reflect the agreement of the parties. Raber admitted the same to Jones, but did not want the lender to know about the true agreement. NEW MATTER I4, Answering Defendant's responses to paragraphs 1-13 are incorporated herein as set forth at length. 3 15. The Lease Agreement With Option to Purchase Real Estate attached to Plaintiff's Complaint as Exhibit "A" does not reflect the parties' true agreement as to the terms to convey the subject property. I6. The Lease Agreement With Option to Purchase Real Estate Wa$ not executed in October 2002, but rather, executed in early 2005 at the request of Raber in order to satisfy a requirement of Raber's lender. 17. In early 2005, Jones and Raber reached an agreement in which Raber would pay Jones a net of One Hundred Five Thousand Dollars ($105,000.00) to purchase the subject property. 18. Raber has acknowIedged that the true agreement was for a net of One Hundred Five Thousand Dollars ($105,000.00) in front of witnesses and on audio tape. 19. Raber asked Jones to sign Exhibit "A" to the Plaintiff's Complaint for purposes of showing a purchase price on the property of Eighty Thousand Dollars ($80,000.00) in order to secure financing. 20. Raber acknowledged that the Lease Agreement With Option to Purchase Real Estate did not embody the true agreement of the parties, but Raber said that he would not be able to obtain financing unless he "showed a purchase of price of $80,000.00." 2 I. The actions of Raber constitutes mortgage fraud. 22. Raber assured Jones at the time of executing the Lease Agreement With Option to Purchase Real Estate and on other occasions that, at the time of settlement, Jones would receive the full One Hundred Five Thousand Dollars ($I05,000.00) net purchase price. 23. With the exception of June 2005, Raber has not paid rent to Jones since November 2004. 4 24. To the extent Exhibit "A" to the Plaintiffs Complaint is a binding and enforceable agreement, Raber breached the same by failing to make required monthly installment payments since November 2004. COUNTERCLAIM EDWARD M. JONES v. WILLIAM R. RABER AND DENICE M. RABER COUNT I - EJECTMENT 25. The answers and avennents contained in paragraphs 1-24 are incorporated by reference as fully set forth herein. 26. As admitted in paragraph 3 of Raber's Complaint in Equity, Jones is the record and legal owner of the premises known as IOI Silver Springs Road, Mechanicsburg, Cumberland County, Pennsylvania 17050. 27. In view of the fact there exists no dispute with regard to the ownership of the premises identified in the immediately preceding paragraph, titled as such premises being entirely vested with Edward M. Jones, and such title being beyond the legal ability ofthe Defendants to dispute, the Plaintiff has not set forth in this Complaint in Ejectment an abstract of title. 28. On September I, 2002, Jones and Raber entered into an agreement for Iease of the premises by which Jones agreed to lease the premises to Raber beginning September I, 2002 at a monthly rental of Eight Hundred Fifty Dollars ($850.00) per month. A copy of said Monthly Rental Agreement is attached hereto as Exhibit "I" and incorporated herein by reference. 29. The Rabers have occupied said property since September 1,2002. 5 30. The Rabers have failed to pay the required rent under the lease from December 2004 through August 2005 with the exception of one month paid in June 2005. 31. By reason of their failure to pay the rent due, the Rabers have breached the lease agreement, albeit oral, Exhibit "I," or, iffound enforceabIe, Exhibit "A" of the Plaintiff's Complaint. 32. At the time of filing of this action in ejectment, Raber owes Jones Six Thousand Eight Hundred Dollars ($6,800.00) for back rent. 33, In addition, Raber owes Jones the sum of Two Hundred Dollars ($200.00) for late charges. 34, The Rabers continue to occupy the leased premises. 35, Despite demand, the Rabers have faiIed and refused to pay Jones the sums required to be paid as set forth above. WHEREFORE, Edward M. Jones respectfully requests that your HonorabIe Court enter an Order against William R. Raber and Denice M. Raber which would restore Jones to his rightful possession of the subject leased property and which would require the Defendants to remove therefrom. COUNT II - RENTS. PROFITS AND OTHER DAMAGES 36. The answers and averments contained in paragraphs 1-35 are incorporated by reference as fully set forth herein. WHEREFORE, Edward M. Jones demand judgment against William R. Raber and Denice M.
