LAST WILL AND TESTAMENT
OF
BETTY L. WESTBAFER
I, Betty L. Westhafer, of 23 North Road, Mechanicsburg,
Cumberland County, Pennsylvania 17055, being of sound and disposing
mind, memory and understanding, do hereby make, publish and declare
this as and for my Last will and Testament, hereby revoking any and
all prior Wills and all Codicils made by me at any time heretofore.
ITEM 1. I direct that all my legally valid debts, funeral and
administration expenses, and inheritance and estate taxes incurred
on account of my death shall be paid by my personal representatives
out of my residuary estate as soon after my death as practicable.
ITEM 2. I give, devise and bequeath all the rest, residue and
remainder of my estate, whether real or personal and of every
nature and wherever situated to my children, Patricia A. Miller, of
carlisle, Pennsylvania, Gerald E. smith, of Newville, Pennsylvania,
Michael A. Westhafer, of Charlotte, North Carolina and Gregory L.
Westhafer, of Enola , Pennsylvania, in equal shares and to be
distributed per stirpes and not per capita. Any beneficiary
hereunder who does not survive me by a period of sixty (60) days
shall be deemed to have predeceased me.
ITEM 3. By Deed dated October 23, 1990 and recorded in the
Office of the Cumberland County Recorder of Deeds on October 24,
1990, in Deed Book V, Volume 34, Page 514, I conveyed certain
property then owned by me and known as

(East Pennsboro Township), Cumberland County, pennsylvania to my
son, Greg L. Westhafer, and his wife, Sharon K. Westhafer, for a
consideration of $45,000.00. Said Greg L. and Sharon K. Westhafer
contemporaneously executed a Purchase Money Mortgage Note and
Mortgage in the principal amount of $45,000.00, payable to me,
secured by the said real property and dated October 23, 1990, with
said Mortgage having been recorded in the Cumberland County
Recorder of Deeds' Office on October 24, 1990 in Mortgage Book 994,
Page 654. If at the time of my death any amount or amounts of
principal, interest or other monetary obligations under said Note
and Mortgage remain unpaid, then I expressly direct that all of
such unpaid indebtedness shall be deemed forgiven by me and
entirely satisfied, as if fully paid. In such case, my personal
representative shall cause the Mortgage to be satisfied of record
and shall deliver the Note and Mortgage, marked satisfied, to Greg
L. and Sharon K. Westhafer. The amount of indebtedness forgiven
pursuant to this Item 3, if any, shall not be considered part of my
residuary estate, and shall not be charged against or deducted in
any manner from the share of my residuary estate to which Greg L.
Westhafer may be entitled under the terms of my will. The
provisions of this Item 3 for forgiveness of debt shall remain
effective as to Sharon K. Westhafer if Greg L. Westhafer
predeceases me, and shall run to the benefit of Sharon K. Westhafer
if she survives my said son, but only if Sharon K. Westhafer
remained married to Greg L. Westhafer and was living together with
him as husband and wife on the date of his death.

death taxes on the value of the indebtedness which may be forgiven
pursuant to this Item 3 shall not, however, be paid by my personal
representative out of my residuary estate, but shall be paid by or
chargeable to the beneficiary or beneficiaries of this provision
for forgiveness of debt. My personal representative is hereby
authorized, in appropriate cases, to deduct the amount of any such
death taxes from any distributive share of my estate to which such
beneficiary may be entitled before completing distribution.
ITEM 4. By Installment Agreement of Sale dated October 1, 1991
and recorded on October 3, 1991 in the Office of the Cumberland
County Recorder of Deeds in Miscellaneous Book 405, Page 456
(hereinafter called "the Agreement"), I sold certain real property
then owned by me and known as 160 Wyoming Avenue, Enola (East
Pennsboro Township), Cumberland County, Pennsylvania to my son,
Michael A. Westhafer, for a purchase price of $55,000.00. The
Agreement provides that the purchase price is to be paid in monthly
installments of principal and interest in the amount of $595.35,
with a final payment of the entire remaining balance and accrued
interest to be made on October 1, 1996. If at the time of my death
any amount or amounts of the purchase price payable under the
Agreement (including principal, interest or other monetary
obligations and specifically including the above-mentioned final
payment) remain unpaid and owing by Michael A. Westhafer, then I
expressly direct that all of such unpaid purchase price shall be
deemed forgiven by me and shall be entirely satisfied, as if fully
paid by Michael A. Westhafer during my lifetime. In such

personal representative shall execute and deliver to Michael A.
Westhafer a deed conveying fee simple title to the property known
as 160 Wyoming Avenue in accordance with the terms of the
Agreement, without payment by Michael A. Westhafer of any further
consideration. The amount of the purchase price forgiven pursuant
to this Item 4, if any, and the legal title to the property which
may be transferred pursuant to this Item 4, shall not be considered
part of my residuary estate, and shall not be charged against or
deducted in any manner from the share of my residuary estate to
which Michael A. Westhafer may be entitled under the. terms of my
will. Any and all death taxes, whether viewed as payable on
account of the value of any purchase price which may be forgiven
pursuant to this Item 4 or as payable on account of the net value
of any interest in real property which may be conveyed pursuant to
this Item 4, shall not, however, be paid by my personal
representative out of my residuary estate, but shall be paid by the
beneficiary of this provision for forgiveness of payment of the
purchase price. My personal representative is hereby authorized,
in appropriate cases, to deduct the amount of any such death taxes
from any distributive share of my estate to which such beneficiary
may be entitled before completing distribution.
ITEM 5. On or about May 25, 1989 I made a gift in the amount of
$10,000.00 to my son, Gerald E. smith. Said gift consisted of
$5,000.00 in cash and the forgiveness of a debt in the amount of
$5,000.00 owing from said Gerald E. smith to me. Said $10,000.00
gift then represented and shall continue

advancement against the share of my estate to which Gerald E. smith
may be entitled at my death under this will.
In making
distribution of my estate under Item 2 of my Will, my personal
representative shall make adjustments for this advancement in
accordance with the "hotchpot doctrine".
In other words, this
advancement shall be treated as if the entire amount thereof had
been repaid to my estate and divided equally among all of my
children, per stirpes, under Item 2 of this Will, and the total
amount of the advancement then deducted from the distributive share
of Gerald E. Smith, or those who may take under him by
representation.
ITEM 6. No interest of any beneficiary under this will or any
Codicil hereto shall be sUbject to anticipation or voluntary or
involuntary alienation.
ITEM 7. My Executrix and my successor personal representatives
acting hereunder shall have the following powers in addition to
those vested in them by law and by other provisions of this will,
applicable to all property, real, personal and mixed and
wheresoever situated, including property held for minors, whether
principal or income, exercisable without court approval and
effective with respect to each item of said property, until actual
distribution:
A. To retain as investments of my estate any or all of my
estate, real, personal or mixed, without regard to any principal of
diversification, and to hold any or all of such real and personal

property retained or acquired without making the same productive of
income;
B. To pay all taxes, charges and expenses of maintenance,
upkeep, improvement, development, protection, preservation and
investment of any retained or acquired real or personal property,
such payments to be made from either principal or income as my said
Executrix shall determine;
c. To retain or invest any and all funds, whether principal or
income, in any real or personal property, without restrictions to
investments;
D. To purchase investments at premiums; to exercise all rights
of a security holder or shareholder in any corporation; and to
lease, mortgage, pledge, give options upon or sell at public or
private sale and without approval of any court and without any
responsibility to the buyer or buyers to see to the application of
the purchase price, any real or personal property, or portion or
portions thereof, irrespective of the manner or the means by which
the same was acquired by my said Executrix;
E. To compromise any controversies, and to make any payment or
distribution herein provided for in cash or in kind, or partly in
cash and partly in kind, at valuations fixed by my Executrix at the
time of distribution.
ITEM 8. No fiduciary acting hereunder shall be required to post
bond or enter security in any jurisdiction.
ITEM 9. I nominate, constitute and appoint my daughter, Patricia
A. Miller, as Executrix of this, my Last will

constitute and appoint my son, Michael A. Westhafer, as Executor of
this, my Last will and Testament.

Dear Mr Spade:
This is in response to your request for an extension of time to file the Inheritance Tax Return for
the above estate.
In accordance with Section 2136 (d) of the Inheritance and Estate Tax Act of 1995, the time for
filing the return is extended for an additional period of six months. This extension will avoid the
imposition of a penalty for failure to make a timely return. However, it does not prevent interest from
accruing on any tax remaining unpaid after the delinquent date.
The return must be filed with the Register of Wills on or before October 27,2002. Because
Section 2136 (d) of the 1995 Act allows for only one extra period of six (6) months, no additional
extension(s) will be granted that would exceed the maximum time permitted.

I, Betty L. Westhafer, of 23 North Road, Mechanicsburg,
Cumberland County, Pennsylvania 17055, being of sound and disposing
mind, memory and understanding, do hereby make, publish and declare
this as and for my Last will and Testament, hereby revoking any and
all prior Wills and all Codicils made by me at any time heretofore.
ITEM 1. I direct that all my legally valid debts, funeral and
administration expenses, and inheritance and estate taxes incurred
on account of my death shall be paid by my personal representatives
out of my residuary estate as soon after my death as practicable.
ITEM 2. I give, devise and bequeath all the rest, residue and
remainder of my estate, whether real or personal and of every
nature and wherever situated to my children, Patricia A. Miller, of
Carlisle, Pennsylvania, Gerald E. Smith, of Newville, Pennsylvania,
Michael A. Westhafer, of Charlotte, North Carolina and Gregory L.
Westhafer, of Enola , pennsylvania, in equal shares and to be
distributed per stirpes and not per capita.
Any beneficiary
hereunder who does not survive me by a period of sixty (60) days
shall be deemed to have predeceased me.

By Deed dated October 23, 1990 and recorded in the
Office of the Cumberland County Recorder of Deeds on October 24,
1990, in Deed Book V, Volume 34, Page 514, I conveyed certain
property then owned by me and known as 247

son, Greg L. Westhafer, and his wife, Sharon K. Westhafer, for a
consideration of $45,000.00. Said Greg L. and Sharon K. Westhafer
contemporaneously executed a Purchase Money Mortgage Note and
Mortgage in the principal amount of $45,000.00, payable to me,
secured by the said real property and dated October 23, 1990, with
said Mortgage having been recorded in the Cumberland county
Recorder of Deeds' Office on October 24, 1990 in Mortgage Book 994,
Page 654. If at the time of my death any amount or amounts of
principal, interest or other monetary obligations under said Note
and Mortgage remain unpaid, then I expressly direct that all of
such unpaid indebtedness shall be deemed forgiven by me and
entirely satisfied, as if fully paid. In such case, my personal
representative shall cause the Mortgage to be satisfied of record
and shall deliver the Note and Mortgage, marked satisfied, to Greg
L. and Sharon'K. Westhafer. The amount of indebtedness forgiven
pursuant to this Item 3, if any, shall not be considered part of my
residuary estate, and shall not be charged against or deducted in
any manner from the share of my residuary estate to which Greg L.
Westhafer may be entitled under the terms of my will. The
provisions of this Item 3 for forgiveness of debt shall remain
effective as to Sharon K. Westhafer if Greg L. Westhafer
predeceases me, and shall run to the benefit of Sharon K. Westhafer
if she survives my said son, but only if Sharon K. Westhafer
remained married to Greg L. Westhafer and was living together with
him as husband and wife on the date of his death. 11

death taxes on the value of the indebtedness which may be forgiven
pursuant to this Item 3 shall not, however, be paid by my personal
representative out of my residuary estate, but shall be paid by or
chargeable to the beneficiary or beneficiaries of this provision
for forgiveness of debt.
My personal representative is hereby
authorized, in appropriate cases, to deduct the amount of any such
death taxes from any distributive share of my estate to which such
beneficiary may be entitled before completing distribution.
ITEM 4. By Installment Agreement of Sale dated October 1, 1991
and recorded on October 3, 1991 in the Office of the Cumberland
County Recorder of Deeds in Miscellaneous Book 405, Page 456
(hereinafter called "the Agreement"), I sold certain real property
then owned by me and known as 160 Wyoming Avenue, Enola (East
pennsboro Township), Cumberland County, Pennsylvania to my son,
Michael A. westhafer, for a purchase price of $55,000.00. The
Agreement provides that the purchase price is to be paid in monthly
installments of principal and interest in the amount of $595.35,
with a final payment of the entire remaining balance and accrued
interest to be made on October 1, 1996. If at the time of my death
any amount or amounts of the purchase price payable under the
Agreement (including principal, interest or other monetary
Obligations and specifically including the above-mentioned final
payment) remain unpaid and owing by Michael A. Westhafer, then I
expressly direct that all of such unpaid purchase price shall be
deemed forgiven by me and shall be entirely satisfied, as if fully
paid by Michael A. Westhafer during my lifetime. In such case,

personal representative shall execute and deliver to Michael A.
Westhafer a deed conveying fee simple title to the property known
as 160 Wyoming Avenue in accordance with the terms of the
Agreement, without payment by Michael A. Westhafer of any further
consideration. The amount of the purchase price forgiven pursuant
to this Item 4, if any, and the legal title to the property which
may be transferred pursuant to this Item 4, shall not be considered
part of my residuary estate, and shall not be charged against or
deducted in any manner from the share of my residuary estate to
which Michael A. Westhafer may be entitled under the. terms of my
Will. Any and all death taxes, whether viewed as payable on
account of the value of any purchase price which may be forgiven
pursuant to this Item 4 or as payable on account of the net value
of any interest in real property which may be conveyed pursuant to
this Item 4, shall not, however, be paid by my personal
representative out of my residuary estate, but shall be paid by the
beneficiary of this provision for forgiveness of payment of the
purchase price. My personal representative is hereby authorized,
in appropriate cases, to deduct the amount of any such death taxes
from any distributive share of my estate to which such beneficiary
may be entitled before completing distribution.
ITEM 5. On or about May 25, 1989 I made a gift in the amount of
$10,000.00 to my son, Gerald E. Smith. Said gift consisted of
$5,000.00 in cash and the forgiveness of a debt in the amount of
$5,000.00 owing from said Gerald E. Smith to me. Said $10,000.00
gift then represented and shall continue

advancement against the share of my estate to which Gerald E. Smith
may be entitled at my death under this Will.
In making
distribution of my estate under Item 2 of my Will, my personal
representative shall make adjustments for this advancement in
accordance with the "hotchpot doctrine".
In other words, this
advancement shall be treated as if the entire amount thereof had
been repaid to my estate and divided equally among all of my
children, per stirpes, under Item 2 of this Will, and the total
amount of the advancement then deducted from the distributive share
of Gerald E. Smith, or those who may take under him by
representation.
ITEM 6. No interest of any beneficiary under this will or any
Codicil hereto shall be subject to anticipation or voluntary or
involuntary alienation.
ITEM 7. My Executrix and my successor personal representatives
acting hereunder shall have the following powers in addition to
those vested in them by law and by other provisions of this Will,
applicable to all property, real, personal and mixed and
wheresoever situated, including property held for minors, whether
principal or income, exercisable without court approval and
effective with respect to each item of said property, until actual
distribution:
A. To retain as investments of my estate any or all of my
estate, real, personal or mixed, without regard to any principal of
diversification, and to hold any or all of such real and personal

property retained or acquired without making the same productive of
income;
B. To pay all taxes, charges and expenses of maintenance,
upkeep, improvement, development, protection, preservation and
investment of any retained or acquired real or personal property,
such payments to be made from either principal or income as my said
Executrix shall determine;
C. To retain or invest any and all funds, whether principal or
income, in any real or personal property, without restrictions to
investments;
D. To purchase investments at premiums; to exercise all rights
of a security holder or shareholder in any corporation; and to
lease, mortgage, pledge, give options upon or sell at public or
private sale and without approval of any court and without any
responsibility to the buyer or buyers to see to the application of
the purchase price, any real or personal property, or portion or
portions thereof, irrespective of the manner or the means by which
the same was acquired by my said Executrix;
E. To compromise any controversies, and to make any payment or
distribution herein provided for in cash or in kind, or partly in
cash and partly in kind, at valuations fixed by my Executrix at the
time of distribution.
ITEM 8. No fiduciary acting hereunder shall be required to post
bond or enter security in any jurisdiction.

INSTALLMENT AGREEMENT OF SALE
THIS AGREEMENT made the 13th day of January,
between BETTY L. WESTHAFER, single person, of 23 North Road,
Mechanicsburg, cumberland County, Pennsylvania 17055 (hereinafter
called "Seller"),
AND
WILLIAM R. STANSFIELD and SHERI M. STANSFIELD, husband and
wife,
of 3672
Spring Road,
Carlisle,
Cumberland County,
Pennsylvania 17013 (hereinafter together called "Buyer").
WITNESSETH:
That, in consideration of the mutual covenants and agreements
hereinafter contained, Seller agrees to sell and convey to Buyer,
and Buyer agrees to purchase from Seller,
ALL THAT CERTAIN tract or parcel of ground and the dwelling
house and other improvements thereon erected situate in East
Pennsboro Township, Cumberland County, Pennsylvania, being known
and identified as 241 Wyoming Avenue, Enola, Pennsylvania 17025,
and being more particularly described in Exhibit "A" attached
hereto and made a part hereof (hereinafter called "the Property"),
upon the following terms and conditions:
1. Purchase Price. The purchase price to be paid by Buyer
to Seller for the Property is Forty Seven Thousand and 00/100
($47,000.00) Dollars, and shall be paid by Buyer to Seller as
follows:
A. Seven Thousand and 00/100 ($7,000.00) Dollars in cash
at or before the time of signing and delivery of this

Agreement, the receipt whereof by Seller is hereby
acknowledged.
B. The balance of Forty Thousand and 00/100 ($40,000.00)
Dollars, together with interest thereon at the rate of six
(6.00%) percent per annum, in equal, monthly installments of
principal and interest in the amount of Three Hundred Thirty
Seven and 54/100 ($337.54) Dollars, said payments calculated
as if to be fully amortizing over a period of fifteen (15)
years, with the first installment to be paid on the 13th day
of February, 1998, and the remaining installment- to be paid on
the 13th day of each and every month thereafter, until the
final payment shall become due, as stated in subparagraph C.
below.
c. Notwithstanding anything herein to the contrary, the
entire remaining principal balance owing from Buyer to Seller
hereunder, together with all interest thereon accrued, shall be
paid by Buyer to Seller five (5) years from the date of this
Agreement, on the 13th day of January, 2003.
D. If Buyer shall fail to make any payment within ten (10)
days following the date when such payment becomes due, Buyer shall
pay to Seller a late charge equal to five (5.0%) percent of the
overdue payment.
E. The purchase price may be prepaid by Buyer to Seller, in
whole or in part and without penalty, at any time. No partial
prepayment, however, shall postpone or reduce the amount of any
later scheduled payment.

sufficient to convey the Property to Buyer in accordance with the
terms and conditions of this Agreement. Such deed shall be placed
and held in escrow with Seller's counsel, James F. Spade, Esquire,
of Harrisburg, Pennsylvania. Upon payment by Buyer of the purchase
price and any and all other sums payable hereunder to Seller, and
performance by Buyer or all of Buyer's obligations hereunder Seller
shall promptly and in writing notify the escrow agent of such
payment and authorize the escrow agent to deliver the deed to
Buyer. The escrow agent shall not be required to deliver the deed
without such unconditional notice and authorization from Seller.
Seller also agrees to execute, acknowledge and deliver to Buyer a
new deed dated at the time of final closing and transfer of title
to the Property. In such case, the escrow deed shall be destroyed
by the escrow agent upon delivery of the replacement deed to Buyer
at closing.
IN WITNESS WHEREOF, Seller and Buyer have executed this Agreement
the day and year first above written, intending to be legally bound
hereby.

East Pennsboro, County of Cumberland and State of Pennsylvania,
bounded and described as follows, to wit:
BEGINNING at a point in the westerly line of Wyoming Avenue, at
the distance of three hundred and seven feet and thirty-five one-
thousands of a foot measured southwardly along said line of
Wyoming Avenue from the southeasterly extremity of the arc or
curve having a radius of ten feet connecting the southerly line
