North Cape May, New Jersey, being of sound mind and disposing
understanding, declare this to be my last will, hereby revoking
all wills and codicils made by me heretofore.
FIRST:
I direct that all my legal debts, funeral expenses
and expenses of my last illness be paid as soon after my death as
practicable.
SECOND: All the rest, residue and remainder of my estate,
I
real, personal and mixed, wheresoever, situate, of which I may
die seized or possessed, or to which I may be entitled at the
time of my death, I give, devise and bequeath to my beloved Wife,
NANCY JANE BRIETBACH, to have and to hold absolutely and forever.
THIRD:
In the event that my Wife, NANCY JANE BREITBACH,
shall have predeceased me at the time of my death or in the event
that we both die simultaneously or should both die at different
times but aa a result of a common accident, then I do hereby
give, devise and bequeath my entire estate, after payment of my
funeral and testamentary expenses, unto my Children, FRANK
WILLIAM BREITBACH III, LINDA SUSAN HANSEN (NE BREITBACH) and

FOURTH: I nominate, constitute and appoint my Wife, NANCY
JANE BREITBACH, Executrix, of this, my Will. In the event that
my Wife, NANCY JANE BREITBACH, shall predecease me, or survives
me and fails to qualify, or having qualified, thereafter dies,
resigns or is removed from office, or for any other reason ceases
to act as such Executrix, I nominate, constitute and appoint my
oldest living child as Executrix or Executor of this, my Will.
FIFTH: I direct that none of the persons named in
paragraphs THIRD or FOURTH of this, my Will, shall be required to
furnish any bond or other security in order to qualify and serve
in any capacity mentioned therein in this or any other
jurisdiction.
SIXTH: I direct that my funeral as referenced in this, my
Will, shall be a closed-coffin funeral and that my remains shall
be cremated as soon as practicable after said funeral.
SEVENTH: I grant unto my Executor or Executrix (and any
successor) the following powers respecting my estate, all to be
exercised by him or her in such manner as he or she shall, in his
or her discretion, deem advisable, without the necessity of
applying for leave to exercise the same or for its approval:
A. To retain or to sell for cash, on mortgage or
credit, to lease for any term, exchange, mortgage, pledge or

otherwise dispose of, to invest and reinvest, all or any
part of my estate, real and personal, or of any such trust
created by or pursuant to my estate hereunder.
B. To acquire stocks, bonds, mortgages or other
investments (herein called securities) whether or not they
be of the character required by law for the investment of
estate or trust funds.
C. To exercise all rights of ownership
securities held in my estate or any such trust,
any conversion privilege or right to subscribe.
D. To borrow from anyone any sum or sums for the
payment of any indebtedness of mine, any inheritance,
estate, succession or other taxes, assessments or imposts of
whatever character that may be payable from my estate or
from any trust set up hereunder or for the payment of any
sum that my Executor or Executrix may be required or
authorized to pay, expend or appropriate for any purpose in
administering my estate or any trust set up hereunder; to
pledge or mortgage assets of my estate or any such trust for
the security of such loans; and to extend or renew any loan
or claim held at my death or at any time thereafter in my
estate or any such trust.
E. To litigate or compromise any claims made either
