COMPLAINT
The Plaintiff, MID-SOUTH BUILDING SUPPLY, INC., by its attorneys, KNUPP, KODAK & IMBLUM, P.c.,
brings this action of Assumpsit against the Defendants to recover the sum of ELEVEN THOUSAND. THREE DOLLARS
AND EIGHTEEN CENTS ($ I 1,003,18). along with interest thereon horn January 18,2005, upon a cause of action of which
the following is a statement:
1, The Plaintiff, MID-SOUTH BUILDING SUPPLY. INC., is a corporation organized and existing under the
laws of the State ofViriginia, having its principal office and place ofbusincss at 7940 Woodruff Court, Springfield, Virginia
22151-2122,
2, The Defendant, MICHAEL p, GARDNER, Personal Guarantor, is an adult individual trading and doing
business as GARDNER CONSTRUCTION, with an address 01'220 Regal View, Carlisle, Cumberland County. Pennsylvania
17013,
3, On the dates, in the amounts, and for the prices set forth in a true and correct copy of the Plaintiff's Statement
hereto attached, marked Exhibit "A" and made a part hereof, Plaintiff. at the special instance and oral request of the
Defendant, sold and delivered goods, wares and merchandise to the Defendant in the total amount of Nine Thousand, Five
Hundred Sixty-Seven Dollars and Ninety-Nine Cents ($9,567,99),

4, The prices charged for said goods, wares and merchandise were just and reasonable, were the legal and
market prices therefor and were the prices which the Defendant orally promised and agreed to pay to Plaintiff.
5, Plaintiff's Invoices are not attached tothis pleading due to the voluminous nature of same and have previously
been provided to Defendant.
6, Due to the default of Defendant, and pursuant to the terms and conditions of the Credit Application and
Personal Guaranty executed by Defendant hereto attached, marked Exhibit "B" and made a part hereof, attorney's fees in the
total amount of One Thousand, Four Hundred Thirty-Five Dollars and Nineteen Cents ($1,435,19) have been added to said
account.
7. Plaintiff frequently demanded payment tram Defendant of said amount due and owing as aforesaid, but
Defendant refused and neglected and still refuses and neglects to pay said amount of any part thereof.
WHEREFORE. Plaintiff brings this suit to recover from Defendant the sum of ELEVEN THOUSAND, THREE
DOLLARS AND EIGHTEEN CENTS ($11,003,18), along with interest thereon from January 18,2005,

ANSWER
AND NOW, comes Michael P. Gardner, Individually and Trading as Gardner
Construction and Michael P. Gardner, as Personal Guarantor, by and through his undersigned
attorneys, Johnson, Duffie, Stewart & Weidner, and files this Answer to Plaintiff's Complaint and
in support thereof avers as follows:
1. Admitted upon information and belief.
2. Admitted in part. Denied in part. It is admitted that Michael P. Gardner is an
adult individual trading and doing business as Gardner Construction with an address of 220
Regal View, Carlisle, Cumberland County, Pennsylvania 17013. The averment that Michael P.
Gardner is a "personal guarantor" is denied, to the extent that said averment is a conclusion of
law to which no responsive pleading is required.
3. Denied. Said averment is denied in that Plaintiff fails to incorporate copies of
invoices detailing the type and amount of goods, wares or merchandise which Plaintiff allegedly
sold and delivered to Defendant.
4. Denied. Said averment is denied in that Plaintiff fails to include the invoices
detailing the nature and amount of goods, wares and merchandise which Plaintiff allegedly sold
and delivered to Defendant, and therefore Defendant is unable to respond as to whether the
prices charged were just and reasonable, were the legal and market prices therefore, and were
the prices which the Defendant orally promised and agreed to pay to Plaintiff.
5. Denied. Said averment is denied in that Plaintiff fails to incorporate copies of
invoices detailing the type and amount of goods, wares or merchandise which Plaintiff allegedly
sold and delivered to Defendant.
6. Denied. It is specifically denied, for the reasons set forth above, that Defendant
is in default to Plaintiff. By way of further denial, said guaranty is incomplete, unclear and
ambigious, thereby making said guaranty unenforceable given that the guaranty fails to identify
the debtor to whom the undersigned is to serve as Guarantor.
7. Denied. Said averment is denied in that, for the reasons set forth above, it is
specifically denied that Defendant is in default to Plaintiff.
WHEREFORE, Defendant prays this Honorable Court enter judgment in its favor and
against Plaintiff and that Plaintiff's Complaint be dismissed with prejudice.

AND NOW, this 29th day of July, 2005, comes Plaintiff, MID-SOUTH BUILDING SUPPLY,
INC., by and through its attorney, ROBERT D. KODAK, ESQUIRE, KNUPP, KODAK & IMBLUM,
P.C., and files the following Petition to Vacate Order Appointing Arbitrators, as follows:
1. On July 5, 2005, the captioned matter being at issue, Plaintiff did file its Petition for
Appointment of Arbitrators with this Honorable Court.
2. On July 6, 2005, an Order of Court issued appointing Stephanie Chertok, Attorney-at-
Law; Jeanne Costopoulos, Attorney-at-Law and Scott Dinner, Esquire, as Arbitrators.
3. Simultaneous therewith, and subsequent thereto, Plaintiff and Defendant did enter into
and consummate a settlement of the ,matter, thereby negating the need for any Hearing.
WHEREFORE, Plaintiff respectfully requests this Honorable Court to vacate the Order of Court
dated July 6, 2005, appointing the aforesaid Arbitrators.
