AND NOW, this 19th day of May, 2005, upon consideration of the Petition for Grant of Letters of
Administration and the Affidavits of Roger M. Morgenthal, Esquire and William W. Westcott,
executed on May 18, 2005, it is hereby Ordered and Decreed that the photocopy of the Last Will of
Laurence C. Westcott, dated December 22, 1998, shall be admitted to probate.
Upon consideration of the statement of Darryl K. Guistwite, D.O., dated May 16, 2005, regarding the
inability of Camilla Westcott, named executrix of the above estate, to serve in that capacity and the renunciation
of William C. Westcott, the successor executor, it is also Ordered and Decreed that Letters of Administration
C.T.A. be issued to Manufacturers and Traders Trust Company as requested by William C. Westcott.

sworn or affirmed, states the following in support of the admission to probate of a
photocopy ofthe Last Will and Testament of Laurence C. Westcott, Deceased:
Affiant is an Attorney at Law, admitted to practice before the Supreme Court of
the Commonwealth of Pennsylvania, with offices in Harrisburg and Carlisle,
Pennsylvania.
Laurence C_ Westcott (hereinafter "decedent"), late of West Pennsboro Township,
Cumberland County, Pennsylvania, died March 27, 2005.
On December 22, 1998, decedent executed his Last Will and Testament in the
presence of Affiant and two witnesses who duly signed said Will in that capacity; and
decedent and said witnesses acknowledged their signatures before a Notary Public.
Decedent was at that time an adult of sound mind and judgment, possessing
testamentary capacity.
Multiple photocopies of said Will were prepared after its execution at the request
of decedent, who distributed individual photocopies to, inter alia, his son, William W.
Westcott; Financial Trust Services Company (successor to M&T Investment Group; and
affiant. All photocopies known to have been made have been accounted for.
The duly executed and acknowledged original Last Will and Testament of
decedent dated December 22, 1998, was delivered to decedent personally by affiant on
that date.
Since the death of decedent on March 27, 2005, after a diligent search by affiant,
William W. Westcott, and employees ofM&T Investment Group including requests to
affiant's former law firms, said original Will cannot be located_

Affiant believes and avers that at all times relevant hereto, affiant was the sole
attorney representing decedent, and that no later wills or codicils were prepared by
anyone for decedent; and that decedent had not revoked said Will or any part thereof
prior to death.

WILLIAM W. WESTCOTT (hereinafter "Affiant"), being duly sworn ~
affirmed, states the following in support of the admission to probate ofa photocop1ofthe
Last Will and Testament of Laurence C. Westcott, Deceased:
Affiant is the adult son of Laurence C. Westcott (hereinafter "decedent"), late of
West Pennsboro Township, Cumberland County, Pennsylvania, died March 27,2005.
On December 22,1998, decedent executed his Last Will and Testament in the
presence of his attorney and two witnesses who duly signed said Will in that capacity;
and decedent, attorney and said witnesses acknowledged their signatures before a Notary
Public.
Decedent was at that time an adult of sound mind and judgment, possessing
testamentary capacity.
Multiple photocopies of said Will were prepared after its execution at the request
of decedent, who distributed a photocopy to affiant. All photocopies known to have been
made have been accounted for, based on a list prepared by decedent and in the possession
of affiant.
Since the death of decedent on March 27, 2005, after a diligent search by affiant,
together with decedent's attorney Roger M. Morgenthal, Esquire, and employees ofM&T
Investment Group including requests to former law firms who had represent decedent
through Roger M. Morgenthal, Esquire, said original Will cannot be located.

Affiant believes and avers that at all times relevant hereto, Roger M. Morgenthal,
Esquire was the sole attorney representing decedent, and that no later wills or codicils
were prepared by anyone for decedent; and that decedent had not revoked said Will or
any part thereof prior to death.

I, LAURENCE C. WESTCOTT, of West Pennsboro Township, Cumb$4and
County, Pennsylvania, declare this instrument to be my Last Will and Testament, in
manner and form following:
FIRST:
I hereby expressly revoke all Wills and Codicils heretofore made by
me.
SECOND: I hereby direct my Executrix to pay all my just debts, funeral and
administrative expenses out of my estate, as soon as practicable after my death.
THIRD:
I direct that all taxes which may be assessed in consequence of my
death of whatever nature and by whatever jurisdiction imposed shall be paid out of my
estate as a part of the administration of my estate.
FOURTH: I give and bequeath the following sums of money to the following
persons and / or organizations:
A. Camilla R. Westcott, wife, five thousand ($5000.00) dollars.
B. William W. Westcott, son, five thousand ($5,000.00) dollars.

hereby give, and bequeath to my wife, CAMILLA R. WESTCOTT, any
and all real estate interests in Pennsylvania that I may hold at the time of my death, and
all tangible personal property including farm machinery and equipment and family
automobile, as distinguished from bank accounts, stocks, bonds, funds and any other
purely financial interests.
SIXTH: I hereby give, devise and bequeath my farm of 197 Acres, more or less.
with the cabin thereon, formerly the William Westcott farm, located in Chasm Falls, New
York, to my son, WILLIAM W. WESTCOTT, subject to the following terms and

conditions: In the event that my said son should desire to sell the farm, upon receipt of a
bona fide offer from a third party to purchase same, he shall first offer the farm on the
same terms and conditions to Mary Ellen McGregor, Joseph Wescott and Edwin
Wescott, and upon the death of Edwin Wescott, his children equally and on the death of
Mary Ellen McGregor, her children, equally per stirpes. The option so offered shall be
exercised within sixty days of the receipt of notice in writing from my son to said
individuals. Should more than one of the individuals named desire their option to
purchase the farm, each person so exercising the option shall be entitled to an equal
interest in the property:
PROVIDED, HOWEVER, that the children of EDWIN WESTCOTT AND
MARY ELLEN McGREGOR, shall be treated collectively as one individual in each case
for the purposes of determining an interest in the farm. It is my intention that the option
shall be offered to all parties at the same time and that there shall not be successive
option periods.
SEVENTH: All the rest, residue and remainder of my real estate, in and near
Chasm Falls, New York, I hereby give, devise and bequeath to my son, WILLIAM W.
WESTCOTT.
EIGHTH: All the rest, residue and remainder of my estate, be it real, personal
or mixed, of whatsoever kind and wheresoever situate, I hereby give, devise and
bequeath to FINANCIAL TRUST SERVICES COMPANY, of Carlisle, Pennsylvania.
IN TRUST NEVERTHELESS, with the stipulation that all sales and
purchases of securities in the Trust established hereby must first be approved by
my wife, CAMILLA R. WESTCOTT, as long as she is able to do so; and thereafter

by my son, WILLIAM W. WESTCOTT, as long as he is able to do so.
The net income from the Trust shall be paid in quarterly installments, or more
frequently if desired, to and for the use and benefit of my wife, CAMILLA R. WESTCOTT,
for and during the term of her natural life, In addition, as much of the principal as the
Trustee from time to time, in its sole discretion, may deem necessary for my said wife's
health, welfare and support either shall be paid to her or shall be applied directly for her
benefit by the Trustee. In distributing the principal, the Trustee shall first consider all other
assets available to my wife from any source whatsoever and their availability therefor. The
Trustee shall at all times, bear in mind that I have established this Trust for two purposes:
First, that the interest income shall be paid to my wife first; and after her death, to
my son, WILLIAM W. WESTCOTT, on a regular basis, for the remainder of his life.
Second, that the principal of the Trust shall insofar as possible, be conserved for
distribution following the death of my wife and son as hereinafter provided.
Upon written request of my said wife, up to two (2%) percent or Five thousand
($5,000.00) dollars of the principal, whichever is greater, may be withdrawn from the Trust
annually and shall be paid to my wife by the Trustee upon such request. To the extent
that such right of withdrawal of principal shall not be exercised by December 31'1 of any
year, such right shall lapse.
Upon the death of my said wife, the income from the Trust shall be paid in
quarterly installments, or more frequently, if desired, to and for the use and benefit of my
son, WILLIAM W. WESTCOTT, for and during the term of his natural life. In addition, as
much of the principal as the Trustee from time to time, in its sole discretion, shall deem
desirable for may said son's health, welfare and support either shall be paid to him or shall

be applied directly for his benefit by the Trustee. In distributing the principal, the Trustee
shall first consider all other assets available to my son from any source whatsoever and
their availability therefor.
Upon the death of my wife and my son, the balance then remaining in the Trust
shall be distributed absolutely and free of Trust as follows:
1. The first five hundred thousand ($500,OOO.OO) dollars to RENSSELEAR
POLYTECHNIC INTSTITUTE, to be used to endow scholarships to be awarded
periodically to high school graduates. The scholarships to be awarded on a one year
basis and renewable for three additional years of under-graduate studies at the Institute
should the recipients maintain and continue to maintain a satisfactory scholastic record. In
awarding the scholarships, preference shall first be given to graduates of the MALONE
PUBLIC HIGH SCHOOL, NEW YORK. If no eligible candidate is available from the
MALONE PUBLIC HIGH SCHOOL, the scholarships shall then be awarded to qualified
students from the other public high schools located in Franklin and St. Lawrence Counties,
New York.
The scholarship is to be known as the WESTCOTT SCHOLARSHIP and is
founded in memory and honor of my mother, the former MABEL EDITH STANCLlFFE,
and in honor of my beloved wife, the former CAMILLA R. GRAHAM, and our son,
WILLIAM W. WESTCOTT.
2. In the event that the principal remaining in the Trust exceeds the sum of five
hundred thousand ($500,OOO.OO) dollars, the amount exceeding five hundred thousand
($500,OOO.OO) dollars shall be divided equally among the following four charities:
A. Salvation Army, Carlisle, PA;

B. American Cancer Society, Carlisle, PA;
C. Cumberland -Perry Association for Retarded Citizens, Carlisle, PA;
D. American Red Cross, Carlisle, PA.
The foregoing bequests are unrestricted and may be used by the said charities for
their general uses and purposes.

Camilla Westcott has been followed by me III
Manor Care as well as Thornwald Home in Carlisle for the lasE
year. She is not able to write or carryon any financial
responsibilities any mo re with her worsened medical condition
and state. She has had a recent G.I. bleed as well as a heart
abnormality causing rapid heart rate. She also has mild
dementia which is stable but does restrict her from making
decisions. She recently lost her husband, Lawrence, passing
away several months ago. Her son, Bill Westcott is her Power
of Attorney.
