CARNEY, presently residing at 3610 Logan Court, Hampden Township, Cumberland County, Pennsylvania, do hereby make, declare, and publish this as my Last Will and Testament, hereby revoking all former wills and codicils heretofore made by me at any time. PAYMENT OF EXPENSES I. Payment of Expenses. I direct that my Executrix, hereinafter named, shall have the power, but not the duty, to pay all my just debts, expenses of my last illness, and funeral expenses from my estate as soon after my death as shall be found convenient. GIFTS II. General Beauests. (a) I bequeath the sum of Twelve Thousand ($12,000.00) Dollars each to my nieces and nephews named below: MARY ISELE VAUGHN DENISE B. HINES ELIZABETH B. BENDER MELISSA B. FORREY, JR., predeceases me, his share shall pass to the Bishop Joseph T. Daley Seminarian Fund, 4800 Union Deposit Road, ~arrisburg, P A 17105. If any of my other aforementioned nieces and nephews ~predecease me, his or her share shall be paid to his or her surviving children (to include adopted child), in equal shares, per stirpes, but in default thereof the gift to the predeceased niece or nephew shall be distributed equally among those nieces and nephews who survive me. )); t:vJrCfu/ c{ ~ - 1 - (b) I bequeath the sum of Five Thousand ($5,000.00) Dollars to the Holy Spirit Adoration Sisters, Convent of Divine Love, 2212 Green Street, Philadelphia, PA 19130-3197. (c) I bequeath the sum of Five thousand ($5,000.00) Dollars to the "FOCUS Endowment Fund, the Most Reverend Nicholas C. Dattilo, Bishop of Harrisburg and his successors in office in trust for the Roman Catholic Diocese of Harrisburg" Pennsylvania. (d) I bequeath the sum of Five Thousand ($5,000.00) Dollars to the Sisters of Christian Charity, Mendham, New Jersey for the good of the religious community and in gratefulness for the pastoral care offered to my late husband at Holy Spirit Hospital. III. Personal and Household Effects: a.. I bequeath to the children of my late husband, JOSEPH E. CARNEY, a grandfather clock, which clock was made in Germany and had been in the Carney family prior to my marriage to Joseph E. Carney, provided, however, that the clock must be accepted by the said children of my late husband within thirty (30) days of notice to them of this gift, but in default of such acceptance, the clock shall be added to and made a part of the property distributed under Paragraph III. b. of this Will. Acceptance as referenced in this sub-paragraph, shall mean physical receipt of the clock by any of the beneficiaries (children of Joseph E. Carney) through arrangements made with the Executrix for removal of the clock. Delivery of the clock by the Executrix to any beneficiary, the agent, servant or employee of any of the beneficiaries shall constitute full satisfaction of this gift. Any expense for packing, shipping, insuring or delivery of such clock shall not be paid by the Estate. b. I bequeath my automobiles, household and personal effects and other tangible personalty of like nature (not including cash or securities), together with any existing insurance thereon, to such of my sisters, MARY L. ISELE, MARIE L. BRABANT and DOROTHY L. FORREY, as are living on the thirty-first day after my death, to be divided among them as they shall agree, but in case of disagreement among my sisters, the Executrix is authorized to make the division in as nearly equal shares as practical. Any property not so divided shall be sold and the proceeds thereof distributed among my sisters in such amounts as to assure equal distribution among them of the value of personal property received by each, plus proceeds from the sale of personal property. I direct that the expense of packing, shipping, insuring and delivering any such property to a beneficiary entitled thereto under this Paragraph III. b., shall be paid by the Executrix as an administrative expense of my estate. I give, devise and bequeath the rest, residue and remainder of my estate, whether real, personal or mixed, and of any nature whatsoever and wherever situated as follows: 1. a. If my net estate, after payment of all death, estate and inheritance taxes, funeral expenses and costs of administration is One Million ($1,000,000.) Dollars or more, I give the sum of Thirty-Five Thousand ($35,000.) Dollars to each of my husband's children, JOAN T. NICOLADSE, JOSEPH E. CARNEY, JR., CORNELIUS J. CARNEY, DAVID P. CARNEY AND MARY R. MANSHIP, who survive me by thirty (30) days. If any of the children of my husband do not survive me by thirty days, I direct that the share which would have passed to the deceased individual, shall be divided equally among the other children of my husband who survive me by thirty days. b. If my net estate, after payment of all death, estate and inheritance taxes, funeral expenses and costs of administration is less than One Million ($1,000,000.) Dollars, I give to each of my husband's children, JOAN T. NICOLADSE, JOSEPH E. CARNEY, JR., CORNELIUS J. CARNEY, DAVID P. CARNEY and MARY R. MANSHIP, who survive me by thirty (30) days, 4.16% of the net value of my estate as above described and after allowing for payment in full of the general bequests provided in Paragraph II(a), (b), (c) and (d) of this Will. If any of the children of my husband do not survive me by thirty days, I direct that the share which would have passed to the deceased individual shall be divided equally among the other children of my husband who survive me by thirty days. 2. The rest, residue and remainder of my estate in equal shares, to my sisters, MARY L. ISELE, MARIE L. BRABANT and DOROTHY L. FORREY, who survive me by thirty (30) days. If any of my sisters does not so survive me, I devise and bequeath the share of such sister~ in equal shares to those of her children who survive her by thirty (30) days. V. Powers of Appointment. No provision of this Will shall exercise any power of appointment I may have. ))}4JJtjC2ol c5 rlw~. -3- FIDUCIARIES VI. Executrix. I hereby nominate, constitute and appoint my sister, DOROTHY L. FORREY, as Executrix of this my Last Will and Testament. In the event that my above-named sister should predecease me, or be unable or unwilling to serve, I appoint my nephew, WILLIAM C. FORREY, JR., as Executor. If my nephew is unable or unwilling to serve, or predeceases me, I appoint my brother-in- law, WILLIAM C. FORREY, SR., as Executor. ADMINISTRATIVE PROVISIONS VII. No Bond/Compensation. No Executrix or Executor appointed hereunder shall be required to post bond or other security in any jurisdiction. Any fiduciary acting hereunder shall be entitled to reasonable compensation. VIII. Management Provisions. My Executrix shall have, in addition to the powers and authority conferred upon her by law, the following additional powers and authority: A. Sell/Lease: To sell at public or private sale, exchange, lease, mortgage or pledge any property, real or personal, at any time constituting a portion of my estate, and upon such terms and conditions as the Executrix shall deem wise. B. Invest: To invest any money at any time in such bonds, stocks, notes, real estate, mortgages, life insurance, annuities or other securities, or such property, real or personal, as Executrix shall deem wise, without being limited by any statute or rule of law regarding investments by an Executrix. C. Retain: To retain, without incurring any liability, as investments, any property owned by me at the time of my death, as long as she deems it wise, and even though such property is not the kind of property an Executrix would purchase as an investment; and even though to retain such property might violate sound diversification principles. D. Title to Property: To cause any security or other property which may at any time constitute a portion of my estate to be issued, held or registered in the Executrix's own name, or in the name of a nominee, or in such form that title will pass by delivery. E. Expenses of Estate: To pay all costs, taxes, charges and expenses in connection with the administration of my estate. ))JIiA1tJAfJ cf~ - 4 - F. Allocate: To determine what is "Income" and what is "Principal" hereunder, and her decision thereon shall be final; and to purchase securities at a premium or discount, and to apply or charge said premium or discount against income or principal as the Executrix may determine. G. Borrow: To borrow money from any person, firm or corporation, for the purpose of protecting and preserving or improving my estate hereunder; to execute promissory notes or other obligations for amounts so borrowed. H. Emplov: To employ legal counsel, accountants, brokers, investment advisors, custodians, managers and other agents and employees and to pay them reasonable compensation out of the funds held hereunder to which said compensation is attributable. I. Other: To do all other acts in the Executrix's judgment necessary or desirable for the proper and advantageous management, investment and distribution of my estate. IX. Protective Provision: To the greatest extent permitted by law, before actual payment to a beneficiary no interest in income or principal shall be (i) assignable to a beneficiary or (ii) available to anyone having a claim against a beneficiary. X. Death Taxes: I direct that all transfer and inheritance taxes, state or federal, assessed because of my death, whether the funds, property or insurance proceeds to which such taxes are attributable pass under this will or not, shall be paid out of my residuary estate; that my Executrix pay, or provide for payment of all such taxes at such time, or times, and in such manner as my Executrix deems best. XI. Tax Options. I authorize my Executrix to exercise any options available in determining and paying death taxes in my estate. XII. Intent. Any person adopted by a child of my late husband, Joseph E. Carney, shall not for this Will be considered as a child of my late husband's children. IN WITNESS WHEREOF, I, MARGARET L. I hereby amend Paragraph II(a) of my Last Will and Testament by deleting "Twelve Thousand ($12,000)" and inserting in its stead: FIFTEEN THOUSAND ($15,000). II. I hereby revoke Paragraph II (c) of my Last Will and Testament since I have otherwise provided a gift to the Diocese of Harrisburg by means of an annuity purchase. III. I hereby revoke Paragraph III. a. of my Last Will and Testament since I have disposed of the clock during my lifetime by giving it to a daughter of my late husband. IV. I hereby amend Paragraph IV. parts 1.a. and 1.b. by deleting the language set forth therein and providing in their stead as follows: 1.a. If my net estate, after payment of all death, estate and inheritance taxes, funeral expenses and costs of administration is One Million ($1,000,000.00) Dollars or more, I give the sum of Thirty-Five Thousand ($35,000.00) Dollars each to the following children of my late husband, JOAN T. NICOLADSE, JOSEPH E. CARNEY, JR., CORNELIUS J. CARNEY, and MARY R. MANSHIP, AND MARGARET A. CARNEY (surviving spouse of DAVID P. CARNEY), who survive me by thirty (30) days. III. Personal and Household Effects: a. I bequeath to the children of my late husband, JOSEPH E. CARNEY, a grandfather clock, which clock was made in Germany and had been in the Carney family prior to my marriage to Joseph E. Carney, provided, however, that the clock must be accepted by the said children of my late husband within thirty (30) days of notice to them of this gift, but in default of such acceptance, the clock shall be added to and made a part of the property distributed under Paragraph III. b. of this Will. Acceptance as referenced in this sub-paragraph, shall mean physical receipt of the clock by any of the beneficiaries (children of Joseph E. Carney) through arrangements made with the Executrix for removal of the clock. Delivery of the clock by the Executrix to any beneficiary, the agent, servant or employee of any of the beneficiaries shall constitute full satisfaction of this gift. Any expense for packing, shipping, insuring or delivery of such clock shall not be paid by the Estate. b. I bequeath my automobiles, household and personal effects and other tangible personalty of like nature (not including cash or securities), together with any existing insurance thereon, to such of my sisters, MARY L. ISELE, MARIE L. BRABANT and DOROTHY L. FORREY, as are living on the thirty-first day after my death, to be divided among them as they shall agree, but in case of disagreement among my sisters, the Executrix is authorized to make the division in as nearly equal shares as practical. Any property not so divided shall be sold and the proceeds thereof distributed among my sisters in such amounts as to ass ure equal distribution among them of the value of personal property received by each, plus proceeds from the sale of personal property.
