LAST WILL and TESTAMENT
of
MARTHA P. STAUFFER
I, MARTHA P . STAUFFER, of Camp Hill, Cumberland County, Pennsylvania, being
of sound and disposing mind and memory, do hereby make, publish and declare this for and
as my Last Will and Testament hereby revoking any and all Wills or Codicils by me at any
time heretofore made.
ITEM I -
I direct that all my just debts and funeral expenses, including my grave
marker and all expenses of my last illness, shall be paid from my residuary estate as soon
as practicable after my decease as a part of the expense of the administration of my estate.
ITEM II -
I give all tangible personal property owned by me at my death and all
insurance policies on such property as follows:
(a) To those persons who are living on the sixty-first day following
my death and who are designated on a list or memorandum
signed by me which refers to this Will or is found with a copy
thereof, the items listed beside their names. If no such list is
found within sixty-one days from the date of my death it shall
be presumed that no such list exists.

ITEM III -
My son, ROBERT S. STAUFFER, II, has borrowed the sum of
$34,435.00 from me, which sum is due and unpaid at the time of my making this Will. I
direct that whatever sum, greater than or lesser than $34,435.00 which is due to me by my
son, Robert, at the time of my death, shall be repaid to my Estate or deducted from his share
of my estate.
ITEM N -
I give, devise and bequeath all of the rest, residue and remainder of my
estate, real, personal and mixed, in equal one-third shares to my three children, ROBERT
S. STAUFFER, II, BONNIE D. EASTON and LYNNETTE HEFENFINGER, per stirpes, if each
is living on the sixty-first day following my death.
ITEM V -
All federal, state and other death taxes payable because of my death,
with respect to the property forming my gross estate for tax purposes, whether or not
passing under this will, including any interest or penalty imposed in connection with such
tax, shall be considered a part of the expense of the administration of my estate and shall
be paid from my residuary estate without apportionment or right of reimbursement. All
such taxes on present or future interests shall be paid at such time or times as my Executrix
may think proper, regardless of whether such taxes are then due.

ITEM VI -
No beneficiary shall have any right or power, except as otherwise
specified, to sell, transfer, assign, pledge, mortgage, alienate or hypothecate his or her
interest in any manner whatsoever. To the fullest extent of the law, the interest of each and
every beneficiary shall not be subject to the claims for any of his or her creditors or liable
to attachment, execution, bankruptcy proceedings, or any other legal process.
ITEM VII - My Executrix shall have the following powers in addition to those
vested in her by law and by other provisions of my will applicable to all property, whether
principal or income, including property held for minors, exercisable without court approval,
and effective until actual distribution of all property.
A. To retain any or all of the assets of my estate, real or personal,
including stock, of a corporate fiduciary, without regard to any
principle of diversification or risk.
B. To invest in all forms of property, including stock, common trust funds
and mortgage investment funds whether operated by a corporate
fiduciary or others, without restriction to investments authorized for
Pennsylvania fiduciaries, as she deems proper, without regard to any
principle of diversification or risk.

c. To cause to be registered in her name without qualification or
description, or in her name as Executrix, hereunder or in the name of
her nominee or nominees, without qualification or description, any
securities at any time held in my estate.
D. To sell at public auction or private sale, to exchange or to lease, for
any period of time, any real or personal property and to give options
for sales, exchanges or leases, for such prices and upon such terms or
conditions as she deems proper.
E. To allocate receipt and expenses to principal or income or partly to
each as she from time to time thinks proper.
ITEM VIII - I nominate and appoint my daughter, LYNNETTE HEFENFINGER, to
be the Executrix of this my Last Will and Testament.

I direct that my Executrix shall not be required to give bond for the
faithful performance of her duties in any jurisdiction.

S9116 (a) (1.1) (i1)]. The statute does no exempt a transfer to a surviving spouse from tax, and the statutory requirements for disclosure of assets and filing a

I, MARTIIA P. STAUFFER, of Camp Hill, Cwnberland County, Pennsylvania, being
of sound and disposing mind and memory, do hereby make, publish and declare this for and
as my Last Will and Testament hereby revoking any and all Wills or Codicils by me at any
time heretofore made.
ITEM I -
I direct that all my just debts and funeral expenses, including my grave
marker and all expenses of my last illness, shall be paid from my residuary estate as soon
as practicable after my decease as a part of the expense of the administration of my estate.
ITEM II -
I give all tangible personal property owned by me at my death and all
insurance policies on such property as follows:
(a) To those persons who are living on the sixty-first day following
my death and who are designated on a list or memorandum
signed by me which refers to this Will or is found with a copy
thereof, the items listed beside their names. If no such list is
found within sixty-one days from the date of my death it shall
be presumed that no such list exists.

My son, ROBERT S. STAUFFER, II, has borrowed the sum of
$34,435.00 from me, which sum is due and unpaid at the time of my making this Will. I
direct that whatever sum, greater than or lesser than $34,435.00 which is due to me by my
son, Robert, at the time of my death, shall be repaid to my Estate or deducted from his share
of my estate.
ITEM IV -
I give, devise and bequeath all of the rest, residue and remainder of my
estate, real, personal and mixed, in equal one-third shares to my three children, ROBERT
S. STAUFFER, II, BONNIE D. EASTON and LYNNETI'E HEFENFINGER, per stirpes, if each
is living on the sixty-first day following my death.
ITEM V -
All federal, state and other death taxes payable because of my death,
with respect to the property forming my gross estate for tax purposes, whether or not
passing under this will, including any interest or penalty imposed in connection with such
tax, shall be considered a part of the expense of the administration of my estate and shall
be paid from my residuary estate without apportionment or right of reimbursement. All
such taxes on present or future interests shall be paid at such time or times as my Executrix
may think proper, regardless of whether such taxes are then due.

ITEM VI -
No beneficiazy shall have any right or power, except as otherwise
specified, to sell, transfer, assign, pledge, mortgage, alienate or hypothecate his or her
interest in any manner whatsoever. To the fullest extent of the law, the interest of each and
every beneficiazy shall not be subject to the claims for any of his or her creditors or liable
to attachment, execution, bankruptcy proceedings, or any other legal process.
ITEM VII - My Executrix shall have the following powers in addition to those
vested in her by law and by other provisions of my will applicable to all property, whether
principal or income, including property held for minors, exercisable without court approval,
and effective until actUal distribution of all property.
A. To retain any or all of the assets of my estate, real or personal,
including stock, of a corporate fiduciazy, without regard to any
principle of diversification or risk.
B. To invest in all forms of property, including stock, common trust funds
and mortgage investment funds whether operated by a corporate
fiduciary or others, without restriction to investments authorized for
Pennsylvania fiduciaries, as she deems proper, without regard to any
principle of diversification or risk.

c. To cause to be registered in her name without qualification or
description, or in her name as Executrix, hereunder or in the name of

for sales, exchanges or leases, for such prices and upon such tenns or

EXPLANATION OF DEBT DUE TO THE DECEDENT'S ESTATE
BY SON, AND IMPUTED INTEREST
Robert S. Stauffer, II borrowed monies from his mother, the decedent, without
interest from approximately December 22, 1997 through August 30, 2001 in multi-
transactions.
From time to time Robert paid back sums of money to his mother.
His mother's records were not adequate for the Executrix to determine the
exact amount of monies due by Robert to his mother, the decedent, on her date of
death.
According to the available records there were more monies due on the date of
her Will than stated in the Will.
The Executrix assumed that the amount of $34,435.00 due from Robert stated
in the decedent's Will of July 2, 2000, was correct and also assumed that
subsequent amounts in the records of the decedent, from August 22, 2000 through
August 30, 2001, were correct.
Because of the extreme difficulty of proving any specific amounts due from
Robert to the Estate, the amount due was compromised at $36,000.00 in a Family
Settlement Agreement dated January 29, 2002.
In order to determine the imputed interest the applicable federal rates were
determined and averaged each year over the term of the loans. The averaged
federal rate was 5.33%. Extending this rate over the average estimated balance of
the loan for each year resulted in an imputed interest of $1,763.79 which was
carried onto Schedule D, to which this explanation is attached.

FAMILY smLEMENT AGREEMENT
THIS AGREEMENT, is made the,~.(day of January, 2002, by and among the
Estate of Martha P. Stauffer, deceased (Estate), by Lynnette Hefenfinger, Executrix
(Executrix), and by Lynnette Hefenfinger (Lynnette), individually of 95 Cherry Drive,
Marysville, PA 17053, and by Bonnie Easton (Bonnie), of 200 Tall Oak Drive, New
Cumberland, PA 17070, parties of the one part, and Robert S. Stauffer, " (Robert), of
16 S. 26th St., Camp Hill, PA 17011, party of the other part.
A. Lynnette, Bonnie and Robert are residuary beneficiaries of the Stauffer Estate
and are herein referred to separately as "Beneficiary" and collectively as
"Beneficiaries" .
B. Certain disputes and differences have arisen with respect to the administration
of the Estate by the Executrix, claims have been made by the Estate against
Robert, claims have been made by Robert against the Estate. The claims
include but are not limited to, the claim of the Estate for repayment of loans
made by Martha P. Stauffer to Robert in an amount up to $54,000 and a claim
by Robert against the Estate for personal care services to Martha P. Stauffer
during her lifetime in the amount of $143,616.00.
C. The parties wish to resolve all claims and disputes among them and by and
against each of them, not only with respect to the Estate but also with respect
to the Beneficiaries.
D. The Beneficiaries also desire that the administration of the Estate be
completed without the expense and delay of a Court Accounting.
THEREFORE, all parties hereto, in consideration of the mutual covenants
herein expressed, and intending to be legally bound hereby, agree as follows:
.
1. The Estate of Martha P. Stauffer, who died September 6, 2001, is now in the
process of administration. Letters Testamentary were granted to Lynnette
Hefenfinger by the Register of Wills of Cumberland County on September 14,
2001.
2. The Last Will and Testament of Martha P. Stauffer, dated August 18, 2000,
provides at Item IV that all of the rest, residue and remainder of the Estate is
given in equal 1 /3 shares to Martha's three children, Robert, Bonnie and
Lynnette, if each is living on the sixty-first day following her death.
3. More than sixty-one days have expired since the death of Martha P. Stauffer
on September 6,2001.
4. After considerable discussions, claims, cross-claims and negotiations by,
between and among the parties, they have arrived at an amicable settlement.
5. The amount of the loan owed by Robert to the Estate is Thirty-six Thousand
($36,000.00) Dollars.
6. The amount of the claim for personal care services to Martha P. Stauffer
and/or Robert S. Stauffer by Robert is denied and will not be paid, and the
claim is hereby released and discharged.
7. The estimated net estate for distribution is Two Hundred Sixty-two Thousand
Seven Hundred Nine Dollars Ten Cents ($262,709.10) +/- and one-third (1/3)
of the estimated estate for distribution is Eighty-seven Thousand Five Hundred
Sixty-nine Dollars Seventy Cents ($87,569.70) +/-.
8. Based on the above, Robert's one-third" (1 /3) share of the Estate is Eighty-
seven Thousand Five Hundred Sixty-nine Dollars Seventy Cents ($87,569.70)
which amount is agreed as final, regardless of whether the one-third (1/3) of
the distributable estate eventually is greater than or less than Eighty-seven
Thousand Five Hundred Sixty-nine Dollars Seventy Cents ($87,569.70).
9. Cash advances in the total amount of Four Thousand Nine Hundred Forty-
Nine ($4,949.00) Dollars have been made from the Estate to Robert.

10. Certain items of personal property have been distributed to Robert from the
Estate and are now in his possession. The distributed personal property is set
forth on Exhibit "A" attached hereto and incorporated herein.
11. Bonnie and Lynnette are each contributing Ten Thousand ($1 O,OOO.OO) Dollars
from their respective shares of the Estate in order to arrive at a settlement.
12. Robert will receive one-third (1/3) of the estimated net estate, Eighty-seven
Thousand Five Hundred Sixty-nine Dollars Seventy Cents ($87,569.70) minus
the compromised repayment of loan, Thirty-six Thousand ($36,OOO.OO) Dollars
plus Twenty Thousand ($20,000.00) Dollars contributed by Bonnie and
Lynnette less advances to Robert to date of Four Thousand Nine Hundred
Forty-nine ($4,949.00) resulting in a payment due to Robert of Sixty-six
Thousand Six Hundred Twenty Dollars Seventy Cents ($66,620.70).
13. Robert will be paid the sum of Five Thousand ($5,000.00) Dollars immediately
following the execution of this Agreement and receipt of a proper Satisfaction
and Release from Cheri Stauffer.
14. Title to the personal property listed on Exhibit "A" will pass to Robert upon the
execution of this Agreement and receipt of a proper Satisfaction and Release
from Cheri Stauffer.
15. The additional sum of Sixty-one Thousand Six Hundred Twenty Dollars Seventy
Cents ($61,620.70) will be paid to Robert after the execution of this
Agreement and a proper Satisfaction and Release from Cheri and after Robert
vacates completely and causes all other persons to vacate completely the
house at 16 S. 26th St., Camp Hill, PA; and removes all of his personal
property, including but not limited to the personal property set forth on Exhibit
"A"; and an inspection of the house shows no damage due to the action,
negligence or failure to act of Robert or anyone under his control or
supervision.
16. The remainder of the assets of the Estate, in cash and in kind, will be divided
equally between Lynnette and Bonnie and their respective shares distributed to
them as soon as possible after the administration of the Estate has been
completed.

17. Robert will cause his wife, Cheri Stauffer, to execute a Satisfaction and Release
of all claims which she had, has or may have against the Estate of Martha P.
Stauffer, deceased, and/or against Lynnette Hefenfinger, Executrix and
individually, and/or against Bonnie Easton, in the form attached hereto as
Exhibit "B" and incorporated herein by reference.
18. Lynnette, Executrix of the Estate, will be responsible for payment and will pay
from the Estate all decedent's just debts, administration expenses, attorneys'
fees, inheritance taxes, income taxes and other taxes, and miscellaneous
expenses. This paragraph is a restatement of the law of administration of
Estates and in no way affects or changes the satisfaction, payment and
releases or any of the provisions set forth in this Agreement.
19. The parties, and each of them, hereby forever fully release, compromise, settle
and discharge any and all claims, demands, actions or causes of actions, legal
or equitable, absolute or contingent, vested or hereafter to accrue, which any
or some of them had, now have or may have against any other party hereto,
some other parties hereto or all other parties hereto, by reason of any matter,
cause or thing growing out of and/or relating to any property or assets of the
said Estate and/or growing out of and/or relating to any act of the Executrix in
her administration of the Estate and/or by reason of any matter, cause or
thing growing out of and/or relating to each party hereto, some of them or all
of them.
20. The Beneficiaries agree that no Court Accounting or any form of Accounting
shall be required.
21 . The Beneficiaries agree to execute such additional releases as the Executrix
may submit to them in order to confirm their satisfaction and discharge from
any further liability to the parties in connection with the Estate and each other
and in connection with any other matter.
22. Wherever appearing in this Agreement, the singular shall include the plural
and the masculine, feminine and neuter shall be interchangeable.

23. This Agreement may be executed in multiple counterparts and shall be binding
upon all of the parties and their respedive heirs, next-of-kin, personal
representatives and assigns.

KNOW ALL PERSONS BY THESE PRESENTS that CHERI STAUFFER, wife of
Robert S. Stauffer, II, herein called Releasor, with the intent to legally bind myself, my
heirs, legal representatives, successors and assigns, do execute this release in favor
of the Estate of Martha P. Stauffer, deceased, and Lynnette Hefenfinger, Executrix of
the Estate and individually, and Bonnie Easton, herein called Releasees, their
respective heirs, legal representatives, successors and assigns.
In order to induce the Estate of Martha P. Stauffer, deceased, Lynnette
Hefenfinger, Exec~trix of the Estate and individually, and Bonnie Easton, to enter into
a Family Settlement Agreement by and among the Estate of Martha P. Stauffer,
deceased, by Lynnette Hefenfinger, Executrix and by Lynnette Hefenfinger,
individually, and by Bonnie Easton, parties of the one part and Robert S. Stauffer, II,
party of the other part, and intending to be legally bound hereby, I voluntarily and
knowingly release and discharge Releasees, their respective heirs, legal
representatives, successors and assigns from all claims, liabilities, demands, costs,
charges, expenses, actions, causes of action, judgments and executions, past,
present and future, known or unknown, asserted or un-asserted, whether or not
ascertainable at the time of execution of this Release, more especially but not limited
to any personal services which I rendered to Martha P. Stauffer during her lifetime.
It is further understood that this Release expresses a full and complete
settlement of any liability, claimed and/or denied and regardless of the adequacy or
inadequacy of the consideration stated, it is intended by Releasor to be a final and
complete settlement.

for this Release except as herein set forth.

one rOlmd brilliant cut diamond. The diamond has an average girdle diameter
of 5.22mm and depth of 3.35mm. Its approximate weight calculated from
measurements is 0.55 carats. The diamond is SIl in clarity with a few
small feathers near the girdle. The girdle also has some slight bearding.
The diamond is I - K in color, and of good make.
