LAST WILL AND TESTAMENT
OF
VIRGINIA K. ROBERTS
I, VIRGINIA K. ROBERTS, a resident of the Borough of Longport, in
the County of Atlantic and State of New Jersey, do make and publish
this, my LAST WILL AND TESTAMENT, hereby revoking all Wills and Codicils
heretofore made by me.
ARTICLE I - IDENTIFICATION
1.1 Child or Children.
I have four
(4) children, CAROL ROBERTS
RENTSCHLER, JOAN ROBERTS MacLELLAN, WILLIAM H. ROBERTS and ROBERT E.
ROBERTS. All reference in this Will to my "child" or "children" are to
said named child or children.
ARTICLE II - DEBTS AND EXPENSES
2.1 Debts and Expenses.
My enforceable debts (other than debts,
if any, secured by mortgages of real estate or the assignment or pledge
of life insurance policies), funeral and administration expenses shall
be paid out of my estate.
ARTICLE III - SPECIFIC GIFTS
3.1
Personal Effects.
(a)
I devise all my clothing, jewelry,
and personal effects, ~nd all furniture, furnishings, household effects,
and other tangible personal property (except currency) in accord.arl8e
with a written list or memorandum which I may have executed and which
may be in existence at the time of my death.
If no list is found among
my papers within three (3) months of my death, it shall be deemed not to
exist.
(b)
To the extent that all such property is not effectively
disposed of by such written list or memorandum, or if no such list or
memorandum exists, I devise the same, including insurance policies
thereon, to my children, to be divided among them as they shall agree,
or failing such agreement wi thin four months of my death, then as my
Personal Representative shall determine.
All costs of safekeeping,
insuring and shipping shall be deemed to be a general estate
administration expense.
4.1 Residue.
ARTICLE IV - RESIDUE
All the residue of my estate shall be divided into
equal shares and distributed, one equal share to each child who survives
me and one equal share for each child who may then be deceased leaving
descendants then surviving, to be divided and distributed to such
descendants, per stirpes. However, for each child who may predecease me
leaving no descendants then surviving, then such child's share shall
pass into the residuary estate and be divided equally amongst my
surviving children.
ARTICLE V - FIDUCIARY APPOINTMENTS
5.1
Fiduciary Appointments.
I appoint WILLIAM H. ROBERTS to be
Personal Representative under this my Will.
If said person should fail
to qualify or ceases to act, then I appoint CAROL ROBERTS RENTSCHLER to
be
Personal
Representative
under
this
my Will.
No
Personal
Representative shall be requirea to turnlsh bond or other sec~rity.
ARTICLE VI - ADMINISTRATIVE PROVISIONS
6.1 Taxes.
I direct that all estate, inheritance or other death
taxes, including interest and penalties, if any, payable under the laws
of any jurisdiction by reason of my death, shall be paid out of the
residue of my estate.

6.2 Beneficiaries Under Age 21.
(a) Notwithstanding the previous
provisions of this Will, if a beneficiary under age twenty-one (21)
becomes absolutely entitled to any property under the foregoing
provisions, such property shall immediately vest in such beneficiary.
However, the distributing fiduciary in its discretion may distribute the
property at any time if that fiduciary feels the funds will be properly
expended directly to the beneficiary or to a parent or any other person
or entity on behalf of the beneficiary, or to a custodian for the
beneficiary under a Uniform Transfers to Minors Act, or to the Trustee
named in this Will.
If the property is distributed to the Trustee, the
Trustee shall hold the property as a separate trust for the benefit of
the beneficiary and shall pay to or apply for his or her benefit all the
net income and so much of the principal at any time and from time to
time as the Trustee with sole discretion believes advisable to provide
adequately for the beneficiary's health, maintenance, education and
support in reasonable comfort.
(b) All funds not paid to or applied for the beneficiary in
accordance with Section 6.2(a) shall be paid to the beneficiary at age
twenty-one (21) or to the beneficiary's personal representative in the
event of the beneficiary's death prior tv age t;v.:;nty-one (21)

obtaining a receipt from the person to whom distribution is made, the
Trustee shall be relieved of any further obligations with respect to the
property distributed.

ARTICLE VII - FIDUCIARY POWERS
7.1
Fiduciary Powers.
My Personal Representative (including any
substitute
or
successor
Personal Representative)
shall have
the
following powers, in addition to, and not in limitation of, all powers
conferred by N.J.S.A. 38:14-23, or similar provision of subsequent law:
to (a) invest, reinvest and retain, abandon assets as long as shall
seem prudent, without restriction to investments authorized by law; (b)
sell, convey, exchange, mortgage, lease or otherwise dispose of all or
any part of my property, real or personal, at public or private sale,
for such prices and upon such terms and in such manner as such fiduciary
may deem advisable; (c) receive the proceeds, rents, issues, incomes and
profits therefrom;
(d) borrow money from themselves or others;
(e)
employ and compensate custodians, accountants, attorneys and other
agents; (f) register securities or other property, real or personal in
nominee or bearer form; (g) liquidate or compromise any and all claims
due to or by my estate; (h) make distribution of such property in cash
or kind or partly in each, in divided or undivided interests; (i)
exercise federal tax elections under the Internal Revenue Code, with or
wi thout making compensation among beneficiaries; (j) retain and manage

commissions and attorney's fees on account; and (m) execute and deliver
necessary instruments and give full receipts and discharges.

8.1 Definitions.
References in this Will to the singular shall be
deemed to include the plural, the masculine the feminine, and vice
versa. Headings and captions are for reference only.

Ward of the City of Pittsburgh (formerly the Twenty-second Ward of
the City of Pittsburgh) in the County of Allegheny and Commonwealth
of Pennsylvania, bounded and described as follows, to wit:
BEGINNING at a point on the northerly side of Forbes Avenue, which
point is distant 146 feet eastwardly from the northeast corner of
Shady Avenue and Forbes Avenue, and at the line of other lands now

the last mentioned line, a distance of 200 feet to a point in line
of land now or late of Smythe; thence in an easterly direction

out by S. J. McFarron, as recorded in the Recorder's Office in and
for the County of Allegheny at Plan Book Volume 13, page 146.
BEING DESIGNATED in Allegheny County Deed Registry Records as Block
86 -H, Lot 71.
SAID PROPERTY being subject to Lease from Florence M. Kunkel to
Forbes-Denniston Land Co., the Grantee herein, dated October 25,
1963 as recorded in Deed Book Volume 4107, page 1, the terms of
said Lease being ninety-nine (99) years, commencing on the first
day of November, 1963. Transfer of the within premises acts to
merge the Lease into the Deed thereby concluding and terminating
the terms and conditions of the aforementioned Lease.
BEING the same premises which Edward H. Alsop, et ux., by their
deed dated February 12, 1923, and recorded in the Allegheny County
Recorder of Deeds Office in Deed Book 2140, page 646, granted and
conveyed unto Howard W. Kunkel and Florence M. Kunkel, his wife.
The said Howard W. Kunkel died on the March 2, 1955, and title
passed by operation of law to his wife, Florence M. Kunkel. The
said Florence M. Kunkel died in 1968 and a Decree of Distribution
was issued by the Orphans' Division of the Court of Common Pleas of
Allegheny County dated September 18, 1969, recorded October 14,
1969 in the Recorder's Office of Allegheny County, Pennsylvania in
Deed Book Volume 4511, page 85, distributing said property to
Virginia F. Roberts, also known as Virginia K. Roberts. The said
Virginia K. Roberts died testate on October 7, 2001, and Letters
Testamentary were issued on October 31, 2001, to William H.
Roberts, the Executor and Grantor herein.

FORBES-DENNISTON LAND CO., a Pennsylvania business corporation,
with offices located in Pittsburgh, Allegheny County, Pennsylvania,

WHEREAS, the said Virginia K. Roberts, by her Last Will and
Testament, duly proved and recorded in the Register of Wills Office
in Cumberland County, Pennsylvania, on October 31, 2001, states:
"ARTICLE IV - RESIDUE: All the residue of my estate shall be
divided into equal shares and distributed, one equal share to
each child who survives me ..."
"ARTICLE V - FIDUCIARY APPOINTMENTS: I appoint WILLIAM H.
ROBERTS to be Personal Representative under this my Will."
NOW THEREFORE, the said Executor in consideration of Forty Thousand
and 00/100 ($40,000.00) Dollars, in hand paid, the receipt whereof
is hereby acknowledged, the said Executor does hereby grant and
convey to the said Grantee
ALL THAT CERTAIN lot or piece of ground situate in the Fourteenth
Ward of the City of Pittsburgh (formerly the Twenty-second Ward of
the City of Pittsburgh) in the County of Allegheny and Commonwealth
of Pennsylvania, bounded and described as follows, to wit:
BEGINNING at a point on the northerly side of Forbes Avenue, which
point is distant 146 feet eastwardly from the northeast corner of
Shady Avenue and Forbes Avenue, and at the line of other lands now
or late of Edward H. Alsop; thence in a northerly direction along
the last mentioned line, a distance of 200 feet to a point in line
of land now or late of smythe; thence in an easterly direction
along the last mentioned line, a distance of 50 feet to a point in
line of land now or late of Marshall; thence in a southerly
direction along the last mentioned line, a distance of 200 feet to
a point on the northerly side of Forbes Avenue; thence westerly
along the northerly side of Forbes Avenue, a distance of 50 feet to
the point at the place of BEGINNING.

BEING part of Lot No. 6 in the Homewood Summit Plan of Lots as laid
out by S. J. McFarron, as recorded in the Recorder's Office in and
for the County of Allegheny at Plan Book Volume 13, page 146.
BEING DESIGNATED in Allegheny County Deed Registry Records as Block
86-H, Lot 71.
SAID PROPERTY being subject to Lease from Florence M. Kunkel to
Forbes-Denniston Land Co., the Grantee herein, dated October 25,
1963 as recorded in Deed Book Volume 4107, page 1, the terms of
said Lease being ninety-nine (99) years, commencing on the first
day of November, 1963. Transfer of the within premises acts to
merge the Lease into the Deed thereby concluding and terminating
the terms and conditions of the aforementioned Lease.
BEING the same premises which Edward H. Alsop, et ux., by their
deed dated February 12, 1923, and recorded in the Allegheny County
Recorder of Deeds Office in Deed Book 2140, page 646, granted and
conveyed unto Howard W. Kunkel and Florence M. Kunkel, his wife.
The said Howard W. Kunkel died on the March 2, 1955, and title
passed by operation of law to his wife, Florence M. Kunkel. The
said Florence M. Kunkel died in 1968 and a Decree of Distribution
was issued by the Orphans' Division of the Court of Common Pleas of
Allegheny County dated September 18, 1969, recorded October 14,
1969 in the Recorder's Office of Allegheny County, pennsylvania in
Deed Book Volume 4511, page 85, distributing said property to
Virginia F. Roberts, also known as Virginia K. Roberts. The said
virginia K. Roberts died testate on October 7, 2001, and Letters
Testamentary were issued on October 31, 2001, to William H.
Roberts, the Executor and Grantor herein.
AND the said Grantor will specially WARRANT AND FOREVER DEFEND the
property hereby conveyed.
