LAST WILL AND TESTAMENT OF
GEORGE B. DOWNES
I, George B. Downes, of Monroe Township, Cumberland County,
Pennsylvania, declare this to be my Last Will and Testament and revoke
all Wills and Codicils previously made by me.
ITEM I: I direct that all my just debts and funeral expenses shall
be paid from my Estate, as soon as practicable after my decease, as a part
of the expense of the administration of my estate.
ITEM II: I devise and bequeath all of my estate of every nature and
wherever situate to my beloved wife, Catherine V. A. Downes, providing she
shall survive me by sixty (60) days.
ITEM III: Should my said wife, Catherine V. A. Downes, predecease
me or die on or before the sixtieth day following my death, I devise and
bequeath all of my estate of every nature and wherever situate to my daughter,
Janice D. Townsend. Should my said daughter predecease me, I devise and
bequeath her share m equal shares to her children living at the time of my death.
ITEM IV: I appoint my son-in-law, Timothy Townsend, guardian of any
property which passes, either under this Will or otherwise, to a minor and with
respect to which I am authorized to appoint a guardian and have not otherwise
specifically done so, provided t hat this appointment of a guardian shall not super-
sede the right of any fiduciary in its discretion to distribute a share where possible
to the minor or to another for the minor I s benefit. Such guardian shall have the
power to use principal as well as income from time to time for the minor I s
support, welfare and education, or to make payment for these purposes, without
further responsibility, to the minor or to any person taking care of the minor.
ITEM V: I appoint my beloved wife, Catherine V. A. Downes, Executrix
of this my Last Will and Testament. Should my said wife fail to qualify or cease
to act as Executrix, I appoint my daughter, Janice D. Townsend, Executrix of this
my Last Will and Testament.

ITEM VI: My personal representatives shall have the following
powers in addition to those vested in them by the common law, by statute
or by the other provisions hereof, applicable to all property, including
property held for minors, whether principal or income, exerciseable with out
Court approval and effective unt il actual distribution of all property:
A. To sell at public or private sale, to exchange or to lease,
for any period of time, any real or personal property and to give options
for sales, exchanges or leases, for such prices and upon such terms or
conditions as they shall deem proper.
B. To make distribution of my estate, wholly or In part, In kind
or in cash.
ITEM VII: I direct that my personal representatives and guardian,
as well as their successors, shall not be required to give bond for the faithful
performance of their duties in any jurisdiction.
