Defendant.
COMPLAINT
Plaintiff, Lucchese, Inc. ("Lucchese") by and through its undersigned attorneys, Lamm,
Rubenstone, Totaro & David, LLC, brings their action by way of Complaint against Defendants,
Adam Leathers Inc. ("ALl"), and in support thereof avers as follows:
1. The Plaintiff, Lucchese, is a Delaware Corporation with a corporate address of
601 Marion Drive, Garland, Texas 75042, and a principal business address of 40 Walter Jones
Boulevard, El Paso, Texas 79906.
2. Defendant, All is, upon information and belief, a Pennsylvania Corporation
whose last known business address to Lucchese was 107R Sporting Hill Road, Mechanicsburg,
Pennsylvania 17055.
3. On or about April 4, 2001, Lucchese and ALl entered into a contract whereby
Lucchese would provide goods to All, and ALl would timely pay invoices for same. A true

and correct copy of the Commercial Credit Application is attached hereto, made a part hereof
and marked as Exhibit "A."
4. Lucchese shipped goods to ALl pursuant to specific orders placed by All.
5. Lucchese enclosed an individual invoice ("Invoice," and collectively, "Invoices")
regarding each specific item shipped to ALL A true and correct copy of an Invoice is attached
hereto, made a part hereof and marked as Exhibit "8."
6. As Lucchese has issued a substantial amount of Invoices to ALl, and said records
are voluminous in nature, not suitable for attachment hereto, Plaintiff has attached a sample
Invoice and has attached a summary dated June 9, 2005 ("Summary") of all open Invoices. The
totality of original Invoices are available for review by Defendant or the Court, upon written
request to produce said voluminous records. A true and correct copy of all outstanding Invoices
as of June 9,2005 is attached hereto, made a part hereof and marked as Exhibit "C."
7. Pursuant to the Terms and Conditions printed on each Invoice, the Title to the
merchandise shipped passes to buyer (All) upon delivery to carrier. See Exhibit "B" - Terms
and Conditions number 3.
8. Pursuant to the Terms and Conditions printed on each Invoice, a Service Charge
of 1 Y, % per month is incurred on all invoices 30 days past due. See Exhibit "B" - Terms and
Conditions number 4.
9. Upon information and belief, there are approximately 317 outstanding Invoices
due or past due on the All account pursuant to the Summary. See Exhibit "C" attached hereto.
I O. Pursuant to the Summary, the current balance due and owing to Lucchese by ALl
is $65,539.65, without the inclusion of applicable service charges. Specifically, $13,505.49 is

Aged 0-30 days, $18,570.88 is Aged 31-60 days, $14,975.06 is Aged 61-90 days, $18,273.22 is
Aged 91-150 days and $215.00 is Aged 151-360 days. See Exhibit "COO attached hereto.
BREACH OF CONTRACT
11. The averments contained in paragraphs 1 through 10 of this Complaint are
incorporated by reference as though here set forth in full.
12. ALl breached the Terms and Conditions of the contract between the respective
parties, inter alia, by its failure to make full payment on the Invoice as and when due.
13. Despite repeated demands for payment, ALl has neglected, failed and refused to
pay the Invoices in full.
14. As a result of said breach of contract, Lucchese has suffered damages in the total
amount of $65,539.65, without inclusion of service charges pursuant to the Terms and
Conditions of the Invoices.
WHEREFORE, Plaintiff, Lucchese Inc. demands judgment in its favor and against
Defendant, Adam Leathers Inc., in the amount of $65,539.65, together with costs of this suit,
interest and such other and further relief as this Honorable Court may deem just and proper.
COUNT 11- CONVERSION
15. The averments contained in paragraphs 1 through 14 of this Complaint are
incorporated by reference as though here set forth in full.
16. The non-payment by ALl amounts to conversion of Lucchese's funds by ALl
within the meaning of the law in the Commonwealth of Pennsylvania.
17. As a result of ALl's conversion, Lucchese has suffered a total loss of $65,539.65.
WHEREFORE, Plaintiff, Lucchese Inc. demands judgment in its favor and against

5. Orders are not subject to cancellation or change after same is placed in work.

7. Deliveries of this order are liable to variations in price or cancellations on the part of the seller
in case of strikes, breakdowns, fires, delay or hinderance by reason of conditions occasioned

COMPLAINT
Plaintif1: Lucchese, Inc. ("Lucchese") by and through its undersigned attorneys, Lamm,
Rubcnstonc, Totaro & David, LLC, brings their action by way of Complaint against Defendants,
Adam Lcathers Inc. ("ALl"), and in support thereof avers as follows:
I. The Plaintiff, Lucchese, is a Delaware Corporation with a corporatc address of
601 Marion Drive, Garland, Texas 75042, and a principal business address of 40 Walter Jones
Boulcvard, EI Paso, T cxas 79906.
2. Defendant. ALl is, upon information and belief, a Pennsylvania Corporation
whose last known business addrcss to Lucchese was 107R Sporting Hill Road, Mcchanicsburg,
Pennsylvania 17055.
3. On or about April 4, 2001, Lucchcse and ALl entcred into a contract whcreby
Lucchcsc would providc goods to AU, and ALl would timely pay invoices f()r same. A true

and corrcct copy of the Commercial Credit Application is attached hereto, made a part hereof
and marked as Exhibit "A."
4. Lucchcse shipped goods to All pursuant to specillc orders placed by ALl.
5, Lucchese enclosed an individual invoice ("Invoice," and collectively, "Invoices")
regarding each specific item shipped to All. ^ true and correct copy of an Invoice is attached
hereto, made a part hereof and marked as Exhibit "B."
6. As Lucchese has issued a substantial amount ofInvoices to ALl, and said records
are voluminous in naturc, not suitable for attachment hereto, Plaintiff has attached a sample
Invoice ami has attached a summary dated June 9, 2005 ("Summary") of all open Invoices. The
totality of original Invoices are available for review by Defendant or the Court, upon written
rcqucst to produce said voluminous records. A truc and correct copy of all outstanding Invoices
as of June 9,2005 is attached hereto, made a part hereof and marked as Exhibit "c."
7. Pursuant to the Tenns and Conditions printed on each Invoice, the Title to the
merchandise shipped passes to buyer (ALl) upon delivery to carrier. See Exhibit "B" - Tenns
and Conditions number 3.
8. Pursuant to the Terms and Conditions printed on each Invoice, a Service Charge
of] '/, % per month is incurred on all invoices 30 days past due. See Exhibit "B" - Terms and
Conditions numbcr 4.
9. Upon information and bclief, there are approximately 3 I 7 outstanding Invoices
due or past due on the ALl account pursuant to the Summary. See Exhibit "C' attached hereto.
J O. Pursuant to the Summary, the current balance due and owing to Lucchese by ALl
is $65,539.65, without the inclusion of applicable service charges. Speciljcally, $13,505.49 is

Aged 0..30 days, $18,570.88 is Aged 31..60 days, $] 4,975.06 is Aged 6] ..90 days, $18,273.22 is
Aged 9] -150 days and $2 J 5.00 is Aged 15 J ..360 days. See Exhibit "C' attached hereto.
BREACH OF CONTRACT
1 ] . Thc avcnncnts contained in paragraphs 1 through 10 of this Complaint are
incorporated by referencc as though here set forth in full.
12. ALl breached the Terms and Conditions of the contract between the respective
parties, inter alia, by its failurc to makc fuJl payment on the Invoice as and when due.
13. Despite rcpcatcd demands for payment, ALl has neglected, failed and refused to
pay the Invoices in full.
14. As a rcsult of said brcach of contract, Lucchese has sullered damages in the total
amount of $65,539.65, without inclusion of service chargcs pursuant to the Terms and
Conditions of the Invoiccs.
WHERE-FORE, Plaintiff, Lucchese Inc. demands judgment in its favor and against
Defendant, Adam Lcathcrs Inc" in the amount of $65,539.65, together with costs of this suit,
intcresl and such olher and furlher relief as Ihis Honorable Court may deem jusl and proper.
COUNT JI- CONVERSION
IS. The avcrments contained in paragraphs ] through 14 of this Complaint are

16. The non..paymcnt by ALl amounls to conversion of Lucchcse's funds by AU
within the meaning oflhe law in the Commonwealth of Pennsylvania.
17. As a result of ALl's convcrsion, Lucchese has suffered a Iota] loss of $65,539.65.

1. All orders shall be subject to terms and conditions herein specified.
2. All claims must be made in writing within 10 (ten) days.
3. All shipments shall be FOB SHIPPING POfNT. Title of merchandise shipped passes to buyer
upon delivery to carrier.
4. Service charge of 1 y,% per month on all invoices 30 days past due.
5. Orders are not subject to cancellation or change after same is placed in work.
6. Written cancellation notices are required.
7. Deliveries of this order are liable to variations in price or cancellations on the part of the seller
in case of strikes, breakdowns, fires, delay or hinderance by reason of conditions occasioned
by war or any federal or state legislation.
8. Seller reserves the right to back order any portion of an order and to cancel any back order.
9. Any irregularities in the shipment must be reported to the seller (in writing) within 10 (Ien)
days after receipt of merchandise.
10. Approval of and delivery of all orders are subject to credil approval by seifer.
11. No merchandise may be returned without prior written authorization.
12. The fulfillment of this order is also contingent upon Ihe ability or inability of the seller to avail
himself 01 necessary materials and supplies as a result of shortages or priorities for orders by
other purchasers, including shortage of manpower or lack of transportation facilities, or any
other reason beyond the control of the seller shall not resull in liability of the seller to the
purchaser.
13. Goods that are purchased from Lucchese, Inc. are for the sole use of the retailer. Goods
purchased from Lucchese, Inc. will not be wholesaled or diverted to other end users.
