2. Ellen G. Duncan, of 177 Ridge Road, Carlisle, Cumberland County,
Pennsylvania, by written instrument dated April 17, 1997, created an inter
vivos trust for the purpose of holding and maintaining real estate situate in
Monroe Township, Cumberland County, Pennsylvania, in which
instrument she appointed her brother, Guy W. Deitch, Trustee of the Grace
W. Duncan Family Trust.
3. By Deed dated April 17, 1997, the said Ellen G. Duncan did grant and
convey unto Guy W. Deitch, Trustee of the Grace W. Duncan Family Trust,
a tract of land containing 2.712 acres, known and municipally numbered
as 177 Ridge Road, Carlisle, Monroe Township, Cumberland County,
Pennsylvania, and identified by Tax Parcel No. 22100638005. The Deed
is recorded in Cumberland County, Pennsylvania Deed Book 156, at page
187.
4. The original Trustee, Guy W. Deitch, departed this Earthly life on July 24,
2005, thereby creating a vacancy in that office.
5. The Successor Trustee named in the instrument, Guy W. Deitch Jr., has
elected to not accept appointment as Successor Trustee, and has requested
that your Petitioner proceed in that capacity.
6. Ellen G. Duncan, Settlor of the Grace W. Duncan Family Trust, has
approved appointment of your Petitioner as Successor Trustee, as verified
by the Consent that is attached hereto, and has waived the requirement that
your Petitioner post surety.
7. The only person presently interested in the Trust is Settlor Ellen G.
Duncan, whose Consent to this appointment is appended hereto.

WHEREFORE, your Petitioner requests that he be appointed as Successor Trustee of the
Trust Estate, with all powers and duties of the said Guy W. Deitch, and that the authority
granted to Guy W. Deitch extend to your Petitioner, authorizing the marketing of the real
estate and expending the proceeds generated thereby for the purchase of replacement real
estate, all as set forth in the Petition of Guy W. Deitch. And he will ever pray.

I, the undersigned, ELLEN G. DUNCAN, Settlor of and beneficiary of the GRACE
W. DUNCAN FAMILY TRUST, do hereby consent to Petition ofWm. D. Schrack III,
Esquire, for permission to be appointed Successor Trustee to my brother Guy W. Deitch,
who departed this Earthly life on July 25, 2005. I further consent to Successor Trustee
Schrack's effort to sell at market the premises known and municipally numbered as 177
Ridge Road, Carlisle, Monroe Township, Cumberland County, Pennsylvania.
I further consent to the Successor Trustee's retention of the net proceeds generated
by the sale of that premises, which are to be utilized for the purchase by my daughter,
Mary G. Duncan, and me, of premises known and municipally numbered as 17 - 21
Roseglen Road, Duncannon, Wheatfield Township, Perry County, Pennsylvania 17020
(Tax Parcel 29010202014000).
I further consent to the Court's appointing WM. D. SCHRACK III, ESQUIRE as
Successor Trustee without the need of providing surety.

respectfully requests of your Honorable Court permission to sell rea~ ~tate ~~he trJ;~,
and sets forth the following in support thereof:

1. Grace W. Duncan was the owner of fee title to a parcel of land containing
2.712 acres, and known and municipally numbered as 177 Ridge Road,
Carlisle, Monroe Township, Cumberland County, Pennsylvania.
2. The tract was improved with a dwelling and other outbuildings. all in a
state of serious disrepair.
3. The said Grace W. Duncan departed this Earthly life on November 3, 1996,
having first made her Last Will and Testament, which was entered for
probate in the Office of the Register of Wills of Cumberland County,
Pennsylvania to File No. 1996-00920, in which Will she bequeathed
nominal gifts to grandchildren, and divided the remainder of her Estate
between daughters, Alice M. Fearnbaugh and Ellen G. Duncan.
Decedent Grace W. Duncan died without assets, except for the Ridge Road
Real Estate, ownership of which Ellen G. Duncan desired to retain, and

which legatee Alice M. Fearnbaugh did not wish to hold as Tenants in
Common with her sister.
5. The subject real estate was pledged as collateral to Fulton Bank, and a loan
was created to provide funds with which to pay Alice M. Fearnbaugh her
share of the value of her mother's estate.
6. Ellen G. Duncan is chronically unemployed, and has been the recipient of
S.S.I. for many, many years.
7. As a condition of approval of the financing through Fulton Bank, it was
required that the subject Real Estate, collateral for the loan, be transferred
to a Trust for the duration of the indebtedness.
8. The Trust was established on April 17, 1997, and the subject Real Estate
was conveyed to Guy W. Deitch (Ellen's half brother) as Trustee of the
Grace W. Duncan Family Trust. (Exhibit "A").
9. The terms of the Trust permit Trustee to Sell the subject Real Estate. (Item
5-C) (Exhibit "B").
10. The indebtedness owed to Fulton Bank has been paid in full.
11. The improvements on the subject real estate have, because of neglect,
deteriorated to the point that they are no longer habitable.
12. Trustee has entered into an Agreement to sell the subject premises for the
sum of $95,000.00. (See Exhibit "C").

13. The valuation of the premises is based upon a market analysis completed
by the listing realtor, and which valuation Trustee believes accurately
represents the value of the land, reduced by the cost of removal of debris
and unhabitable ramshackle structures that remain on the premises.
14. Mary G. Duncan, elder daughter of beneficiary Ellen G. Duncan, who is sui
juris, has entered into a contract to purchase replacement real estate, along
with beneficiary Ellen G. Duncan, which they will occupy jointly, and
ownership of which will be acquired as Joint Tenants with the Right of
Survivorship (see Exhibit "D").
15. It is the intent of the parties to utilize the net proceeds generated by the sale
of the Trust property as a down payment for the purchase of replacement
real estate, and for the beneficiary and her daughter to execute a Mortgage
for the balance of the purchase price of the subject premises.
16. Ellen G. Duncan remains obligated on a Mortgage payable to Steven R.
Brown, for the sum of $5,000.00 as reimbursement of expenses made in an
attempt to improve the habitability of the premised prior to the death of
Testator, Grace W. Duncan. (Exhibit "E").
17. The said Steven R. Brown has allowed the obligation to be carried without
interest, but requires payment at the time of conveyance of the premises.
18. Ellen G. Duncan remains indebted to Davis Country Living for rabit and
chicken feed purchased over the past few years, the present account
balance of which is $2,868.00. (Exhibit "F").
WHEREFORE, your Petitioner prays your Honorable Court to authorize the
Trustee to complete the sale of the Trust real estate, to apply the proceeds thereof to
satisfy the Mortgage of Steven R. Brown, and the account balance owed to Davis country
Living, and to retain the net proceeds generated thereby in escrow pending distribution
for the purchase of the replacement real estate, and to utilize the net proceeds generated
thereby as a deposit for acquisition and improvement of the replacement real estate. And
he will ever pray.

Commonwealth of Pennsylvania, hereinafter called "Grantor";

GUY W. DEITCH, TRUSTEE OF THE GRACE W. DUNCAN FAMILY TRUST, hereinafter
called "Grantee".
THE WITHIN CONVEYANCE IS A TRANSFER BETWEEN BROTHER
AND SISTER, AND AS SUCH IS EXEMPT FROM PENNSYLVANIA
REALTY TRANSFER TAXES.
WITNESSETH, that in consideration of ONE DOLLAR ($1.00) in hand paid, the
receipt whereof is hereby acknowledged, the said Grantor does hereby grant and
convey unto the said Grantee, his heirs and assigns,
ALL THAT CERTAIN tract of land, situate in the Township of

BEGINNING at a railroad spike set in the centerline of Ridge Road,
a thirty-three foot wide road, said spike being set at a distance of
seventeen hundred feet (1700') more or less from the intersection of Ridge
Road wittl the centerline of Legislative Route 125 (Pennsylvania Traffic
Route 74), which spike also marks the common point of adjoiner of the
within described tract with other lands now or formerly of Emory Comp;
thence extending in and through the cartway of Ridge Road North twenty-
eight degrees 50 minutes 30 seconds East (N 28 50' 30" E), for a distance
of three hundred ten and thirty-four hundredths feet (310.34') to a railroad
spike in the center of said roadway and also in the line which divides
South Middleton Township from Monroe Township, said spike also
marking the common point of adjoiner of the within described tract which
lands now or formerly of Bernard Shugart; thence departing from the
centerline of the cartway of Ridge Road and extending along lands now

spike set in the centerline of Ridge Road, said spike marking the place of
BEGINNING.
CONTAINING 2.712 acres in accordance with a survey prepared
by John C. Bril hart , Registered Surveyor, and dated December 4, 1974.
IT BEING THE SAME PREMISES which Wm. D. Schrack, III,
Executor, of the Last Will and Testament of Grace W. Duncan, by his Deed
dated April LZ, 1997, and recorded in the Office of theB.ecorder of Deeds
of Cumberland County, Pennsylvania, in Deed Book ~ , at page ~,

THE WITHIN CONVEYANCE IS A TRANSFER BETWEEN BROTHER

THE GRACE W. DUNCAN FAMILY TRUST
AN IRREVOCABLE TRUST
This is an Irrevocable Agreement of Trust made in duplicate this ..()cIf d~y of
April, 1997, between ELLEN G. DUNCAN, hereinafter called "Settlor", and GUY W.
DEITCH, hereinafter called "Trustee". This Trust shall be known as "THE GRACE W.
DUNCAN FAMILY TRUST".
FUNDING OF TRUST
FIRST: Settlor hereby establishes with Trustee a Trust for the benefit of Settlor,
and the issue of Settlor, to consist of a parcel of real estate containing 2.712 acres, together
with improvements thereon erected, all situate in the Township of Monroe, County of
Cumberland, and Commonwealth of Pennsylvania, and such additions as from time to time
be made, to be held pursuant to the terms of this agreement.
DISPOSITIVE PROVISIONS
SECOND: Trustee shall hold and distribute the principal held hereunder, and any
income generated therefrom, as follows:
A. The principal asset of the Trust shall be the Grace W. Duncan homestead,
situate in Monroe Township, Cumberland County, Pennsylvania, which is
known and municipally numbered as 177 Ridge Road, Carlisle, Pennsylvania
(See Exhibit "A" for specific legal description). The property shall be held
by the Trustee for the benefit of the Settlor, to provide a home for the
Settlor and Settlor's children, for at least so long as Settlor and Sett10r's
children occupy the property as their principal residence.
B.
The additional assets to be contributed to the Trust shall consist of a sum
borrowed by Settlor from Fulton Bank on April!7, 1997, which sum shall be
maintained by Trustee for the benefit of Settlor, to enable Trustee to arrange
for maintenance of the property which is the principal asset of the Trust.
Said maintenance shall include the physical maintenance of the property as
deemed appropriate in his sole discretion, as well as payment of real estate
taxes and any premiums due for insurance maintained on the property.

c. In the event of the liquidation of the real estate that is the principal asset of
this Trust, the Trustee is authorized to invest the proceeds thereof, and pay
to Settlor an amount equal to ninety-five percent (95%) of the income
generated thereby, on a periodic basis as deemed appropriate in the Trustee's
sole discretion.
Upon the death of Settlor, if that death should occur prior to liquidation of the
assets, or termination of this Trust, Trustee shall pay and distribute any then remaining
principal, and accumulated income, to Settlor's issue, Mary Duncan, and Tony Lee Duncan,
in equal shares.
TERMINATION OF TRUST
THIRD: e Trust shall not be terminated prior to July 1, 2004. the event the
Trustee, or succ rustee, shall elect to termmate t e rust, suc termination shall be
preceded by a Petition filed to the court with appropriate jurisdiction to adjudicate the
capacity of the Settlor. If the adjudication establishes capacity of the Settlor, Trustee shall
distribute those funds to the Settlor. If the adjudication is of diminished capacity,
termination of the Trust shall only be in accordance-witlrguidelines estabtisbed by tIli1t
adjudication.
PROTECTION OF BENEFICIARIES
FOURTH: No interest in income or principal shall be assignable by the beneficiary
or available to anyone having a claim against a beneficiary before actual payment thereof
to the beneficiary. This Trust is specifically not available to any creditor of Settlor.
POWERS OF TRUSTEE
FIFTH: Trustee and his successors shall have the following powers, in addition to
those given by law, to be exercised by Trustee in his absolute discretion, which powers shall
be applicable to all property held by him, including all property held for minors, effective
without the order of any court, and until actual distribution of all property.

A. To retain any investments at discretion, including stock of any corporate
fiduciary, or a holding company controlling it, or stock which may be owned
and controlled by Settlor;
B. To invest and reinvest at discretion without restriction to so-called "legal
investments,1l with the specific right to invest in stock which may be owned
and controlled by a fiduciary institution, and in common and preferred stock
and in such common trust, diversified, money market and mutual funds as
that fiduciary entity may deem appropriate, and without any obligation to
diversify;

To sell, to grant options for the sale of, or to otherwise convert any real
property or interest therein, at public or private sale, for such prices, at such
times, and at such manner and upon such terms as Trustee may think proper,
and to execute and deliver good and sufficient conveyances, assignments and
transfers thereof without liability to any purchaser to see to the application
of the purchase money;

D. To borrow money and to secure its repayment by mortgage of real or

the part of the lender to see to the application thereof;
E. To compromise claims by or against any Trust created hereunder;
F. To make distribution in cash or in kind, or partly in each;
G. To register investments in the name of a nominee or to hold the same
unregistered in such form as they will pass by delivery;
H. To join in any recapitalization, merger, reorganization or voting trust plan
affecting investments; to deposit securities under agreement; to subscribtf for
stock and bond privileges; and generally to exercise all rights of security
holders;
I. To manage, operate, repair, alter or improve real estate or other property,
and to lease real estate and other property upon such terms and for such
period as Trustee deems advisable, even for more than five (5) years and
beyond the duration of any Trust;

J. To receive from Settlor or from any other source any real property as
additions to this Trust, by deed, will or in any other manner;
K. To associate with them in the absence of a corporate fiduciary, an
accountant, custodian, investment advisor and other agents and to
compensate them from principal or income or both, as Trustee shall
determine; such compensation to be a reduction of the compensation of
Trustee;
L. To associate with them at all time, in their absolute discretion and of their
choice, a corporate fiduciary which shall have the same power as Settlor's
Trustee, such designation by Settlor's Trustee and acceptance by a corporate
fiduciary to be in writing;
M. To delegate to a corporate fiduciary the exercise of any powers, with the
same effect as if the Trustee delegating such power had joined in the exercise
of such power; and to revoke any such power, provided, however, that the
revocation of any such delegation shall be in writing delivered to an accepted
by the corporate fiduciary; and
N. To do all other acts and things necessary and appropriate In the
management, administration and distribution of this Trust.
SUCCESSOR TRUSTEES
SIXTH: If Guy W. Deitch is unable to continue to act as Trustee, then Guy W.
Deitch, Jr. shall serve in his place with the same powers and duties and limitations. The
appointment of such successor shall be effective upon the successor's accepting such
appointment by writing lodged with the trust records. No Trustee acting hereunder shall
be required to furnish security in any jurisdiction.
COMPENSATION OF TRUSTEES
SEVENTH: Trustee or successor Trustee shall serve In that capacity without
compensation.

TRUST IS IRREVOCABLE
EIGHTH: Settlor has had explained to her the consequences of an irrevocable trust,
and hereby declares that she intends that this Trust be irrevocable.
PENNSYLVANIA LAW GOVERNS
NINTH: Questions pertaining to the validity, construction and administration of this
Trust created under this instrument shall be determined in accordance with the laws of the
Commonwealth of Pennsylvania.

MORTGAGE
THIS INDENTURE made this (J~ay of ~ ' 1997, between
GUY W. DEITCH, TRUSTEE OF THE GRACE W. D NCAN FAMILY TRUST,
hereinafter called "Mortgagor," of the one part, and STEVEN R. BROWN, hereinafter
called "Mortgagee."
WHEREAS, Mortgagor has executed a certain mortgage Note (hereinafter called
"Note"), payable to the order of Mortgagee in the principal sum of FIVE THOUSAND
DOLLARS ($5,000.00), lawful money of the United States of America, together with
interest thereon, at the rate payable in the Note, in the manner and at the times therein
set forth, and containing certain other terms and conditions, all of which are specifically

BEGINNING at a railroad spike set in the centerline of Ridge Road,
a thirty-three foot wide road, said spike being set at a distance of seventeen
hundred feet (1700') more orJess from the intersection of Ridge Road with
the centerline of Legislative Route 125 (Pennsylvania Traffic Route 74),
which spike also marks the common point of adjoiner of the within described
tract with other lands now or formerly of Emory Camp; thence extending in
and through the cartway of Ridge Road North twenty-eight degrees 50
minutes 30 seconds East (N 28 50' 30" E), for a distance of three hundred
ten and thirty-four hundredths feet (310.34') to a railroad spike in the center
of said roadway and also in the line which divides South Middleton Township
from Monroe Township, said spike also marking the common point of
adjoiner of the within described tract which lands now or formerly of Bernard
Shugart; thence departing from the centerline of the cartway of Ridge Road
and extending along lands now or formerly of Bernard Shugart, North eighty
degrees eleven minutes twenty-four seconds East (N 80 11' 24" E), for a
distance of three hundred ninety-six and no hundredth feet (396.00') to a
post at lands now or formerly of Paul Cornman; thence by lands now or
formerly of Paul Cornman the following two courses and distances, South
twenty-three degrees forty-seven minutes zero seconds West (S 23 47' 0" W),
thence continuing along lands now or formerly of Emory Camp, North ~ight-

spike set in the centerline of Ridge Road, said spike marking the place of
BEGINNING.
CONTAINING 2.712 acres in accordance with a survey prepared by
John C. Brilhart, Registered Surveyor, and dated December 4, 1974.
IT BEING THE SAME PREMISES which Wm. D. Schrack, III,
Executor of the Last Will and Testament of Grace W. Duncan, by his Deed
dated ,.4PR...Ic.... (") , 1997, and about to be recorded in the Office of
the Recorder of Deeds of Cumberland County, Pennsylvania, in Deed Book,
granted and conveyed unto Guy W. Deitch, Trustee, the Mortgagor herein.
TOGETHER WITH all and singular the streets, ways, water,
watercourses, rights, liberties, privileges, hereditaments, and appurtenances
whatsoever thereunto belonging or in any wise appertaining, and the
reversions and remainders, rents, issues, and profits thereof; and all of the
estate, right, title, interest, claim, and demand whatsoever of
and every part thereof.
TO HAVE AND TO HOLD the same unto Mortgagee, his heirs and assigns, forever.
PROVIDED, HOWEVER, that if Mortgagor shall pay to Mortgagee the aforesaid
debt or principal sum, including additional loans or advances and all other sums payable
by Mortgagor to Mortgagee hereunder and under the tenns of the Note, together with
interest thereon, and shaIl keep and perform each of the other covenants, conditions, and
agreements hereinafter set forth, then this Mortgage and the estate thereby granted and
conveyed shall become void.
This Mortgage is executed and delivered subject to the following covenants,
conditions, and agreements:

1. The Note secured hereby shall evidence and this Mortgage' shall cover
and be security for any future loans or advances that may be made by
Mortgagee to Mortgagor at any time or times hereafter and intended by
Mortgagor and Mortgagee to be so evidenced and secured, and such loans
and advances shall be added to the principal debt.
2. From time to time until said debt and interest are fully paid,
Mortgagor shall (a) pay and discharge when and as the same shall become
due and payable, all taxes, assessments, sewer and water rents, and all
charges and claims assessed or levied from time to time by any lawful
authority upon any part of the mortgaged premises, and which shall or might
have priority in lien or payment to the debt secured hereby; (b) pay all
ground rents reserved from the mortgaged premises, and to pay and
discharge all mechanics' liens which may be filed against said premises, and
which shall or might have priority in lien or payment to the debt secured
hereby; (c) pay and discharge any documentary, stamp, or other tax, including
interest and penalties thereon, if any, now or hereafter becoming payable on
the Note evidencing the debt secured hereby; (d) provide, renew, and keep
alive by paying the necessary premiums and charges thereon such policies of
hazard and liability insurance as Mortgagee from time to time requires upon
the buildings and improvements now or hereafter erected upon the
mortgaged premises, with loss payable clauses in favor of Mortgagor and
Mortgagee as their respective interests may appear; and ( e) promptly submit
to Mortgagee evidence of the due and punctual payment of all the foregoing
charges, provided, however, that Mortgagee may, at its option, require that
Mortgagee.
3. Mortgagor shall maintain all buildings and improvements subject to
this Mortgage in good and substantial repair, as determined by Mortgagee.
Mortgagee shall have the right to enter upon the mortgaged premises at any
reasonable hour for the purpose of inspecting the order, condition, and repair
of the buildings and improvements thereon erected:
4. In the event the Mortgagor neglects or refuses to pay the charges
mentioned in (2) supra, or fails to maintain the buildings and improvements
as aforesaid, Mortgagee may do so, add the cost thereof to the principal debt
secured hereby, and collect the same as part of said principal debt.
5. Mortgagor covenants and agrees not to create, or permit to accrue,
upon all or any part of the mortgaged premises, any debt, lien, or charge
which would be prior to, or on a parity with, the lien of this Mortgage, except
for a construction mortgage Jor construction of a dwelling on the premises.

6. In case default be made in the space of thirty (30) days in the payment
of any installment of principal or interest pursuant to the terms of the Note,
or in the performance by Mortgagor of any of the other obligations of the
Note or this Mortgage, the entire balance of said principal sum, additional
loans or advances, and all other sums paid by Mortgagee pursuant to the
terms of the Note or this Mortgage, together with unpaid interest thereon,
shall at the option of the Mortgagee, and without notice, become
immediately due and payable, and foreclosure proceedings may be brought
forthwith on this Mortgage and prosecuted to judgment, execution, and sale
for the collection of the same, together with costs of suit, and attorney's
commission for collection of five per cent (5%) of the total indebtedness.
The Mortgagor hereby forever waives and releases all errors in said
proceedings, waives the stay of execution, the right of inquisition, and
extension of time of payment, and agrees to condemnation of any property
levied upon by virtue of any such execution.
7. If all or any part of the mortgaged property, or an interest therein is
sold or transferred by Mortgagor without Mortgagee's prior written consent,
excluding (a) the creation of a lien or encumbrance subordinate to this
Mortgage, (b) the creation of a purchase money security interest for
household appliances, or (c) a transfer of devise, descent, or by operation of
law upon death of a joint tenant, Mortgagee may, at Mortgagee's option,

shall bind, and the benefits thereof shall inure to, the respective parties
hereto, and their respective heirs, successors, and assigns, and if this
Mortgage is executed by more than one person, the undertakings and liability

intended as a purchase money mortgage, and recorded as such.

Ellen Duncan has a past due account for the amount of $2942.52.We do not add any
finance charge to this account, we are doing this as a favor for Ellen. An organization by
the name of "Financial Counseling Services" for Ellen, is now sending $25.00 each
. . .
I would like it understood that the above mentioned balance be paid out from the
proceeds from the sale of the real estate. By settling this way "DAVIS COUNTRY
LIVING" will not file for collection. The exact amount for a payout can be confirmed at
settlement time.

AN IRREVOCABLE TRUST
This is an Irrevocable Agreement of Trust made in duplicate this '.j)e:IIf d~y of
April, 1997, between ELLEN G. DUNCAN, hereinafter called "Settlor", and GUY W.
DEITCH, hereinafter called "Trustee". This Trust shall be known as "THE GRACE W.
DUNCAN FAMILY TRUST".
FUNDING OF TRUST
FIRST: Settlor hereby establishes with Trustee a Trust for the benefit of Settlor,
and the issue of Settlor, to consist of a parcel of real estate containing 2.712 acres, together
with improvements thereon erected, all situate in the Township of Monroe, County of
Cumberland, and Commonwealth of Pennsylvania, and such additions as from time to time

SECOND: Trustee shall hold and distribute the principal held hereunder, and any
income generated therefrom, as follows:
A. The principal asset of the Trust shall be the Grace W. Duncan homestead,
situate in Monroe Township, Cumberland County, Pennsylvania, which is
known and municipally numbered as 177 Ridge Road, Carlisle, Pennsylvania
(See Exhibit "A" for specific legal description). The property shall be held
by the Trustee for the benefit of the Settlor, to provide a home for the
Settlor and Settlor's children, for at least so long as Settlor and SettJor's
children occupy the property as their principal residence.
B.
The additional assets to be contributed to the Trust shall consist of a sum
borrowed by Settlor from Fulton Bank on April 17, 1997, which sum shall be
maintained by Trustee for the benefit of Settlor, to enable Trustee to arrange
for maintenance of the property which is the principal asset of the Trust.
Said maintenance shall include the physical maintenance of the property as
deemed appropriate in his sole discretion, as well as payment of real estate
taxes and any premiums due for insurance maintained on the property.

C. In the event of the liquidation of the real estate that is the principal asset of
this Trust, the Trustee is authorized to invest the proceeds thereof, and pay
to Settlor an amount equal to ninety-five percent (95%) of the income
generated thereby, on a periodic basis as deemed appropriate in the Trustee's
sole discretion.
Upon the death of Settlor, if that death should occur prior to liquidation of the
assets, or termination of this Trust, Trustee shall pay and distribute any then remaining
principal, and accumulated income, to Settlor's issue, Mary Duncan, and Tony Lee Duncan,
in equal shares.
TERMINATION OF TRUST
THIRD: e Trust shall not be terminated prior to July 1, 2004. the event the
Trustee, or succ rustee, shall elect to termInate t e rust, suc termination shall be
preceded by a Petition filed to the court with appropriate jurisdiction to adjudicate the
capacity of the Settlor. If the adjudication establishes capacity of the Settlor, Trustee shall
distribute those funds to the Settlor. If the adjudication is of diminished capacity,
termination of the Trust shall only be in accordance-with--guideIilles ~stabIisllt~J by thtlt
adjudication.
PROTECTION OF BENEFICIARIES
FOURTH: No interest in income or principal shall be assignable by the beneficiary
or available to anyone having a claim against a beneficiary before actual payment thereof
to the beneficiary. This Trust is specifically not available to any creditor of Settlor.
POWERS OF TRUSTEE
FIFTH: Trustee and his successors shall have the following powers, in addition to
those given by law, to be exercised by Trustee in his absolute discretion, which powers shall
be applicable to all property held by him, including all property held for minors, effective
without the order of any court, and until actual distribution of all property.

A. To retain any investments at discretion, including stock of any corporate
fiduciary, or a holding company controlling it, or stock which may be owned
and controlled by Settlor;
B. To invest and reinvest at discretion without restriction to so-called "legal
investments," with the specific right to invest in stock which may be owned
and controlled by a fiduciary institution, and in common and preferred stock
and in such common trust, diversified, money market and mutual funds as
that fiduciary entity may deem appropriate, and without any obligation to
diversify;

To sell, to grant options for the sale of, or to otherwise convert any real
property or interest therein, at public or private sale, for such prices, at such
times, and at such manner and upon such terms as Trustee may think proper,
and to execute and deliver good and sufficient conveyances, assignments and
transfers thereof without liability to any purchaser to see to the application
of the purchase money;
D. To borrow money and to secure its repayment by mortgage of real or

the part of the lender to see to the application thereof;

E. To compromise claims by or against any Trust created hereunder;
F. To make distribution in cash or in kind, or partIy in each;
G. To register investments in the name of a nominee or to hold the same
unregistered in such form as they will pass by delivery;
H. To join in any recapitalization, merger, reorganization or voting trust plan
affecting investments; to deposit securities under agreement; to subscrib~ for
stock and bond privileges; and generally to exercise all rights of security
holders;
I. To manage, operate, repair, alter or improve real estate or other property,
and to lease real estate and other property upon such terms and for such
period as Trustee deems advisable, even for more than five (5) years and
beyond the duration of any Trust;

J. To receive from Settlor or from any other source any real property as
additions to this Trust, by deed, will or in any other manner;
K. To associate with them in the absence of a corporate fiduciary, an
accountant, custodian, investment advisor and other agents and to
compensate them from principal or income or both, as Trustee shall
determine; such compensation to be a reduction of the compensation of
Trustee;
L. To associate with them at all time, in their absolute discretion and of their
choice, a corporate fiduciary which shall have the same power as Settlor's
Trustee, such designation by Settlor's Trustee and acceptance by a corporate
fiduciary to be in writing;
M. To delegate to a corporate fiduciary the exercise of any powers, with the
same effect as if the Trustee delegating such power had joined in the exercise
of such power; and to revoke any such power, provided, however, that the
revocation of any such delegation shall be in writing delivered to an accepted
by the corporate fiduciary; and
N. To do all other acts and things necessary and appropriate in the
management, administration and distribution of this Trust.
SUCCESSOR TRUSTEES
SIXTH: If Guy W. Deitch is unable to continue to act as Trustee, then Guy W.
Deitch, Jr. shall serve in his place with the same powers and duties and limitations. The
appointment of such successor shall be effective upon the successor's accepting such
appointment by writing lodged with the trust records. No Trustee acting hereunder shall
be required to furnish security in any jurisdiction.
COMPENSATION OF TRUSTEES
SEVENTH: Trustee or successor Trustee shall serve III that capacity without
compensation.

TRUST IS IRREVOCABLE
EIGHTH: Settlor has had explained to her the consequences of an irrevocable trust,
and hereby declares that she intends that this Trust be irrevocable.
PENNSYLVANIA LAW GOVERNS
NINTH: Questions pertaining to the validity, construction and administration of this
Trust created under this instrument shall be determined in accordance with the laws of the
Commonwealth of Pennsylvania.

PROVIDED, HOWEVER, that if Mortgagor shall pay to Mortgagee the aforesaid
debt or principal sum, including additional loans or advances and all other sums payable
by Mortgagor to Mortgagee hereunder and under the tenns of the Note, together with
interest thereon, and shall keep and perform each of the other covenants, conditions, and
agreements hereinafter set forth, then this Mortgage and the estate thereby granted and
conveyed shall become void.
This Mortgage is executed and delivered subject to the following covenants,
conditions, and agreements:

1. The Note secured hereby shall evidence and this Mortgage' shall cover
and be security for any future loans or advances that may be made by
Mortgagee to Mortgagor at any time or times hereafter and intended by
Mortgagor and Mortgagee to be so evidenced and secured, and such loans
and advances shall be added to the principal debt.
2. From time to time until said debt and interest are fully paid,
Mortgagor shall (a) pay and discharge when and as the same shall become
due and payable, all taxes, assessments, sewer and water rents, and all
charges and claims assessed or levied from time to time by any lawful
authority upon any part of the mortgaged premises, and which shall or might
have priority in lien or payment to the debt secured hereby; (b) pay all
ground rents reserved from the mortgaged premises, and to pay and
discharge all mechanics' liens which may be filed against said premises, and
which shall or might have priority in lien or payment to the debt secured
hereby; (c) pay and discharge any documentary, stamp, or other tax, including
interest and penalties thereon, if any, now or hereafter becoming payable on
the Note evidencing the debt secured hereby; (d) provide, renew, and keep
alive by paying the necessary premiums and charges thereon such policies of
hazard and liability insurance as Mortgagee from time to time requires upon
the buildings and improvements now or hereafter erected upon the
mortgaged premises, with loss payable clauses in favor of Mortgagor and
Mortgagee as their respective interests may appear; and (e) promptly submit
to Mortgagee evidence of the due and punctual payment of all the foregoing
charges, provided, however, that Mortgagee may, at its option, require that

3. Mortgagor shall maintain all buildings and improvements subject to
this Mortgage in good and substantial repair, as determined by Mortgagee.
Mortgagee shall have the right to enter upon the mortgaged premises at any
reasonable hour for the purpose of inspecting the order, condition, and repair
of the buildings and improvements thereon erected;
4. In the event the Mortgagor neglects or refuses to pay the charges
mentioned in (2) supra, or fails to maintain the buildings and improvements
as aforesaid, Mortgagee may do so, add the cost thereof to the principal debt
secured hereby, and collect the same as part of said principal debt.
5. Mortgagor covenants and agrees not to create, or permit to accrue,
upon all or any part of the mortgaged premises, any debt, lien, or charge
which would be prior to, or on a parity with, the lien of this Mortgage, except
for a construction mortgage for construction of a dwelling on the premises.

6. In case default be made in the space of thirty (30) days in the payment
of any installment of principal or interest pursuant to the terms of the Note,
or in the performance by Mortgagor of any of the other obligations of the
Note or this Mortgage, the entire balance of said principal sum, additional
loans or advances, and all other sums paid by Mortgagee pursuant to the
terms of the Note or this Mortgage, together with unpaid interest thereon,
shall at the option of the Mortgagee, and without notice, become
immediately due and payable; and foreclosure proceedings may be brought
forthwith on this Mortgage and prosecuted to judgment, execution, and sale
for the collection of the same, together with costs of suit, and attorney's
commission for collection of five per cent (5%) of the total indebtedness.
The Mortgagor hereby forever waives and releases all errors in said
proceedings, waives the stay of execution, the right of inquisition, and
extension of time of payment, and agrees to condemnation of any property
levied upon by virtue of any such execution.
7. If all or any part of the mortgaged property, or an interest therein is
sold or transferred by Mortgagor without Mortgagee's prior written consent,
excluding (a) the creation of a lien or encumbrance subordinate to this
Mortgage, (b) the creation of a purchase money security interest for
household appliances, or (c) a transfer of devise, descent, or by operation of
law upon death of a joint tenant, Mortgagee may, at Mortgagee's option,

payable.
The covenants, conditions, and agreements contained in this Mortgage
shall bind, and the benefits thereof shall inure to, the respective parties
hereto, and their respective heirs, successors, and assigns, and if this
Mortgage is executed by more than one person, the undertakings and liability
of each shall be joint and several. It is recognized that this Mortgage is
intended as a purchase money mortgage, and recorded as such.

finance charge to this account, we are doing this as a favor for Ellen. An organization by
the name of "Financial Counseling Services" for Ellen, is now sending $25.00 each

1. Grace W. Duncan was the owner of fee title to a parcel of land containing
2.712 acres, and known and municipally numbered as 177 Ridge Road,
Carlisle, Monroe Township, Cumberland County, Pennsylvania.
2. The tract was improved with a dwelling and other outbuildings, all in a
state of serious disrepair.

3. The said Grace W. Duncan departed this Earthly life on November 3,1996,
having first made her Last Will and Testament, which was entered for
probate in the Office of the Register of Wills of Cumberland County,
Pennsylvania to File No. 1996-00920, in which Will she bequeathed
nominal gifts to grandchildren, and divided the remainder of her Estate
between daughters, Alice M. Fearnbaugh and Ellen G. Duncan.
4. Decedent Grace W. Duncan died without assets, except for the Ridge Road
Real Estate, ownership of which Ellen G. Duncan desired to retain, and
which legatee Alice M. Fearnbaugh did not wish to hold as Tenants in
Common with her sister.
5. The subject real estate was pledged as collateral to Fulton Bank, and a loan
was created to provide funds with which to pay Alice M. Fearnbaugh her
share of the value of her mother's estate.
6. Ellen G. Duncan is chronically unemployed, and has been the recipient of
S.S.I. for many, many years.
7. As a condition of approval of the financing through Fulton Bank, it was
required that the subject Real Estate, collateral for the loan, be transferred
to a Trust for the duration of the indebtedness.
8. The Trust was established on April 17, 1997, and the subject Real Estate
was conveyed to Guy W. Deitch (Ellen's half brother) as Trustee of the
Grace W. Duncan Family Trust. (Exhibit "A").
9. The terms of the Trust permit Trustee to Sell the subject Real Estate. (Item
5-C) (Exhibit "B").
10. The indebtedness owed to Fulton Bank has been paid in full.
11. The improvements on the subject real estate have, because of neglect,
deteriorated to the point that they are no longer habitable.
12. Trustee has entered into an Agreement to sell the subject premises for the
sum of $95,000.00. (See Exhibit "C").

13. The valuation of the premises is based upon a market analysis completed
by the listing realtor, and which valuation Trustee believes accurately
represents the value of the land, reduced by the cost of removal of debris
and unhabitable ramshackle structures that remain on the premises.
14. Mary G. Duncan, elder daughter of beneficiary Ellen G. Duncan, who is sui
juris, has entered into a contract to purchase replacement real estate, along
with beneficiary Ellen G. Duncan, which they will occupy jointly, and
ownership of which will be acquired as Joint Tenants with the Right of
Survivorship (see Exhibit "D").
15. It is the intent ofthe parties to utilize the net proceeds generated by the sale
of the Trust property as a down payment for the purchase of replacement
real estate, and for the beneficiary and her daughter to execute a Mortgage
for the balance of the purchase price of the subject premises.
16. Ellen G. Duncan remains obligated on a Mortgage payable to Steven R.
Brown, for the sum of $5,000.00 as reimbursement of expenses made in an
attempt to improve the habitability of the premised prior to the death of
Testator, Grace W. Duncan. (Exhibit "E").
17. The said Steven R. Brown has allowed the obligation to be carried without
interest, but requires payment at the time of conveyance of the premises.
18. Ellen G. Duncan remains indebted to Davis Country Living for rabit and
chicken feed purchased over the past few years, the present account
balance of which is $2,868.00. (Exhibit "F").
WHEREFORE, your Petitioner prays your Honorable Court to authorize the
Trustee to complete the sale of the Trust real estate, to apply the proceeds thereof to
satisfy the Mortgage of Steven R. Brown, and the account balance owed to Davis country
Living, and to retain the net proceeds generated thereby in escrow pending distribution
for the purchase of the replacement real estate, and to utilize the net proceeds generated
thereby as a deposit for acquisition and improvement of the replacement real estate. And
he will ever pray.

I further consent to the said Guy W. Deitch's retention of the net proceeds
generated by the sale of that premises, which are to be utilized for the purchase by my
daughter, Mary G. Duncan, and me of premises known and municipally numbered as 17
- 21 Roseglen Road, Duncannon, Wheatfield Township, Perry County, Pennsylvania
17020 (Tax Parcel 29010202014000), which is replacement property that we will own as
