HESS, of Orangeville, County of Columbia, State of Pennsylvania, make this my Last Will and Testament and revoke any prior Wills and codicils made by me. ARTICLF, 1 TAXES AND DEBTS 1. I direct that my legally enforceable debts and funeral expenses be paid by my Personal Representative, hereinafter named, as soon as may be convenient after my decease. 2. I hereby direct that all taxes, interests and penalties payable by reason of my death with respect to property comprising my gross taxable estate, whether or not passing under this Will, shall be paid on the residuary estate, as part ofthe expense of the administration of my estate. All such taxes on present or future interests shall be paid at such time as my Personal Representative shall deem proper, regardless of whether such taxes are then due. ARTICLE 2 DISTRIBUTION OF PERSONAL PROPERTY I give all my tangible personal property, such as clothing, jewelry, books, pictures, household furniture and furnishings and automobiles, and any insurance on such property to my chiidreJi, LARUE M. HESS, MARY HESS AVERY and GARY L. HESS, equally, per stirpes, or to the survivor of them should one of my children predecease me without surviving issue. r request, however, that my Personal Representative follow any suggestions I may have made, by memorandum or otherwise, concerning the distribution of such property, signed by me and kept with the original of this Will or with my copy thereof. HESS, MARY HESS A VERY and GARY L. HESS, equally, per stirpes, or to the survivor of them should one of my children predecease me without surviving issue. ARTICLE 4 PERSONAL REPRESENTATIVE I appoint my son, LARUE M. HESS, as my Personal Representative. If, however, he is unable or unwilling to serve, I appoint my son, GARY L. HESS, as my Personal Representative. If, however, he is unable or unwilling to serve, I appoint my daughter, MARY HESS A VERY, as my Personal Representative. ARTICLE 5 POWERS OF PERSONAL REPRESENTATIVE In addition to the powers conferred by law, I authorize my Personal Representative in his or her absolute discretion: A. To retain in the form received any real or personal property, or business interests except as may otherwise be directed in this Will. B. To sell either at a public or private sale any real or personal property or business interests which may at any time be part of my estate for such prices and on such terms as he or she deems proper, and to make good Deeds therefore to the purchaser thereof. C. To manage real estate and business interests and securities. D. To exercise any option or rights arising from ownership of investments. E. BONDS AND SURETIES - I direct that no Personal Representative shall be required to give any bond and that notwithstanding this direction, if any bond is required by law, statute or Rule of Court, no sureties be required thereon. 2. EFFECT OF INOPERATIVE, INVALID, OR ILLEGAL PROVISION - If any provision of this Will or of any Codicil thereto is held to be inoperative, invalid, or illegal, it is my intention that all remaining provisions thereof sha1l continue to be fully operative and effective so far as is possible and reasonable. 3. HEADINGS - The headings above the various provisions of this Will have been included only in order to make it easier to locate the subject covered by each provision and are not to be used in construing this Will or in ascertaining my intentions. ARTICLE 7 GOVERNING LAW The laws of the State of Pennsylvania shall govern the validity, interpretation and administration of this Will, even though the location of any estate property or the residence of any beneficiary may be elsewhere.
