STATEMENT OF PROPOSED DISTRIBUTION
The Commonwealth National Bankt Executor of the Estate of Florence
S. Barnest deceasedt the accountant herein has filed herewith its First and
Final Account of its administration of the above-captioned estate.
The decedent died August 20t 1978t and Letters Testamentary were
granted to the accountant as Executor on August 30t 1978. Attached hereto
is a true and correct copy of the Will of said decedent dated November 20t
1973.
Paragraph Second of the Will which disposes of tangible personal
property has been carried out so that only the residue as set forth in
Paragraph Third of the decedent's Will remains to be distributed.
The accountant proposes to distribute $55tl04.19t which constitutes
the distributable amount as of the date stated in the First and Final Account
to the Commonwealth National Bankt as Trustee under certain Trust Agreement
dated November 20t 1973t between the decedent as Settlor and the Commonwealth
National Bank as Trusteet to be added to and administered as part of the
trust estate thereby created.

foregoing Statement of Proposed Distribution is true and correct, and that
a true and correct copy of the First and Final Account of the Commonwealth
National Bank, as Executor and accountant for said estate has been
personally delivered to the Trust Department of the Commonwealth National
Bank as Trustee under and inter vivos Trust created by the decedent
dated March 20, 1973.

FLORENCE S. BARNES
I, FLORENCE S. BARNES, being of sound and disposing mind, memory and
understanding, do make, publish and declare this to be my Last Will and Testament,
hereby revoking and making null and void any and all former Wills by me at any
time heretofore made.
FIRST: I direct my Executor, hereinafter named, to pay all my legal debts
and funeral expenses as soon after my decease as conveniently maybe done.
SECOND: All of my furniture, furnish:i:ngs, books, silverware, jewelry,
pictures, objects of art, automobiles, and all other domestic and household
effects and personal goods and chattels of every nature and wheresoever situate,
including all insurance policies_thereon, I give and bequeath unto my children
to be divided among them as they may .agree. In the event that my said children
cannot .agree, I direct my Executor to divide the same am~ng them in as nearly
equal shares as possible.
THIRD: All the rest, residue and remainder of my Estate, of whatsoever
nature and wheresoever situate, including that over which I have a Power of
Appointment, I give, .devise and bequeath IN TRUST to THE COMHONWEALTH NATIONAL
BANK, Trustee under a certain Trust Agreement dated the J..o day of ~ ,
1973, between myself as Settlor and the said The Commonwealth National Bank as
Trustee, to be added to and administered as a part of the Trust Estate' thereby
created.
FOURTH: I direct my Executor 'to pay all inheritance, estate, succession
and legacy taxes of whatsoever nature and kind, to which my Estate or the transfer
of any property passing hereunder or otherwise passing by reason of my death, may
be subject and to charge such taxes against my residuary estate, it being my

intention that none of the aforesaid taxes, either federal or state, on any
property required to be included in my gross estate under the provisions of any
state or federal law now in force and effect or hereafter enacted shall be prorated
among the persons interested in my Estate to whom such property is or may be
transferred or to whom any benefit accrues.
FIFTH: My Executor is hereby authorized and empowered to sell securities
or other property, real or personal or both, and my Executor is further
authorized to borrow money for any purpose necessary in connection with the
payment of taxes or other matters incidental to the settlement of my Estate,
either secured or unsecured, at such rate of interest as may be necessary and to
pledge the assets of my Estate as security therefor. My Executor shall have the
power to make distribution in kind, or partly in kind end partly in cash, to
retain all or any part of my property, real or personal, constituting my Estate
for such time as it deems best or to invest or reinvest the same without being
restricted to "legal" investments. I further authorize and empower my Executor
to borrow money from such persons it may desire, including the power to borrow
money from themselves as individuals or as fiduciaries under any Trust Agreement
and to execute and renew promissory notes and to pledge the assets of my Estate
as security therefor.
SIXTH: I nominate, constitute and appoint THE CO~tMO~~TH NATIONAL B~,
of Harrisb~rg, Pennsylvania, as Executor under this my Last Will and Testament.
No bond shall be required in this or any other jurisdiction.

NATIONAL BANK, Harrisburg, Pennsylvania, (hereinafter called "Trustee");

WHEREAS, Settlor desires to transfer and deliver to the Trustee certain
cash, property and securities listed in detail in Schedule I~", hereto annexed,
made a part hereof and bearing the designation "List of Cash, Property and
Securities Deposited by Florence S. Barnes with The Commonwealth National Bank

NOW, TIlEREFORE, in consideration of the premises and of the mutual
covenants herein contained, it is agreed by and between the parties hereto as
follows:
ARTICLE I
The Settlor reserves the right to add to this Trust Estate any policies
of insurance issued on Settlor's life; and further, the corpus of the Trust
Estate may be enlarged by the addition of property and/or securities acquired
by the Trustee by gift, devise, bequest, or otherwise howsoever, whether such
addition be made by the Settlor or any other person. The proceeds of any such
policies of insurance or any additional property and/or securities so acquired
shall be held on the same terms of trust and with like force and effect as if
the said policies, property and/or securities had originally constituted a
part of the said Trust Estate.
ARTICLE II
The Settlor, upon Settlor's death, directs the Trustee to disburse the
income and principal of the Trust Estate in the manner as hereinafter set
forth in detail in Schedule "B" hereto annexed, made a part hereof, and bearing the

ARTICLE I II
It lS expressly understood and agreed that the Trustee lS not
obligated to pay any premiums or assessments on said policies of insurance, and
to be under no obligation in respect to the policies other than for the
safekeeping thereof, except to the extent expressly agreed to herein, if such
policies are deposited herewith.
ARTICLE IV
The Settlor reserves to himself, during Settlor's life, all payments,
dividends, surrender value privileges and benefits of any kind which may
accrue on account of any of the aforesaid policies of insurance, and the
right at any time to assign, pledge or use said policies, or any of them, or
to change the beneficiary thereof, or to borrow money thereon, without the
consent, approval or joinder of the Trustee or any beneficiary hereunder.
It is the intent that the trust shall be operative only in respect to the
proceeds of such of the policies as in terms may be due and payable to the
Trustee at the time of the death of the Settlor or thereafter, after deduction
of all charges against the policies by way of advances, loans, premiums, or
otherwise, and the receipt of the Trustee for such proceeds shall release the
insurance companies from liability on the policies.
The Settlor further reserves to himself during Settlor's life all
payments, dividends, interest, or benefits or rights of any kind which may accrue
as a result of other property and/or securities added to the Trust Estate during
the lifetime of the Settlor by the Settlor. As to such assets, added by the
Settlor, Settlor shall have the right at any time to assign, pledge, use, consume,
or direct the payment of such property and/or securities, or any part thereof,
or to borrow money thereon, without the consent, approval or joinder of the
Trustee, or any beneficiary under this Trust. Furthermore, as to property and/or
securities added to the Trust Estate by the Settlor or otherwise acquired by
the Trustee during the lifetime of the Settlor, the Trustee, acting in its sole

discretion, may during the lifetime of the Settlor, pay over and distribute to
or for the use or benefit of the Settlor the net income or a part, parts or
all of the corpus of the Trust whenever said Trustee deems it advisable to do
so for her comfort, maintenance and support.
ARTICLE V
It is agreed that the Settlor may by instrument in writing, delivered
to the Trustee, (a) modify or alter this agreement, in whole or in part, provided
that the duties, powers and liability of the Trustee shall not be changed
without written consent; (b) revoke this agreement in whole or in part; provided,
however, that the right of the Settlor to modify, alter or revoke this agreement
shall not apply to any assets added to the corpus of the Trust Estate by any
person other than the Settlor.
. ARTICLE VI
The Settlor agrees and directs that upon Settlor's death, the property
deposited herewith and the proceeds of said policies of insurance or any thereof
which may then be subject to the terms of this Agreement shall be paid to or
held by the Trustee, all of which shall be wholly principal. The Trustee may
institute any proceeding at law or in equity in order to enforce the payment
of such policies or the collection of such property.., and may do and perform
any and all other acts and things which may be necessary, for the pUrpose of
collecting such property and any sums which may be due and payable under the
terrr.s of said policies" it being distinctly understood, however, that the
Trustee shall not, except at its option, enter into or maintain any litigation
to enforce the payment of said policies or collect such property until it shall
have been indemnified to its satisfaction against all expenses and liabilities
to which it may, in its judgment, be subjected by any such action on its part.
The Trustee is authorized to compromise and adjust claims arising out
of the insurance policies or any of them or other property upon such terms and
conditions as it may deem just, and the decision of the Trustee shall be
binding and conclusive Upon all persons and corporations interested therein.

ARTICLE VII
Except as otherwise specifically provided herein, the Trustee shall
hold and manage the fund, when so collected, together with such other property

as may be acquired, during the existence of this trust, all of which said
property will hereinafter be referred to as the "Trust Estate", said term
meaning the principal and income of any trust or trusts created herein or in
Schedule "B" hereon, upon the following terms and conditions and with the
following powers and authorities:
A. To take, hold or retain all or any part of the trust hereby created
in the form of which it might be acquired as long as it deems advisable and
to receive all the income, increments, rents and profits therefrom;
B. To sell, exchange, partition, lease, option or otherwise dispose of
any property or part thereof, real or personal, which may at any time
form part of this Trust Estate at public or private sale for such purposes and
upon such terms, including sales on credit with or without security, in such
."
manner and at such prices as it may determine, including the right to
lease real estate for periods in excess of five years and for a term expiring
after the termination of any trust. In the event of a sale, exchange, partition
or lease of any of the property of this Trust Esta~e, there shall be no liability
On the part of the purchaser or purchasers to see to the application of the
purchase money, but the same shall be held and disposed of by such purchaser or
purchasers, free and clear of any of the provisions of any trust created hereby.
C. To continue any investments which may form a part of this Trust
Estate or to invest or reinvest the same in any property, real or personal, of
any kind or nature, including stocks, bonds, mortgages, other securities and COW~on
trust funds of the Corporate Trustee without being limited or restricted to
investments as now or may hereafter be prescribed for trustees by the laws of
the Conunonwealth of Pennsylvania or any other state, including the right to
acquire, sell or retain stock in the Corporate Trustee.

D. To cause securities which may from time to time comprlse any
part of this Trust Estate to be registered in its name as Trustee or in the
name of any nominee or to take and keep the same unregistered and retain them
or any part thereof in such condition that they will pass by delivery without
disclosing the fact that the property is held in a fiduciary capacity.
E. To make any loans, either secured or unsecured, in such amounts,
upon such terms and such rates of interest and to such persons, firms, or
corporations as it deems advisable, and to pay over to the Executor or
Administrator of Settlor's Estate such sums as may be required for the purpose
of the payment of taxes, debts and administration expenses; provided, however,
that any benefits from a qualified employee plan received by the Trustee shall
not be used for the payment of such taxes, debts and expenses.
F. To retain the principal or corpus or any part thereof of this
Trust Estate in the form of cash.
G. To borrow money for any purpose in connection with the administration
of this Trust Estate; execute promissory notes or other obligations for the
amounts so borrowed and secure the payment of any amount so borrowed by
mortgage or pledge of any real or personal property which may at any time form a

part of this Trust Estate.
H. To vote, in respect to any securities which may at any time form a
part of this Trust Estate, upon any proposition or election at any meeting
and to grant proxies, discretionary or otherwise; vote at any such meeting;
to join in or become a part of any reorganization, readjustment, merger, voting
trust, consolidation or exchange and to deposit any such securities with any
committee, depositary, trustee or otherwise and to payout of this Trust
Estate any fee9, expenses, and assessments, incurred in connection therewith
and to charge the same to principal or income as it may see fit; to exercise
conversion, subscription or other rights, or to sell or abandon such rights and
to receive and hold any new securities issued as a result of such reorganization,
readjustment, merger, voting trust, consolidation, exchange, or exercise of
subscription, conversion or other rights; and generally take all action in

I. In its discretion to allocate to either principal or income or
between them any and all taxes (especially capital gains taxes) which it may be
required to pay on behalf of this Trust Estate.
J. To divide or distribute, whenever it is required or permitted,
this Trust Estate; to make such division or distribution in kind or in money,
or partly in kind and partly in money; and that for such purposes the judgment
of the Trustee as to the value of the different items shall be conclusive and
final upon the beneficiaries.
K. To hold and administer the trusts created hereby in one or more
consolidated funds in whole or in part in which the separate trusts or funds
shall have undivided interest.
L. To determine, in connection with making investments, whether to
amortize premiums in whole or in part.
~1. To engage attorneys, investment counsel, accountants, agents and such
other persons as it may deem advisable in the administration of this Trust Estate
and to make such payments therefor as it may deem reasonable and to charge the
expenses thereof to income or principal as it may determine and to delegate
to such persons any discretion which it may deem proper. The Trustee shall not
be liable for any negligence, omission or wrongdoing of such counselor agents,
providing reasonable care was exercised in their selection.
N. Unless otherwise provided in Schedule B hereof, if the principal of
any trust is payable to a minor or minors, the Trustee shall continue the term
of said trust as to said minor or minors until it or they attain twenty-one (21)

years of age, paying over to said minor or minors, or for their use and benefit,
the proportionate share of the net income of said Estate.
O. No title in any Trust Estate, or in the income accruing therefrom,
or in its accumulation shall vest in any beneficiary, and no beneficiary shall
have the right or power to transfer, assign, anticipate or encumber his or her
interest in said Trust Estate, or the income therefrom, prior to the actual
distribution thereof by the Trustee to said beneficiary. Further, neither the
income nor the principal of any Trust Estate shall be liable in any manner, in
the possession of the Trustee, for the debts, contracts or engagements of any
beneficiary.
P. Should the principal or income or both of this or any Trust be
payable to any person as to whom the Trustee has actual knowledge of a Court
adjudication of incompetency, or who the Trustee determines, in the discretion
of Trustee, is unable to act effectively on his or her own behalf in financial
matters, then Trustee shall have the right to use such principal or income for
the benefit of such beneficiary. This authority shall include the right to
pay premiums for life, health, accident and any other insurance.
ARTICLE VIII

This Trust has been accepted in the State of Pennsylvania and shall in
all respects be governed by the laws of that State.
ARTICLE IX
The Trustee, by joining in the execution of this instrument, signifies
its acceptance of the Trust and acknmvledges (unless othendse noted in writing)
that it has received this day from the Settlor the property and/or the several
insurance policies described in Schedule "A" attached hereto and made a part hereof,
and agrees that it will hold and use the same and use and dispose of the
proceeds thereof upon and subject to all and singular the trusts, terms and
provisions set forth in this indenture and in Schedule "B" attached hereto and
made a part hereof.

PLAN OF DISTRIBUTION OF TRUST ESTATE
OF FLORENCE S. BARNES UNDER AGREEMENT
DATED NOVEMBER 20, 1973
FIRST: Upon the death of the Settlor, the Trustee shall divide the
Trust Estate, including any and all property received by the Trustee under
the Settlor's Last Will and Testament, into three (3) equal parts.
The principal and any accrued income of one of said equal parts
shall be paid over and distributed to NANCY B. BIGGS. If the said NANCY B.
BIGGS be not then living, one-half of said equal part shall be paid over and
distributed to the husband of the said NM~CY B. BIGGS, RICHARD M. BIGGS, and
the other one-half thereof shall be paid over and distributed to the children
of the said NANCY B. BIGGS, per capita.
The principal and any accrued income of the second of said equal
parts shall be paid over and distributed to DONALD K. BARNES. If the said
DONALD K. BAfu~ES be not then living, one-half of said equal part shall be paid
over and distributed to the wife of the said DONALD K. BARNES, LUCILLE F.

children of the said DONALD K. BARNES, per capita.

LAST WILL AND TESTAMENT

FLORENCE S. BARNES
I, FLORENCE S. BARNES, being of sound and disposing mind, memory and
understanding, do make, publish and declare this to be my Last Will and Testament,
hereby revoking and making null and void any and all former Wills by me at any
time heretofore made.
FIRST: I direct my Executor, hereinafter named, to pay all my legal debts
and funeral expenses as soon after my decease as conveniently may be done.
SECOND: All of my furniture, furnishings, books, silverware, jewelry,
pictures, objects of art, automobiles, and all other domestic and household
effects and personal goods and chattels of every nature and wheresoever situate,
including all insurance policies thereon, I give and bequeath unto my children
to be divided among them as they may agree. In the event that my said children
cannot agree, I direct my Executor to divide the same among them in as nearly
equal shares as possible.
THIRD: All the rest, residue and remainder of my Estate, of whatsoever
nature and wheresoever situate, including that over which I have a Power of
Appointment, I give, devise and bequeath IN TRUST to THE COMMONWEALTH NATIONAL

1973, between myself as Settlor and the said The Commonwealth National Bank as
Trustee, to be added to and administered as a part of the Trust Estate thereby
created.
FOURTH: I direct my Executor to pay all inheritance, estate, succession
and legacy taxes of whatsoever nature and kind, to which my Estate or the transfer
of any property passing hereunder or otherwise passing by reason of my death, may
be subject and to charge such taxes against my residuary estate, it being my

intention that none of the aforesaid taxes, either federal or state, on any
property required to be included in my gross estate under the provisions of any
state or federal law now in force and effect or hereafter enacted shall be prorated
among the persons interested in my Estate to whom such property is or may be
transferred or to whom any benefit accrues.
FIFTH: My Executor is hereby authorized and empowered to sell securities
or other property, real or personal or both, and my Executor is further
authorized to borrow money for any purpose necessary in connection with the
payment of taxes or other matters incidental to the settlement of my Estate,
either secured or unsecured, at such rate of interest as may be necessary and to
pledge the assets of my Estate as security therefor. My Executor shall have the
power to make distribution in kind, or partly in kind and partly in cash, to
retain all or any part of my property, real or personal, constituting my Estate
for such time as it deems best or to invest or reinvest the same without being
restricted to "legal" investments. I further authorize and empower my Executor
to borrow money from such persons it may desire, including the power to borrow
money from themselves as individuals or as fiduciaries under any Trust Agreement
and to execute and renew promissory notes and to pledge the assets of my Estate
as security therefor.
SIXTH: I nominate; constitute and appoint THE COMMONWEALTH NATIONAL BANK,
of Harrisburg, Pennsylvania, as Executor under this my Last Will an~ Testament.
No bond shall be required in this or any other jurisdiction.
