Wetzel, deceased, have entered security in the sum of Twenty Thousand ($20,000.00) Dollars, conditioned for the administration of the above estate according to law; and it further appearing that the said Rhoda M. Bossler and Ethel E. Welker are the only and all the heirs in the Estate of the decedent; and it further appearing that the propose purchase price for the premises, as fully described in the attached petition, in the sum of Forty Thousand ($40,000.00) Dollars is a fair price for the premises and a better price than can be obtained at a public sale; and it further appearing that the proposed sale would be advantageous to the further administration of the estate. IT IS HEREBY ORDERED AND DECREED that Rhoda M. Bossler and Ethel E. Welker, Administratrix of the Estate of Harold E. Wetzel, wife of the Decedent, was the sole and only heir of the Decedent. 11. That the said Dorothy E. Wetzel, deceased, died August 13, 1978 testate, leaving her entire estate to your petitioners. 12. That the following are all of the parties in interest, to wit: Rhoda M. Bossler Ethel E. Welker I 13. That Rhoda M. Bossler and Ethel E. Welker are the only ?nd I all of the heirs entitled to share in the estate of the decedent pursuantl to the Last Will and Testament of Dorothy E. Wetzel, deceased, as afore- said, and as the only heirs approve of the said sale for the sum of Forty Thousand ($40,000.00) Dollars. I 14. The Probate, Estates and Fiduciaries Code of 1972, Pa. C.S.~. I . I 3351, as amended, provides that when the personal representatlve has been I required to give bond, no proceeds of real estate shall be paid to the I said personal representative until the Court has made an Order excusing I said personal representative from entering additional security or requir~ng additional security, and in the latter event, only after the personal representative has entered the additional security. 15. That all parties in interest in the estate are sui-juris. WHEREFORE, your petitioners request your Honorable Court, pur- suant to the Probate, Estates and Fiduciaries Code of 1972, 20 PA. C.S.A 3351, as amended, to enter an appropriate Order with respect to the sale of the real estate, as described in this petition, to Anna Yoder for either the entry or Waiver of additional security. Settlement shall be made on or before Oe (". /.j' '9- /;; 7 i. The said time for settlement and all other times referred to for the performance of any of the obligations of this Agreement are hereby agreed to be of the essence of this Agreement. -- 1 . 3. The premises are to be conveyed free and clear of all liens, encum- brances and easements, EXCEPTING, HOWEVER, the following; existing building restrictions, ordinances, easements of roads, privileges or rights of public service companies, if any; or easements or restrictions visible upon the ground; otherwise the title to the above described real estateshall be good and market- able or such as will be certified by any reputable attorney of Cumberland County. 4. In the event the Seller is unable to give a good and marketable title or such as will be certified by any reputable attorney of Cumberland County, subject as aforesaid, Buyers shall have the option of taking such title as the Sellers can give wi~hout abatement of price or of being repaid all monies paid by Buyers on account of the purchase price, together with attorney charges as they may have incurred; and in the latter event there shall be no further liability or obligation on either of the parties hereto, and this Agreement shall become null and void. 5. The premium for any special insurance required by Buyers or by any mortgage against possible mechanic1s liens, shall be paid for by Buyers. 6. If any surveys are necessary or desired, they shall be secured and paid for by the Buyers. 7. Seller covenants and represents that no assessments or notice of assessments for public improvements have been made against the premises which will not be paid in full prior to the time of final settlement. Buyers will be responsible for any payment of assessments or notice of assessments made after the date of this Agreement for any public improvement. 8. Possession is to be delivered by special warranty deed; keys and physical possession at day and time of settlement, or by special warranty deed and assignment of existing leases at the time of settlement if the premises are tenant occupied at the signing of this Agreement. Buyers will acknowledge existing leases by initialing said leases at the time of signing this Agreement of Sale if the premises are tenant occupied under written leases. 9. The 1978 local real estate taxes and sewer rentals shall be apportioned pro rata as of the day of settlement, and for the purpose of this provision" all -- 2 -- . taxes shall be considered to be on a calender year basis. All real estate transfer taxes will be divided equally between Buyers and Seller at settlement. 10. Formal tender of a executed deed and purchase money is hereby waived. 11. All plumbing, heating and lighting fixtures and systems appurtenant thereto, and forming a part thereof, as well as all ranges, laundry tubs and other permanent fixtures, together with screens, storm sash and/or doors, shades, \i awnings, ,Venetian blinds, valances, curtain rods or traverse rods, radiator ,L...\l,.._..... (?2'tl~fs ;;>nd T'-'J "cDvers'Aand all trees, shrubbery and plantings now in or on the property, unless specifically excepted in this Agreement, are to become the property of Buyers and are included ih the purchase price. None of the above mentioned items shall . be removed by Selleis from the premises after the date of this Agreement. Sellers hereby warrants that they have good legal title, free and clear of any lien aryd encumbrance, to all the articles described in this paragraph. It is further agreed that all fuel oil remaining in the tank at final settlement shall become the property of the Buyers and is included in the purchase price. 12. Risk of loss by fire orother casualty shall be upon Sellers until settlement is completed. If the premises is insured, and such fire loss or other casualty occurs while said insurance is in effect, Buyers shall have the option to request Seller to act as trustee for the proceeds received from the insurer, but exculpating Sellers from liability for loss and accepting the premises "as is". Sellers shall give Buyers immediate written notice by Certified Mail of fire loss or other casualty and Buyers shall have seven (7) days after receipt thereof to exercise their option which must be in writing by certified mail to Sellers. In the event the fire loss or other casualty, and in the absence of Buyers exercising the aforesaid option, this Agreement shall be null and void. and the earnest money shall be returned to Buyers by Sellers. 13. In case of default by Buyers in the performance of this Agreement, the earnest money shall be retained by the Sellers as liquidated damages and this Agreement shall be cancelll~d and all rights and obligatio~s arising therefrom shall be terminated. 14. It is understood that Buyers have inspected the property and that they have agreed to purchase it as a result of such inspection and not because . . -- 3 -- , . , . of or in reliance upon any representation made by Sellers or by any agent of Sellers and that they have agreed to purchase it in its present condition unless otherwise specified herein. It is further understood that the Sellers agree to maintain the grounds and the improvements and buildings thereon in the same condition as prevails at the time of the signing of this Agreement. 15. Sellers hereby declare that there are no notices of any uncorrected violations of building, housing, fire, safety or other similar ordinances. 16. Sellers warrant that there are no unpaid or partially paid bills outstanding for work done to the premises, ,nor any notices which may result in any mechanic's lien, and SelleDSfurther warrants that there are no mechanicus ~ liens against the premises. 17. This Agreement contains the whole agreement between the Sellernand Buyers, and there are no other terms, obligations, covenants, representations, statements or conditions, oral or otherwise of any kind whatsoever, concerning I this sale. Any changes or additions to this Agreement must be made in writing and executed by the parties hereto. 18. This Agreement shall not be recorded in the Office for the Recording of Deeds or on any other office or place of public record, and if Buyers shall record this Agreement or cause or permit the same to be recorded, Sellers may, at their option, elect to treat such act as a breach of this Agreement. 19. This Agreement shall be binding upon the respective heirs, executors, administrators, successors and, to the extent assignable, on the assigns of the parties hereto, it being expressly understood, however, that the Buyers shall not transfer or assign this Agreement without the written consent of the Sellers being first had and obtained. 20. The parties hereto agree that there is no real estate agent involved in the sale of these premises. 21. This Agreement is to be construed and interpreted in accordance with the Laws of the Commonwealth of Pennsylvania. -- 4 -- . . .
