STATEMENT OF PROPOSED DISTRIBUTION
The Accountant proposes to distribute the assets remaining in its
hands, in the amount of Thirty-five Thousand Six Hundred Sixty-
Nine and 13/100 ($35,669.13) Dollars, as follows:

STATEMENT OF THE REASONS FOR THE PROPOSED DISTRIBUTION
The above Distribution is proposed in accordance with the Last
Will and Testament of the Decedent and in accordance with an Agreement
dated August 30, 1978, between the heirs and remaindermen of the
residuary trust established by the Testator's Will. The Codicil dated
July 4, 1975, provided for trusts for Lisa D. Rubert and Michael S.
Rubert, each in the amount of $2,500.00, the figures being as set
forth in the aforesaid Agreement. In addition, to said trusts for
Michael S. Rubert and Lisa D. Rubert, the Will and Codicils provided
for various bequests set forth in the Distribution Account including
gifts of bicycles to the grandchil~ren, which bequests were paid
to the parents on December 7, 1978 to purchase said bicycles
together with other cash bequests to William and Ruth Rubert provided
in the Codicil dated April 4, 1978.

After the bequests set forth in the Distribution Account and
the trusts for Michael S. Rubert and Lisa D. Rubert, Decedent
devised and bequeathed the remainder of his estate to the
Commonwealth National Bank, successor to The Harrisburg National
Bank and Trust Company, in Trust, as provided in Paragraph
No. 3 of the Last Will and Testament of the Decedent. The
distributions heretofore made, together with the distribution
herein proposed, carries out the intent of the Last Will and
Testament and Codicils of the Decedent.
