IN THE COURT OF COMMON PLEAS OF CUMBERLAND COUNTY, PENNSYLVANIA ORPHANS' COURT DIVISION NO. 21-78-587 ESTATE OF MARY ELIZABETH MADER, DECEASED PETITION FOR COURT APPROVAL OF SALE OF REAL PROPERTY TO PERSONAL REPRESENTATIVE UNDER PROBATE, ESTATES AND FIDUCIARIES CODE SECTION 3356 TO THE HONORABLE JUDGES OF THE SAID COURT: The Petition of Rosa Eppley, Alice Mader Slaseman, Elmer James Slaseman and Alice Wilt, all of the testamentary heirs of the Estate of Mary Elizabeth Mader for Court approval of the sale of real property belonging to the estate to the personal representative, Elmer James Slaseman, under the provisions of Section 3356 of the Probate, Estates and Fiduciaries Code respectfully represents that: 1. The decedent, Mary Elizabeth Mader, died testate, a resident of Lemoyne, Cumberland County, Pennsylvania, on October 6, 1978. 2. The Last Will of the said Mary Elizabeth Mader was duly probated in the Orphans' Court of Cumberland County, Pennsylvania, on October 24, 1978, wherein she appointed her grandson, Elmer James Slaseman, one of your petitioners, executor of her Last Will. On October 24, 1978, the said Elmer James Slaseman was appointed executor of the Estate of Mary Elizabeth Mader by Richard E. Anderson, Register. ." 1"'" ,,- .)' 0 6~v\ ''L I ti.Gt #-,....J '. By the terms of the Last Will of Mary Elizabeth Mader as probated, a copy of which is attached hereto and made a part hereof, the testatrix devised and be- queathed all of her estate of every nature and wherever situate in equal shares, one-fourth to her sister, your petitioner, Rosa Eppley; one-fourth to her daughter, your petitioner, Alice Mader Slaseman; one-fourth to her grandson, your petitioner, Elmer James Slaseman and one-fourth to her granddaughter, your petitioner, Alice Wilt. All of your petitioners are adult and sui juris. 4. At her death, the said Mary Elizabeth Mader was the owner of real estate located at 690 Market Street, Lemoyne, Cumberland County, Pennsylvania, consisting of one-half of a two story frame double house, which said real estate is more part i- cularly described by deed dated July 9, 1955, and recorded in Cumberland County Deed Book "0", Vol. 16, Page 317, to Simon M. Mader and Mary E. Mader, a copy of which is attached hereto and made a part hereof. The said Simon M. Mader predeceased Mary E. Mader. 5. By Agreement of Sale dated March 3, 1980, all of your petitioners, being all of the testamentary heirs of the Estate of Mary Elizabeth Mader, agreed to sell the subject real estate described previously herein to Elmer Slaseman, one of the testa- mentary heirs and the personal representative of the Estate of Mary Elizabeth Mader. Said Agreement of Sale for real estate is attached hereto and made a part of this Petition. WHEREFORE, petitioners respectfully request that this Honorable Court enter an Order approving the sale of the real estate located at 690 Market Street, Lemoyne, i O. AGREEMENT OF SALE OR REAL ESTATE THIS AGREEMENT, made this S -~ day of yY) ~, 1980, by and between the ESTATE OF MARY E. MADER, party of the first part, hereinafter called "Seller" and ELMER SLASEMAN, of New Cumberland, Pennsylvania, party of the second part, hereinafter called "Buyer". WITNESSETH: The parties hereto, intending to be legally bound, hereby promise, declare and agree as follows: 1. Seller agrees to sell and convey to the Buyer, and Buyer agrees to purchase all the real estate known as 690 Market Street, Lemoyne, Cumberland County, Pennsylvania, which parcel or real estate is more particularly described in Exhibit "A", which is attached hereto, made part hereof by reference and is signed by all interested parties for the purchase price of $16,000.00, to be paid as follows: a $16,000.00 Promissory Note payable to the Estate of Mary E. Mader, due in 18 months or upon the sale of the above-described real estate, with interest to begin running seven months after the acceptance and approval of this Agreement, with interest to be computed at 1% simple interest per month thereafter. 2. Fire insurance on the above-described real estate will be carried by the Seller, in the name of the Seller, until settlement date. In the event of loss or damage by fire prior to settlement date, the Seller may, at his option, repair or restore said property, or may, on settlement date, credit the Buyer with the amount received by the Seller on said insurance in settlement for loss or damage. Settlement shall be made as soon as is practicable after the Orphans' Court of the Court of Common Pleas of Cumberland County, Pennsylvania, : have approved this sale, said time to be the essence of this Agreement, unless extended by mutual consent in writing endorsed hereon. 4. Possession is to be given at the time of settlement by the delivery of deed and keys. 5. Taxes, rents, water rents, and any and all other assessments made against the real property shall be apportioned pro rata as of the date of the settlement. It is understood and agreed that all transfer taxes imposed by any governmental body shall be borne equally by Buyer and Seller. 6. All plumbing, heating and lighting fixtures and systems appurtenant thereto, and forming a party thereof, as well as all ranges, and other premanent fixtures, together with screens, shades, venetian blinds, and awnings, if any, and all trees, shrubbery and plants now in or on the premises herein intended to be conveyed, unless specifically excepted in this Agreement, are included in this sale and purchase price, and shall become the property of the Buyer at the time of settlement of this transaction. 7. In the event Seller is unable to give a good and marketable title or such as will be insured by any reputable title insurance company, as set forth above, Buyer shall have the option of taking such title as the Seller can give without abatement of price, or being repaid all monies paid on account by Buyer to Seller and Buyer shall also be reimbursed for any title company charges incurred; and in the latter event, there shall be no further liability or obligation by either of the parties hereunder and this Agreement shall become null and void. -2- . , ~ :. , . . . It is anticipated by the parties to this Agreement that the Buyer will be making substantial improvements to the property as soon as the Agreement is approved by the Orphans' Court of the Court of Common Pleas of Cumberland County, Pennsylvania. In the event that Buyer violates or fails to fulfill and perform any of the terms or conditions of this Agreement, then in that case, the Buyer shall reconvey to the Seller the above-described premises, however, in the event that the Seller, after breach has taken place, conveys the real estate for a purchase price greater than $18,000.00, all profits over and above the $18,000.00 figure will be the sole and exclusive property of the Buyer, which sum shall equal the value of the improvements made to the premises by the Buyer. In order to protect the interest of the Seller, Seller and Buyer agree that the $16,000.00 note herein given to the Seller by the Buyer shall be recorded as a first lien against the premises hereinabove described to insure the protection of the security interest of the Seller pursuant to this Agreement. 9. All notices and ordinances filed subsequent to the date of this Agreement by any governing authority for which a lien could be filed are to be complied with at the expense of the Buyer, provided said Buyer takes title hereunder. Any such notices or ordinances filed prior to the date of this Agreement are to be complied with at the expense of the Seller. 10. The above-described premises is an asset of the Estate of the late Mary E. Mader and pursuant to her will, which has been duly probated in the Register of Wills Office of Cumberland County, Pennsylvania, the only legatees and beneficiaries which have an interest in this Estate are Elmer Slaseman, Alice A. This Agreement contains the whole agreement between the Seller and the Buyer and there are no other terms, obligations, covenants, represen- tations, statements or conditions, oral or otherwise, of any kind whatsoever. 12. The Buyer and Seller hereby bind themselves, their heirs, their executors and administrators, for the faithful performance of the above Agreement pursuant to the terms thereto from the date hereof, said time being of the essence of this Agreement, unless extended by mutual consent in writing.
