Davidson provided, in pertinent part, as follows: Clause TENTH (C): Twenty (20%) thereof to Pi Beta Phi Foundation for Arrowmont, of 1154 Town & Courntry Commons Drive, Town & Country, Missouri 63017. It was discovered that no entity exists by the name of "Pi Beta Phi Foundation for Arrowmont". There is in existence two (2) organizations whose names are "Pi Beta Phi Foundation" and "Arrowmont School of Arts and Crafts". Both of these organizations were notified as to the residuary bequest as set forth in Clause TENTH (C) of the Last Will and Testament of Jane E. Davidson. Both organizations are in agreement that the proper recipient of this residuary bequest is the Arrowmont School of Arts and Crafts. This agreement is confirmed by the November 10, 2005 letter from David Willard, Director of Arrowmont School of Arts and Crafts and the November 30, 2005 e-mail from Andrea A. Shultz, Executive Director of Pi Beta Phi Foundation. In accordance with this agreement, the Estate of Jane E. Davidson will be making the residuary bequest as set forth in Clause TENTH (C) of the Last Will and Testament to "Arrowmont School of Arts and Crafts". By letter dated December 23, 2005 from James D. Bogar, Esquire, the within agreement and understanding reached by the Arrowmont School of Arts and Crafts and Pi Beta Phi Foundation was confirmed. Bogar Attorney at Law One West Main Street Shiremanstown, Pennsylvania 17011 Dear Mr. Bogar. I received your fax transmission yesterday, November 9,2005 regarding the estate of Jane E. Davidson, which your firm is representing. I reviewed the documents, including the letter provided by Ms. Andrea A. Schultz, Executive Director of the Pi Beta Phi Foundation. Upon this review I placed a call to Ms. Schultz, yesterday, November 9, 2005 and discussed the language in the Davidson last will and testament referring to her wishes to give a portion of her estate to "Pi Beta Phi Foundation for Arrowmont." It is clear to both Ms. Schultz and myself that Ms. Davidson clearly wished that Arrowmont be the recipient of this residuary bequest. She and I discussed the most expedient approach to resolving the situation and agreed that Arrowmont should be the proper beneficiary. Ms. Schultz I'm sure would be pleased to provide you with a letter stating our mutual agreement at your request. I trust this letter will acknowledge our willingness to accept the bequest. Arrowmont is very appreciative of Ms. Davidson's generosity, and if appropriate would like to acknowledge our thanks to the family. Once the gift is received, if you could provide me the name and address of a next of kin I would appreciate it. At your request, I have enclosed a copy of our 50l(C) (3) designation for your records. By way of procedure, we will adjust the court accounting that is required to be filed with respect to this Estate, said adjustment to reflect the understanding that has been reached, as stated herein. As to timing, please be advised that the Pennsylvania Inheritance Tax Return was filed on November 15, 2005. Thereafter, we can proceed to the court accounting which could take, depending upon the Court's calendar, several months to conclude. Please note that we do not anticipate any problems with respect to having the pennsylvania Inheritance Tax Return, which indicates the correct Inheritance Tax payment, being cleared by the pennsylvania Department of Revenue. Upon the confirmation of the accounting forwarded to the Court, all distributions will be made, including the distribution specified under the Last Will Testament of Jane E. Davidson to Arrowmont School of Arts and Crafts. We again thank you for your time and consideration with respect to these matters.
