Defendant, Transland Financial Services, Inc., CTransland"), by and through its attorneys,
Silverman Bernehim & Vogel, P.e.. hereby petitions this Honorable Court to allow Transland to
appeal, or in the alternative. to open the judgment entered in favor of Plaintiffs. Cedar Cliff Abstract
Agency, Inc., Superior Settlement Agency, Inc. and Stone LaFaver & Shekletski (collectively
referred to as "Plaintiffs"), in the above-captioned matter, nunc pro tunc, and in support thereof avers
as follows:
1. Defendant, Transland. is a Florida corporation registered to conduct business in
Pennsylvania, with a principal place of business located at 2701 Maitland Center Parkway, Suite
300, Maitland, FL 32751 (the "Florida Office").

2. Plaintiff, Cedar Cliff Abstract Agency, Inc. ("Cedar Cliff'), is a corporation registered
to conduct business in Pennsylvania with a place of business located at 414 Bridge Street, New
Cumberland, P A 17070.
3. Plaintiff, Superior Settlement Agency, LLC, is a limited liability company registered
to conduct business in Pennsylvania with a place of business located at 414 Bridge Street, New
Cumberland, PA 17070.
4. Plaintiff, Stone, LaFaver & Shekletski, is a law firm conducting business in
Pennsylvania, also with a place of business located at 414 Bridge Street, New Cumberland, P A
17070.
5. Stephen A. Gebhardt ("Gebhardt") who, upon information and belief has an interest
in the plaintiff corporation, Cedar Cliff was the former New Cumberland Branch Manager of the
defendant corporation, Transland.
6. At all times pertinent hereto, Transland was in the business of extending residential
construction and purchase money loans secured by mortgages. These loan transactions required
appropriate title insurance.
7. During the tenure of Gebhardt's employment Gebhardt engaged the services of Cedar
Cliff for title related work for Transland transactions. All authorized services have been paid by
Transland.
8. Following the termination of Gebhardt's employment with Transland, in July 01'2005,
a dispute arose resulting in Gebhardt filing a demand for arbitration with the American Arbitration
Association in Harrisburg, Pennsylvania.

9. Notice of the Arbitration proceedings was sent to Transland at their Florida Office.
Transland has been represented by its corporate counsel in the vigorous defense against Gebhardt's
claims.
10. Thereafter. unbeknownst to Transland, on November 22. 2005, Cedar Cliff f[led a
complaint against Transland in the Cumberland County District Court 09-1-0 I, Docket No. CV -739-
05, asserting that unspecified fees were due and owing to Gebhardt's companies. A true and correct
copy of the Complaint is attached hereto as Exhibit "A."
11. Rather than providing notice to counsel for Transland, of whom plaintiffs were aware,
the Complaint was served instead upon a satellite office of Transland located at 7004 West Butler
Pike, Suite 200, Ambler. P A 19002 (the" Ambler Office"). The Ambler office of T ransland is not
its principal place of business.
12. According to the Complaint, Defendant owes Plaintiffs a total of $6,036.42 plus
interest, based upon Transland's failure to remit the sums due for title and legal services provided
by Plaintiffs. Transland never authorized any such work, has never been invoiced for any such work
and received no benefit therefrom.
13. Defendant believes and therefore avers that the decision not to serve Transland's
Florida office was intentional in hopes that the complaint sent to Ambler would not be transmitted
to Florida for a response. In fact. Plaintiffs' Complaint states that any demand for payment (the
existence of which Transland does not have any record) was sent to the Florida oftice. not Ambler.
14. On January 6. 2006 a hearing was held on the Cedar Cliff Complaint. Because
Transland failed to appear at the scheduled hearing, judgment was entered on that same date by
default in favor of Plaintiffs and against Transland for the total sum of$6,789.24. A true and correct
copy of the Notice of Judgment is attached hereto as Exhibit "B."

15. It was not until the expiration of the thirty (30) day appeal period that Transland was
informed of the Complaint and default judgment.
16. Transland should be afforded the opportunity to appeal the default judgment nunc pro
tunc, or in the alternative, to open the judgment, because it has a valid and meritorious defense in
that the Complaint was filed in retaliation to Gebhardt's termination and seeks to recover
unauthorized fees.
WHEREFORE, Defendant, Transland Financial Services, Inc. respectfully requests that this
Honorable Court to allow Transland to appeal the judgment, or in the alternative, to open the
judgment entered in favor of Plaintiffs, Cedar Cliff Abstract Agency, Inc.. Superior Settlement
Agency, Inc. and Stone LaFaver & Shekletski, nunc pro tunc.

AND NOW, come the PlaintilTs, Cedar Cliff Abstract Agency, Inc., Superior Settlement
Agency, LLC, & Stone LaFaver & Shekletski, by and through their attomey, David H. Stone,
Esquire, which moves to strike the Petition to Appeal and/or Open Judgement Nunc Pro Tunc
and in the alternative answers the Petition to Appeal and/or Open Judgement Nunc Pro Tunc and
in support thereof avers as follows:
MOTION TO STRIKE
PlaintitT hereby moves that the Defendant's Petition to Appeal and/or Open Judgement
Nunc Pro Tunc be stricken for the following reasons:
1. Defendant's Petition was Ii led on or about February 21, 2006.
2. Plaintiffs filed the Judgement entered by District Justice Charles H. Clement to
the above-captioned matter in the Office of the Prothonotary on February 27, 2006.

3. Defendant's Petition was filed prematurely.
WHEREFORE, Plaintiffs request this Court to dismiss the said Petition for having been
filed prematurely.
ANSWER TO PETITION
I. Denied. Plaintiff is without sufficient information or knowledge to form a belief
as to the truth or falsity of said allegation and proof thereof is demanded at time of trial.

5. Dcnied. It is denied that Stephen A. Gebhardt has an interest in Plaintiff
corporation, Cedar ClitT Abstract Agency, Inc., or Stone LaFaver & Shekletski. Stephen A.
Gcbhardt does have a minority interest in Superior Settlement Agency, LLC. With respect to the
allegations that Stephen A. Gebhardt was the New Cumberland Branch Manager of the
Defendant, Plaintiffs are without out sufficient information or knowledge to form a belief as to
the truth or falsity of said allegation and proof thereof is dcmanded at time of trial.

7. Denied. It is dcnied that Stephen A. Gephardt engaged services of Cedar Cliff
Abstract Agency, Inc. All services engaged by Cedar Cliff Abstract Agency, Inc., or other
Plaintiffs were engaged in by various employees of Transland Financial Services, Inc., on behalf
of Trans land Financial Services Inc. Copies of the Title Orders are attached as Exhibit "A". It is
further denied that all authorized services were paid for by Transland.
8. Denied. Plaintiff is without sufficient information or knowledge to fonll a belief
as to thc truth or falsity of said allegation and proof thereof is dcmanded at time of trial.
9. Dcnied. Plaintiff is without sufficient information or knowledge to form a belief
as to the truth or falsity of said allegation and proofthcreof is demanded at time of trial.
10. Denied. It is denied that the Defendant had no knowledge of the complaint filed
against it. During a telephone conversation on February 8, 2006, between Attorney David H.
Stone and Brian Rutter, Branch Managcr of Defendant's Ambler Ot1icc, Brian Rutter admitted
that hc had reccived the Complaint and forwarded it to Bernie Wofford, the Controller/Account
Administrator of Defendant. It is further denied that the companics are "Gebhardt's companies".
By way of further answer, bills were sent to Transland Financial Serviccs Inc.'s Florida Officc
on Septembcr 6, 2005, by a Reminder Noticc dated October 31, 2005, and by further Rcminder
Notice dated November 22,2005. Copies of the bills and Reminder Notices are attached as
Exhibit "B". By way of further answer, after nonpayment of the bill several telephone calls were
made in an attempt to contact the Accounting Department of the Defendant by Attorney David
H. Stone and said telephone calls were refused.
1 I. Denied. It is denied that Plaintiffs were aware of counsel for Transland. It is
further denied that Plaintiffs had any duty or obligation to serve counsel for Transland. It is
denied that the Ambler Oflice of Transland is not its principal place of business in Pennsylvania.
By way of further answer, the Ambler Office is Defendant's only place of business of Dcfendant
in Pennsylvania. Service on the Ambler Office was propcr service pursuant to Pa.R.C.P.M.D.J.
No.310.
12. Denied. It is denied that the Defendant never authorized the work performed by
Plaintiff. It is further denied that the Defendant did not receive benefit from its work. It is
believed and therefor averred that the Defendant, through its Ambler OtTice, closed some of the
transactions for which title work and legal work were performed after the date of Defendant's
closing of its New Cumberland otTice.
13. Denied. It is denied that Plaintiff chose not to serve the Defendant's Florida
otTice in hopes that no response would be filed. By way of further answer, Plaintiffs service of
Defendant's principal place of business in Pennsylvania was the proper method of service under
Pa.R.C.P.M.D.J. No. 310.
14. Admitted.
15. Admitted. By way of further answer, it is denied that Plaintiff had any duty or
obligation to notify Defendant Transland during the appeal period. By way offurther answer,
prior to entering the Judgement in the Court of Common Pleas, Attorney David H. Stone
contacted the Manager of the Ambler Office as well as the Manager of the Accounting
Department of Trans land Financial Services in an effort to resolve this matter without the
embarrassment ofa Sheriff's Execution and Sale. Rather than respond to Attorney David H.
Stone, Defendant's counsel prematurely filed the petition to open the judgement prior to the
entry of the judgement by the Prothonotary.
WHEREFORE, Plaintiffs, Cedar Cliff Abstract Agency, Inc.. Superior Settlement
Agency, LLC, and Stone LaFavcr & Shekletski hereby request that the Defendant's Petition to
Appeal and/or Open Judgement Nunc Pro Tunc be denied.
