WAIVER OF LIEN

County of Cumberland
WHEREAS, the undersigned IMC Construction. Inc. has been employed by SILVER SPRING SQUARE II.
LLC. to furnish Construction Management Services for the Silver Spring Square project located at 6406 thru
6430 Carlisle Pike Mechanicsburg. PA under contract dated September 1. 2005; and WHEREAS, the
undersigned has agreed that no Mechanic's Notice ofIntention, Stop Notice, Lien Claim or other Lien, charge or
encumbrance has or shall be filed by the undersigned in connection with any materials, labor, services or
equipment supplied to or in connection with the contract or subsequent changes to our Work on the project.
NOW, THEREFORE, in consideration of ONE ($1.00) DOLLAR, and other good and valuable consideration, the
receipt and sufficiency of which are hereby acknowledged, the undersigned does hereby waive, release and
relinquish any and all liens, claims, charges, encumbrances and all claims or rights of lien and further gives,
releases and relinquishes the right to file any notice of intention, stop notice or , against the
Project, the property and improvements on which the Project is located or against any moneys or funds due or to
become due from the Owner of the Project to the General Contractor or Construction Manager in charge of the
Project with respect to any material, labor, service or equipment supplied by the undersigned or its
Subcontractors, sub-subcontractors or any Lien or Claimant claiming through or under the undersigned, to the
Project or the property and improvements on which the Project is located.
IN ORDER to give owner full power and authority to protect itself, the Improvements, the Property, the estate or
title or Owner therein, and the appurtenances thereto, against any and all liens filed by Subcontractor/Contractor
or anyone acting under or through it in violation of the foregoing covenant, Subcontractor/Contractor hereby
irrevocably authorizes any Attorney in the Commonwealth of Pennsylvania, to appear as Attorney for it, them
or any of them, in any such Court, and in its or their name or names, to the extent permitted by law, to mark
satisfied of record as Subcontractor/Contractor or of any subcontractor or materialman, any and all lien or liens
filed in violation of the foregoing covenants, instrument, or any amendment to any pleading or instrument
previously filed by it or them, and to incorporate therein, as a part of the record, the waiver contained herein, and
for such act or acts this Waiver of Liens shall be good and sufficient warrant and authority. A reference to the
court, term and number in which and where this Waiver of Liens shall have been filed shall be conclusive
evidence of the authority herein contained to warrant such action, and Subcontractor/Contractor, for itself and for
them, hereby remises, releases and quit-claims all rights and all manner of errors, defects and imperfections
whatsoever in entering such satisfaction or in filing such pleading, instrument or amendment, or in any way
concerning them.
