COUNT I
I. Plaintiff is Michael G. McVey, an adult individual currently residing at 902
Sheffield Avenue, Mechanicsburg, Cumberland County, Pennsylvania 17055.
2. Defendant is Barbara J. McVey, an adult individual currently residing at 601
East Keller Street, Mechanicsburg, Cumberland County, Pennsylvania 17055.
3. Plaintiff and Defendant are bona fide residents of the Commonwealth of
Pennsylvania and have been so for at least six (6) months immediately
previous to the filing of this Complaint.
4. Plaintiff and Defendant were married October 14, 1995 in Camp Hill,
Pennsylvania 170 II.
5. There have been no prior actions for divorce or annulment between the
parties.
6. Plaintiff and Defendant have been advised of the availability of counseling
and the right to request that the Court require the parties to participate in
counseling. Knowing this, Plaintiff and Defendant do not desire that the
Court require the parties to participate in counseling.
7. Plaintiff and Defendant are citizens of the United States of America and
neither is in the armed forces.
8. The parties' marriage is irretrievably broken.
9. Plaintiff desires a divorce based upon the belief that the Defendant will ninety
(90) days from the date of the filing and service of this Complaint consent to
the Divorce in accordance with 23 Pa. C.S.A. Section 3301 (c).
WHEREFORE, Plaintiff respectfully requests this Honorable Court to enter a
decree in divorce between Plaintiff and Defendant.
COUNT II
10. Paragraphs I - 9 are incorporated by reference as though fully set forth.
II. Plaintiff and Defendant each own certain benefits and retirement plans
available through their employment which is subject to equitable distribution.
12. Plaintiff and Defendant are each owners of real estate, items of personal
property, furniture and household furnishing acquired during their marriage
which are subject to equitable distribution.
13. Plaintiff and Defendant have incurred various debts and obligations during
their marriage which are subject to equitable distribution.
WHEREFORE, Plaintiff respectfully requests this Honorable Court to enter a
decree equitably dividing the parties' property and equitably apportioning the parties'
debts incurred by them.

MARITAL SETTLEMENT AGREEMENT
THIS AGREEMENT is made this _ day of March, 2006, by and between MICHAEL
McVEY of Mechanics burg, Cumberland County, Pennsylvania (hereinafter referred to as
"HUSBAND"), and BARBARA J. McVEY of Mechanicsburg, Cumberland County,
Pennsylvania (hereinafter referred to as "WIFE"),
WITNESSETH:
WHEREAS, WIFE was born on September 9, 1967, and currently resides at 601 East
Keller Street, Mechanicsburg, Cumberland County, Pennsylvania;
WHEREAS, HUSBAND was born on August 17, 1966, and currently resides at 902
Sheffield Avenue, Mechanicsburg, Cumberland County, Pennsylvania;
WHEREAS, the parties hereto are husband and wife, having been married on October 14,
1995, in Camp Hill, Cumberland County, Pennsylvania;
WHEREAS, the parties are the parents of the following minor children:

WHEREAS, the parties hereto are desirous of settling fully and finally their respective
financial and property rights and obligations as between each other, including, without limitation,
the settling of all matters between them relating to the ownership of real and personal property,
the support and maintenance of one another, and in general, the settling of any and all claims and
possible claims by one against the other or against their respective estates.
NOW, THEREFORE, in consideration of these premises, and of the mutual promises,
covenants, and undertakings hereinafter set forth, and for other good and valuable consideration,
receipt and sufficiency of which is hereby acknowledged by each of the parties hereto,
HUSBAND and WIFE, each intending to be legally bound hereby, covenant and agree as
follows:
I. ADVICE OF COUNSEL: The provisions of this Agreement and their legal effect
have been fully explained to HUSBAND by his counsel, Steven Howell, Esquire, and to WIFE
by her counsel, Jordan D. Cunningham, Esquire. Each party acknowledges that he or she has had
the opportunity to receive independent legal counsel of his or her selection, and that each fully
understands the facts and his or her legal rights and obligations, and each party acknowledges
and accepts that this Agreement is, in the circumstances, fair and equitable, and that it is being
entered into freely and voluntarily, and that execution of this Agreement is not the result of any
duress or undue influence, and that it is not the result of any improper or illegal agreement or
agreements. In addition, each party hereby acknowledges that he or she is aware of the impact of
the Pennsylvania Divorce Code, 23 Pa. C.S.A. 93101, et sea., whereby the Court has the right
and duty to determine all martial rights of the parties including divorce, alimony, alimony
pendente lite, equitable distribution of all marital property or property owned or possessed

individually by the other, counsel fees and costs of litigation and, fully knowing the same, and
being fully advised of his or her rights thereunder, each party hereto still desires to execute this
Agreement, acknowledging that the terms and conditions set forth herein are fair, just and
equitable to each of the parties, and waives his and her respective right to have the Court of
Common Pleas of Cumberland County, or any other court of competent jurisdiction, make any
determination or order affecting the respective parties' rights to alimony, alimony pendente lite,
equitable distribution of all marital property, counsel fees and costs of litigation, or any other
right arising from the parties' marriage.
2. DISCLOSURE OF ASSETS: Each of the parties hereto acknowledges that he or
she is aware of his or her right to engage in discovery, including but not limited to, written
interrogatories, motions for production of documents, the taking of oral depositions, the filing of
inventories, and all other means of discovery permitted under the Pennsylvania Divorce Code or
the Pennsylvania Rules of Civil Procedure and each of the parties specifically waives his or her
right to engage in any further discovery. Each of the parties further acknowledges that he or she
is aware of his or her right to have the real and/or personal property, estate and assets, earnings
and income of the other assessed or evaluated by the Courts of this Commonwealth or any other
Court or competent jurisdiction. The respective parties do hereby warrant that there has been full
and fair disclosure to the other of his or her income, assets and liabilities, and each party agrees
that any right to further disclosure, valuation, enumeration or statement thereof in this Agreement
is hereby specifically waives, and the parties do not wish to make or append hereto any further
enumeration or statement. The parties hereby acknowledge and agree that, based upon the
warrants of disclosure, the division of the marital assets as set forth in this Agreement is

considered fair, reasonable and equitable, and is satisfactory to them. Each of the parties hereto
further covenant and agree for himself and herself and his or her heirs, executors, administrators
or assigns, that he or she will never at any time hereafter sue the other party or his or her heirs,
executors, administrators or assigns in any action of contention, direct or indirect, and allege
therein that there was any duress, undue influence, or that there was a failure to have available
full, proper and independent representation by legal counsel.
3. EOUITABLE DISTRIBUTION:
(a) Real Pronerty: The parties acknowledge that HUSBAND and WIFE are
the owners of a parcel of real property known and numbered as:
(i) 916 Malffiolia Drive. Enola. Cumberland County. Pennsvlvania.
The parties acknowledge that with respect to the above parcel of
real property that HUSBAND and WIFE have sold the property
transferring all of their right, title and interest in the above
referenced property by Special Warranty to a third party and all the
net proceeds of the sale of the property shall be assigned to WIFE
to which proceeds HUSBAND transfers to WIFE all of his right,
title and interest. Net proceeds are defined as gross sales prices
less all realtor commissions, less $12,000.00 to HUSBAND,
mortgage debt on first mortgage, transfer taxes, real estate taxes,
and other normal closing cost plus return of any escrows for taxes
and insurance.

(ii) 601 East Keller Street. Mechanicsburg. Cumberland County.
Pennsvlvania.
The parties agree that subsequent to the parties separation, WIFE
acquired title to the real property known and numbered as 60 I East
Keller Street, Mechanicsburg, Cumberland County, Pennsylvania
and that HUSBAND transfers to WIFE all of his right, title and
interest in the above referenced property and shall execute a
Special Warranty deed in recordable form to extinguish all claims
thereto. WIFE solely responsible for all costs, expenses and
liabilities associated with or attributable to her interest in the above
described parcel ofreal estate, including but not limited to any
mortgages, taxes, insurance premiums, utilities, maintenance and
repairs.
(iii) 902 Sheffield Avenue. Mechanicsburg. Cumberland County.
Pennsvlvania.
The parties agree that HUSBAND has acquired title to the real
property known and numbered as 902 Sheffield Avenue,
Mechanicsburg, Cumberland County, Pennsylvania and that WIFE
transfers to HUSBAND all of her right, title and interest in the
above referenced property and shall execute a Special Warranty
deed in recordable form to extinguish all claims thereto.
HUSBAND shall be solely responsible for all costs, expenses and

liabilities associated with or attributable to his interest in the above
descrihed parcel of real estate, including but not limited to any
mortgages, taxes, insurance premiums, utilities, maintenance and
repaIrs.
(b.) Furnishings and Personal Prooertv:
As of the effective date of this Agreement, HUSBAND sets over, transfers
and assigns to WIFE all of his right, title, claim and interest in and to all
items of personality in WIFE'S possession. Effective as of the date of this
Agreement, WIFE shall set over, transfer and assign to HUSBAND all of
her right, title, claim and interest in all items of personality in
HUSBAND'S possession.
(c.) Motor Vehicles:
(i.) WIFE shall retain possession of and receive as her sole and
separate property a 1994 Plymouth Voyager van.
(ii) HUSBAND shall retain possession of and receive as his sole and
separate property a 2002 Ford Explorer automobile.
(iii) HUSBAND and WIFE agree to execute, acknowledge and deliver,
within thirty (30) days of HUSBAND'S or WIFE'S request, any and all
instruments or documents necessary to effectuate the transfer of the
vehicle pursuant to the terms of this subparagraph.

(iv) The parties agree to indemnify and hold each other and their
property harmless from any liability, debt service, cost or expense,
including attorney's fees, incurred in connection with the vehicle(s)
awarded to them by the terms of this subparagraph.
(d) Camper
As the effective date of this Agreement WIFE sets over, transfers and
assigns to HUSBAND all of her right, title and interest in and to a certain
1999 Rockwood Travel Trailer. HUSBAND agrees to indemnify and hold
harmless WIFE from any liability, debt service, cost or expense including
attorneys' fees related to or in connection with the camper awarded to
HUSBAND by the terms of this subparagraph.
(e) Installment Payments for Eauitable Interests in Marital Pro1?ertv
HUSBAND shall pay to WIFE for her share of that portion ofthe marital
estate that cannot be immediately offset the sum of $45,900.00 without
interest in fifty-four (54) monthly installments of $850.00 each as follows:
$392.31 every HUSBAND'S pay period, not to exceed $850.00 per
month. The first payment is due the first pay period after WIFE has signed
the Agreement and shall end once HUSBAND has paid $45,900.00
without interest. These payments shall total $392.31 every pay period not
to exceed $850.00 per month. HUSBAND is permitted the right to pre-
pay without penalty the remaining balance of the $45,900.00 due pursuant
to this Paragraph.

(f) Penn National Insurance Companv 40HK) Plan:
The parties agree that WIFE shall be awarded the sum of Ninety-three
Thousand One Hundred Eighty and 22/100 Dollars ($93,180.22)
representing ninety-five percent (95%) of the Plan value as of June 30,
2005, plus actual interest and dividends earned on this sum together with
any increases or decreases in the principal to the date that the said funds
are actually segregated by the Plan Administrator to WIFE as Alternate
Payee and carried, in her name, on the books of the Pennsylvania National
Insurance Company 401(K) Plan, and said amount shall be assigned to
WIFE pursuant to a Qualified Domestic Relations Order which Order will
direct the Plan Administrator to transfer ninety-five percent (95%) of the
balance of the Plan as of the date the Plan Administrator receives the
signed Qualified Domestic Relations Order which shall be entered within
thirty (30) days of the date of this Agreement. HUSBAND, as participant,
shall be awarded the remainder of the 40 I (K) account balance together
with all interest and dividends earned thereon.
(g.) Pennsylvania National Insurance Companv Defined Benefit Retirement
Plan:
The parties agree that WIFE shall be awarded fifty percent (50%) of the
marital portion of HUSBAND'S pension benefit under the Pennsylvania
National Insurance Company Defined Benefit Retirement Plan pursuant to

a Qualified Domestic Relations Order, which shall include the foJlowing
provisions:
(i.) The marital property component ofthe benefit (defined below) is a
fraction (defined below) of the participant's accrued pension
benefit calculated as of the Benefit Determination Dated (defined
below) and the plan's normal form of payment for unmarried
participants (the benefit).
The benefit determination date shall be the earliest to occur of:
(a.) The participant's separation from service;
(b.) The participant's death; or
(c.) The date the alternate payee begins receiving her portion of
the benefit awarded to her hereunder.
The fraction to be applied to the Benefit (determined above) as of
the Benefit Determination Date and used to determine the marital
property component is to be determined as foJlows: The numerator
is One Hundred Six (106) months and the denominator is the total
number of full months from the participant's date of hire on
February 12, 1996, until the Benefit Determination Date (defined
above). For example, ifthe Participant retires at age 60, and the
alternate payee has not previously elected to receive her portion of
the benefit awarded hereunder, the denominator of the fraction
would be 366 months for a fraction equal to 106/366, or .2896.

(ii.) The alternate payee (WIFE) is awarded fifty percent (50%) of the
marital property component of the benefit calculated in accordance
with Paragraph 3(g)(i) above, subject to such actuarial adjustments
as might be necessary based upon the alternate payee's age and
date upon which she begins receiving her portion of the Benefit
awarded to her hereunder.
(h) CIGNA Defined Benefit Pension Retirement Plan
WIFE waives any interest she may have had in HUSBAND's CIGNA
Defined Benefit Pension Retirement Plan. WIFE shall execute any documents
required by the Plan Administrator to effect a waiver therein.
(i) 2004 Federal Income Tax Refund
The parties agree WIFE shall own, possess and enjoy free and clear of any
claim of HUSBAND, the 2004 Federal Income Tax Refund equaling $6,300.00
(j) Miscellaneous Pro\:lertv:
All property not specifically addressed herein shall be hereafter owned by
the party to whom the property is titled; and if untitled, the party in possession.
This Agreement shall constitute a sufficient bill of sale to evidence the transfer of
any and all rights in such property from each to the other.
(k) Prooerty to Wife:
The parties agree that WIFE shall own, possess, and enjoy, free from any
claim of HUSBAND, the property awarded to her by the terms of this Agreement.
HUSBAND hereby quitclaims, assigns and conveys to WIFE all such property,

together with any insurance policies covering that property, and any escrow
accounts relating to that property. This Agreement shall constitute a sufficient
bill of sale to evidence the transfer of any and all rights in such property from
HUSBAND to WIFE.
(I) Prooerty to Husband:
The parties agree that HUSBAND shall own, possess, and enjoy, free
from any claim of WIFE, the property awarded to him by the terms of this
Agreement. WIFE hereby quitclaims, assigns and conveys to HUSBAND
all such property, together with any insurance policies covering that property, and
any escrow accounts relating to that property. This Agreement shall constitute a
sufficient bill of sale to evidence the transfer of any and all rights in such property
from WIFE to HUSBAND.
(m) Caoital Gains Taxes
Each party shall be solely responsible for the payment of any personal
income taxes realized from capital gains experienced from the sale of assets
transferred or distributed to them pursuant to the terms of this Agreement.
4. ALIMONY
HUSBAND shall pay to WIFE the sum of $ I ,250.00 per month, as alimony,
payable in two equal monthly installments of $576.92 on each of HUSBAND'S pay periods, not
to exceed the sum of $ I ,250.00 per month for a period of 54 months. The first payment is due
the first pay period after WIFE has signed the Agreement and shall end once HUSBAND has
paid the total of $67,500.00 due under this Paragraph. HUSBAND is permitted the right to pre-

pay without penalty the remaining balance of $67,500.00 due pursuant to this Paragraph.
HUSBAND shall pay seventy-five percent (75%) of WIFE'S unreimbursed medical expenses
through May 1,2006, however, in no event, HUSBAND'S reimbursement of WIFE'S
unreimbursed medical expenses not exceed the sum of $5,000.00. HUSBAND shall also
maintain and pay for WIFE'S health insurance through April 30, 2006, however, WIFE shall
have the right to request HUSBAND to maintain her medical insurance coverage on the
HUSBAND'S health insurance policy after April 30, 2006 until the date of the Divorce Decree
but she shall reimburse HUSBAND any amount he is required to pay solely for her coverage
within ten (10) days of his submission of proof of his payment for the dame to WIFE for
reimbursement.
The provisions of this Paragraph are non-modifiable and not subject to change due
to a change in circumstances with the following exceptions: (1) WIFE'S remarriage or
cohabitation with another man who is not a family_member between April I, 2005 and November
1,2009, then, in that event HUSBAND's duty to pay alimony and un-reimbursed medical
expenses shall terminate as of the date of WIFE's remarriage or cohabitation, however, any
arrearage shall remain due and owing; or (2) WIFE's death, in that event, HUSBAND's duty to
pay alimony and un-reimbursed medical expenses shall terminate as of the date of WIFE's death.
Cohabitation means an unrelated adult male residing with WIFE in the manner of
husband and wife, both the unrelated adult male and WIFE mutually assuming those rights and
duties usually attendant upon the marital relationship. Cohabitation may be shown by evidence
of financial, social and sexual interdependence such as a sharing of the same residence, and by
other means. The word cohabitation for the purposes of this Agreement requires some

permanency about the relationship coupled with more than occasional sexual activity. Factors to
be considered in determining cohabitation but which are not necessarily conclusive include
evidence of an unrelated adult male's: voter registration listing WIFE's address as his residence;
driver's license listing WIFE's address as his residence; automobile registration listing WIFE's
address as his residence; the payment of local wage and occupational privilege taxes reflecting (
WIFE's address as his residence; automobile insurance policies listing WIFE's address as his
residence; regular deliveries of U.S. Mail to the unrelated male at WIFE's address, whether the
unrelated male maintains another residence; and the reporting by the unrelated adult male on any
loan or credit application WIFE's address as his residence. Nothing in this paragraph is intended
to exclude from the defInition of cohabitation WIFE's assumption of cohabitation in another
residence owned or occupied by an unrelated adult male. In the event WIFE changes her
residence and assumes cohabitation with an unrelated adult male, that too would act as a bar to
any additional alimony payments. However, consistent with Pennsylvania precedent, an
occasional sexual liaison does not constitute cohabitation.
The parties agree that the entire amount being paid to WIFE pursuant to this Paragraph is
a separate maintenance periodic payment, included and intended to be included with the income
of the WIFE within the meaning and intent of Section 71 of the United States Internal Revenue
Code of 1954 and deductible from the HUSBAND's gross income pursuant to the provisions of
Section 215 of the United States Internal Revenue Code of 1954. WIFE agrees that all said
payments shall be included as income of the WIFE in her applicable tax returns and that she shall
pay such taxes as may be required by reason of such inclusion. HUSBAND and WIFE

acknowledge that since April 1, 2005, the effective date of this Agreement, WIFE as offebruary
24,2006 has received $15,009.84 in spousal support payments which shall be credited against

the total of $67,500.00 owed leaving a balance as of February 24,2006 of$52,490.16 in alimony
payments due and owing.
5. LIABILITffiS
(a) HUSBAND shall pay the following marital liabilities heretobefore
incurred by or on the behalf of WIFE, HUSBAND andlor Children:
(i) Members First Credit Union: $7,278.45 (car loan-Explorer);
(ii) Members First Credit Union: $9,648.62 (travel trailer);
(iii) Discover Credit Card: $4,173.64
(iv) Shell Gas Credit Card: $270.54
Total:
$21,371.25
HUSBAND shall make all payments due with regard to the above
obligations in a timely manner pursuant to the terms of the loans and/or credit
card agreements.
(b) HUSBAND shall be solely responsible for all debt he has incurred as a
result of Paragraph 5(a) above and/or in his name alone, including, but not limited
to, obligations to issuers of credit cards in his name, and HUSBAND further
agrees that he will indemnify and hold WIFE and her property hannless from any
liability, cost or expense, including attomey's fees, associated with these
obligations.
( c) WIFE agrees that she shall be solely responsible for all debt she has

incurred in her name alone, including, but not limited to, obligations to issuers of
credit cards in her name and WIFE further agrees that she will indemnify and
hold HUSBAND and his property harmless from any liability, cost or expense,
including attorney's fees, associated with these obligations.
(d) Unless otherwise provided herein, each party hereby assumes the debts,
encumbrances, taxes (past and future) and liens on all the property each will hold
subsequent to the date of this Agreement, and each party agrees to indemnify and
hold harmless the other party and his or her property from any claim or liability,
cost or expense, including actual attorney's fees, that the other party will suffer or
may be required to pay because of such debts, encumbrances or liens.
(e) Liabilitv Not Listed:
Each party represents and warrants to the other that he or she has not
incurred any debt, obligation or other liability, other than those described in this
Agreement, on which the other party is or may be liable. A liability not disclosed
in this Agreement will be the sole responsibility of the party who has incurred or
may hereafter incur it, and each party agrees to pay it as the same shall become
due, and to indemnify and hold the other party and his or her property harmless
from any and all such debts, obligations and liabilities.
(f) Indemnification of Wife:
If any claim, action or proceeding is hereafter initiated seeking to hold
WIFE liable for the marital debts or obligations assumed by HUSBAND under
this Agreement as a result of his default in the payment of the said marital or

QUALIFIED DOMESTIC RELATIONS ORDER
1. This Order relates to the provision of marital property rights to the Alternate Payee.
2. This Order creates and recognizes the existence of an Alternate Payee's right to receive
a portion of the Participant's vested account balance payable under an employer sponsored
defined contribution plan which is intended to be qualified under Section 40l(a) ofthe Internal
Revenue Code of 1986, as amended (the "Code"). The Court intends this Order to be a Qualified
Domestic Relations Order ("QDRO") within the meaning of Code Section 414(p) and Section
206(d) of the Employee Retirement Income Security Act of 1974, as amended ("ERISA"). The
Court enters this Order pursuant to its authority under the 23 Pa.C.S.A. Section 3502.
3. This Order applies to the Amended and Restated Tax Deferred Savings Plan for
Employees of Pennsylvania National Mutual Casualty Insurance Company and its Affiliated
Companies (the "Plan") sponsored by Pennsylvania National Mutual Casualty Insurance Company
(the "Company"). Further, this Order shall apply to any successor plan to the Plan or any other
planes) to which liability for provision of the Participant's benefits described below is incurred.
Any benefits accrued by the Participant under a predecessor plan of the Company or any other
defined contribution plan sponsored by the Company, whereby liability for benefits accrued under
such predecessor plan or other defined contribution plan has been transferred to the Plan, shall
also be subject to the terms of this Order. Any changes in the name ofthe Plan Administrator,
Plan sponsor, or the Plan shall not affect Alternate Payee's rights as stipulated under this Order.
4. Michael G. McVey ("Participant") is a participant in the Plan. Barbara 1. McVey
("Alternate Payee"), the former spouse of the Participant, is the alternate payee for purposes of
this Order.

The Alternate Payee shall have the duty to notify the Plan Administrator in writing of
any changes in her mailing address subsequent to the entry of this Order. The Plan Administrator
shall mean the Employee Benefits Administrative Committee ("EBAC").
7. This Order assigns to Alternate Payee an amount equal to 95% of the Participant's
vested account balance under the Plan accumulated as of June 30, 2005. The Alternate Payee's
share of the Participant's vested account balance shall be allocated on a "pro-rata" basis among all
of the accounts and/or investment funds maintained on behalf of the Participant under the Plan.
The Alternate Payee's share of the Participant's vested account balance shall be credited with any
investment income or losses attributable thereto from June 30, 2005, until the date of distribution.
8. This Order does not require the Plan to provide any type or form of benefit the Plan
does not otherwise provide.
9. This Order does not require the Plan to provide increased benefits.
10. This Order does not require the Plan to pay any benefits to the Alternate Payee which
are required to be paid to another alternate payee under another order that was previously
determined to be a QDRO.
11. The Plan shall distribute to the Alternate Payee her share of the Participant's vested
account balance (as designated in Section 7) as soon as administratively feasible following the
date this Order is approved as a QDRO by the EBAC. Benefits will be payable to the Alternate
Payee in any form or permissible option otherwise available to participants and under the terms of
the Plan, including, but not limited to, a single lump-sum cash payment.
12. On and after the date that this Order is deemed to be a QDRO, but before the Alternate
Payee receives her distribution under the Plan, the Alternate Payee shall be entitled to all of the
rights and election privileges that are afforded to Plan beneficiaries, including, but not limited to,
the right to name a beneficiary and the right to direct her Plan investments to the extent permitted
under the Plan.
13. All payments made pursuant to this Order shall be conditioned on the certification by
the Alternate Payee and the Participant to the EBAC of such information as the EBAC may
reasonably require from such parties.
14. It is the intention of the parties that this Order continue to qualify as a QDRO under
Code Section 414(p), as it may be amended from time to time, and that the EBAC shall reserve
the right to reconfirm the qualified status of the Order at the time benefits become payable
hereunder.

15. In the event that the Plan inadvertently pays to the Participant any benefits that are
assigned to the Alternate Payee pursuant to the terms of this Order, the Participant shall
immediately reimburse the Alternate Payee to the extent that he has received such benefit
payments and shall forthwith pay such amount so received directly to the Alternate Payee within
ten (10) days of receipt.
In the event that the Plan inadvertently pays to the Alternate Payee any benefits that are
assigned to the Participant pursuant to the terms of this Order, the Alternate Payee shall
immediately reimburse the Participant to the extent that she has received such benefit payments
and shall forthwith pay such amount so received directly to the Participant within ten (10) day of
receipt.
16. After payment of the amount required by this Order, the Alternate Payee shall have no
further claim against the Participant's remaining account balance in the Plan.
17. The Alternate Payee assumes sole responsibility for the tax consequences of the
distribution under this Order.
18. The Alternate Payee's right to the amount assigned to her under this Order shall not be
affected by the Participant's death (whether before or after benefit payments to the Alternate
Payee have commenced). In the event of the Alternate Payee's death prior to the commencement
of benefit payments to the Alternate Payee pursuant to this Order, the Plan shall pay the remaining
benefits under this Order as soon as practicable to any beneficiary designated by the Alternate
Payee and recorded with the Plan EBAC under the terms of the Plan. If no designated beneficiary
survives the Alternate Payee, benefits shall be paid to the Alternate Payee's estate.
19. The Plan shall treat this Order in accordance with Code Section 414(P)(7). While the
Plan is determining whether this Order is a QDRO, the EBAC shall separately account for the
amounts which would have been payable to the Alternate Payee while the Plan is determining the
qualified status of this Order.
20. The EBAC promptly shall notify the Participant and the Alternate Payee of the receipt
of this Order and shall notify the Participant and the Alternate Payee ofthe Plan's procedures for
determining the qualified status of this Order. The EBAC shall determine the qualified status of
the Order and shall notify the Participant and the Alternate Payee ofthe determination within a
reasonable period of time after receipt ofthis Order.
21. The Court shall retain jurisdiction with respect to this Order to the extent required to
maintain its qualified status and the original intent of the parties as stipulated herein.

The Alternate Payee shall have the duty to notify the Plan A~m;njAtrator in writing of
any changes in this mailing address subsequent to the entry of this Order. The Plan
Administrator shall mean the Employee Benefits Administrative Committee ("EBAC").
7. This Order assigns to Alternate Payee an amount equal to the actuarial equivalent of
50% of the marital portion of the Participant's vested accrued benefit under the Plan as of the
earlier ofhis date of cessation of benefit accruals or the date that the Alternate Payee commences
her benefits hereunder. The marital portion of the Participant's accrued benefit shall be
determined by multiplying the Participant's accrued benefit by a fraction (less than or equal to
1.0), the numerator ofwbich is 106 and the denominator of which is the total number of months of
the Participant's participation in the Plan as of the earlier ofhis date of cessation of benefit
accruals or the date that the Alternate Payee commences her benefits hereunder.
In addition to the above, the Alternate Payee shall receive a pro rata share of any
postretirement cost-of-living adjustments or other economic improvements made to the
Participant's vested accrued benefit on or after the date of his retirement. Such pro rata share
shall be calculated in the same manner as the Alternate Payeels share of the Participant's vested
accrued benefit as calculated pursuant to this Section 7.
Notwithstanding the language set forth in this Section 7, in the event that the
Alternate Payee becomes entitled to a qualified preretirement survivor annuity under Section 9 of
this Order, then the Alternate Payee's right to a share of the Participant's vested accrued benefit
determined under this Section 7 shall be terminated as of the date of the Participant's death, and
such preretirement death benefit shall be payable to the Alternate Payee in lieu of any other
benefits to which she may be entitled under the terms of this Order.
8. The Alternate Payee may elect to commence her share of the Participant's vested
accrued benefit under the Plan at any time on or after the date the Participant attains the earliest
retirement age as defined by Code Section 414(p)(4)(B). Further, in the event the Participant
becomes eligible to commence benefits at an earlier date as the result of a disability retirement, as
provided under the terms of the plan, the Alternate Payee shall also be entitled to commence her
share of the Participant's vested accrued benefit at such earlier date. Notwithstanding the above,
the Alternate Payee shall commence her share of the Participant's vested accrued benefit no later
than the Participant's actual date of benefit commencement. The EBAC shall be instructed to
provide any required notice and election forms in a timely manner to the Alternate Payee before
such date of benefit commencement.
The Alternate Payee shall be entitled to receive her share of the Participant's vested
accrued benefit in any form available under the terms and provisions of the Plan, other than a
qualified joint and survivor annuity with her current spouse as the survivor annuitant. The
Alternate Payee shall execute any forms required by the Plan Administrator.
The form of benefits paid to the Alternate Payee shall be based on the life expectancy of
the Alternate Payee. Any actuarial adjustment (reduction or increase) to base the Alternate
Payee's benefits on her lifetime shall be borne by the Alternate Payee. Further, should any early
commencement reduction be necessary in the event that the Alternate Payee commences her
benefits prior to Participant's Normal Retirement Date, then such reduction shall be applied to
Alternate Payee's benefits.

The Alternate Payee shall be entitled to a pro rata share of any early retirement
subsidy (including any temporary or supplemental benefits) provided under the Plan to the
Participant on the date of his retirement. and in the event the Alternate Payee has already
commenced her share of the benefits on the date of the Participant's retirement, then the amounts
payable to the Alternate Payee shall be recalculated in accordance with the EBAC's practices and
the Plan's actuarial principles in order to provide the Alternate Payee with the pro rata share of
such early retirement subsidy. Such pro rata share shall be calculated in the same manner as the
Alternate Payee's share of the Participant's vested accrued benefit shall be calculated pursuant to
Section 7 of this Order.
9. In the event the Participant predeceases the Alternate Payee, and neither the
Participant nor the Alternate Payee has commenced their benefits under the Plan, the Alternate
Payee shall be designated as the surviving spouse of the Participant for the purposes of
establishing the Alternate Payee's entitlement to receipt of the preretirement survivor annuity.
For purposes of determining the eligibility for such surviving spouse benefit, the Alternate Payee
and the Participant have satisfied the one (1) year marriage requirement as enumerated in Code
Sections 401(a)(11) and 417(d) and as may be required under the provisions of the Plan.
This designation applies to the marital portion of the Participant's accrued benefit
under the Plan if the Participant has an eligible subsequent spouse or 100% of the Participant's
accrued benefit under the Plan if the Participant does not have an eligible subsequent spouse.
10. If Alternate Payee predeceases Participant before her benefit commencement date, her
assigned share of the Participant's vested accrued benefit shall revert to the Participant. Should
the Alternate Payee predecease the Participant after her benefit commencement date, then such
remflitling benefits, if any, will be paid in accordance with the form. of benefit elected by such
Alternate Payee.
11. On and after the date that this Order is deemed to be a QDRO, but before the Alternate
Payee receives her distribution under the Plan, the Alternate Payee shall be entitled to all of the
rights and election privileges that are afforded to active participants except a joint and survivor
annuity to a subsequent spouse.
12. All payments made pursuant to this order shall be conditioned on the certification by
the Alternate Payee and the Participant to the EBAC of such information as the EBAC may
reasonably require from such parties, including the information the EBAC requires to make the
necessary calculation of the benefit amounts contained herein.
13. It is the intention of the parties that this Order continue to qualify as a QDRO under
Code Section 414(p), as it may be amended from time to time, and that the EBAC shall reserve
the right to reconfirm the qualified status of the Order at the time benefits become payable
hereunder.
14. In the event that the Plan inadvertently pays to the Participant any benefits that are
assigned to the Alternate :payee pursuant to the terms of this order, the Participant shall
immediately reimburse the Alternate Payee to the extent that he has received such benefit
payments and shall forthwith pay such amount so received directly to the Alternate Payee within
ten (10) days of receipt.

In the event that the Plan inadvertently pays to the Alternate Payee any benefits that
are assigned to the Participant pursuant to the terms of this Order, the Alternate Payee shall
immediately reimburse the Participant to the extent that she has received such benefit payments
and shall forthwith pay such amount so received directly to the Participant within ten (10) days of
receipt.
15. The Participant shall not take any actions, affirmative or otherwise, that can
circumvent the terms and provisions of this Order, or that could diminish or extinguish the rights
and entitlements of the Alternate Payee as set forth herein. In the event the Participant takes
any action or inaction to the detriment of the Alternate Payee, he shall be required to make
sufficient payments directly to the Alternate Payee to the extent necessary to neutralize the
effects of his actions or inactions and to the extent of the Alternate Payee's full entitlements
hereunder.
16. In the event that the Participant's benefits, or any portion thereof, become payable to
the Participant as a result of termination or partial termination of the Plan, then the Alternate
Payee shall be entitled to commence her benefits immediately in accordance with the terms of this
Order and in accordance with the termination procedures of the Plan and the Pension Benefit
Guaranty Corporation ("PBGen). Further, should the Participant's accrued benefit be reduced as
a result of such termination or partial termination of the Plan, then the amounts otherwise
payable to the Alternate Payee under this Order shall be reduced to the same extent and in the
same ratio as the Participant's benefits are reduced.
17. After payment of the amount required by this Order, the Alternate Payee shall have no
further claim against the Participant's interest in the Plan.
18. The Alternate Payee assumes sole responsibility for the tax consequences of the
distribution under this Order.
19. This Order does not require the Plan to provide any type or form. of benefit the Plan
does not otherwise provide. '
20. This Order does not require the Plan to provide increased. benefits determined on the
basis of actuarial value.
21. This Order does not require the Plan to pay any benefits to the Alternate Payee which
are required to be paid to another alternate payee under another order that was previously
determined to be a QDRO.
22. The EBAC promptly shall notify the Participant and the Alternate Payee of the receipt
of this Order and shall notify the Participant and the Alternate Payee of the Plan's procedures for
determining the qualified status of this Order. The EBAC shall determine the qualified status of
the Order and shall notify the Participant and the Alternate Payee of the determination within a
reasonable period of time after receipt of this Order.
23. In the event that the EBAC determines that an overpayment has been made to the
Participant and/or the Alternate Payee for any reason, and the parties cannot come to an
agreement regarding their respective liability toward the Plan's recoupment of such

overpayments, the Court shall retain jurisdiction regarding the allocation of such repayments to
the Plan between the Participant and the Alternate Payee.
24. The Court shall retain jurisdiction with respect to this Order to the extent required to
maintain its qualified status and the original intent of the parties as stipulated herein.
