Carlisle SynTec Incorporated is a Delaware corporation with its principal place of business located at 1285 Rimer Highway, Carlisle, Pennsylvania. 2. Carlisle SynTec Incorporated is the successor to Carlisle SynTec Systems, Division of Carlisle Corporation. The principal place of business of Carlisle SynTec Systems, Division of Carlisle Corporation was 1285 Rimer Highway, Carlisle, Pennsylvania. 3. Aquatic Gardens & Koi Co., LLC ("Aquatic Gardens"), is a New Jersey limited liability corporation with its principal place of business located at 2443 Monmouth Road, Jobstown, New Jersey 08041. 4. Carlisle is a manufacturer and supplier of rubber sheeting products and various other materials. 5. In 1998, Aquatic Gardens sought to establish a line of credit with Carlisle in order to purchase rubber sheeting products from Carlisle. 6. In connection with establishing a line of credit, Aquatic Gardens submitted to Carlisle an executed Carlisle SynTec Systems Credit Application ("Credit Application") and an executed Terms and Conditions of Sale document ("Terms & Conditions"). True and correct copies of the Credit Application and Terms & Conditions are attached hereto as Exhibit "A" and are incorporated. 7. Pursuant to the aforesaid Terms & Conditions and Credit Application, Defendant ordered products from Carlisle and Carlisle shipped products to Aquatic Gardens or to sites designated by Aquatic Gardens. Included in these orders, are the transactions which took place on November 6, 2000 and November 14, 2000, invoices for which transactions are attached hereto as Exhibit "B" and are incorporated. 8. Substantial parts of the dealings between the parties took place in or otherwise involved Carlisle, Pennsylvania, including, but not limited to, shipment of some of the products, placement of orders, preparation of monthly statements, submittal of the Credit Application and Terms & Conditions by Aquatic Gardens, written and telephonic communications between the parties and the like. 9. The Credit Application, attached as Exhibit "A" provided as follows: "In addition, should (we) (I) default in payment for goods sold and delivered, then (we) (I) agree to pay interest at the maximum allowable rate from the date of default and, if said default is referred to an attorney or agency for collection, (we) (I) shall pay, in addition to that amount then remaining to be paid together with interest as stated above, a further amount of twenty percent (20%) added for collection fees is said collection fees shall then be permitted by law, and if not, then such lesser collection fees, if any, as shall be pemdtted by law. The provisions of this document shall be governed by the laws of the Commonwealth of Pennsylvania." I0. The Teims & Conditions provided as follows: PAYMENT TERMS. Buyer agrees to make payment in accordance with terms stated on the face of the order. If Buyer defaults, is insolvent, or if Buyer's credit is impaired, Seller shall have the right to (1) demand payment in full for any goods delivered or before proceeding with manufacture of goods; (2) withhold shipments in whole or in part; and (3) recall goods in transit. Invoices not paid within the time period allowed by the stated terms will be assessed a finance charge of 1-1/2% per month (18% per year) on the unpaid balance or the maximum allowable rate permitted by law. 11. The invoices attached as Exhibit "B" reflect that payment was due as follows: Invoice #90085929- 11/14/00~ 2% 45 net 60 Invoice #90084257-11/6/00, 2% 45 net 60 Therefore, payment in full was due on the November 6, 2000 invoice by January 5, 2001 and payment in full was due on the November 14, 2000 invoice by January 13, 2001. 12. Since establishing a line of credit with Carlisle in 1998, Defendant has placed various orders for product. As a consequence of not paying within the time set forth in the Terms & Conditions, various and sundry finance charges have accrued and continue to accrue all as set forth in the invoices attached hereto collectively as Exhibit "C" and incorporated. As of January 1, 2002 these charges totaled $3,399.30. 13. Plaintiff fulfilled all of its obligations to Defendant pursuant to Terms & Conditions. COUNT I-BREACH OF CONTRACT CARLISLE SYNTEC INCORPORATED v. AQUATIC GARDENS & KOI, CO., LLC 14. Plaintiff incorporates by reference paragraphs one through thirteen as though set forth at length. 15. Defendant, in violation of the Terms & Conditions and the Credit Application has failed and refused to make payment to Plaintiff for the products sold by Plaintiff to Defendant as reflected by the Invoices attached as Exhibit "B". Defendant, despite demand, has failed and refused to make payment for the amounts that are past due and owing. 16. The total amounts due and owing for products sold and delivered to Defendant is $3,141.70 as shown on the summary attached hereto as Exhibit "C". Finance charges accruing to January 1, 2002 total $3,399.69 and continue to accrue at the per diem rate of $1.55 per diem. 17. Despite demand, Defendant has failed and refused to make payment to Plaintiff of the amounts rightfully due and owing to Plaintiff from Defendant. 4 18. The Credit Application provides for the recovery of attorney fees in the mount of twenty (20%) percent of the amount due and owing. Twenty (20%) percent of the amount sought is $1,308.27. WHEREFORE, Plaintiff, Carlisle SynTec Incorporated, demands judgment against Defendant, Aquatic Gardens & Koi, Co., LLC the amount of $7,849.66 plus additional finance charges accruing to the date of award together with costs of suit ail in an amount requiring compulsory arbitration.
