ZII'JIMERMAN, of New Cumberland, Cumberland County, Pennsylvania declare this to be my Last Will and Testament, revoking all prior Wills and Codicils heretofore made by me. 1. I hereby appoint my wife, Anna Mae Zimmerman, to serve as Executrix of my estate. Should my wife, Anna Mae Zimmerman, fail to qualify or cease to act, or be unable or unwilling to act as Executrix of my estate for any reason whatsoever, I hereby appoint Michael Sedor of Harrisburg, Pennsylvania, as alternate Executor of this my Last Will and Testament. 2. No fiduciary herein named shall be required to file or post bond or any other security for the faithful performance of the fiduciaries duties. 3. My wife, Anna Mae Zimmerman, and I are now joint owners of a residence in New Cumberland, Cumberland County, Pennsylvania, which is our usual home. If, however, my said wife survives me and at my death our home, whether J~ ~ b~~ it be the one in which we now own or one which is hereafter acquired by us, is held in any manner which will not result in the passage of full title to my said wife by operation of law, I hereby give and devise my entire interest in said home to her. 4. All of the rest, residue and remainder of my property and estate, of whatsoever nature, whether personal or real, tangible or intangible and wheresoever situate, including property over which I hold a power of appointment which I have not heretofore exercised, together with all policies of insurance thereon, I hereby give, bequeath and devise to my said wife, Anna Mae Zimmerman, if she survives me. 5. In the event that my said wife, Anna Mae Zimmerman, does not survive me, then and in that event I give, bequeath and devise all of my property and the rest, residue and remainder of my estate to my issue per stirpes, and not per capita, of whatsoever nature and wheresoever situate, including property over which I hold power of appointment which I have not heretofore exercised, together will all policies of insurance thereon. 6. Should any legatee or devisee under this will die ~~~~ MURRAY B. ERMAN -2- within sixty (60) days after the date of my death, he or she shall be deemed to have predeceased me for all purposes under this Will. If my wife, Anna Mae Zimmerman, shall die within the sixty (60) day period, she shall have during that portion of such sixty (60) days as she in fact survives me, the right to the use and enjoyment as a life tenant of all property in which her interest will fail by reason of his death within such sixty (60) days. 7. I direct that all my estate, inheritance, succession, transfer taxes and other taxes of a similar nature that may be assessed in consequence of my death, of whatsoever nature and by whatsoever jurisdiction imposed, shall be paid out of the income or principal portion of my general estate, in the absolute discretion of my Executrix to the same effect as if said taxes were expenses of administration, and all property includible in my taxable estate, whether or not passing under this Will shall be free and clear thereof. 8. No interest, whether in income or principal, of any beneficiary of my estate shall be subject to anticipation, pledge, assignment, sale or transfer in any manner; nor shall any such beneficiary have any power in any manner to charge ~ b~ -3- or encumber his interest, whether in income or principal; nor shall the interest, whether in income or principal, of any such beneficiary be liable or subject in any manner while in the possession of my Executrix or any trustee or guardian for any liabilities of such beneficiary, whether such liabilities arise from his/her death, debts, contracts, torts or engagements of any type. 9. In the administration of my estate, my fiduciaries shall have the following powers, in addition to such powers as they may have by law; (a) To invest any funds of my estate in any stocks, bonds, notes or other securities or property, real or personal, notwithstanding that such investment may not be of a character allowed to fiduciaries by statute or general rules of law; (b) To sell, give options, exchange, partition, lease for any period of time or otherwise dispose of any property, real or personal, at any time forming a part of my estate, for cash or upon credit, in such manner and upon such terms and conditions as they may deem best, and no persons dealing with them shall be bound to see to the application of any funds paid; (c) To manage, operate, repair, improve, mortgage or lease for any term any real estate at any time held or owned by my estate; ~ ~~~' MURRAY B. MMERMAN -4- (d) To borrow money and to mortgage or pledge any real or personal property for the payment of taxes or for any other purpose in the administration of my estate; (e) To distribute in cash or in kind, upon any division or distribution of my estate; and (f) In general, to exercise all powers in the management of my estate which any individual could exercise in the management of similar property owned in his own right, upon such terms and conditions as to them may seem best, and to execute and deliver all instruments and to do all acts which they may deem necessary or proper to carry out the purposes of this Will. 10. In the event that my wife, Anna Mae Zimmerman, does not survive me, and in that event if any beneficiary of my estate is a minor at the time at which any distribution of any property devised and bequeathed by this will would otherwise be made to such beneficiary, the Fiduciary shall distribute all such property to the guardian of the estate of such beneficiary. Except as otherwise provided herein, the guardian shall hold, manage, invest and reinvest any property received by the guardian (whether under this will or otherwise), shall collect the income thereof, and shall apply so much of the net income and, if the net income is insufficient, so much of the principal of the property held for such beneficiary as the guardian shall deem necessary or advisable for such beneficiaries health, maintenance, support ~ ~~l( ~ .--- I ----' h~Qt1 ~RRAY~. MMERMAN -5- and complete education. The guardian shall accumulate any surplus net income annually and add the same to the principal of the property held for such beneficiary. When such beneficiary attains the age of twenty-one years, the guardian shall distribute to such beneficiary all property held by the guardian for such beneficiary. If such beneficiary dies before attaining the age of twenty-one years, the guardian shall distribute to the personal representative of such beneficiaries estate all property held by the guardian for such beneficiary. 11. Each bequest to a beneficiary who does not survive me shall be distributed to such beneficiaries issue, per stirpes, who survive me. 12. I direct that my legally enforceable debts, the expenses of my last illness, funeral and burial be paid from my estate as soon as after my death as conveniently may be done. WHEREAS, it is now my desire to retain my designation of my wife, ANNA MAE ZIMMERMAN, as Executrix of my Last Will and Testament but to change the designation of MICHAEL SEDOR as my alternate Executor. Accordingly, I hereby revoke the appointment of MICHAEL SEDOR as my alternate Executor and appoint my sons, GEORGE WILLIAM ZIMMERMAN of Shiremanstown, Pennsylvania, and RONALD EUGENE ZIMMERMAN of Millersville, Pennsylvania, as alternate Co-Executors to serve in that capacity, in the event that my wife, ANNA MAE ZIMMERMAN, fails to qualify, ceases to act or is unable or unwilling to act as Executrix of my estate for any reason whatsoever.
