We hereby enter into a construction agreement for the following:

Rights, Terms, and Conditions
Warranty and Requirements for Materials and Workmanship:
All work described in this agreement and any work developed by a change order is guaranteed by EXCEL'S limited five-year warranty.
See attached "Limited Five (5) Vear Warranty" for details, All workmanship shall meet or exceed the guidelines as described in
Residential Construction Performance Guidelines For Professional Builders and Remodelors, written by the National Association of
Home Builders' Remodelors Council. All work shall also be in accordance with local bUilding codes. This contract supersedes any
standards, specifications, drawings, and/or any other infoooation provided by the OWNER or its representatives unless noted in the
Specifications.
Hidden, Concealed and Unforeseen Conditions:
The price and teoos of this Agreement are made in good faith based on visual inspection and infonnation provided by the OWNER. In the
event the contractor discovers a condition requiring an extra cost, which was not readily observable during initial inspections, EXCEL
shall notity the OWNER immediately, At this point a CHANGE ORDER shall be executed for any additional work. This Agreement
does not contemplate removal of any large rock when excavating. EXCEL will not be obliged to bear the extra costs of having to remove
such rock. OWNER shall be responsible and liable for any existing underground pipe, electrical lines, water problems, water seepage into
basement, springs or other underground impediments or problems not known to Contractor at time hereof.
Extra Work and Change Orders:
Any work requested by the OWNER after signing of original contract shall be executed with a CHANGE ORDER. All CHANGE
ORDERS shall be agreed upon before commencement of EXTRA work by either lump sum price or time and material. The payment
terms and changes in project schedule shall be described in the CHANGE ORDER,
Trash and Debris Removal:
EXCEL will be responsible to remove all construction related debris from the worksite during the construction process, Extra fill made
from excavation for foundation is not considered debris and will be removed per the OWNER'S direction on a time and material basis and
paid by a CHANGE ORDER unless noted otherwise in the specifications. EXCEL will maintain a clean worksite during construction and
provide a general cleaning at the end of the project that will include sweeping and/or vacuuming floors, wiping down counters and fixtures
and cleaning newly installed windows, one time,
Temporary Utilities:
OWNER, unless stated in agreement otherwise, shall be responsible for the cost ofal! utilities needed for construction and maintenance of
the project. This includes but is not limited to heat, electric, water, and lavatory facilities.
Matching Existing Finishes:
EXCEL will use reasonable efforts to match existing fmishes and materials, However, an exact match is not guaranteed due to such
factors as discoloration from aging, a difference in dye lots, or discontinuation of product lines. Custom milling of materials is not
included unless specifically stated in the SPECIFICA nONS.
Installation of Owner-Supplied Fixtures and Materials:
EXCEL cannot warrant any OWNER supplied materials or fixtures, new or used. Any costs incurred by EXCEL for repairing/replacing
defective fIxtures or materials, and surrounding work, shal! be charged on a separate CONTRACT or CHANGE ORDER.
Disturbance of Landscape Vegetation:
EXCEL will backfill and rough grade around new foundations, and will repair any yard damage caused by construction equipment, one
time. New top soil, fine grading, raking, seeding and planting are the responsibility of the OWNER EXCEL cannot guarantee the
survival of plants and shrubs disturbed during construction.
Access to Construction Area:
OWNER is responsible to provide access to the construction area at all times, Unless the owner notifies EXCEL before signing the
contract, it is assumed that material deliveries and storage, dumpster storage, and staging areas are at the discretion of EXCEL
Insurances:
The OWNER is required to pay and maintain necessary Homeowner's insurance to cover existing home including the cost of the project.
The OWNER'S insurance coverage takes affect when any material is installed, fastened, etc., in or on the project. EXCEL shall pay and
maintain necessary insurances to cover "Workman's Compensationll and "Generalliabiliti'.

Timeliness of Construction:
EXCEL will make all reasonable efforts to maintain the schedule of work and material deliveries, However due to conditions beyond our
control schedules and completion dates cannot be guaranteed. EXCEL shall notify the OWNER of situations causing delays at which time
they are discovered. Any materials being supplied or work being perfonned by the OWNER or OWNER'S contractors shall be done
within the schedule as outlined by EXCEL Any additional work or costs incurred by EXCEL due to delay in schedule by the OWNER or
its contractors shall be charged to the owner by a CHANGE ORDER,
Timeliness of Payments and Agreement for Default:
EXCEL shall reserve the right to stop all work on the project and keep project idle if payments are not made in accordance with the
Payment Schedule. If said payments are not made as agreed, EXCEL must provide the OWNER written notice of the nature of
OWNER'S default simultaneous with work stoppage. EXCEL will also provide the owner a 14-day period to cure default. The OWNER
agrees to pay any costs and/or fees incurred by EXCEL in attempt to collect payments and agrees to pay a service charge of I 1,% per
month on past due amounts.
Transference of Agreement:
This agreement and any addendums to it are non transferable unless agreed upon in writing by all parties described in the agreement.
Dispute Resolution:
Botb parties hereby agree that any controversy or claim arising out of or related to this Agreement will be settled through the Contractor
Quality Commitment Complaint Resolution Procedures, through the Home Builders Association of Metropolitan Harrisburg, PA Both
parties agree to adhere to the procedures and hereby agree to accept as fmal and binding the decision of said Ethics Committee.
Substantial Completion:
Substantial Completion is the point at which the Building/Work improvement is suitable for its intended use or the issuance of an
occupancy pennit, whichever occurs first.
We propose hereby to furnish material and labor - complete in accordance with specifications above, for the sum of:
