ESTATE OF DANIEL R. CALIFANO
FAMILY SETTLEMENT AGREEMENT TO INDEMNIFY,
RECEIPT AND RELEASE
Made the _ day of June, 2006, by and between Pete Califano and Margaret Califano as
Co-Administrators, and Pete Califano and Margaret Califano, as beneficiares of the Estate of
Daniel R. Califano, deceased.
I. RECITALS
1.1 Daniel R. Califano, deceased died on May 13, 2005.
1.2 The Decedent's last residence was 17 Kingswood Drive, Mechanicsburg, P A, 17055.
1.3 Immediate family members surviving the Decedent include:
a. Pete Califano, father of Decedent;
b. Margaret Califano, mother of Decedent.
1.4 The Decedent died intestate.
1.5 The Register of Wills of Cumberland County granted Letters of Administration to
Pete Califano and Margaret Califano on June 2, 2005 at file No. 21-05-0495.
1.6 The beneficiaries of the Estate are the following:
a. Pete Califano;
b. Margaret Califano.
1.7 Notice of beneficial interest as required by Rule 5.6(a) of the Orphans' Court Rules
was served on all beneficiaries on May 31,2005.
1.8 As of this date no claims have been filed against the Estate.
1.9 Pete Califano and Margaret Califano, Co-Administrators, know of no creditors with
outstanding claims against the Estate.
1.10 Pete Califano and Margaret Califano wish to avoid the expense, delay and publicity
of a formal accounting to the Orphans' Court Division of the Court of Common Pleas
of Cumberland County, Pennsylvania.

1.11 Alternatively, the parties wish to accomplish final distribution of the Estate without a
formal accounting of the Estate assets, receipts and disbursements.
NOW THEREFORE in consideration of the mutual promises, covenants and agreements
recited herein, the parties agree as follows:
II. AGREEMENT
2.1 Stokes Lurie Cole and Hens-Greco, PC has prepared a separate Estate Distribution
Chart.
2.2 The Estate Distribution Chart shows the proposed distributions of the remammg
Estate assets to Pete and Margaret Califano.
2.3 Pete Califano and Margaret Califano have had an opportunity to examine the Estate's
P A Inheritance tax return, Inventory, checkbook register, bank statements, general
ledger, Estate Distribution Chart and other accounts.
2.4 Pete Califano and Margaret Califano have concluded that the documents are true,
correct and acceptable.
2.5 Pete Califano and Margaret Califano have acknowledged receipt of the Estate
distributions shown in the Estate Distribution Chart effective upon delivery of the
property to Pete Califano and Margaret Califano.
2.6 Pete Califano and Margaret Califano further acknowledge that these distributions are
made in full satisfaction of their interests in the Estate.
2.7 Pete Califano and Margaret Califano release and forever discharge Pete Califano and
Margaret Califano as Co-Administrators from any and all liability which may arise in
connection with their services as Co-Administrators of the Estate.
2.8 To the extent of Estate distributions, Pete Califano and Margaret Califano agree to
indemnify and hold the Co-Administrators harmless from any and all personal
liability that may arise against the Estate from creditors and other claimants.
2.9 To the extent of any Estate distributions, Pete Califano and Margaret Califano agree
to refund any amount deemed necessary by the Co-Administrators to discharge or pay
any Estate liabilities, expenses, debts, taxes or distributed share adjustments arising
as of the date of this Agreement.
III. MISCELLANEOUS
3.1 This Agreement may be indexed and recorded in the Estate proceedings.
3.2 This Agreement is binding on Pete Califano and Margaret Califano, their heirs,
successors, administrators and assigns.

3.3 The Recitals are an integral part ofthis Agreement.
3.4 This Agreement may be executed in one or more counterparts, each of which is
considered an original. A photocopy, e-mail or facsimile copy is sufficient to prove
the existence of this Agreement.
3.6 Pennsylvania law governs this Agreement.

personally appeared Pete Califano and Maragaret Califano known to me (or satisfactorily
proven) to be the persons whose nams are subscribed to the within instrument and
acknowledged that they executed the same for the purposes therein contained.
