COMPLAINT
1.0 PARTIES
1. The PLAINTIFF is COMMERCE BANK/HARRISBURG, N.A., a national
banking association, organized and existing under the laws of the United States of America,
having a principal place of business at 3801 Paxton Street, City of Harrisburg, Commonwealth of
Pennsylvania 17111, and hereinafter sometimes referred to as "Bank" and/or "Plaintiff'.
2. The DEFENDANTS are LESTER W. GINANNI and LILLIAN R.
GINANNI, an adult male and female individual, being husband and wife, residing at 1513 High
Meadows Lane, Mechanicsburg, County of Cumberland, Commonwealth of Pennsylvania 17055-
6769, and hereinafter sometimes jointly, severally, individually and collectively referred to as
"Defendants" .
2.0 mSTORY OF LENDING RELATIONSmp BETWEEN PLAINTIFF AND
DEFENDANT, LESTER W. GINANNI
3. On or about February 13, 1998, Bank extended to Shaull Equipment & Supply
Company a credit facility in the form of a $1,000,000.00 revolving line of credit.
4. To evidence the credit facility extended by Bank to Shaull Equipment & Supply
Company on or about February 13, 1998, Shaull Equipment & Supply Company, as obligor,
executed a "Promissory Note"" in favor of Bank, as obligee, for the sum of $1,000,000.00, a copy
of which is attached hereto, marked Exhibit "A" and incorporated herein by reference thereto.
5. On or about February 13, 1998, the Defendant, Lester W. Ginanni, guarantied to
Bank the liability of Shaull Equipment & Supply Company to Bank arising under the
"Promissory Note" for $1,000,000.00 executed by Shaull Equipment & Supply Company, as
obligor (Exhibit "A"). Attached hereto, marked Exhibit "B" and incorporated herein by reference
thereto is a true and correct copy of the "Commercial Guaranty" dated February 13, 1998
executed by the Defendant, Lester W. Ginanni. in favor of Bank.
6. At the time that the Defendant, Lester W. Ginanni, executed the "Commercial
Guaranty" (Exhibit "B"), the Defendant, Lester W. Ginanni, was a shareholder of Shaull
Equipment & Supply Company.
7. The "Promissory Note" for $1,000,000.00 (Exhibit "A") is a demand note.
8. On or about January 25, 2006, Bank made demand upon Shaull Equipment &
Supply Company and upon the Defendant, Lester W. Ginanni, for payment in full of all amounts
due and owing Bank on account of the "Promissory Note" for $1,000,000.00 (Exhibit "A") and
under the "Commercial Guaranty" (Exhibit "B").
9. Neither Shaull Equipment & Supply Company paid Bank amounts due Bank
under the "Promissory Note" for $1,000,000.00 (Exhibit "A") nor did the Defendant, Lester W.
Ginanni, pay amounts due Bank under his "Commercial Guaranty" (Exhibit "B").
10. As a result of the Defendant, Lester W. Ginanni, not paying Bank in full all
amounts owed to Bank under his "Commercial Guaranty" (Exhibit "B"), on February 2, 2006,
Bank confessed judgment on the "Commercial Guaranty" (Exhibit "B") in favor of Bank and
against the Defendant, Lester W. Ginanni, in the Court of Common Pleas of Cumberland County,
Pennsylvania, to No. 2006-680 Civil, for the following amount:

11. In addition, as a result of Shaull Equipment & Supply Company not paying
Bank in full all amounts owed to Bank under the "Promissory Note" for $1,000,000.00 (Exhibit
"A"), on March 20, 2006 Bank confessed judgment on the "Promissory Note" (Exhibit "A") in
favor of Bank and against Shaull Equipment & Supply Company in the Court of Common Pleas
of Cumberland County, Pennsylvania, No. to 2006-680 Civil, for the following amount:

12. As of the date ofthis Complaint, the Defendant, Lester W. Ginanni, is obligated
to Bank for the following amounts, exclusive oflegal fees:

13. The "Commercial Guaranty" (Exhibit "B") of the Defendant, Lester W. Ginanni,
contained the following covenant and promise of the Defendant, Lester W. Ginanni:

GUARANTOR'S REPRESENTATIONS AND WARRANTIES.
Guarantor represents and warrants to Lender that.... (e) Guarantor
has not and will not, without the prior written consent of Lender,
sell, lease, assign, encumber. hypothecate. transfer, or otherwise
dispose of all or substantia/Iv all of Guarantor's assets, or any
interest therein........
14. During the period from May 1,2005 to June 30, 2005, being the relevant dates
for the events which are the subject ofthis Complaint, the principal balance due by Shaull
Equipment and Supply Company on the "Promissory Note" (Exhibit "A") and by the Defendant,
Lester W. Ginanni, on account of his "Commercial Guaranty (Exhibit "B") was $975,490.93.
3.0 REAL ESTATE AND IMPROVEMENTS SITUATE AT 431 WEST
STERIGERE, BOROUGH OF NORRISTOWN, MONTGOMERY
COUNTY, COMMONWEALTH OF PENNSYLVANIA
15. For several years prior to 2005, the Defendant, Lester W. Ginanni, owned in his
own name a fee simple interest in real estate and improvements situate at 431 WEST
STERIGERE, BOROUGH OF NORRISTOWN, MONTGOMERY COUNTY,
COMMONWEALTH OF PENNSYL VANIA ("Transferred Property").
16. On or about May 27 2005, the Defendant, Lester W. Ginanni, transferred to his
wife, the Defendant, Lillian R. Ginanni, all right, title and interest of the Defendant, Lester W.
Ginanni, in the Transferred Property by a Deed executed on May 27, 2005 and which was
recorded on June 24, 2005 in the Recorder of Deeds Office in and for Montgomery County,
Pennsylvania in Deed Book 5559, Page 101.
17. The Deed referred to in Averment 16 hereof was executed by Lester W. Ginanni,
Jr., attorney in fact for the Defendant, Lester W. Ginanni. Lester W. Ginanni, Jr. is the son of the
Defendant, Lester W. Ginanni, and was at the time of the execution of the Deed referred to in
Averment 15 hereof the authorized agent and representative of the Defendant, Lester W. Ginanni.
18. The transfer referred to in Averment 16 of the Transferred Property was a gift
from the Defendant, Lester W. Ginanni, to the Defendant, Lillian R. Ginanni, and no
consideration was paid by the Defendant, Lillian R. Ginanni, to the Defendant, Lester W. Ginanni
for the transfer of the Transferred Property so that the Defendant, Lester W. Ginanni, never
received "reasonably equivalent value" for the transfer of the Transferred Property.
19. The fair market value of the Transferred Property as of May 2005 was
approximately $132,000.00.
4.0 FINANCIAL CONDITION OF DEFENDANT, LESTER W. GINANNI,
DURING PERIOD FROM MAY 26, 2005 TO JUNE 24, 2005.
20. From May 26, 2005, the day before the execution of the Deed referred to in
Averment 16 hereof was executed, until June 25, 2005, the day after the Deed referred to in
Averment 16 hereof, was recorded, the Defendant, Lester W. Ginanni, was insolvent as that term
is defined in 12 Pa.C.S. 5102 (a) "Insolvency" [Pennsylvania Uniform Fraudulent Transfer Act]
A debtor is insolvent if, at fair valuations, the sum of the debtor's debts is greater
than all of the debtor's assets.

21. As of May 26,2005, the day before the Deed referred to in Averment 16 was
executed, until June 23, 2005, the day before the Deed referred to in Averment 16 hereof was
recorded, the Defendant, Lester W. Ginanni, held title to the following assets as that term is
defined in 12 Pa.C.S. 5101 (b) [Pennsylvania Uniform Fraudulent Transfer Act] with the
following assets having the following fair valuation as of May 26, 2005:

22. From June 24, 2006, the day the Deed referred to in Averment 16 hereof was
recorded until today, the Defendant, Lester W. Ginanni, held title to the following asset as that
term is defined in 12 Pa.C.S. 5101 (b) [Pennsylvania Uniform Fraudulent Transfer Act] with the
following asset having the following fair valuation as of May 27,2005 through June 25, 2006:

23. During the period from May 26,2005, the day before the Deed referred to in
Averment 16 hereof was executed, until June 25, 2005, the day after the Deed referred to in
Averment 16 was recorded, the Defendant, Lester W. Ginanni, was obligated and liable for
"debts", as that term is defined in 12 Pa.C.S. 5101 (b) [Pennsylvania Uniform Fraudulent
Transfer Act], of at least $975,490.93, being amount owed to Bank on account of the
"Commercial Guaranty" (Exhibit "B").
24. Bank is a creditor of the Defendant, Lester W. Ginanni, as that term is defined
in12 Pa.C.S. 5101 (b) [Pennsylvania Uniform Fraudulent Transfer Act].
25. The transfer for purposes of the Pennsylvania Uniform Fraudulent Transfer Act
occurred on June 24, 2005, the date the Deed referred to in Averment 16 was recorded.
5.0 NON-DISCLOSURE OF EXISTENCE OF TRANSFERRED PROPERTY
26. From 1999 to 2004, the Defendant, Lester W. Ginanni, along with his spouse, the
Defendant, Lillian R. Ginanni, submitted written financial statements to Bank which omitted the
existence of the Transferred Property.
27. The omission by the Defendants in the financial statements submitted to Bank of
the existence of the Transferred Property was intentional on the part of Defendants and their
authorized agents and representatives.
6.0 FINANCIAL CONDITION OF SHAULL EQUIPMENT AND SUPPLY
COMPANY
28. By the beginning of 2005, Shaull Equipment and Supply Company, the obligor to
Bank, whose obligation is guarantied by the Defendant, Lester W. Ginanni, was experiencing
serious financial problems and was insolvent.

29. By the beginning of 2005 and during May through June of 2005, the authorized
agents and representatives of the Defendant, Lester W. Gianni, including but not limited to the
Defendant, Lillian R. Ginanni, Lester W. Ginanni, Jr., son and attorney in fact for the Defendant,
Lester W. Ginanni, were well aware of the serious financial condition of Shaull Equipment and
Supply Company.
7.0 PERSONS INVOLVED IN THE TRANSFER OF THE TRANSFERRED
PROPERTY
30. The Defendant, Lillian R. Ginanni, Lester W. Ginanni, Jr., and John W. Purcell,
Sr. Esquire were the three (3) individuals who decided upon the transfer of the Transferred
Property from the Defendant, Lester W. Ginanni, Jr. to the Defendant, Lillian R. Ginnani, and
who participated in the preparation, execution and acceptance of the Deed referred to in
Averment 16 hereof.
31. By the beginning of 2005 and during May through June of 2005, the authorized
agents and representatives of the Defendant, Lester W. Gianni, being the Defendant, Lillian R.
Ginanni, Lester W. Ginanni, Jr., son and attorney in fact for the Defendant, Lester W. Ginanni,
and John W. Purcell, Sr. Esquire, attorney for Defendants, Shaull Equipment & Supply Company
and Lester W. Ginanni Jr., were well aware ofthe existence of the liability of Shaull Equipment
& Supply Company to Bank and of the liability ofthe Defendant, Lester W. Ginanni, to Bank
under his "Commercial Guaranty" (Exhibit "B") and of the express language set forth in the
"Commercial Guaranty" (Exhibit "B") cited in Averment 13 hereof.
COUNT I
12 Pa.C.S. ~ 5104 (2005)
Intent to Hinder, Delay and Defraud
32. Averments 1 through 31 are incorporated herein by reference thereto.
33. This Count is based on 12 Pa.C.S. 5204 (a) (I) of the Pennsylvania Fraudulent
Transfer Act.
34. The conduct of the Defendants and their authorized agents and representatives as
alleged in Averments 16 through 31 hereof and the transfer of the Transferred Property was
designed and intended to conceal the existence ofthe Transferred Property and the actual transfer
of the Transferred Property from Bank.
35. The conduct of the Defendants and their authorized agents and representatives as
alleged in Averments 16 through 31 hereof and the transfer of the Transferred Property was
designed and intended to hinder, delay and defraud Bank.
36. At the time of the transfer referred to in Averment 25 hereof, Bank was a present
creditor as that term is defined in the Pennsylvania Fraudulent Transfer Act.
WHEREFORE, the Plaintiff, COMMERCE BANKIHARRlSBURG, N.A., prays Your
Honorable Court for a judgment in favor of the Plaintiff, COMMERCE BANKIHARRISBURG,
N.A., and against the Defendants, LESTER W. GINANNI and LILLIAN R. GINNANI, as
follows:

Transfer Rendering Defendant, Lester W. Ginanni, Insolvent
42. Averments 1 through 31 are incorporated herein by reference thereto.
43. This Count is based on 12 Pa.C.S. 5205 ofthe Pennsylvania Fraudulent Transfer
Act.
44. The transfer of the Transferred Property, the Defendant, Lester W. Ginanni,
rendered insolvent.
45. At the time of the transfer referred to in Averment 25 hereof, Bank was a present
creditor as that term is defined in the Pennsylvania Fraudulent Transfer Act.
46. This Count III is in addition to Count I and in the alternative to Court II hereof.
WHEREFORE, the Plaintiff, COMMERCE BANKlHARRISBURG, N.A., prays Your
Honorable Court for a judgment in favor of the Plaintiff, COMMERCE BANKlHARRISBURG,
N.A., and against the Defendants, LESTER W. GINANNI and LILLIAN R. GINANNI, as
follows:
1. To void the transfer of the Transferred Property and require the
Transferred Property to be reti1ed in the name of the Defendant, LESTER
W. GINANNI; or
Il. To enter a monetary judgment in favor of the Plaintiff, COMMERCE
BANKIHARRISBURG, N.A., and against the Defendants, LESTER W.
GINANNI and LILLIAN R. GINANNI, for the fair market value of the
Transferred Property; and
Ill. To award reasonable counsel fees and costs to the Plaintiff COMMERCE
BANK/HARRISBURG, N.A.

PROMISSORY NOTE MODIFICATION AGREEMENT
TRIS PROMISSORY NOTE MODIFICATION AGREEMENT, made and entered into as
of 11/25/2002, by and between COMMERCE BANK! HARRISBURG, NATIONAL
ASSOCIATION, a national banking association (hereinafter called "Bank"),
having its principal place of business at 100 Senate Avenue, P. O. Box 8599,
Camp Hill, pennsylvania 17001-9966, and Shaull Equipment .. Supply. Co.
(hereinafter called "Borrower").
WITNESSETH:
WHEREAS, Borrower executed and delivered to Bank a Promissory Note (the
"Note") dated February 13, 1998, which evidences a loan by the Bank to the
Borrower in the principal amount of $1,000,000.00; and
WHEREAS, the Bank and aorrower mutually agree to modify the terms of
the Note to change the maturity date of the loan to be payable on demand, as
heFeinafter provided.
NOW THEREFORE. for value received and in consideration of the mutual
covenants and agreements hereinafter contained and intending to be legally
bound hereby, Bank and Borrower covenant and agree to amend and modify the
Note heretofore described as follows,
1. The Note and all Loan
provide effective 12/25/2002
payable on demand.
2. Except to the extent speCifically set forth herein, all of the
terms, conditions, covenants and agreements contained in ,the Note shall
remain in full force 'and effect. Borrower hereby ratifies and affirms each
and every term and condition. obligation, and covenant of Borrower under the
Note in every respect and shall pay and discharge the indebtedness evidenced
by the Note in accordance with its terms as modifled herein. This
Modification shall not altar, diminish, or otherwise affect the lien of the
Mortgage or the collateral therein described.
Documents related thereto shall be amended to

to form a belief as to the truth of the averment and proofthereofis demanded.

1, 2005 to June 30, 2005 there was a balance due to Bank by Shaull Equipment and Supply
Company and Defendant, Lester W. Ginanni. It is denied that the amount due was $975,490.93.
After reasonable investigation, Defendants are without sufficient knowledge to form a belief as
to the truth ofthe averment and proof thereof is demanded.

15. Denied as stated. In further answer thereto, Defendant, Lester W. Ginanni owned a
one half fee simple interest in the Transferred Property as "tenants in common" with his sister,
Mary T. Ginanni, during the period of August 16, 1990 to May 27,2005.

48. On or about August 13, 2003, Defendant Lester W. Ginanni and Lester W. Ginanni,
Jr. executed a Power of Attorney (POA) designating Lester W. Ginanni, Jr. attorney-in-fact for
Defendant, Lester W. Ginanni.
49. On May 27,2005, a deed was executed by Lester W. Ginanni, Jr., grantor and
Defendant, Lillian R. Ginanni, grantee, conveying the interest of Defendant, Lester W. Ginanni
in 431 W. Sterigere Street, Norristown, Pennsylvania, Parcel Number 13-00-35880-00-8, to his
wife, Defendant, Lillian R. Ginanni as part of an estate plan.
50. The aforementioned deed was recorded in the Office of the Recorder of Deeds,
Montgomery County, Pennsylvania, on June 24, 2005, in Deed Book 5559, Page 101, Instrument
Number 2005086917.
51. The said POA was also recorded on June 24, 2005 in the Office of the Recorder of
Deeds, Montgomery County, Pennsylvania, in Book 221, Page 291, Instrument Number
2005086916.
53. The property transfer was not fraudulent to Plaintiff as alleged in Plaintiffs
Complaint.
54. Defendants did not act with the intent to hinder, delay or defraud the Plaintiff, but
conveyed the property in good faith as part of an estate plan.

55. At the time of the conveyance, Defendant, Lester W. Ginanni was not insolvent.
56. The Transferred Property did not represent all or substuntiallv all of Defendant,
Lester W. Ginanni's assets; but on the contrary, his interest had an estimated dollar value of
$50,000.00 or less, which transfer did not require prior written consent of the Plaintiff, as
Plaintiff alleges in Paragraph 13 of the Complaint.
WHEREFORE, the Defendants pray your Honorable Court to dismiss the action against
the Defendants and deny the relief requested by the Plaintiff.

1.0 PARTIES
1. The PLAINTIFF is COMMERCE BANKlHARRISBURG, N.A., a national
banking association, organized and existing under the laws ofthe United States of America,
having a principal place of business at 3801 Paxton Street, City of Harrisburg, Commonwealth of
Pennsylvania 17111, and hereinafter sometimes referred to as "Bank" and/or "Plaintiff'.
2. The DEFENDANTS are LESTER W. GINANNI and LILLIAN R.
GINANNI, an adult male and female individual, being husband and wife, residing at 1513 High
Meadows Lane, Mechanicsburg, County of Cumberland, Commonwealth of Pennsylvania 17055-
6769, and hereinafter sometimes jointly, severally, individually and collectively referred to as
"Defendants" .
3. The RESPONDENT is MARY T. GINANNI, an adult female individual,
residing at 431 West Sterigere, Borough of Norristown, Montgomery County, Commonwealth of
Pennsylvania ("Transferred Property").
2.0 PENDING LEGAL ACTION: PLEADINGS

3.0 BASIS FOR MOTION
8. The above captioned matter involves the transfer or about May 272005 by the
Defendant, Lester W. Ginanni, to his wife, the Defendant, Lillian R. Ginanni, all right, title and
interest of the Defendant, Lester W. Ginanni, in the real estate and improvements situate at 431
West Sterigere, Borough of Norris town, Montgomery County, Commonwealth of Pennsylvania
("Transferred Property").by a Deed executed on May 27,2005 and which was recorded on June
24,2005 in the Recorder of Deeds Office in and for Montgomery County, Pennsylvania in Deed
Book 5559, Page 101.
9. Neither Defendants occupy or live at and/or on the Transferred Property.
10. The Defendant, Lillian R. Ginanni, and the Respondent, Mary T. Ginanni, own
the Transferred Property as tenants in common with each owning a 50% undivided interest.
11.
Procedure.
The basis for this Motion is Rule 4009.33 of Pennsylvania Rules of Civil
12. Bank procured a written "drive by" appraisal of the Transferred Property dated
July 3,2006 which stated that the fair market value of the Transferred Property was $132,000.00.
However, the appraisal was not based on any inspection of the property and the appraiser so
noted that limitation in the written appraisal supplied to Bank.
13. On or about August 22, 2006, counsel for Bank sought to procure the consent of
counsel for Defendants for an inspection of the interior and inside ofthe Transferred Property in
order to make certain that nothing in the interior and inside of the Transferred Property would in
any way alter the fair market value of the property or disclose any condition that would either
cause the appraiser to increase or decrease the fair market value of the Transferred Property
referred to in Averment 12 hereof.
14. Counsel for Defendants rejected in writing the request by Defendants on the
grounds that Respondent occupied the Transferred Property, notwithstanding that Defendant,
Lillian R. Ginanni, owns a 50% interest as Tenants in Common.
15. The value of the Transferred Property is of relevance to the cause of action plead
by the Bank.

16. In Averment 19 ofthe Complaint filed in the above captioned matter, Bank
averred that the Transferred Property had a fair market value of $132,000 and Defendants
denied that Averment #19 on the grounds that Defendants lack information to admit or deny that
Averment. However, counsel for the Defendants prior to file Defendants Answer and New Matter
contacted a real estate agent in Montgomery County who provided counsel for the Defendant a
valuation of the Transferred Property. Nevertheless, Defendants deny the Averment on lack of
information.
17. The value of the Transferred Property has relevance since that value will go toward
establishing whether or not at the time of the transfer of the Transferred Property, the Defendant,
Lester W. Ginanni, was insolvent or the transfer of the Transferred Property rendered the
Defendant, Lester W. Ginanni, insolvent.
18. Additionally, the value of the Transferred Property has relevance for purposes of
establishing any monetary damages against the Defendants, Lester W. Gianni and Lillian R.
Ginnani.
19. On or about August 28,2006, Bank has served upon Defendants a Request for
Inspection of the Transferred Property with the inspection date scheduled for October 31, 2006, a
copy of which is attached hereto marked Exhibit "A" and incorporated herein by reference
thereto.
WHEREFORE, the Plaintiff, COMMERCE BANK/HARRISBURG, N.A, prays Your
Honorable Court for an Order in favor of the Plaintiff, COMMERCE BANK/HARRISBURG,
N.A, and against the Defendants, LESTER W. GINANNI and LILLIAN R. GINANNI, and
against the Respondent, MARY T. GINANNII as follows:
A To order that Defendants, LESTER W. GINANNI and LILLIAN R. GINANNI,
and the Respondent, MARY T. GINANNI, permit access to the Transferred Property between the

The Plaintiff, COMMERCE BANK/HARRISBURG, N.A., by its attorneys, the Law
Firm of Kain, Brown & Roberts LLP, of 119 East Market Street, City of York, York
County, Pennsylvania 17401, hereby propounds and submits to the Defendants,
LESTER W. GINANNI and LILLIAN R. GINANNI, the following Request for entrance
upon real estate and improvements in which the DEFENDANT, LILLIAN R. GINANNI,
owns a 50% interest as tenant in common with Mary 1. Ginanni, pursuant to Rules
4009.31 and 4009.32 of Pennsylvania Rules of Civil Procedure.

TO RULES 2053 AND 2056 OF PENNSYLVANIA RULES OF CIVIL PROCEDURE
1.0 PARTIES
1. The PLAINTIFF-PETITIONER is COMMERCE BANK/HARRISBURG,
N.A., a national banking association, organized and existing under the laws of the United
States of America, having a principal place of business at 3801 Paxton Street, City of
Harrisburg, Commonwealth of Pennsylvania 17111, and hereinafter sometimes referred
to as "Bank" and/or "Plaintiff'.
2. The DEFENDANTS-RESPONDENTS are LESTER W. GINANNI and
LILLIAN R. GINANNI, an adult male and female individual, being husband and wife,
residing at 1513 High Meadows Lane, Mechanicsburg, County of Cumberland,
Commonwealth of Pennsylvania 17055-6769, and hereinafter sometimes jointly,
severally, individually and collectively referred to as "Defendants" and/or "Respondents".
2.0 LEGAL AND PROCEDURAL BASIS FOR PETITON
3. The basis for this Motion is Rule 2053 (b) and Rule 2056 (b)
Pennsylvania Rules of Civil Procedure which provides as follows:
Rule 2053 (b) A defendant who is an incapacitated person shall be
represented by a guardian. If the defendant has no guardian, or if the guardian is
not selVed with process in this Commonwealth and does not voluntarily appear in
the action, the defendant shall be represented by a guardian ad litem. The
guardian or guardian ad litem shall supelVise and control the conduct of the
action in the defendant's behalf.
Rule 2056 (b) If, at any time before trial, the court shall find that the
defendant is an incapacitated person who is not represented in the action by a
guardian or guardian ad litem the plaintiff shall forthwith give notice, by registered
mail or in such other manner as the court by local rule or special order shall
direct, of the pendency, subject matter and number of the action. Such notice
shall be given to the guardian of the defendant appointed by a court of competent
jurisdiction within this Commonwealth. If the defendant has no such guardian the
plaintiff shall petition the court in which the action is pending for the appointment
of a guardian ad litem and the notice, together with any additional notice of the
application for the appointment of a guardian ad litem, shall be given in like
manner to
(1) the guardian of the defendant appointed by a court of competent
jurisdiction outside this Commonwealth, or, if there is no such
guardian, then
(2) the person in charge for the time being of the institution either
within or without this Commonwealth in which the defendant is confined
or, if not confined, then
(3) an adult next of kin or the person with whom the defendant resides,
and to
(4) such other person, if any, as the court may direct.
3.0 FACTUAL BASIS FOR PETITION
4. The Defendant, Lester W. Ginanni, has been represented by John W.
Purcell, Sr., Esquire since 2005 and probably before 2005.
5. The Defendant, Lillian R. Ginanni, wife of the Defendant, Lester W.
Ginanni, has been represented by John W. Purcell, Sr., Esquire since 2005 and
probably before 2005.
6. Lester W. Ginanni, Jr., the son of Defendants, is the attorney in fact for
the Defendant, Lester W. Ginanni, pursuant to a power of attorney dated August 13,
2003.
7. Lester W. Ginanni, Jr. has been represented by John W. Purcell, Sr.
Esquire since 2005 and probably before 2005.
8. Prior to the filing of this Petition, Bank had information which suggested
that the Defendant, Lester W. Ginanni, suffered from Alzheimer's disease.
9. Defendants have now for the first time formally in a Court proceeding
admitted that Defendant, Lester W. Ginanni, is incompetent as that term is defined in
Rule 2051 of Pennsylvania Rules of Civil Procedure by virtue of the following statements
contained in the Defendant's Response to FIRST REQUEST FOR ADMISSIONS BY
THE PLAINTIFF, COMMERCE BANK/HARRISBURG, N.A., ADDRESSED TO
DEFENDANTS, LESTER W. GINANNI AND LILLIAN R. GINANNI, PURSUANT TO
RULE 4014 OF THE PENNSYLVANIA RULES OF CIVIL PROC EDURE ("First
Request"). Defendants' Response to Bank's First Request which was served on Bank in
early September of 2006.

After reasonable inquiry and considering the information known or readily obtainable by
Defendants; namely that Defendant, Lester W. Ginanni is mentally incapacitated due to
Dementia.
10. While not knowing exactly when the incapacity of the Defendant, Lester
W. Ginanni, began based on the testimony of his wife, Lillian R. Ginanni, given at her
depositions held on April 11, 2006 in the matter of Commerce Bank/Harrisburg, N.A.,
plaintiff, vs. Lester W. Ginanni, Defendant, to No. 2006 Civil Term 680, Court of
Common Pleas of Cumberland County, Pennsylvania, implies and suggests that the
incapacity existed as early as 2000 and 2001. See Pages 9-10 of the transcript of
Depositions of Lillian R. Ginanni.
11. Therefore, if the incapacity of Lester W. Ginanni existed as early as 2000
and 2001, such incapacity was in existence as of the date Lester W. Ginanni
"supposedly" executed the power of attorney in favor of his son, Lester W. Ginanni, Jr.,
on August 13, 2003 and was in existence as of the operative dates regarding transfer of
the real estate referred to in the Complaint filed by the Plaintiff in the above captioned
matter.
12. Furthermore, if the incapacity of Lester W. Ginanni existed as early as
2000 and 2001, such incapacity was known at least as early as 2005 and possibly
before by John W. Purcell, Sr., Esquire.
13. It may well be that the incapacity of Lester W. Ginanni was known to his
attorney in fact, Lester W. Ginanni, Jr., before the power of attorney was executed on
August 13, 2003.
14. Furthermore, in addition to Averment 13 and in the alternative to
Averment 13, it may well he incapacity of Lester W. Ginanni was known to Lester W.
Ginnani, Jr., attorney in fact, Lillian R. Ginnani and John W. Purcell, Sr., Esquire, on the
operative dates alleged in the Complaint.
15. As of the date of this Petition, no petition has been filed for the
appointment of a guardian ad litem for Defendant, Lester W. Ginanni.
16. The Defendant, Lester W. Ginanni, is not represented in this action by a
guardian or guardian ad litem.
17. No guardian of the person or estate of the Defendant, Lester W. Ginanni,
has been appointed.
Wherefore, Your Petitioner COMMERCE BANK/HARRISBURG, N.A., prays
Your Honorable Court for the following relief:
A. To appoint a guardian ad litem for the Defendant, Lester W. Ginanni, in
the above captioned matter;
B. To not appoint LesterW. Ginnani, Jr., Lillian R. Ginanni or John W.
Purcell, Esquire or any relative of the Defendant, Lester W. Ginanni, as a guardian ad

5.0 BASIS FOR MOTION
7. Each and every Request listed in Averment 6 of this Motion is designed to
ascertain information about the financial condition of Defendant, Lester W. Ginanni,
before and subsequent to the dates of the operative events set forth in the Complaint;
i.e, to wit: date deed referred to in Complaint was executed being May 27, 2005, and
date deed referred to incompliant was recorded.
8. Each and every Request listed in Averment 6 of this Motion is designed to
ascertain information about the financial condition of Defendant, Lester W. Ginanni,
before and subsequent to the dates of the operative events set forth in the Complaint in
order to establish and to prove the following:
A. Whether or not the Defendant, Lester W. Ginanni, was
"insolvent" as that term is defined in Pa.C.S. 5102 (a) "Insolvency" [Pennsylvania
Uniform Fraudulent Transfer Act] A debtor is insolvent if, at fair valuations, the sum of
the debtor's debts is greater than all of the debtor's assets.
9. In order to determine whether or not the Defendant, Lester W. Ginanni,
was "insolvent", Bank needs to ascertain:
A. What "assets" as that term is defined in 12 Pa.C.S. 5101 (b)
[Pennsylvania Uniform Fraudulent Transfer Act] were owned by Defendant, Lester W.
Ginanni; and
B. What "debts", as that term is defined in 12 Pa.C.S. 5101 (b)
Pennsylvania Uniform Fraudulent Transfer Act] were owed by Defendant, Lester W.
Ginanni.

information which will be used as evidence for Plaintiff to meet its burden of proof.

a national banking association, organized and existing under the laws of the United

Harrisburg, Commonwealth of Pennsylvania 17111, and hereinafter sometimes referred
to as "Bank" and/or "Plaintiff'.
2. The DEFENDANTS-RESPONDENTS are LESTER W. GINANNI and
LILLIAN R. GINANNI, an adult male and female individual, being husband and wife,
residing at 1513 High Meadows Lane, Mechanicsburg, County of Cumberland,
Commonwealth of Pennsylvania 17055-6769, and hereinafter sometimes jointly,
severally, individually and collectively referred to as "Defendants" and/or "Respondents".
2.0 DISCOVERY AT ISSUE
3. On or about June 26, 2006, Bank served upon Defendants the FIRST
REQUEST FOR ADMISSIONS BY THE PLAINTIFF, COMMERCE BANK!
HARRISBURG, N.A., ADDRESSED TO DEFENDANTS, LESTER W. GINANNI AND
LILLIAN R. GINANNI, PURSUANT TO RULE 4014 OF THE PENNSYLVANIA RULES
OF CIVIL PROCEDURE ("First Request").

3.0 PROCEDURAL AND LEGAL BASIS FOR MOTION
5. The basis for this Motion is Rule 4014 (c) of Pennsylvania Rules of
Civil Procedure which provides as follows:
(c) The party who has requested the admission may move to determine the sufficiency
of the answer or objection. Unless the court determines that an objection is justified, it
shall order that an answer be served. If the court determines that an answer does not
comply with the requirements of this rule, it may order either that the matter is admitted
or that an amended answer be served. The court may, in lieu of these orders, determine
that final disposition of the request be made at a pre-trial conference or at a designated
time prior to trial.
4.0 INSUFICIENT ANSWERS AND RESPONSES
4.1 REQUEST FOR ADMISSIONS #1 AND #2
6. The following are Requests for Admissions #1 and #2 and Responses
and Answers of Defendants to Requests for Admissions #1 and #2:
1. Admit or deny that Exhibit ':.4" is a true and correct copy of the
Commercial Guaranty" executed by Lester W. Ginanni on February 13,
199B.
After reasonable inquiry and considering the information known or readily
obtainable by Defendants; namely that Defendant, Lester W. Ginanni is
mentally incapacitated due to Dementia and Defendant, Lillian R. Ginanni
has no personal knowledge of the correctness of Exhibit ':.4': Defendants
are unable to admit or deny.
2. Admit or deny that Exhibit "A" contains a true and correct copy of
the signature of Lester W. Ginanni.
After reasonable inquiry and considering the information known or readily
obtainable by Defendants; namely that Defendant, Lester W. Ginanni is
mentally incapacitated due to Dementia and Defendant, Lillian R. Ginanni
has no personal knowledge of the correctness of Exhibit ':.4': Defendants
are unable to admit or deny.
7. However, in Averments 5 and 6 of the Complaint, Bank alleged the
following, which the Defendants admitted:
5. On or about February 13, 1998, the Defendant, Lester W, Ginanni,
guarantied to Bank the liability of Shaull Equipment & Supply Company to
Bank arising under the "Promissory Note" for $1 ,000,000.00 executed by
Shaull Equipment & Supply Company, as obligor (Exhibit "A"). Attached
hereto, marked Exhibit "B" and incorporated herein by reference thereto is
a true and correct copy of the "Commercial Guaranty" dated February 13,
1998 executed by the Defendant, Lester W. Ginanni, in favor of Bank.

6. At the time that the Defendant, Lester W. Ginanni, executed the
"Commercial Guaranty" (Exhibit "B"), the Defendant, Lester W. Ginanni,
was a shareholder of Shaull Equipment & Supply Company.
8. Exhibit "B" of the Complaint and Exhibit "A" of First Request are one and
the same documents.
9. Responses and Answers 1 and 2 to Bank's First Requests are insufficient
responses.
WHEREFORE, Your Plaintiff-Movant, COMMERCE BANK/HARRISBURG,
N.A., prays Your Honorable Court for the following relief:
1. To declare and hold that the responses of Defendants-
Respondents, Lester W. Ginanni and Lillian R. Ginanni, to Requests for Admission #1
and #2 are insufficient;
2. To declare and to hold that Requests for Admission #1 and #2 are
admitted by the Defendants-Respondents, Lester W. Ginanni and Lillian R. Ginanni; and
3. Such further relief as the Court deems appropriate.

You are hereby notified that the following allegations set forth in the
Answer and New Matter filed by the Defendants, Lester W. Ginanni and Lillian R.
Ginanni, and signed by John W. Purcell, Sr., Esquire, as attorney for the Defendants,
Lester W. Ginanni and Lillian R. Ginanni, violate the following provisions of Rule 1023.1
of Pennsylvania Rules of Civil Procedure:
1.1 ALLEGATIONS
A. AVERMENT 21 OF COMPLAINT
From May 26, 2005, the day before the execution of the
Deed referred to in Averment 16 hereof was executed, until June 25, 2005, the day after
the Deed referred to in Averment 16 hereof, was recorded, the Defendant, Lester W.
Ginanni, was insolvent as that term is defined in 12 Pa.C.S. 5102 (a) "Insolvency"
[Pennsylvania Uniform Fraudulent Transfer Act] A debtor is insolvent if, at fair valuations,
the sum of the debtor's debts is greater than all of the debtor's assets.

C. AVERMENT 23 OF COMPLAINT
During the period from May 26, 2005, the day before the
Deed referred to in Averment 16 hereof was executed, until June 25, 2005, the day after
the Deed referred to in Averment 16 was recorded, the Defendant, Lester W. Ginanni,
was obligated and liable for "debts", as that term is defined in 12 Pa. C. S. 5101 (b)
[Pennsylvania Uniform Fraudulent Transfer Act], of at least $975,490.93, being amount
owed to Bank on account of the "Commercial Guaranty" (Exhibit "B'/.
ANSWER AVERMENT 23. Denied as legal conclusions
to which no response is required.
D. AVERMENT 24 OF COMPLAINT
Bank is a creditor of the Defendant, Lester W. Ginanni, as
that term is defined in12 Pa.C.S. 5101 (b) [Pennsylvania Uniform Fraudulent Transfer
Act].

to which no response is required.
E. AVERMENT 28 OF COMPLAINT
By the beginning of 2005, Shaull Equipment and Supply
Company, the obligor to Bank, whose obligation is guarantied by the Defendant, Lester
W. Ginanni, was experiencing serious financial problems and was insolvent.
ANSWER AVERMENT 28. After reasonable
investigation the Defendants are without sufficient knowledge to fonn a belief as
to the truth of this Averment and proof is thereof demanded.

F. AVERMENT 29 OF COMPLAINT
By the beginning of 2005 and during May through June of
2005, the authorized agents and representatives of the Defendant, Lester W. Gianni,
including but not limited to the Defendant, Lillian R. Ginanni, Lester W. Ginanni, Jr., son
and attorney in fact for the Defendant, Lester W. Ginanni, were well aware of the serious
financial condition of Shaull Equipment and Supply Company.
ANSWER AVERMENT 29. After reasonable
investigation the Defendants are without sufficient knowledge to form a belief as
to the truth of this Averment and proof is thereof demanded.
1.2 Pa. R.C.P. 1023(c)
The signature of an attorney or pro se party constitutes a
certificate that the signatory has read the pleading, motion, or other paper. By
signing, filing, submitting, or later advocating such a document, the attorney or
pro se party certifies that, to the best of that person's knowledge, information and
belief, formed after an inquiry reasonable under the circumstances:
(1) it is not being presented for any improper purpose,
such as to harass or to cause unnecessary delay or needless increase in the cost
of litigation,
(3) the factual allegations have evidentiary support or,
if specifically so identified, are likely to have evidentiary support after a
reasonable opportunity for further investigation or discovery; and
(4) the denials of factual allegations are warranted on
the evidence or, if specifically so identified, are reasonably based on a lack of
information or belief.
2. BASIS FOR NOTICE AND DEMAND
2.1 Averments 21 through 24 of the Complaint are factual allegations
not conclusions of law. Words and phrases set forth in those allegations that are
defined by reference to the Fraudulent Conveyance Acts are factual statements:
"insolvent" (Averment 21); "assets" (Averment 22); "debts" (Averment 23); and "creditor"
Averment 24).
A. For instance the term "insolvent" is a factual allegation
since it is defined to mean the sum of the debtor's debts is greater than all of the debtor's
assets. The word in solvent is a conclusion of fact based on a mathematical
computation.
B. The words and phrases used in the Complaint which are
defined in Fraudulent Conveyance Act are nouns which are defined by reference to
facts; Le., Plaintiff clearly is a creditor if it is owed money.

I was there; and I heard them talking about it,

They didn't let me know too much what was going
on. Okay? But I knew. I could tell that there

Some of the people that worked in the office

Well, yes. I knew that he knew that there was a

3. DEMAND AND REQUEST
The Plaintiff, Commerce Bank/Harrisburg, N.A. hereby pursuant to Rule
1023.1 (c ) of Pennsylvania Rules of Civil Procedure makes demand upon the
Defendants, Lester W. Ginanni and Lillian R. Ginanni, and John W. Purcell, Sr., Esquire
to amend your Answer and New Matter which eliminates any reference to "lack of
knowledge" as to Averments 28 and 29 of the Complaint and any reference to
"conclusion of law" as to Averments 21 through 24 of the Complaint and to file factual
responses to the Averments listed above in accordance with Rule 1029 (a) of
Pennsylvania Rules of Civil Procedure, by October 31,2006.
In the event Defendants, Lester W. Ginanni and Lillian R. Ginanni, and
John W. Purcell, Sr., Esquire, do not comply with the demand and request set forth
above, then Bank will after October 23, 2006 seek remedies under Rule 1023.2 of
Pennsylvania Rules of Civil Procedure.
