For dates of death on or after July 1, 1994 and before January 1, 1995, the tax rate imposed on the net value of transfers to or for the use of the surviving spouse is 3%
[72 PS 9 9916 (a) (1 1) (i)].
For dates of death on or after January 1, 1995, the tax rate imposed on the net value of transfers to or for the use of the surviving spouse is 0% [72 ps. 99116 (a) (1.1) (ii)]
The statute does not exempt a transfer to a surviving spouse from tax, and the statutory requirements for disclosure of assets and filing a tax return are still applicable even if
the surviving spouse is the only beneficiary.
For dates of death on or after July 1,2000:
The tax rate imposed on the net value of transfers from a deceased child twenty-one years of age or younger at death to or for the use of a natural parent, an adoptive parent,
or a stepparent of the child is 0% [72 PS 9 9116(a)(1 .2)].
The tax rate imposed on the net value of transfers to or for the use of the decedent's lineal beneficiaries is 4.5%, except as noted in 72 P.S. 9 9116(1 .2) [72 ps. 9 9116(a)(1)]
The tax rate imposed on the net value of transfers to or for the use of the decedent's siblings is 12% (72 P.S. 9 9116(a)(1.3)]. A sibling is defined, under Section 9102, as an
individual who has at least one parent in common with the decedent, whether by blood or adoption.

LAST WILL AND TESTAMENT
I, Melvin I. Alleman, of 191 Chamberlin Road, Shippensburg,
Cumberland County, Pennsylvania, declare this to be my Last Will
and revoke any will previously made by me.
I. The expenses of my last illness and my funeral expenses (if
not pre-paid at the time of my death) shall be paid by my
estate.
II. By way of explanation, although I love my wife, Mildred C.
Alleman, very much, for reasons best known to myself, I
have not included my wife in my Last Will and Testament. I
do, however, acknowledge that my spouse may have a right to
elect against my estate to a maximum of one third (1/3) of
the electable estate.
In the event an elective share is
claimed, my Executor shall select the assets which shall
fund the elective share to be distributed by my Executor to
the electing spouse.
III. I direct that the residue of my estate be divided into four
(4) equal shares and I give to each of the following who
survives me the number of shares set forth below:
A. To Carol M. Forrester, my daughter, one (1) share.

D. To Randall E. Alleman, my son, one (1) share.
If any of the above-named beneficiaries fails to survive
me, I direct that that beneficiary's share shall descend to
that beneficiary's surviving issue, per stirpes.

event that either of the above-named beneficiaries fails to
survive me without issue then surviving, I direct that his
or her share be glven to my surviving beneficiary
IV. All administrative costs, including inheritance taxes,
estate taxes and transfer taxes imposed upon my estate
passing under my Will or otherwise shall be paid out of the
principal of my residuary estate.
V. I appoint as co-Executors of this, my Last Will, my
children, Richard D. Alleman, Carol M. Forrester, Galen M.
Alleman, and Randall E. Alleman. I direct that no trustee,
executor, guardian or other fiduciary named, nominated, or
appointed in this Will shall be required to post any bond
or give any security of any type for any purposes whatever.
IN WITNESS WHEREOF, I, Melvin I. Alleman, the above-named
Testator, have to this, my Last Will and Testament, set my hand

my Successor Trustee ceases to serve for any reason, I appoint Galen M. Alleman and/or
Randall E. Alleman as Alternate Trustee.
SECTION 4. IRREVOCABILITY. This Trust Agreement shall be irrevocable. I
hereby relinquish all power to alter, amend, or revoke any provisions of this Trust
Agreement.
SECTION 5. DISTRIBUTION.
5.1. Grantor's Lifetime. During Grantor's lifetime:
5.1.1. Income. Trustee may distribute to Grantor all of the income
of the Trust monthly or quarterly for Grantor's care and wellbeing. Any income earned in
a calendar year, which income is not paid by Trustee to Grantor by January 30 of the
succeeding year, shall be accumulated and added to Trust principal. Capital gains shall
not be treated as income, and are not distributable to Grantor and must be retained by the
Trust as principal.
5.1.2. Principal. Trustee shall not distribute principal of this
Trust to Grantor. Grantor shall not have the right to compel Trustee to distribute
principal to Grantor. Capital gains shall be added to principal.
My Trustee may distribute principal to my named children
and/or their issue (hereinafter "beneficiary" or "beneficiaries") upon the written consent
of Richard D. Alleman, Galen M. Alleman and Randall E. Alleman. (A beneficiary

consenting to a distribution shall not be then acting as Trustee.) If my Trustee shall
distribute all of the principal, the Trust shall terminate.
5.2. Grantor's Death. Upon Grantor's death the remaining principal and
accrued income, if any, shall be distributed as follows:
( a) to or for the benefit of my beneficiary or beneficiaries, or his/her/their
descendants, as I shall specifically appoint by Will, making reference to this Trust; and
(b) to the extent that I have not exercised this power of appointment by my
Will, Trustee shall divide the remaining principal and accrued income, if any, into four
(4) equal shares which shall be distributed as follows:
(1) To Carol M. Forrester, my daughter, one (1) share.
(2) To Richard D. Alleman, my son, one (1) share.
(3) To Galen M. Alleman, my son, one (1) share.
(4) To Randall E. Alleman, my son, one (1) share.
5.3. Age Requirement. Should any beneficiary less than twenty-one (21)
years of age be entitled to receive outright a share under this Trust, then although such
share shall vest immediately and indefeasibly, my Trustee, herein named, shall defer
distribution. My Trustee shall distribute such beneficiary's share to such beneficiary
when he or she attains the age of twenty-one (21). At any time prior to the attainment of
the age of twenty-one (21), my Trustee may, in my Trustee's sole and unfettered
discretion, use so much of the net accumulated income and principal of such share, even

to the point of exhausting principal, as my Trustee, from time-to-time, believes desirable
for the health, education, maintenance, and support of such beneficiary.
SECTION 6. POWERS OF TRUSTEE.
6.1. General Powers. In addition to the powers above provided for, and
those given by law under Pennsylvania Consolidated Statutes, Annotated, Title 20, et
seq., my Trustee, without any order of court and in its sole discretion, is authorized to do
and is subject to the following:
6.1.1. Make Investments. To retain any property received hereunder and
invest and reinvest in any property without restriction to so-called legal investments and
without responsibility for diversification.
6.1.2. Cash. To keep reasonable amounts of cash in bank uninvested.
6.1.3. Purchase Investments. To purchase investments at premiums and
charge premiums to income or principal or partly to each.
6.1.4. Stocks and Bonds. To subscribe for stocks, bonds, or other
investments.
6.1.5. Registration. To register securities in the name of its nominee or
hold them unregistered so that title may pass by delivery.
6.1.6. Voting. To vote equities/securities held by Trustee.
6.1.7. Repair. To repair, alter, improve, or lease, for any period of time,
any property and give options for leases.

6.1.8. Sell. To sell at public or private sale, for cash or credit, with or
without security, and exchange or partition property and give options for sales or
exchanges.
6.1.9. Compromise. To compromise claims.
6.1.10. Trust Additions. To add to the principal of any Trust created
hereunder any property received from any person by Deed, Will, or in any other manner.
6.1.11. Purchase Assets. To purchase assets from my estate at fair market
value and lend money to said estate.
6.1.12. Distributions. To make distribution both of income and principal
in cash or in kind or partly in each.
6.1.13. Post-Termination. To exercise all power, authority, and discretion
given by this Trust, after termination of any trust created herein until the same is fully
distributed.
6.1.14. Principal and Income. It is my intention that the principal of this
Trust not be considered an available resource for purposes of determining my eligibility
(or my spouses eligibility) for public benefit programs. To this end, my Trustee shall
have no power to adjust between principal and income under the Pennsylvania Uniform
Principal and Income Act (or any similar statute in any other jurisdiction) and my Trustee
shall not have the power to convert this Trust to a unitrust under the Pennsylvania
Uniform Principal and Income Act (or any similar statute in any other jurisdiction).

SECTION 7. PROTECTIVE PROVISION. All principal and income shall, until
actual distribution to any beneficiary, be free of debts, contracts, alienations, and
anticipations of any beneficiary, and the same shall not be liable to any levy, attachment,
execution, or sequestration while in the possession of my Trustee.
SECTION 8. DISABILITY PROVISION. Unless otherwise provided for herein, any
income or principal payable to any beneficiary, other than a beneficiary who may be a
minor, or in the opinion of Trustee, mentally or physically disabled, shall be held in a
separate trust by Trustee until such beneficiary reaches majority or during such disability,
unless the Trust share is sooner terminated as otherwise provided herein; said income
may be accumulated and income and principal may be expended for the maintenance,
education, and support of such beneficiary as Trustee, in its sole discretion, may
determine; Trustee in the expenditure of income or principal for such purposes, may, at
its discretion, apply the same directly without the intervention of a guardian or pay the
same to any person having the care or control of said beneficiary or with whom the
beneficiary resides, without duty on the part of Trustee to supervise or inquire into the
application of such funds; the balance of such income and principal shall be paid to such
beneficiary when the disability ceases or he or she attains the age of twenty-one (21)
years, as the case may be, or to such beneficiary's estate in the event of death prior
thereto.
SECTION 9. PAYMENT OF DEATH TAXES. I direct that all Estate,
Inheritance, and other death taxes (including any interest thereon and penalties with

respect thereto), Federal, State, and other (excluding any Generation-Skipping Tax),
imposed by reason of my death, in respect of property passing under this Trust shall be
paid out of the assets of this Trust.
SECTION 10. DEBTS OF ESTATE. Trustee shall not pay any of the debts of my
estate from the assets of this Trust.
SECTION 11. BOND WAIVED. No fiduciary nor any duly appointed successor
shall be required to give bond or furnish sureties in any jurisdiction.
SECTION 12. SITUS. Questions pertaining to the validity, construction, and
administration of any trust hereunder shall be determined in accordance with the law of
the Commonwealth of Pennsylvania.
SECTION 13. ACCOUNTINGS. Trustee may render an account of its
administration of the Trust to the then-living adult income beneficiaries and adult
remainderman; and the approval thereof by the living adult beneficiaries and living adult
remainderman, shall be conclusively binding upon all parties in interest under this
Agreement, whether in being or not. The aforementioned adult beneficiaries and adult
remainderman, as the case may be, shall be conclusively presumed to have approved each
such account unless he/she or they tile written exceptions thereto with Trustee within
thirty (30) days after the receipt of each account. Nothing herein shall limit the right of
Trustee to tile its accounts in a court of competent jurisdiction at appropriate times.

SECTION 14. COMPENSATION OF FIDUCIARY. Trustee shall be entitled to
reasonable compensation for its services and to reimbursement for its expenses in
connection with its services performed hereunder.
SECTION 15. GRANTOR TRUST. It is Grantor's intention that this Trust be
construed as a "grantor trust" under Section 677(a) of the Internal Revenue Code. All
income shall be taxable to Grantor, whether distributed or accumulated by the Trust.
Trustee may distribute to Grantor such amounts of income, but not principal, of the Trust
as my Trustee deems necessary to satisfy Grantor's tax obligation, to the extent that the
income of the Trust generates a tax liability for Grantor.
SECTION 16. FUNDING OF TRUST. Grantor shall initially fund this Trust with
the assets described in Schedule "A," attached hereto. By execution hereof: Grantor
hereby assigns, conveys, transfers and delivers the described assets to the Trustee on the
date hereof or as soon hereafter as is practical. The Trustee may accept property from
any source, subsequent hereto and upon any terms, but no property may be added if the
Trustee believes it will not be in the best interest of the Trust estate.
