For dates of death on or after July 1, 1994 and before January 1, 1995, the tax rate imposed on the net value of transfers to or for the use of the surviving spouse is 3%
[72 P.S 99916 (a) (1.1) (i)].
For dates of death on or after January 1, 1995, the tax rate imposed on the net vaiue of transfers to or for the use of the surviving spouse is 0% [72 P.S. 99116 (a) (1.1) (ii)]
The statute does not exempt a transfer to a surviving spouse from tax, and the statutory reqUirements for disclosure of assets and filing a tax return are still applicable even if
the surviving spouse is the only beneficiary.
For dates of death on or after July 1,2000:
The tax rate imposed on the net value of transfers from a deceased chiid twenty-one years of age or younger at death to or for the use of a natural parent, an adoptive parent,
or a stepparent of the child is 0% [72 P.S 139116(a}(1.2)].
The tax rate imposed on the net value of transfers to or for the use of the decedent's lineal beneficiaries is 4.5%, except as noted in 72 P.S. 99116(1.2) [72 P.S. 9 9116(a}(l)].
The tax rate imposed on the net value of transfers to or for the use of the decedent's siblings is 12% (72 P.S. 9 9116(a}(1.3)]. A sibling is defined, under Section 9102, as an
individual who has at least one parent in common with the decedent, whether by biood or adoption.

LAST WILL AND TESTAMENT
OF
JOHN R. DIETZ
BE IT REMEMBERED, That I, JOHN R. DIETZ, of Mechanicsburg in
the County of Cumberland, State of Pennsylvania, being of sound mind,
memory and understand do make and publish this my Last Will and Testa-
ment, hereby revoking and making void all former Wills and Codicils by
me at any time heretofore made.
And First, I direct that my funeral be conducted in a manner
corresponding with my estate and situation in life, and that all my
just debts and funeral expenses be paid as soon as possible after my
de!cease.
And to such estate as it has pleased Almighty God to entrust to
mE~, I di s-~o.~e of the same in the following manner:
ITEM ONE: I direct that all inheritance, estate and death taxes
due by reason of my death be paid by my Executor out of my residuary
estatem as an expense of administration of my estate.
ITEM TWO: I hereby exercise all powers of appointment which I
may have at the time of my death, and all property subject to such powers
shall be included in my estate and be governed by the provisions of this
Will, except any Power of appointment given to me in any instrument
executed by my wife, Elizabeth Dietz.
ITEM THREE: I give and devise my interest in the original Dietz
cottage at Crystal Lake, Fell Township, Lackawanna County, pennylvania,
to my issue then living, per stirpes.
ITEM FOUR: I give and bequeath the sum of FIFTY THOUSAND DOLLARS
($50,000.00) to Mrs. Jean R. McGowan, East Marble Street, Mechanicsburg,
Pennsylvania, if she survives me.
ITEM FIVE: I give and bequeath the sum of TWENTY-FIVE THOUSAND
DOLLARS ($25,000.00) to Holy Spirit Hospital, East Pennsboro Township,
Cumberland Township, Pennsylvania, of which I am a member of the Board
of Managers.
ITEM SIX: I give and bequeath the sum of TWENTY-FIVE THOUSAND
DOLLARS ~25,000.OO) to the Church of the Good Shepherd, Camp Hill, Penn-
sylvaria, of which I am a member.
ITEM SEVEN: If my wife, Elizabeth Dietz, survives me, I give
and bequeath to her the sum of TWO HUNDRED THOUSAND DOLLARS ($200,000.00).
ITEM EIGHT: All the rest, residue and remainder of my property,
real, personal and mixed, wheresoever situate, not disposed of in the
preceding portions of this Will, I give, devise and bequeath as follows:
~ ONE-HALF (~) thereof to my son, Robert J. Dietz, ab-
sOlutE!ly and forever, if he survives me. If my said son predeceases me,
I give and bequeath One Quarter (~) of his share to his wife, if in the
sole judgment of my Executor she was at the time of my son's death, liv-.
ing with him as his wife; the remaining Three-Fourths (3/4), or, if my
son's wife is nc,t living at the time of my death, or is not entitled to
receive the aforesaid One-Quart.er (~) share as set forth above, then the
whole share shall go to my son's then liviing issue, per stirpes.
1]1 The remaining ONE-HALF (~) thereof to my daughter,
Elizabeth Ann Brown, if she is living at the time of my death. If my
said daughter is not then living, One-Half (~) of her share shall go to
her husband, if in the sole judgment of my Executor he was, at the
timE! of my daughter's death, living with her as her husband; the other
One-"Half (~), or if said husband is not living at the ~ime of my death,
or is not entitled to receive a one-ahlf share as set forth herein, the
whole share shall go to my daughter's then living issue, per stirpes.
If at the time of my decease, my son or my daughter, shall have
predeceased me, as the case may be, and has no spouse or issue entitled
to share in his or her share, then the entire share of the deceased son
or daughter, as the case may be, shall go to the surviving son or daugh-
ter.
If at the time of my death, none of the foregoing beneficiaries
is living or entitled to receive any of said assets, then all of said
assets shall be distributed as follows:
ill 40% thereof to the Holy Spirit Hospita"l, East Penns-
bora Township, Cumberland County, Pennsylvania, of-which I am a member
of the Board of Managers;
ill 40% thereof to the Church of The Good Shepherd. Camp
Hill, Pennsylvania, of which I am a member;
111 20% thereof to my Alma Mater, Drexel University,
Philadelphia, Pennsylvania, of which I am a Trustee.
ITEM NINE: I direct that my personal representatives herein named
be permitted to qualify and serve without Bond regardless of place of
residence at the time of my death.
ITEM TEN:
I nominate, constitute and appoint my son, Robert J.
Dietz, and my daughter* Elizabeth Ann Brown, or the survivor of them~
Co-Executors of this my L~st will. If, for any reason, both of them
should fail or cease to act, PNC Bank, Inc., New Cumberland, pennsyl-
vania, as substituted Executor. All references in this Will to my
Executor shall refer to my Co-Executors, successor Executrix or
executor as the case may be.

Together with the right-of-way as conveyed by D. C. Kenyon to Andrew Mitchell, Sr.,

The above lots are conveyed subject to all reservations and conditiona as contained
in prior deeds in the chain of title, it being further understood that the Grantees
herein, their heirs and assigns, may use in common with other lot owners the strip
of land between the said lots and the shore of Crystal Lake for parking purposes.
ALSO BEING the same premises conveyed by Andrew Mitchell, Jr., to William Machell
and John A. Dietz, as tenants in common, by deed dated the 26th day of February, 1921,
and recorded in Lackawanns County in Deed Book 314 at page 242. The said William
Machell subsequently died intestate, seized of an undivided one-half interest in and
to the above described premises. By deed dated March 3, 1947, recorded on March 22,

Dietz, widower, conveying the premises hereinabove described to John R. Dietz,
Walter Dietz, Mae Bergen and Rita McArdle, the Grantors rherein named being Albert
Machell and Rachael ~chell, his wife, Raymond Machell and Anabell Machell, his wife,
Clara Miller, unmarrieo,.Ruth Shea and Harold Shea, her husband, and Kathryn Wilson
and Woodrow Wilson, her husband, being all of the heirs at law and next of kin of
William Machell and their spouses, and John A. Dietz, widower, as hereinbefore
referred to.
Hae Bergen, one of the.Grantees named in the said deed, died testate on the fifth
day of March, 1980, and under the terms of her Last Will and Testament, dated
January IS, 1973, filed for probate on April 21, 1980, in the office of the
Register of Wills of Lackawanna County to No. 410, Year 1980, recorded in Will
Book 192, page 57, devised her entire estate, which included her one-fourth
interest in the above described premises, to her husband, William J. Bergen, one
of the Grantors herein.
Walter Dietz, also one of the Grantees named in the deed of March 3, 1947 (Deed
Book 479, page 567), hereinabove recited, died testate February 21, 1981, and under
the .terms of his Last Will and Testament, filed for probate in Lackawaona County
on April 3, 1981, to Estate No. 361, Year 1981, devised his entire estate, which
included his one-fourth interest in the above described premises, to his nieces,
Mary K. Bommer and MAry Brita Chagnon (a/k/a Brita Chagnon), Grantees herein named,
in equal portions,share and share alike.
AND ALSO, ALL the right, title and interest of the Grantors herein named in and to
all those certain lots, pieces or parcels of land situate, lying and being in the.
Township of Fell (erroneously referred. to as the Township of Fee in a prior
conveyance), County of Lackawanna and Commonwealth of Pennsylvania, more
particularly bounded and described as follows:
BEGINNING at a point distant one hundred three and three-tenths (103.3) feet on a

BEING part of the same premises which Northeastern.National Bank and Trust Company,
et sl., by their deed dated December 22, 1965, granted and conveyed unto John R.
Dietz, et ux., which deed is recorded in the office of the Recorder of Deeds in and
for Ls,ckawanna County in Deed Book 632, page 165. Mary ll. Dietz, wife of John R.
Dietz, died on November 15, 1981, whereupon title to the premises passed by
operation of law to John ll. Dietz, the 8urviving tenant by the entireties.
The said John R. Dietz, widower, subsequently intermarried with Elizabeth L. Dietz,
both of whom joined in a deed conveying the above described Lots numbered 13, 17
and 18 to William Bergen, Rita Fortuner (formerly and prior to remarriage Rita
McArdle), Brita Chagnon and Mary. Bommer (Grantees herein), children of William
Bergen and Mae Bergen (deceased), and to John R. Dietz, said deed being dated
December 31, 1983, and recorded on February 21, 1984, in Lackawanna County Deed Book
1100, pages 371-374, inclusive.
On September 14, 1985. the aaid WilliBIII Bergen, alkla William J. Bergen, widower,
one of the Grantors herein. intermarried with Edith C. Bergen, who joins in this
deed as a Granto~ to convey to the Grantees herein named her ~nchoate interest
in and to the premises hereinabove described.
The above lots are conveyed suLject to the same. reservations, restrictions, exceptions
and conditions as sre contained in prior deeds in the chain of title.
The intent and purpose of this deed is to convey to Mary 1:. BOIIIIIler and Brita Chagnon,
Grantees herein, all of the right. title and interest of William Bergen, alkla
William J. Bergen, in Lots I, 2 and 9 hereinabove described, acquired by him under
the Last Will and Testament of Mae E. Bergen, deceased (Estate No. 410, Year 1980),
ss well as all of his right, title and interest in Lots 13, 17 and 18 hereinabove
described, acquired by him by virtue of the deed of John R. Dietz and Elizabeth L.
Diet&, his wife, to WilliBIII Bergen, et al., dated December 31, 1983 (Deed Book 1100.

DEFINITION OF MARKET VALUE: The most probable price which a property should bring in a competitive and
open market under all conditions requisite to a fair sale. the buyer and seller. each acting prudently. knowledgeably
and assuming the price is n~t affected by undue stimulus. Implicit in this definition is the consummation of a sale
as of a specified date and the passing of title from seller to buyer under conditions whereby: (I) buyer and seller
are typically motivated; (2) both parties are well informed or well advised. and each acting in what he considers his
own best interest; (3) a reasonable time is allowed for exposure in the open market; (4) payment is made in terms
of cash in U. S. dollars or in terms of financial arrangements comparable thereto; and (5) the price represents the
normal consideration for the property sold' unaffected by special or creative financing or sales concessions* granted
by anyone associated with the sale.
*Adjustments to the comparables must be made for special or creative financing or sales concessions. No adjustments
are necessary for those costs which are normally paid by sellers as a result of tradition or law in a market area;
these costs are readily identifiable since the seller. pays these costs in virtually all sales transactions. Special or
creative financing adjustments can be made to the comparable property by comparisons to financing terms offered
by a third party institutional lender that is not already involved in the property or transaction. Any adjustment
should not be calculated on a mechanical dollar for dollar cost of the financing or concession but the dollar
amount of any adjustment should approximate the market's reaction to the financing or concessions based on the
appraiser's judgment.
STATEMENT OF LIMITING CONDITIONS AND APPRAISER'S CERTIFICATION
CONTINGENT AND LIMITING CONDITIONS: The appraiser's certification that appears in the appraisal report
is subject to the following conditions:
I. The appraiser will not be responsible for matters of a legal nature that affect either the property being appraised
or the title to it. The appraiser assumes that the title is good and marketable and, therefore, will not render any
opinions about the title. The property is appraised on the basis of it being under responsible ownership.
2. The appraiser has provided a sketch in the appraisal report to show approximate dimensions of the improvements
and the sketch is included only to assist the reader of the report in visualizing the property and understanding the
appraiser's determination of its size.
3. The appraiser has examined the available flood maps that are provided by the Federal Emergency Management
Agency (or other data sources) and has noted in the appraisal report whether the subject site is located in an
identified Special Flood Hazard Area. Because the appraiser is not a surveyor, he or she makes no guarantees,
express or implied, regarding this determination.
4. The appraiser will not give testimony or appear in court because he or she made an appraisal of the property in
question, unless specific arrangements to do so have been made beforehand.
5. The appraiser has estimated the value of the land in the cost approach at its highest and best use and the
improvements at their contributory value. These separate valuations of the land and improvements must not be
used in conjunction with any other appraisal and are invalid if they are so used.
6. The appraiser has noted in the appraisal report any adverse conditions (such as, needed repairs, depreG:iation, the
presence of hazardous wastes, toxic substances, etc.) observed during the inspection of the subject property or that
he or she became aware of during the normal research involved in performing the appraisal. Unless otherwise stated
in the appraisal report, the appraiser has no knowledge of any hidden or unapparent conditi6ns of the property or
adverse environmental conditions (including the presence of hazardous wastes, toxic substances, etc.) that would
make the property more or less valuable, and has assumed that there are no such conditions and makes no
guarantees or warranties, express or implied, regarding the condition of the property. The appraiser will not be
responsible for any such conditions that do exist or for any engineering or testing that might be required to discover
whether such conditions exist. Because the appraiser is not an expert in the field of environmental hazards, the
appraisal report must not be considered as an environmental assessment of the property.
7. The appraiser obtained the information, estimates, and opinions that were expressed in the appraisal report from
sources that he or she considers to be reliable and believes them to be true and correct. The appraiser does not
assume responsibility for the accuracy of such items that ",;ere furnished by other parties.
8. The appraiser will not disclose the contents of the appraisal report except as provided for 10 the Uniform
Standards of Professional Appraisal Practice.
9. The appraiser has based his or her appraisal report and valuation conclusion for an appraisal that is subject to
satisfactory completion, repairs, or alterations on the assumption that completion of the improvements will be
performed in a workmanlike manner.
10. The appraiser must provide his or her prior written consent before the lender/client specified in the appraisal
report can distribute the appraisal report (including conclusions about the property value, the appraiser's identity
and professional designations, and references to any professional appraisal organizations or the firm with which the
appraiser is as'sociated) to anyone other than the borrower; the mortgagee or its successors and assigns; the mortgage
insurer; consultants; professional appraisal organizations; any state or federally approved financial institution; or any
department. agency. or instrumentality of the United States or any state or the District of Columbia; except that
the lender/client may distribute the property description section of the report only to data collection or reporting
service(s) without having to obtain the appraiser's prior written consent. The appraiser's written consent and
approval l11ust also be obtained before the appraisal can be conveyed by anyone to the public through advertising.

1. I have researched the subject market area and have selected a minimum of three recent sales of properties most
similar and proximate to the subject property for consideration in the sales comparison analysis and have made a
dollar adjustment when appropriate to reflect the market reaction to those items of significant variation. If a
significant item in a comparable property is superior to, or more' favorable than, the subject property, I have made
a negative adjustment to reduce the adjusted sales price of the comparable and, if a significant item in a comparable
property is inferior to, or less favorable than the subject property, I have made a positive adjustment to increase the
adjusted sales price of the comparable,
2. I have taken into consideration the factors that have an impact on value in my development of the estimate of
market value in the appraisal report. I have not knowingly withheld any significant information from the appraisal
report and I believe, to the best of my knowledge, that all statements and information in the appraisal report are
true and correct.
3. I stated in the appraisal report onlY my own personal, unbiased, and professional analysis, opinions, and
conclusions, which are subject only to the contingent and limiting conditions specified in this form.
4. I have no present or prospective interest in the property that is the subject to this report, and I have no present
or prospective personal interest or bias with respect to the participants in the transaction. I did not base, either
partially or completely, my analysis and/or the estimate of market value in the appraisal report on the race, color,
religion, sex, handicap, familial status, or national origin of either the prospective owners or occupants of the subject
property or of the present owners or occupants of the properties in the vicinity of the subject property.
5, I have no present or contemplated future interest in the subject property, and neither my current or future
employment nor my compensation for performing this appraisal is contingent on the appraised value of the property,
6, I was not required to report a predetermined value or direction in value that favors the cause of the client or
any related party, the amount of the value estimate, the attainment of a specific result, or the occurrence of a
subsequent event in order to receive my, compensation and/or employment for performing the appraisaL I did not
base the appraisal report on a requested minimum valuation, a specific valuation, or the need to approve a specific
mortgage loan,
7. I performed this appraisal in conformity with the Uniform Standards of Professional Appraisal Practice that were
adopted and promulgated by the Appraisal Standards Board of The Appraisal Foundation and that were in place as
of the effective date of this appraisal, with the exception of the departure provision of those Standards, which does
not apply. I acknowledge that an estimate of a reasonable time for exposure in the open market is a condition in
the definition of market value and the estimate I developed is consistent with the marketing time noted in the
neighborhood section of this report, unless I have otherwise stated in the reconciliation section.

listed as comparables in the appraisal report. I further certify that I have noted any apparent or known adverse
conditions in the subject improvements, on the subject site, or on any site within the immediate vicinity of the

the property value to the extent that I had market evidence to support them. I have also commented about the
effect of the adverse conditions on the marketability of the subject property.

Dear Centerview Partner:
As you can see by the enclosed distribution, we have good news to report.
We recently sold the property for $5,450,000. After payment of debts, brokerage fees
and other expenses, we had approximately $760,000 of cash remaining. We held back
reserves of approximately $20,000 and distributed the balance to the partners (see
enclosed check).
As many of you might remember, we took over management of the apartments in the
early 1990's and secured a HUD loan to prevent a foreclosure of the property. Since
then, it has been a long uphill battle to maintain/upgrade the physical asset and increase
revenue to the point where we could sell the property for an amount that would return a
substantial portion of the partners' original investment. We are pleased to say that we
have achieved this goal. The cash distributions from the sale will return approximately
70% of the partners' original capital contribution. We will wrap up the partnership affairs
this year and file a final tax return. Final distribution of any remaining cash will be done
at year end.

JOHN R DIETZ, with a mailing address of P.O. Box 485, Camp Hill, PA 17001
(hereinafter called the "Donor"), for the Donor's life, an annuity or annual sum of
$2,592.00, from the date hereof, in equal quarterly installments of $648.00 on the last
day or March, June, September and December. The first installment shall be payable
as ofJune 30, 1995 and shall be prorated.
The obligation of the University to make annuity payments shall terminate
with the payment preceding the death of the Donor. This annuity is nonassignable,
with the exception that it may be assigned to th.e University.
The University certifies that the Donor, as e'\ridence of the Donor's desire to
support the work of the University and make a charitable gift, has this day
contributed to the University the property listed on Schedule" AfI attached hereto,
receipt of which is hereby acknowledged, to be used for the general purposes of
Drexel University. ,
The age of the Donor to his nearest birthday is 83.
This annuity shall be governed by the laws of the Commonwealth of
Pennsylvania.
IN WITNESS WHEREOF, and intending to be legally bound, the University
has executed this instrument to be effective the 31st day of ~1ay 1995.

HOLY SPIRIT HOSPITAL
GIFT ANNUITY AGREEMENT
GIFT ANNUITY AGREEMENT, made by and between John R. Dietz
(the "Donor"), and Holy Spirit Hospital of the Sisters of
Christian Charity ("Holy Spirit"), a non-profit charitable
organization, incorporated under the laws of the Commonwealth
of Pennsylvania, with its principal office at North 21st
Street, Camp Hill, Pennsylvania.
Holy Spirit hereby agrees and binds itself and its successors
to pay to the. Donor during his life, an annuity or annual sum
of $6,877.60'" in quarterly payments of $1,719.40'on the 30th
day of March, June, September and December of each year,
commencing with a first payment of $1,850.22 to be made on
September 30, 1988.
The obligation to pay this annuity shall terminate with the
payment for the quarterly periOd immediately preceding the
quarterly period in which the death of the annuitant occurs,
and upon making such last payment, Holy Spirit shall be
discharged from all further responsibility or obligation
under this agreement. This annuity is non-assignable.
Holy Spirit hereby certifies that the Donor, desiring to
promote the work of Holy Spirit and in consideration of the
execution of this gift annuity agreement, has contributed to
Holy Spirit on June 24, 1988, 4,054 shares of CCNB
Corporation common stock having an aggregate fair market
value of seventy-nine thousand and fifty-three dollars
($79,053.00)~ receipt of which is hereby acknowledged, to be
used for the work of Holy Spirit as designated by its Board
of Directors.

signed and sealed this agreement in triplicate on this sixth
day of July, 1988.

GIFT ANNUITY AGREEMENT, made by and between John R. Dietz
(the "Donor"), and Holy Spirit Hospital of the Sisters of
Christian Charity ("Holy Spirit"), a non-profit charitable
organization, incorporated under the laws of the
Commonwealth of Pennsylvania, with its principal office at
North 21st Street, Camp Hill, Pennsylvania.
Holy Spirit hereby agrees and binds itself and its
successors to pay to the Donor during his life, an annuity
or annual sum of $3,607.76 in quarterly payments of $901.94
on the 30th day of March, June, September and December of
each year, commencing with a first payment of $901.94 to be
made on March 31, 1989.
The obligation to pay this annuity shall terminate with the
paYment for the quarterly period immediately preceding the
quarterly period in which the death of the annuitant occurs,
and upon making such last paYment, Holy Spirit shall be
discharged from all further responsibility or obligation
under this agreement. This annuity is non-assignable.
Holy Spirit hereby certifies that the Donor, desiring to
promote the work of Holy Spirit and in consideration of the
execution of this gift annuity agreement, has contributed to
Holy Spirit on January 1, 1989 cash of $40,086.14, receipt
of which is hereby acknowledged, to be used for the work of
Holy Spirit as designated by its Board of Directors.

signed and sealed this agreement in triplicate on this sixth
day of January 1989.
