COMPLAINT
I. Plaintiff is Snap-on Credit LLC, having a place of business at 950 Technology
Way, Suite 301, Libertyville, IL 60048.
2. Defendant, Palmer's Automotive Ltd. (hereinafter, "PAL"), has a last known
address of 699 East Simpson Street, Mechanicsburg, P A 17055.
3. Defendant, William Palmer alk/a William A. Palmer (hereinafter, "Palmer"), has
a last known address of 1089 W. Trindle Road, Mechanicsburg, P A 17055.
4. On or about June 28, 2005, PAL entered into a Finance Lease with Snap-on Tools
Company, LLC, for the lease of certain Snap-on tools/equipment. A true and correct copy of the
Finance Lease is attached hereto as Exhibit "A", and the provisions thereof are hereby
incorporated by reference as if fully set forth.
5. Palmer is the guarantor of all ofP AL's obligations under the Finance Lease.

6. Plaintiff is the current assignee of, and current holder of, the lessor's rights under
the Fiinance Lease.
7. The Finance Lease is currently in monetary default, with a balance of $3,899.45
due and owing thereunder.
8. Defendants have failed and/or refused to pay the aforementioned $3,899.45.
WHEREFORE, Plaintiff respectfully requests this Honorable Court to enter judgment in
its favor and against Defendants, in the amount of $3,899.45, plus Plaintiff's attorney's fees and
legal costs as per the terms of the Finance Lease and guaranty thereof, plus such other and
further relief as this Honorable Court deems fair and just.

AND NOW, come the Defendants, Palmer's Automotive, Ltd., and William Palmer,
Defendants in the above-captioned matter and hereby file this Answer, New Matter and
Counterclaim, and in support thereof answer as follows:
1. Admitted.
2. Admitted.
3. Denied. Defendant, William Palmer currently resides at 79 Winchester Gardens,
Carlisle, Cumberland County, Pennsylvania 17013.
4. Admitted in part, denied in part. It is admitted that the Plaintiffs Exhibit "A" is
the document signed by the Defendants; however, Defendants believe that the
actual date on which this document was signed was several days before June 28,
2005, and the sales person/agent of Plaintiff inserted the date of June 28,2005.
5. Admitted.
6. Denied. Defendants are without sufficient knowledge, information, or belief to
either affirm or deny this allegation and therefore same is denied and strict proof
demanded at time of trial.

7. Denied. Snap-on Tools Company, LLC, defaulted under the terms of the lease by
not making delivery of the equipment within a reasonable time, and, therefore,
Defendants are not in monetary default, and owe no monies to Plaintiff since
Plaintiff, as assignee of the lease between Snap-on Tools Company, LLC, and
Defendants, is subject to all defenses which Defendants could assert against the
aSSIgnor.
8. Admitted in part, denied in part. It is admitted that the Defendants refuse to pay
the monies requested by the Plaintiff, but it is denied that such monies are due and
owing to Plaintiff.
WHEREFORE, Defendants pray this Honorable Court will enter judgment in their favor
and against Plaintiff on this Complaint.
NEW MATTER
9. The answers set forth in paragraphs 1 through 8 herein are hereby incorporated as
if fully set forth in this New Matter.
10. The Snap-on Tools/equipment leased by the Defendants consisted of several
computer disks which were to be utilized by the Defendants as a diagnostic tool to
identify vehicle problems.
11. Prior to agreeing to a lease arrangement with Plaintiff, Defendants had previously
purchased similar disks from the Snap-on Tools Company, LLC, but the disks
would expire at the end of each quarter and have to be replaced with new disks.
12. When the lease was executed on or about June 28, 2005, Defendants then current
disks were scheduled to expire on July 1, 2005.

13. Defendants advised Plaintiffs salesperson/agent that he must receive the new
disks by July 1, 2005, and Plaintiffs salesperson/agent assured Defendants that
the disks would arrive by July 1, 2005.
14. On two (2) occasions, while waiting for the Plaintiff to deliver the disks, the
Defendant, William Palmer, contacted Snap-on Tools Company, LLC, and was
advised that the disks were not available.
15. Defendants did not receive any disks from the Plaintiff until the later half of
August 2005.
16. Since the diagnostic disks were essential to the performance of work at the
Defendants' place of business, the Defendants had to utilize disks from his
competitors until such time as they could reorder the disks from a different
supplier.
17. Snap-on Tools Company, LLC, breached its agreement to Defendants by not
supplying Defendants with the disks in a timely manner, or within a reasonable
time.
COUNTERCLAIM
18. Paragraphs 1 through 17 herein are hereby incorporated as if fully set forth at
length.
19. As a result of the breach of the agreement between Snap-on Tools Company,
LLC, and the Defendants, Defendants were caused to suffer the following
damages:
A. $172.00 which represents the initial payment made by the Defendants; and
B. $270.00 which represents fees charged by the Defendants' competitors to
utilize their diagnostic disks.
20. It is believed and therefore averred that the assignment of all of Snap-on Tools
Company, LLC interest in the lease with Defendants included an assignment of
all of assignor's responsibilities and liabilities under the terms of the lease.
WHEREFORE, Defendants pray this Honorable Court will enter judgment in their favor
and against Plaintiff on Defendants' Counterclaim in the amount of $442.00.

MOTION FOR SUMMARY JUDGMENT
NOW COMES Plaintiff, by and through its undersigned counsel, and files the following
Motion for Summary Judgment in this matter:
1. On September 7, 2006, Plaintiff tiled its breach of contract Complaint in this
matter, seeking sums due under a finance lease and related guaranty entered into by Defendants.
A copy of the Complaint is attached hereto as Exhibit "A," and the provisions of same are hereby
incorporated by reference as if fully set forth.
2. On October 10, 2006, Defendants, through counsel, filed their Answer, New
Matter and Counterclaim to Plaintiffs Complaint. A copy of same is attached hereto as Exhibit
"B," and the provisions of same are hereby incorporated by reference as if fully set forth.
3. On October 20, 2006, Plaintiff filed its Reply to Defendants' New Matter and
Counterclaim. A copy of same is attached hereto as Exhibit "C," and the provisions of same are
hereby incorporated by reference as if fully set forth.
4. On October 31, 2006, Plaintiff propounded Requests for Admissions upon
Defendants. Copies of same are attached hereto as Exhibit "D," and the provisions of same are
hereby incorporated by reference as if fully set forth.

5. To date, Defendants have not furnished responses to Plaintiffs Requests for
Admissions. As such, pursuant to Pa.R.C.P. 4014(b) and (d), the matters set forth in the
Requests for Admissions are deemed admitted and conclusively established.
6. Consequently, Defendants have admitted the following, and the following have
conclusively been established in this case:
(a) the authenticity and genuineness of the subject finance lease and guaranty;
(b)
(c)
Defendants signed the aforementioned documentation; and
there is currently due and owing under the finance lease and guaranty the
sum of$3,899.45, plus Plaintiffs attorney's fees and costs incurred for collection of same.
7. Further, any purported affirmative defense asserted by Defendants to Plaintiff's
Complaint, as well as Defendants' Counterclaim, is/are barred, invalid, and/or legally meritless
because of Section 2 of the finance lease in question, which provides that the obligation( s) to pay
sums due under the lease is "ABSOLUTE AND UNCONDITIONAL AND IS NOT
SUBJECT TO ANY REDUCTION, SET -OFF, DEFENSE OR COUNTERCLAIM FOR
ANY REASON WHATSOEVER." By signing the lease, Defendant Palmer's Automotive Ltd.
became bound by this proviso, and, as guarantor of all of Palmer's Automotive Ltd.' s obligations
under the lease, Defendant William Palmer a/k/a William A. Palmer is likewise bound by this
proVISO.
8. In addition, attached hereto as Exhibit "E" is Plaintiffs sworn Affidavit attesting
to the truth of the matters set forth in its Complaint. Plaintiff has actual knowledge of the
foregoing, and its Affidavit is evidence of same set forth under oath.

9. As a result of all of the foregoing, no genuine issue of any material fact exists in
this case and as such, Plaintiff is entitled to summary judgment against Defendants as a matter of
law.
WHEREFORE, Plaintiff respectfully requests this Honorable Court to enter summary
judgment in its favor and against Defendants as set forth in the proposed Order attached hereto.

COMPLAINT
1. Plaintiff is Snap-on Credit LLC, having a place of business at 950 Technology
Way, Suite 301, Libertyville, IL 60048.
2. Defendant, Palmer's Automotive Ltd. (hereinafter, "PAL"), has a last known
address of 699 East Simpson Street, Mechanicsburg, P A 17055.
3. Defendant, William Palmer aIkIa William A. Palmer (hereinafter, "Palmer"), has
a last known address of 1089 W. Trindle Road, Mechanicsburg, P A 17055.
4. On or about June 28, 2005, PAL entered into a Finance Lease with Snap-on Tools
Company, LLC, for the lease of certain Snap-on tools/equipment. A true and correct copy of the
Finance Lease is attached hereto as Exhibit "A", and the provisions thereof are hereby
incorporated by reference as if fully set forth.
5. Palmer is the guarantor of all ofP AL's obligations under the Finance Lease.

6. Plaintiff is the current assignee of, and current holder of, the lessor's rights under
the Fiinance Lease.
7. The Finance Lease is currently in monetary default, with a balance of $3,899.45
due and owing thereunder.
8. Defendants have failed and/or refused to pay the aforementioned $3,899.45.
WHEREFORE, Plaintiff respectfully requests this Honorable Court to enter judgment in
its favor and against Defendants, in the amount of $3,899.45, plus Plaintiff's attorney's fees and
legal costs as per the terms of the Finance Lease and guaranty thereof, plus such other and
further relief as this Honorable Court deems fair and just.

ANiJ :NOW; come the Defendants, Palmer's Automotive, Ltd., and William Palmer,
Defendants in the above-captioned matter and hereby file this Answer, New Matter and
Counterclaim, and in support thereof answer as follows:
1. Admitted.
2. Admitted.
3. Denied. Defendant, William Palmer currently resides at 79 Winchester Gardens,
Carlisle, Cumberland County, Pennsylvania 17013.
4. Admitted in part, denied in part. It is admitted that the Plaintiff's Exhibit "Ah is
the doc~ent signed by the Defendants; however, Defendants believe that the
actual date on which this document was signed was several days before June 28,
2005, and the sales person/agent of Plaintiff inserted the date of June 28, 2005.
5. Admitted.
6. Denied. Defendants are without sufficient knowledge, information, or belief to
either affirm or deny this allegation and therefore same is denied and strict proof
demanded at time of trial.
7. Denied. Snap-on Tools Company, LLC, defaulted under the terms of the lease by
not making delivery of the equipment within a reasonable time; and, therefore,
Defendants are not in monetary default, and owe no monies to Plaintiff since
Plaintiff,. as assignee of the lease between Snap-on Tools Company, LLC, and
Defendants, is subject to all defenses which Defendants could assert against the
assignor.
8. Admitted in part, denied in part. It is admitted that the Defendants refuse to pay
the monies requested by the Plaintiff, but it is denied that such monies ate due and
owing to Plaintiff.
WHEREFORE; Defendants pray this Honorable Court will enter judgment in their favor
and against Plaintiff on this Complaint.
NEW MATTER
9. The anSwers set forth in paragraphs 1 through 8 herein are hereby incorporated as
if fully. set forth in this New Matter.
10. The Snap-on Tools/equipment leased by the Defendants conSisted' of several
computer disks which were to be utiliZed by the Defendants as a diagnostic tool to
identify vehicle problems.
11. Prior to agreeing to a lease arrangement with Plaintiff, Defen~ants had previously
purchased similar disks from the Snap-on Tools Company, LLC; but the disks
would expire at the end of each quarter and have to be replaced with new disks.
12. When the lease was executed on or about June 28,2005, Defendants then current
disks were scheduled to expire on July 1, 2005.
13. Oefei1dants advised Plaintiff's salesperson/agent that he muSt receive the new
disks by July It 2005, and Plaintiffs salesperson/agent assured Defendants that
the disks would arrive by July 1; 2005.
14. on two (2) occasions, while waiting for the Plaintiff to deliver the disks, the
Defendant, William Palmer, contacted Snap-on Tools Company, LLC, and was
advised that the disks were not available.
15. Defeiidailts did not receive any disks from the Plaintiff until the latei' half of
August 2005.
16. . Since the diagnostic disks were essential to the performance of work at the
Defendants' place of business, the Defendants had to utilize disks from his
competitors until such time as they could reorder the disks from a different
supplier.
17. Snap-on Tools Company, LLC, breached its agreement to Defendants by not
suppl~g Defendants with the disks in a timely manner, or within a reasonable
time.
COUNTERCLAIM
18. Paragraphs 1 through 17 herein are hereby incorporated as if fully set forth at
length.
19.. As a result of the breach of the agreement between Snap-on Tools Company,
LLC, and the Defendants, Defendants were caused to suffer the following
damages:
A. $172.00 which represents the initial payment made by the Defendants; and
B. $270.00 which represents fees charged by the Defendants' competitors to
utilize their diagnostic disks.
20. It is believed and therefore averred that the assignment of all of Snap-on Tools
Company, LLC interest in the lease with Defendants included an assignment of
all of assignor~s responsibilities and liabilities under the terms of the tease.
WltEREFORE, Defendants pray this Honorable Court will enter judgment in their favor
and against Plaintiff on Defendants; Counterclaim in the amount of $442.00.

19(A-B). Denied. It is specifically denied that there has been any breach by Plaintiff of
the lease at issue, or of any agreement with Defendants; therefore, Defendants have not suffered
damages in this matter. By way of further response, it is Defendants, not Plaintiff, who have
breached the lease at issue, causing Plaintiff to incur damages as set forth in Plaintiff s
Complaint.
20. Admitted only that the subject lease, being a writing, speaks for itself. By way of
further response, Section 2 of the lease provides that Defendants' obligations to pay sums due

under the lease is "ABSOLUTE AND UNCONDmONAL AND IS NOT SUBJECT TO

the lease.
