WHEREAS, MILFORDING VENTURES, LP, having an address of 3 Lemoyne Drive,
Suite 100, Lemoyne, PA 17043, is about to execute contemporaneously herewith, a contract, with
HAMPTON CONSTRUCTION LIMITED of 3607 Hartzdale Drive, Camp Hill, P A 170 II, for site work
on a development to be known as Millfording Highlands located along Millfording Road, Silver Spring
Township, Cumberland County, Pennsylvania, as set forth in the deed dated March 25, 2004, at Deed
Book 262, Page 1287, in the Recorder's Office for Cumberland County, Pennsylvania, as more
specifically described in Exhibit "A" which is incorporated herein and attached hereto.
NOW,~, 2006, at the time of and immediately before the execution of the principal
contract, and before any authority has been given by the said Owner to the said Contractor to commence
work on the said building, or purchase materials for the same in consideration of the making of the said
contract with Contractor and the further consideration of One Dollar ($1.00), to Contractor paid by
Owner, it is agreed that no lien shall be filed against the building by the Contractor, or any subcontractor,
nor by any of the materialmen or workmen or any other person for any labor, or materials purchased, or
extra labor or materials purchased for the erection of said building, the right to file such liens being
expressly waived.

ALL THAT CERTAIN piece or parcel ofland, situate in the Township of Silver Spring, County
of Cumberland, more particularly bounded and described as follows, to wit:
TRACT #1 BEGINNING at a point in the center line of Township Road No. T -596, which point
is referenced two thousand three hundred and twenty-six and seventy-four one hundredths (2326.74)
feet measured northwardly along said center line from the center line of the Carlisle Pike, U.S. Route
11; thence along the center line of said Township Road No. T -596, North 43 degrees 48 minutes
East, a distance of two hundred fifty-eight and sixty one hundredths (258.60) feet to a point; thence
continuing along same North 28 degrees 25 minutes East a distance of three hundred forty-seven and
twenty one hundredths (347.20) feet to a point; thence continuing along same, North 11 degrees 20
minutes East, a distance of two hundred sixty-three and sixty one hundredths (263.60) feet to a point;
thence continuing along same and the centerline of another Township Road, No. T-700, North 19
degrees 48 minutes East, a distance of two hundred thirty-four and ninety one hundredths (234.90)

Road No. T -700; thence by the latter line South 74 degrees 21 minutes West 94.43 feet to a point
at line of said other lands now or formerly ofHempt Bros., Inc.; thence by the latter North 50 degrees
