WHEREAS, DP Industrial, LLC, c/o DP Partners, 200 North 3rd Street, Suite 1402, Harrisburg, PA 17101,
hereinafter called "Owner", has or is about to execute contemporaneously with QEI Construction Group, LLC, of
14 Commerce Drive, Wyomissing, PA 19610, hereinafter called "Contractor", a contract for the construction
and/or erection of improvements upon lands of Owner located in North Middletown Township, Cumberland
County, Pennsylvania, more particularly described as Lot 7 in the Final Subdivision Plan for Logisticenter at
Carlisle, recorded with the Recorder of Deeds Office of Cumberland County on August 18, 2006, in Plan Book
93 page 2, and located at 100 Allen Road, Carlisle, Pennsylavnia.

Now effective this ~ day of September 2006, at the time of and immediately before the execution of
the principal contract, and/or before any' authority has been given by the Owner to the Contractor to commence
work on said improvements or land, or to purchase materials for the same, and before any such work has
actually commenced, it is hereby stipulated and agreed by and between said parties as part of said contract and
the further consideration of One Dollar to Contractor paid by Owner, that neither the undersigned Contractor, any
subcontractor or materialman, nor any other person furnishing labor or materials to the said Contractor under the
contract entered into between said parties shall file a lien for work done or materials furnished to said
improvements, land or any part thereof, and any right to so lien which otherwise might exist is hereby expressly
waived.
