I, MARTHA B. YOUNG, of Lower Allen Township, Cumberland
County, Pennsylvania, make, publish and declare this as and for
my Last will and Testament, hereby revoking all other Wills and
Codicils heretofore made by me.
PIRST: I give and bequeath all of my household goods,
library and all books, personal effects including clothing items,
and any vehicle which I may own at the time of my death, to my
husband, CARL E. YOUNG, provided that he survives me.
SECOND: I devise and bequeath all the residue of my
estate of whatever nature and wherever situate, including any
property over which I hold power of appointment and together with
any insurance policies thereon, to THE UNITED' METHODIST STEWARD-
SHIP FOUNDATION OF CENTRAL PENNSYLVANIA of 900 South Arlington
Avenue, Harrisburg, Pennsylvania 17109, (hereinafter the "Stew-
ardship Foundation"), or its legal successor, upon and subject to
compliance with the following terms and conditions:
(A) The Stewardship Foundation shall enter into an
agreement to pay to my husband, CARL E. YOUNG, an annuity on a
monthly basis for and during the term of his life, the amount of
said annuity, on an annual basis, to be determined by applying
the Stewardship Foundation's standard single life gift annuity
rates adopted by the Stewardship Foundation and in effect at the
time of my death to the gift made hereunder, said rates to be
based upon the age of the annuitant named above at the time of my
death.
(B) The stewardship Foundation shall provide in said
agreement, and related documents, that upon the death of my
husband, CARL E. YOUNG, the balance of the fund shall be paid to
The stewardship Foundation, or its legal successor, to be placed
in the Martha B. Young Memorial Fund. Income from the Fund is to
be used to maintain the Memorial Garden adjacent to the new

Alzheimers Unit at Bethany Village Retirement Center, 325 Wesley
Drive, Mechanicsburg, Pennsylvania 17055. If, in the jUdgment of
the Board of Directors of The Stewardship Foundation, or its
legal successor, proper maintenance is not being done or the
Memorial Garden ceases to exist, the income shall then be used
for children and youth work in the Central Pennsylvania Confer-
ence of the United Method Church, or its legal successor.
(C) Upon the entering into of an agreement by The
Stewardship Foundation containing the conditions set forth
hereinabove, my Executor shall have no further duties with
respect to the enforcement of said agreement, it being my inten-
tion that my Executor may be discharged upon the execution of
said agreement.
(D) It is my intent in this CLAUSE to make a charita-
ble gift to provide an annuity for the person named above.
THIRD: Should my husband, CARL E. YOUNG, predecease me
or disclaim the charitable gift annuity as set forth in Clause
THIRD herein, I make the following disposition of my estate:
(A) Except as set forth hereinabove, I give and
bequeath all of my household goods, library and all books,
personal effects including clothing items, and any vehicle which
I may own at the time of my death, to my step-daughters, MARY
LOIS YOUNG MILLER, MARGARET YOUNG WRAY, RUTH YOUNG MCGUIRE, and
KATHRYN YOUNG CARMINES.
(B) I devise and bequeath all the rest, the rest,
residue and remainder of my estate of whatever nature and wher-
ever situate, including any property over which I hold power of
appointment and together with any insurance policies thereon, to
THE UNITED METHODIST STEWARDSHIP FOUNDATION OF CENTRAL PENNSYL-
VANIA, or its legal successor, to be placed in the Martha B.
Young Memorial Fund. I direct that income from the Martha B.
Young Memorial Fund is to be used to maintain the Memorial Garden
adjacent to the new Alzheimers Unit at Bethany Village Retirement
Center, 325 Wesley Drive, Mechanicsburg, Pennsylvania 17055. If,

in the judgment of the Board of Directors of The Stewardship
Foundation, or its legal successor, proper maintenance is not
being done or the Memorial Garden ceases to exist, the income
shall then be used for children and youth work in the Central
Pennsylvania Conference of the United Method Church, or its legal
successor.

FOURTH: In addition to all powers granted to them by
law and by other provisions of this Will, I give the fiduciaries
acting hereunder the following powers, applicable to all proper-
ty, exercisable without court approval and effective until actual
distribution of all property:
(A) To sell at public or private sale, or to lease,
for any period of time, any real or personal property and to give
options for sales, exchanges or leases, for such prices and upon
such terms (including credit, with or without security) or
conditions as are deemed proper. This includes the power to give
legally sufficient instruments for transfer of the property and
to receive the proceeds of any disposition of it.
(B) To partition, subdivide, or improve real estate
and to enter into agreements concerning the partition, subdivi-
sion, improvement, zoning or management of real estate and to
impose or e~tinguish restrictions on real estate.
(C) To compromise any claim or controversy and to
abandon any property which is of little or no value.
(D) To invest in all forms of property, including
stocks, common trust funds and mortgage investment funds, without
restriction to investments authorized for Pennsylvania fiduci-
aries, as are deemed proper, without regard to any principle of
diversification, risk or productivity.
(E) To exercise any option, right or privilege granted
in insurance policies or in other investments.
(F) To exercise any election or privilege given by the
Federal and other tax laws, including, but not necessarily being

limited to, personal income, gift and estate or inheritance tax
laws.
(G) To make distributions to my herein named benefici-
aries in cash or in kind or partly in each.
(H) To borrow money from themselves or others in order
to pay debts, taxes, or estate or trust administration expenses,
to protect or improve any property held under my will, and for
investment purposes.
(I) To select a mode of payment under any qualified
retirement plan (pension plan, profit sharing plan, employee
stock ownership plan, or any other type of qualified plan) to the
extent the plan or the law permits them to do so, and to exercise
any other rights which they may have under the plan, in whatever
manner they consider advisable.
FIFTH: I direct that all inheritance, estate,
transfer, succession and death taxes, of any kind whatsoever,
whichUmay be payable by reason of my death, whether or not with
respect to property passing under this Will, shall be paid out of
the principal of my residuary estate.
SIXTH: All interests hereunder, whether principal or
income, which are undistributed and in the possession of the
fiduciaries acting hereunder, even though vested or distribut-
able, shall not be subject to attachment, execution or sequestra-
tion for any debt, contract, obligation or liability of any
beneficiary, and furthermore, shall not be subject to pledge,
assignment, conveyance or anticipation.
SEVENTH: I nominate and appoint my husband, CARL E.
YOUNG, Executor of this, my Last Will and Testament. In the
event of the death, resignation or inability to serve for any_
reason whatsoever of the said CARL E. YOUNG, I nominate and
appoint KATHRYN YOUNG CARMINES, Executrix of this, my Last Will
and Testament. In the further event of the death, resignation or
inability to serve for any reason whatsoever of the said CARL E.
YOUNG and KATHRYN YOUNG CARMINES, I nominate and appoint MARY
