CU.t '-r~ MID HUDSON BUILDING PRODUCTS INC. and MICHAEL PALSON, PERSONAL GUARANTOR FOR MID HUDSON BUILDING PRODUCTS INC, Defendant CIVIL DIVISION - LAW COMPLAINT The Plaintiff, ALSIDE SUPPLY, by its attorneys, KNUPP, KODAK & IMBlUM, P.C., brings this action of Assumpsit against the Defendant to recover the sum of FOUR THOUSAND ONE HUNDRED SEVENTY-EIGHT DOLLARS AND NINETY CENTS ($4,178.90), along with interest thereon at the statutory rate from June 16, 2005, upon a cause of action of which the following is a statement: 1. The Plaintiff, ALSIDE SUPPLY, is a corporation organized and existing under the laws of the Commonwealth of Delaware, having its principal office and place of business at 3773 State Road, Cuyahoga Falls, OH 44223. 2, The Defendant, MID HUDSON BUILDING PRODUCTS, INC" is a corporation organized and existing under the laws of the State of New York, having its principal office and place of business at 469 East North Street, Carlisle, Cumberland County, Pennsylvania 17013, 3, The Defendant, MICHAEL PALSON (hereafter "Palson"), personal guarantor for MID HUDSON BUILDING PRODUCTS,INC" is an adult individual with an address of 469 East North Street, Carlisle, Cumberland County, Pennsylvania 17013, 4, On or about September 7, 2003, Defendant obtained credit from Plaintiff by submitting a credit application and by signing an Agreement of Guarantee for said credit. A true and correct copy of said September 7, 2003 credit application and Agreement of Guarantee is attached hereto, marked Exhibit "A" and made a part hereof, F:\USER\ROBIN\CCP&DJ CMPS\CCP COMPLAINTS\ALSIDE.31738,wpd: 2 5, Thereafter, on various dates and for various amounts, Plaintiff, at the special instance and oral request of the Defendant, sold and delivered goods, wares and merchandise of the kind and description to the amount of Five Thousand One Hundred Twenty-Five Dollars and Ninety-Eight Cents ($5, 125.98) as set forth on Plaintiff's Statement of Account attached hereto, marked Exhibit "B" and made a part hereof. 6. The prices charged for said goods, wares and merchandise were just and reasonable, were the legal and market prices therefor and were the prices which the Defendant promised and agreed to pay to Plaintiff, 7. Defendant become entitled to certain credits against the charges aforementioned, as more particularly shown on Exhibit "B" hereto to the total amount of One Thousand Six Hundred Forty-Three Dollars and Fifty-Six Cents ($1,643.56). 8. The balance due and owing by Defendant to Plaintiff is the sum of Three Thousand Four Hundred Eighty- Two Dollars and Forty-Two Cents ($3,482.42) as appears on Exhibit "B", 9. Plaintiffs Invoices are not attached to this pleading due to the voluminous nature of same and have previously been provided to Defendant. 1 O. Due to the default of Defendant, and pursuant to the terms and conditions of the Credit Application and Personal Guarantee executed by Defendant attached at Exhibit "A", attorney's fees in the total amount of Six Hundred Ninety-Six Dollars and Forty-Eight Cents ($696.48) have been added to said account. 11. Plaintiff frequently demanded payment from Defendant of said amount due and owing as aforesaid, but Defendant refused and neglected and still refuses and neglects to pay said amount or any part thereof.
