Plaintiff is Eichelbergers, Inc. (hereinafter "Eichelbergers"), a corporation incorporated and doing business under the laws of the Commonwealth of Pennsylvania, with its principal place of business located at 1 07 Texaco Road, Mechanicsburg, Cumberland County, Pennsylvania 17050. 2. Defendants are Mark Dunnett and Sue Dunnett, believed and averred to be husband and wife (hereinafter "Dunnetts"), adult individuals who reside at Road #2, Box 36, Montrose, Susquehanna County, Pennsylvania 18801. - 3. At all times relevant to this action, the causes of action set forth in this Complaint arose in Cumberland County, Pennsylvania. COUNT I Breach of Contract 4. On or about October 5, 2005, Defendant Mark Dunnett requested that Eichelbergers perform certain well drilling and testing services on property owned by both Defendants. 5. By way of a written purchase order dated October 12, 2005, Eichelbergers agreed to perform the rock coring and sampling services requested by the Dunnetts, and in exchange therefore, Dunnetts agreed to pay Eichelbergers on a time and materials based on the agreed upon rates set forth in the purchase order. A true and correct copy of the aforesaid purchase order containing the terms of the agreement between Eichelbergers, Inc. and Defendants is attached hereto and incorporated herein by reference at Exhibit "A". 6. Eichelbergers completed the services in a good and workmanlike manner, which services were accepted by the Dunnetts. 7. Following completion of the services, Eichelbergers submitted it invoice to the Dunnetts in the amount of$22,673.95. The aforementioned invoice, which sets forth the services rendered and the charges for those services, is attached hereto and made a part hereof at Exhibit "B". 8. To date, the Defendants have paid only $10,000.00 toward the invoice of Eichelbergers, leaving a principal balance due and owing in the amount of$12,673.95. - 9. The agreement between the parties authorizes Eichelbergers to collect interest on the unpaid principal balance in the amount of 1.5% per month, as well as attorney's fees. 10. Despite demand, Defendants have failed and refused to pay any amount toward the invoice for services provided by Eichelbergers. 11. Defendants failure and refusal to make full payment to Eichelbergers constitutes a breach of contract. 12. As a result of the Defendants' breach of contract, Eichelbergers has suffered damages in the principal amount of$12,673.95. 13. All conditions precedent for the bringing of this action have occurred, and/or have been performed. 14. All invoices submitted by Eichelbergers to the Defendants were prepared and issued from Eichelbergers' office in Mechanicsburg, Cumberland County, Pennsylvania. 15. All payments were due from the Defendants in Eichelbergers' Mechanicsburg, Cumberland County office. 16. The equipment, supplies and labor to perform the services under the agreement between the parties came from Eichelbergers' Mechanicsburg, Cumberland County office. WHEREFORE, Plaintiff Eichelbergers, Inc. respectfully requests this Honorable Court to enter judgment in its favor, and against the Defendants in the amount of $12,673.95, plus interest and costs and attorney's fees. - COUNT II Uniust Enrichment 17. The Plaintiff incorporates herein by reference the averments of Paragraph 1 through 16 above, as if set forth fully herein. 18. Eichelbergers performed all work and provided all labor and material at the specific request of the Defendants in a good and workmanlike manner, which had an agreed upon value of$12,673.95. 19. Despite acceptance of the work performed by Eichelbergers, Inc., the Defendants have failed and refused to pay any amount to Eichelbergers. 20. Eichelbergers did not perform the work as a volunteer. 21. The Defendants have been unjustly enriched in that they have retained the benefits and value of the work provided by Eichelbergers at the Defendants' request without paying for same. 22. Unjust enrichment and injustice can only be prevented by a judgment against Defendants in the amount of$12,673.95. WHEREFORE, Plaintiff Eichelbergers, Inc. respectfully requests this Honorable Court to enter a judgment in its favor, and against Defendants in the amount of $12,673.95, plus costs and interest and attorney's fees. COUNT III Violation of the Pennsylvania Contractor and Subcontractor Payment Act. 73 P.S. ~501 et seq. 23. Plaintiff incorporates herein by reference the averments of Paragraph 1 through 22 above as if set forth fully herein. - 24. Eichelbergers is a "Contractor", and Defendants Dunnetts are "Owners", as those terms are defined in the Pennsylvania Contractor and Subcontractor Payment Act, 73 P.S. 9501 et seq. (hereinafter the "Act"). 25. Following completion of its work, Eichelbergers submitted its invoice to Defendants on or about January 23,2006. 26. More than thirty (30) days have passed since the Defendants have received Eichelbergers invoice for the labor and materials provided as set forth in this Complaint. 27. Defendants have never given Eichelbergers any notices that any of Eichelbergers' labor or materials for which it has invoiced were deficient in any manner, or that its invoice was not accurate. 28. Defendants' failure and refusal to pay Eichelbergers in accordance with the Act, and Defendants' unjustifiable withholding of payment in bad faith, constitutes a violation of the Act. 29. Defendants have violated the Act by failing to timely pay the invoice of Eichelbergers. 30. Under 9512(a) of the Act, iflitigation or arbitration is commenced to recover payment, the Defendants are liable to Eichelbergers for a penalty equal to 1 % per month of the amount wrongfully withheld. 31. Under 9512(b) of the Act, Eichelbergers are entitled to an award of reasonable attorney's fees in the event it substantially prevails in its action to recover payment under the Act. 32. All conditions precedent for the bringing of this action have occurred and/or have been performed. - WHEREFORE, Plaintiff Eichelbergers, Inc. respectfully requests this Honorable Court to enter judgment in its favor and against Defendants in the amount of$12,673.95, plus costs, interest and statutory penalties and attorney's fees as authorized under the Pennsylvania Contractor and Subcontractor Payment Act. Items that will be assumed to be "by others" unless specifically stated in our proposal form shall include, but not be limited to, the following: * Site preparation for accessibility of truck mounted drill rigs. * Availability of on-site water for drilling operations. * Availability of secure staging area for equipment and supplies. * Site discharge provisions for drilling operations. * Erosion/Sedimentation controls and restoration provisions. * Site security and/or traffic control. * All permits, licenses, fees, etc. necessary for execution of the work. Any changes in scope of work occurring after acceptance of this proposal shall be agreed upon in writing by both parties to this contract prior to execution of the work. 3. Site Conditions In delivering this proposal and entering thereafter into a contractual Arrangement, EICHELBERGERS, INC. assumes no responsibility for existing site conditions and any liabilities, costs, claims, suits, expenses, penalties, or demands that may result there from. Also, should the scope of services expand or require alternative techniques not stated in our proposal form due to the existing site conditions, EICHELBERGERS, INC. shall have the right to offer additional pricing or decline to quote accordingly and the Owner shall have the right to accept or reject such proposals. Where trenching is required, rock excavation and dewatering are not included unless specifically stated as such in the proposal. Hazardous Materials Prior to commencing work, EICHELBERGERS, INC. management personnel shall be informed of all known wastes or hazardous materials to be encountered on-site in the execution of the work covered by this contract. All waste handling, disposal and transportation costs shall be "by others". Also, any air monitoring for hazardous substances shall be "by others". 6. Insurance EICHELBERGERS, INC. will maintain General Liability, Automobile Liability, Excess Liability, and Worker's Compensation and Employer's Liability coverages and at the limits shown on its' standard Certificate of Insurance ( available upon request) during the term of this contract. Broader coverages (ie: Pollution Liability) and higher limits will be quoted on request. Unless specifically stated otherwise, nothing in this contract shall constitute a waiver of the right to subrogation.. 7. Liability I Indemnification EICHELBERGERS, INC. shall indemnify and hold harmless the Owner, Consultant, or Higher Tier Contractor and their agents and employees from and against any and all liabilities arising from negligence by its' employees in the performance of this contract. The Indemnified Parties identified in the preceding paragraph shall indemnify and hold harmless EICHELBERGERS, INC. and its' agents and employees from and against any and all liabilities arising from negligence by their employees in connection with this contract. 8. Quality EICHELBERGERS, INC. agrees to perform all work and furnish all materials in conformance with the contract documents and generally accepted industry practices/standards. 9. Payment Invoices will be issued at least once per month and shall be net due in 60 days.
