F5 1--' rr1 (., {::J -q of all the rest, residue and remainder of my estate, real, personal and mixed, to my Trustee, hereinafter named, IN TRUST, nevertheless, to hold, invest and reinvest the same, and after paying all of the expenses necessary or incidental to the management of the trust, to pay over or to apply such part or parts of the income and/or prin- cipal as in my Trustee's sole discretion may be necessary or advi- sable for the maintenance, education, health and welfare of the children born to or adopted by my son who predeceases me, who are living at the time of my death as follows: (a) Until the eldest of such grandchildren reaches the age of eighteen (18) years, the Trustee shall pay to or apply for the benefit of each such child in monthly or other convenient installments so much of the net income up to the whole thereof, as the Trustee in its dis- cretion deems advisable for such child's proper care, support, maintenance, and health and education. At the end of each year the trustee shall accumulate and add the remaining net income to the principal. (b) At the time the eldest of my said grandchildren -2- attains the age of eighteen (IS) years, I direct that the balance of principal and income in this trust be divided into as many parts as there are my grandchildren then living, and separate trusts be established. (c) At the time each of my said grandchildren attains the age of twenty-one (21) years, a one-third (1/3) share of each part shall be paid to each respective grandchild. (d) At the time each of my said grandchildren attains the age of twenty-five (25) years, a one-half (1/2) share of the remaining balance of principal and interest shall be paid to him or her. (e) At the time each of my said grandchildren attains the age of twenty-seven (27) years, the respective balance of principal and interest shall be paid to him or her, and the respective trusts shall terminate. (f) After the eldest of my said grandchildren attains the age of eighteen (lS) years, each child shall receive the net income from his or her respective trust, at least quarter-annually. The Trustee shall continue to have sole discretion with respect to the -3- application of prinicpal for each respective child's maintenance, education, health and welfare. (g) If any of my said grandchildren, who are born or adopted of the son who predeceases me, should die after his or her separate trust is established, then said grandchild's respective trust shall be paid to the trusts of the surviving grandchildren in equal shares. ITEM V - In the event both of my sons, KIRK A. BOBB AND THOMAS E. BOBB, predecease me then I give, devise and bequeath, all of the rest, residue and remainder of my estate, real, personal and f mixed, to my Trustee, hereinafter named, IN TRUST, nevertheless, to hold, invest and reinvest the same, and after paying all of the expenses necessary or incidental to the management of the trust, to pay over to or apply such part or parts of the income and/or prin- cipal as in my Trustee's sole discretion, may be necessary or advi- sable for the maintenance, education, health and welfare of all of my grandchildren, or the survivor or survivors of them, born or adopted by both my sons, in accordance with the terms provided in subparagraphs (a) through (g) of Item IV. ITEM VI - The term "education" includes both college and post-graduate study at any accredited institution of the benefic- iary's choice as well as trade schools, vocational schools, technical schools, etc., for any period of time that in the judgment of the Trustee is advantageous to the beneficiary: the Trustee shall -4- provide adequate amounts for all related living and travel expenses of the beneficiary within reasonable limits. ITEM VII - No beneficiary or remainderman of any trust shall have any right or power, except as otherwise specified, to sell, transfer, assign, pledge, mortgage, alienate or hypothecate his or her interest in the principal or income of the trust estate in any manner whatsoever. To the fullest extent of the law, the interest of each and every beneficiary and remainderman shall not be subject to the claims of any of his or her creditors or liable to attachment, execution, bankruptcy proceedings, or any other legal process. The trustee shall pay, disburse, and distribute principal and income of the trust estate only in the manner provided for in this Will and not on any attempted transfer or assignment, whether oral or writ- ten, of any beneficiary or remainderman nor by operation of law. ITEM VIII - All federal, state and other death taxes, payable because of my death, with respect to the property forming my gross estate for tax purposes, whether or not passing under this Will, including any interest or penalty imposed in connection with such tax, shall be considered part of the expense of the administration of my estate and shall be paid from my estate without apportionment or right of reimbursement. All such taxes on present or future interests shall be paid at such time or times as my Executrix may think proper, regardless of whether such taxes are then due. ITEM IX - My Executor, Trustee and Fiducuaries appointed under this will shall have the following powers: -5- A. To retain any or all assets of my estate, real or personal, without regard to any principle of diversification, risk, or productivity. B. To invest in all forms of property, including stocks, common trust funds and mortgage investment funds, without restriction to investment authorized for Pennsylvania fiduciaries as they deem proper, without regard to any principle of diversification, risk, or productivity. c. To sell at public or private sale, to exchange or to lease, for any period of time, any real or personal property and to give options for sales, exchanges or leases, for such prices and upon such terms and conditions as he deems proper. D. To borrow money from any person or institution including my Executor and to mortgage or pledge any or all real or personal property as my Executor, in his sole discretion shall choose, without regard for the dispositive provisions of this instrument. E. To compromise any claim or controversy. -6- F. To exercise any option, right or privilege granted in insurance policies or in other investments. ITEM X - I nominate and appoint my son, KIRK A. BOBB, to be the Executor of this, my last Will and Testament. In the event that my son, KIRK, predeceases me or in the event he fails to qualify as Executor, I nominate and appoint my son, THOMAS E. BOBB, as the Successor-Executor of this, my Last Will and Testament. In the event that my son, THOMAS, predeceases me or in the event he fails to qualify as Successor-Executor, I nominate DAUPHIN DEPOSIT BANK AND TRUST COMPANY, as the Successor-Executor of this, my Last Will and Testament. ITEM XI - In the event my son, KIRK A. BOBB, predeceases me, I nominate and appoint DAUPHIN DEPOSIT BANK AND TRUST COMPANY, to be the Trustee of this, my Last Will and Testament, for the Trust for the children born to or adopted by my son, KIRK A. BOBB. ITEM XII - In the event my son, THOMAS E. BOBB, predeceases me, I nominate and appoint my son, KIRK A. BOBB, to be the trustee of this, my Last Will and Testament, for the trust for the children, born to or adopted, by my son, THOMAS E. BOBB. ITEM XIII - In the event both my sons, KIRK A.
