Adler, as Executor; and WHEREAS, the Executor has proceeded with the administration of said estate and has prepared his First and Final Account and Schedule of Distribution. A true and correct copy thereof is attached hereto, made part hereof and marked Exhibit "B"; and WHEREAS, the parties hereto desire that the Executor shall not be required to file said Account with the Orphan's Court of Cumberland County, and that the net estate of the decedent shall be distributed without the necessity of filing a formal account. ~v NOW, THEREFORE, the parties hereto intending to be legally bound hereby, mutually agree as follows: 1. The parties hereto, and each of them, agree and acknowledge that they have fully and carefully examined the First and Final Account of William L. Adler, Executor of the Will of Ethel Ruth Rosenthal, Deceased, and Schedule of Distribution relating thereto, and believe them to be true and correct, and acceptable to the parties hereto and each of them, and further that each of them has received a copy of this Agreement and of the said Account and Schedule of Distribution. 2. The parties hereto do hereby release, remlse and forever discharge the Estate of Ethel Ruth Rosenthal and William L. Adler, Executor, of and from all manner of acts, suits, claims, accounts, accountings, debts, dues and demands whatsoever which they or any of them or their legal representatives or assigns may at any time hereafter have, against the Executor, the said Estate or the assets thereof, from, for, touching or concerning any of the assets and property of the said Estate and/or any claim or interest thereto or therein, and the administration, management, collection, sale or any money, interest, income, assets or proceeds out of the same, from the time of the death of the said decedent to and including the date of this Agreement and Release. 3. This instrument is a full and final Settlement Agreement by and among the parties hereto, both fiduciary and individual, all of the same having been arrived at, concluded and executed after a full and complete disclosure of the assets of the said estate and the rights of the parties therein and thereto and all of the parties hereto, and each of them agrees to abide by the terms hereof. 4. The parties hereto, and each of them, agree that they will at all times ln the future and whenever necessary, appropriate or convenient, make, execute and deliver to the said Executor, and/or to the other party or persons, any and all instruments, documents, conveyances, deeds, releases or other instruments of any kind necessary or convenient to carry out the intention of this Agreement and/or to permit, assist and enable the Executor to fulfill his duties with reference to the said estate and all of the assets thereof. 5. This Agreement constitutes the entire understanding among the parties hereto, and each of them acknowledges that no representations or statement of any kind, written or oral, have been made to them or any of them prior hereto by the Executor or by any other person or party upon his behalf. 6. This Agreement shall enure to the benefit of and shall be binding upon, the parties hereto, and each of them, their heirs, executors, administrators, successors and assigns. 7. Releases from the other beneficiaries are attached to this agreement together with the proof of the advertising of the estate. PA, 171 O~-1l)33 MUTUAL RELEASE This Mutual Release is made and executed by William L. Adler, Executor ofthe Estate of Ethel R. Rosenthal (hereinafter referred to as "Petitioner"), and Shirmor Company, (hereinafter referred to as "Respondent"). WHEREAS, Petitioner had a citation issued to Respondent to number 204-2006 in the Orphans' Court, Cumberland County, Pennsylvania; and WHEREAS, said petition requested a rule to show cause as to why the alleged debt claimed by Respondent related to a 1989 lease from Respondent to Petitioner should not be discharged; and WHEREAS, the parties have agreed to execute releases to each other. KNOW ALL MEN BY THESE PRESENTS, that in pursuance ofthe agreement ofthe parties, and in consideration of the payment of $1,650.00 from Petitioner to Respondent, the undersigned, have each remised, released and forever discharged and by these presents do hereby for themselves, their heirs, executors, administrators, successors and assigns, remise, release and forever discharge each of the others, their heirs, executors, administrators, successors and assigns of and from all, and all manner of action and actions, cause or causes of action, suits, debts, dues, sums of money, accounts, reckoning, bonds, bills, specialties, covenants, contracts, controversies, agreements, promises, variances, trespasses, damages, judgments, extents, executions, claims and demands whatsoever, in law or in equity, which against either of the other parties each may have or that they ever had, or which their heirs, executors, administrators, successors and assigns hereafter can, shall or may have for, upon or by reason of any matter, cause or thing whatsoever pertaining to the above referenced actions, from the beginning ofthe world to the date ofthese presents.
