COMPLAINT IN CIVIL ACTION
1. Plaintiff is BROADCAST MUSIC, INC., a corporation doing
business in the Commonwealth of Pennsylvania.
2. Defendant is Cedar Cliff Inn, Inc., d/b/a Gullifty's, a
corporation with a principal place of business located at 1104
Carlisle Road, Camp Hill PA 17011.
3. Defendant, Cedar Cliff Inn, Inc., d/b/a Gullifty's,
entered into a written Music Performance Agreement whereby the
plaintiff granted the defendant a license to have performed musical
works which are under the plaintiff's control described in the
Music performance Agreement under the terms and conditions set
forth therein. A true and correct copy of the said written Music
Performance Agreement is attached hereto, made part hereof and
marked as Exhibit "A".
4. In accordance with the terms of the contract, defendant
was required to pay to the plaintiff an annual fee. This annual
recorded music fee continues for additional periods of one year.
Each year is considered a "Contract Year".
5. Plaintiff conducted annual reviews of Defendant's
agreement and may have made adjustments/upgrades as provided for in
the agreement.
6. Contrary to the terms of the aforesaid Music Performance
Agreement, the defendant failed to make the required annual
payments when due, leaving a balance owing of $3,140.03. A copy of
Defendant's statement of account is attached as Exhibit "B"
7. As a result of the defendant's default, the defendant is
indebted to the plaintiff in the amount of $3,140.03, plus interest
and attorney fees as provided for in the lease.
8. Plaintiff has already credited defendant's account for
any direct payments previously received.
9. Plaintiff has made demand upon the defendant for payment
of the amount due, but the defendant has failed and refused and
still refuses to pay the said sum or any part thereof.
10. Defendant's last payment on account was made on May 1,
2004.
WHEREFORE, plaintiff claims of the defendant the sum of
$3,140.03 plus applicable costs, interest and attorney's fees.

t. BMI GRANT
BMI grants you anon-exclusive license to pubfidy perform at the Licensed Premises all of the musical works of which BMI controls the fights to grant public per-
formance licenses during the Term. Thin Ikxrrse does not indude dramatic rights, the right to perform dramattco•musk;ai works in whole or In substantial part or
the right to use the musical works in any context whiff constitutes the exerdse of "grand tights." This Boense also does not convey the right to publicly perform
BMI musical works (a) by broadcast, telecast, t~etxist ar other electronic tranarNssion (mduding by sateHke, the Ir>temet or on-line service) of the perfom~ano-
~ to persons outside the Licensed Premises; (b) by publ~ perforrrrartces requirtrtg advance or hard ticket purchases pursuant to Paragraph 10{g); {c) by means
of any coin-operated phonorecord player as defined M the Copyright Act ("Jukebox's where a Jukebox License Otlice agreement has heart obtained for such
Jukebox; (d) by any BMWitxnsed background mush servk;e; and (e) by any coin-operated digtal mush servbe tltat does riot quality as a Jukebox. BMI may
withdraw from the works licensed hereunder any musical work as to which any legal action has been instituted or claim made that BMI does not have the right tp
license public performances of that work.
2. CHANGES TO YOt71Z MUSIC POLICY
(a! Except as provided for herein, you may change your ~Ausic Policy upon which tees are assessed under tltls Agreement prospet~vely at any time during the
Term on 30 days prior notice to BMI, provided ~t your current policy has been in effect for at least 30 oorrseartive calendar days. You may change your fee no
more than three limes in arty contract year. You may call your Customer Relations Exeattive at 1-80025-8451 to notify BMI of a change in your Music Policy,
and the change wiU be reflected in your next tiling by BMI; however, doing SQ w~l not preserve your right to dispute BMf bNYrtgs unless you send 8M1 timely
r~tice of your poNcy t~tange in writing. Billings adjusted by BMt hereunder wii include a pro rata credit for any unearned fioense bass paid in advance under the
Charged policy. You also agree that you will notify BMI Of any changes let the music use at the Licensed Premises that would make your representation of Music
Policy under Paragraph 1 t (e) no longer accurate, and that any changes you make to your Music Policy hereunder shall constitute a true and acarnrte represen-
tation of your music usage from the date of the change onward. Any changes itt Music Pommy or Occupancy are subject to verification by any and all reasonable
means which may Irtt•Jude, but shall rrot be limited la, independent contacts by BAAt representatives with your business estabUshment, use of public records,
advertisements and third party observations.
(b} BMI may from time to time review your Music Poky (Enctuding any changes made to your poky) and make inquiries in persortor by phone as to its aaxrra-
cY. If BMI thereaRer beieves that you are not payirg proper license fees because the use o[ music at the Licensed Premises should result in higher licartse fees
under the criteria of this Agreement than is reflected In your current Music Policy, BMI will notify you by mail. If you agree to BMI s sssessrnent of your Music
Policy, the change wit lie reflected on your next biirrg. If you dispute BMI s assessment of your polio, you must notiy BMI within 30 days of the notification by
BMI. If xnthin t;10 days of such notifrcation by BMI you do not respond or you and BMi cannot agree upon an appropriate tee, either party may commence an
arbitratron proceeding pursuant to Paragraph T to resolve the dispute over the amount o1 your license fees, Such right shah be in addition to arty and afi other
remedies BMI may have under the Agreement, induding the right to cancel this Agreement. You may not change your Musk: Poliounder subparagraph (a)
above if your fee is subject to dispute hereunder.
(c) to the event that you temporarily discontinue the use of alt music (see Definitions} and you send wrt8en notice of this to BMI by certlfled mail within 30 days
of the discontinuance, SMI will adjust your fees pro rata from the date of discontinuance, if such notice is rocx3lved more than 30 days after the discoMinuence,
such discontinuance wilt be effective commencing on the first of the month foiowirg the date of BMI s r~elpt of the notice and BMf will adjust your fees prospeo-
tiveiy for the remainder of the contract year in which BMI received the notice. In eitlter event, your crodft adjustment hereunder shall not reduce your Annual Fee
due BMI below the Annual Minimum Fee applicable under the Agreement. In the event of such discontinuance, this license Agrestnent shall continue in atfact,
except that no minimum or other fee shalt be payable during the period of discontinuance, You agree to notify BMI promptly when you resume the use of music
at the Licensed Premises and your Music Poky in effect at the time of discontinuance wiN continue b be appicable unti you notify BMI of a change. BMI
reserves its right under subparagraph {b) hereof to review your Music Policy and take appropriate steps In the event that $MI believes That you have resumed
the use of music under this Agreement,
3. LATE PAYMENT ANO SERVICE CHARGES .: ~.
BMI shalt impose a late payment charge of one and one-half percent (1'96} per month or the maxirrwm rate permitted by law, whichever is less, from the data
payment is due on any payment that Is received by BMI more than thirty (30) days aRer the due date. BMI shat! impose a 325.00 service charge far each unpaid
check, drag or other means of payment you submit to BMI.
4. BMI COMMITMENT TO CUSTOMER !INDEMNITY -

ees, from and against any and ell claims, demands or suits alleging copyright infringement that Tray be made or brought against them or any of them with
respect to the public performance of any musical works which are licensed by BMI under this Agreement at the time of public performance, You agree to give

5. SALE OF L1CEA~D PREMISES OR CLOSING OF`BUSINESS
In the event that you sell file Licensed Premises ar dose the business dur-

mail within 30 days of Me sale or dosktg, BMI wiN adjust your pro rata
from the date of axle or ctosing, and wtil refund b you shy unearned

6. BREACH OR DEFAULT /WAIVER `

7. ARBITRATION

8. NOTICES
Unless otherwise stated herein, any notice under this Agreement will ise In

other address which either party may designate, Any such notice sent to
BMI shall be b the attention of the Vice Prosldent, General Ucensing, BMI,

9. t~IiSCELLANEOUS
This Agreement Is the entire understanding between the parries, wifl not be
binding until signed by both parties, and cannot tee waived or added to or
modified orally, and no waiver, addition or modification wfY be valid unless
in writing and signed by the parties. This Agreement is e>{ecuted by the
duly authorized r+epresentarive of SMI and you. Your rights aro not assigna-
ble. This A~eemestC its varidiiy, tanstrudton and effect, will be governed
by the laws of the State of New York other than its cholce:of law provisions.
The fad that any provisions are found by s court of competent jurisdiction
b be void or unenforceable will not affect the vaUdfty or enforceabifty of
any other provisions. A11 headings in this Agreement are for the purpose of
convenlenoe and shall not ire considered to be part of this Agreement
10. DEFINITIONS
(a) Licensed Premises: The eating or drinking establishment listed on back
or on an attached exhibit.
(b) Music Policy: Any single of combined use of the items dented 1n
t0(c) - (j} below and including Jukebox Fee (Box 7} by yoil at the Licensed
Premises during a centred year.
