COMPLAINT
The Plaintiff, THE BALTIMORE SUN, by its attorneys, KODAK & IMBLUM, P.C., brings this action of
Assumpsit against the Defendant to recover the sum of TWENTY THREE THOUSAND TWO HUNDRED ONE
DOLLARS AND FORTY-NINE CENTS ($23,201.49), along with interest thereon at the statutory rate from May
4, 2006, upon a cause of action of which the following is a statement:
1. The Plaintiff, THE BALTIMORE SUN, is a corporation organized and existing under the laws of the State
of Maryland, having its principal office and place of business at 301 North Calvert Street, Baltimore, MD
21278.
2. The Defendant, CUSTOM PATIO ROOMS, INC. doing business as CUSTOM PATIO ROOMS OF
CENTRAL PA, is a corporation organized and existing under the laws of the Commonwealth of
Pennsylvania, having its principal office and place of business at 2250 Bumble Bee Hollow Road,
Mechanicsburg, Cumberland County, Pennsylvania 17055.
3. On or about October 8, 2001, Defendant entered into a contract with Plaintiff whereby Plaintiff would
provide advertising for Defendant. A true and correct copy of said October 8, 2001 contract is attached
hereto, marked Exhibit "A" and made a part hereof.
4. Thereafter, on various dates and for various amounts, Plaintiff, performed the labor and provided the
services set forth in the contract, per the request for Defendant. True and correct copies of Plaintiffs

Invoices and Statements are attached hereto, collectively marked Exhibit "B" and made a part hereof,
to the total amount of Thirty-Eight Thousand Five Hundred Ninety-Two Dollars and Twenty-Four Cents
($38,592.24 ).
5. The prices charged for said labor performed and services provided were just and reasonable, were the
legal and market prices therefor and were the prices which the Defendant promised and agreed to pay to
Plaintiff.
6. Defendant become entitled to certain credits and/or made payments against the charges aforementioned,
as more particularly shown on Exhibit "B" to the total amount of Twenty Thousand Thirty-One Dollars and
Five Cents ($20,031.05).
7. The Defendant paid to Plaintiff on account of the aforementioned charges certain sums of money as more
particularly set forth on Exhibit "e" attached hereto and made a part hereof, in the total amount of One
Thousand Dollars ($1,000.00).
8. The balance due and owing by Defendants to Plaintiff is the sum of Eighteen Thousand Five Hundred
Sixty-One Dollars and Nineteen Cents ($18,561.19) as set forth on Exhibit "0" attached hereto and made
a part hereof.
9. Due to the default of Defendant, and pursuant to the terms and conditions of the Credit Application
executed by Defendant hereto attached, marked Exhibit "A" and made a part hereof, attorney's fees in the
total amount of Four Thousand Six Hundred Forty Dollars and Thirty Cents ($4,640.30) have been added
to said account.
1 O. Plaintiff frequently demanded payment from Defendant of said amount due and owing as aforesaid, but
Defendant refused and neglected and still refuses and neglects to pay said amount or any part thereof.

WHEREFORE, Plaintiff brings this suit to recover from Defendant the sum of TWENTY THREE
THOUSAND TWO HUNDRED ONE DOLLARS AND FORTY-NINE CENTS ($23,201.49), along with interest
thereon.

DEFENDANT'S PRELIMINARY OBJECTIONS
Custom Patio Rooms of Central PA, by and through its counsel, Goldberg Katzman, P.C,
files these Preliminary Objections to Plaintiff's Complaint and in support thereof avers the
following:
1. Plaintiff filed a Complaint in this matter on or about January 2,2007.
2. Custom Patio Rooms of Central PA (Custom Patio) was served with the
Complaint.
3. Plaintiff's Complaint alleges that Defendant entered into a contract whereby
Plaintiff would provide advertising for Custom Patio.
4. The documents attached to the Complaint demonstrate that Plaintiff entered into a
contract with Custom Patio Rooms of Baltimore, Inc. (See Exhibits attached to Plaintiff's
Complaint).

5. Custom Patio Rooms of Baltimore, Inc. is a separate and distinct entity from the
Defendant sued herein.
6. Plaintiff is listed as a creditor of Custom Patio Rooms of Baltimore, Inc. in a
bankruptcy petition filed with the United States Bankruptcy Court for the District of Maryland.
(See Exhibit "A") attached hereto.
7. As fully stated hereafter, it is believed and therefore averred that the Complaint is
nothing more than Plaintiffs improper attempt to avoid the bankruptcy automatic stay which is
in place due to the bankruptcy filing of the true party to the transaction herein complained of.
Such action is a clear violation of bankruptcy law and sanctions should be imposed upon the
Plaintiff.
Demurrer
8. The averments contained in paragraphs 1 through 7 of Defendant's Preliminary
Objections are incorporated herein as if set forth in their entirety.
9. Pa. R.C.P. 1028(a)(4) authorizes a preliminary objection if a complaint is legally
insufficient.
10. Plaintiffs Complaint asserts a claim for breach of contract based upon an alleged
contract with Custom Patio.
11. The documents attached to Plaintiffs Complaint as Exhibits show that the alleged
contract, if any, was entered into by Custom Patio Rooms of Baltimore, Inc., which is a separate
and distinct entity than the defendant sued herein. (See Articles of Incorporation attached hereto
as Exhibit "B").
12. Therefore, Plaintiffs claim fails as a matter oflaw.

WHEREFORE, Defendant requests that this Honorable Court sustain its demurrer and
dismiss the Complaint against it.
Failure to Join Necessary Partv
13. The averments contained in paragraphs 1 through 12 of Defendant's Preliminary
Objections are incorporated herein as if set forth in their entirety.
14. Pa. R.C.P. 1028(a)(5) authorizes a preliminary objection for failure to join a
necessary party.
15. Plaintiff's Complaint asserts a claim for breach of contract based upon an alleged
contract with Custom Patio.
16. The documents attached to Plaintiff's Complaint as Exhibits show that the alleged
contract, if any, was entered into by Custom Patio Rooms of Baltimore, Inc., which is a separate
and distinct entity than the defendant sued herein.
17. Therefore, Plaintiff failed to join a necessary party.
WHEREFORE, Defendant requests that this Honorable Court dismiss the Complaint for
failure to join a necessary party.

18. The averments contained in paragraphs 1 through 17 of Defendant's Preliminary
Objections are incorporated herein as if set forth in their entirety.
