CIVIL ACTION
1. Plaintiff, Ford Motor Credit Company, is a corporation duly
organized and existing under the laws of the state of Delaware,
and authorized to do business in the Commonwealth of
Pennsylvania, with offices located at One American Road,
Dearborn, Michigan 48122.

3. On or about August 1, 1988 Defendant(s) (lessee) entered into
a written Automobile Net (Closed End) Lease (hereinafter called
the Lease) to lease a "Vehicle" from a dealer (lessor) according
to the terms, prices and conditions contained within the
aforesaid Lease, a true and correct copy of said Lease being
attached hereto, made a part hereof, and marked Plaintiff's
Exhibit "A".
4. "Lessor" subsequently assigned the aforesaid Lease to
Plaintiff, Ford Motor Credit Company.
5. Subsequently, Defendant(s) did default upon the aforesaid
Lease by failing to make timely installment payment to Plaintiff
and in accordance therewith the entire remaining balance became
due and payable immediately.
6. The aforesaid Lease further provides that in the event of
default, Plaintiff may repossess the "Vehicle" and sell same in
accord with the terms of the aforesaid Lease.
7. The aforesaid Lease further provides that lessee shall be
liable for all costs and expenses, including reasonable
attorney's fees, incurred by Plaintiff in enforcing the Lease.
8. As a consequence of the foregoing, there is currently due and
owing to Plaintiff by the Defendant(s) the following sums:

3. As the contract speaks for itself, the allegations made
by the Plaintiff are a conclusion of law. The Defendants' state
that in addition to the terms of the contract the Plaintiff also
had to follow the law set forth in 69 P.S. Section 60, et seq.
Motor Vehicles Sales Financing.
4. As the means of proof is within the control of the
Plaintiff, the Defendants' are without knowledge of same and proof
of same is demanded.
5. The Defendants' response in paragraph 3 is incorporated
herein.

8. The contract speaks for itself and the allegations by the
Plaintiff is a conclusion of law.
The Defendants' by way of
further response avers that the Plaintiff had the responsibility to
enforce the contract in conjunction with the aforesaid Motor
Vehicle Sales Financing Act and that the sale price of the vehicle,
repossession expense and attorney fees are not reasonable and that
the total claimed is in excess of the Plaintiff's reasonable loss
after repossession.
9. Defendants' have refused to pay the unreasonable amount
demanded by Plaintiff.
WHEREFORE, Defendants' demand judgment be entered against
Plaintiff and in their favor.
NEW MATTER
10. The Defendants' aver that the Plaintiff has failed to
plead that it proceeded in accordance with the provisions of Motor
Vehicle Sales Financing Act and did not proceed in accordance with
same.
11. The Defendants' aver that pursuant to 69 P.S. Section 627
the attorney's fees, repossession costs are unreasonable and the
sale proceeds for the vehicle are inadequate andlor unreasonable.
WHEREFORE, Defendants' demand judgment in their favor.

10. Admitted in part and denied in part. It is admitted that
Plaintiff has failed to plead that it proceeded in accordance with
the provisions of the Pennsylvania Motor Vehicle Sales Finance Act.
It is further admitted that Plaintiff did not proceed in a>::cordance
with the provisions of the Pennsylvania Motor Vehicle Sales Finance
Act. It is specifically denied that the underlying transaction is
regulated by the Pennsylvania Motor Vehicle Sales Finance Act. On
the contrary, it is averred that on August 1, 1988, Defendants entered
into a Net (Closed End) Lease wlth Purchase Optlon to lease a new 1988
Ford Thunderblrd. It is averred that pursuant to the terms and
conditlons of the Lease, Defendants agreed to make sixty (:;0) monthly
payments of $353.08. It ls further averred that Defendants agreed
to pay, at the end of the Lease term, six cents (6C) per mile for each
mile ln excess of 76,000 miles. It 18 averred that Defendants had
the optlon to purchaae the vehlcle at the end of the Lease term for
$4,317.04. It 18 also averred that during the perlod that the vehicle
waa ln Defendants possession, lt was tltled in the name of Ford Motor
Credlt Company, a true and correct copy of the Certlficate of Title
being attached hereto, made a part hereof and marked Plalntlff's Exhibit
"B". Plalntiff avers that no Court ln the Commonwealth of Pennsylvania
has held that a Net (Closed End) Lease wlth Purchase Optlon ls regulated
by the Pennsylvanla Motor Vehicle Sales Finance Act. It 18 averred
that Pennsylvanla Courta have consistently followed the holding of
the Pennsylvanla Super lor Court dec1810n of H. H. Waterbor, Inc. vs.
GeorRe S. LivinRood, 179 Pa. Super. 610, 117 A2d 790, (1955) whereln
the Court held WHERE THE SALE RESULTED UNDER THE TERMS OF AN AUTOMOBILE
LEASE AT THE OPTION OF THE PARTY WHO WAS ENTITLED TO ELECT, AND SPECIFIED
CONSIDERATION FOR PURCHASE WAS ONE CASH PAYHIlNT, ONLY UPON SUCH ELECTION
DID THE LEASE BECOME AN AGREEHENT OF SALE, AND THEREFORE SUCH A LEASE
WAS NOT REGULATED BY THE PENNSYLVANIA MOTOR VEHICLE SALES FINANCE ACT.
Plaintlff avers that Defendants only made thirty-three (33) monthly
payments to Plalntlff. It ls further averred that the vehlcle was
repossessed, due to non-payment and lack of lnsurance coverage, on
July 31, 1991. Plaintiff avers that Notlce of Prlvate Sale was mailed
to both Defendants, vla certified msil, to thelr last known address,
on July 31, 1991, a true and correct copy of sald Notlce belng attached
hereto, made a part hereof and marked Plaintlff's Exhibit "C". Plaintiff
avers that the vehlcle was subsequently sold, at prlvate sale, at the
Harrisburg Auto Auction, on September 5, 1991, to Cars Unlimited, for
$5,900.00, a true and correct copy of the Bill of Sale, Odometer Mileage
Statement and Vehicle Condition Report being attached hereto, made
a part hereof and marked Plaintiff's Exhibit ''D''. Plaintiff avers
that the sales price of the repossess"d vehicle was in excess of its
NADA value at time of sale.

Denied.
It is specifically denied that this transaction
is regulated by 69 P.S. Section 627.
It is a 100 den ied tha t the
attorney's fees and repossession costs are unreasonable. It is further
denied that the sales proceeds for the repossessed vehicle is inadequate
and/or unreasonable.
On the contrary, it is averred that no Court
in the Commonwealth of Pennsylvania has held that a Net (Closed End)
Lease with Purchase Option is regulated by the Pennsylvania Motor Vehicle
Sales Finance Act. It is averred that Plaintiff incurred the sum of
$325.00 in repossession expenses in repossessing and selling the vehicle,
a true and correct copy of the Repossession Expenses being 'attached
hereto, made a part hereof and marked Plaintiff's Exhibit ''E''. It
is averred that these repossession expenses were necessary to repossess
and sell the vehicle and the said expenses are fair and reasonable
and the ordinary charges for said services. It is averred that Plaintiff
is seeking attorney's fees of $1,272.70, which is 20% of the balance
due and which is the estimated cost of legal fees which Plaintiff
anticipates incurring in the litigation of this matter.
Plaintiff
avers that the sales price of the repossessed vehicle was in excess
of its NADA value at time of sale.
By way of further reference,
Plaintiff incorporates the averments of paragraph ten of Plaintiff's
Reply to Defendants New Matter as though the same were set forth fully
at length.

WHEREFORE, Plaintiff demands that judgment be entered against
Defendants, jointly and severally, in the amount of $7,636.19 together
with interest and costs.
